9 Motion seconded by Alderman Schuler and carried by the following roll call vote: ayes: Berg, Connole, Frantsvog, Frey, PUBLIC HEARING MAGIC FUND DOLLARS- CYPRESS DEVELOPMENT APPROVED The City Council held a public hearing to consider the application request by the Minot Area Development Corporation on behalf of Cypress Development for the use of MAGIC Fund dollars in the amount of $2.5 million to complete two parking ramps which support redevelopment of downtown Minot. Scott Knudsvig of Pringle Herigstad Law Firm, 2525 Elk Drive, appeared on behalf of Keller Paving. Keller Paving worked on the parking structures as a subcontractor for the first contractor on the project but were not paid. Mr. Knudsvig asked for assurance from Council this bill will be paid. He stated Keller Paving is not for or against the funding request but rather is asking for payment for the services provided. He asked for a potential condition on the loan request or time for contractors to work out a solution. Reed Soderstrom of Pringle and Herigstad Law Firm, also representing Keller Paving, stated he would like to see a condition put on the Magic Fund request or hold off for a month to let parties negotiate. He has been working on the issue since last fall and understands that government should probably not get involved in litigation but since the City is considering giving a forgivable loan, he would like to weigh current issues of the lawsuit with the contractor. Soderstom continued, he would like to have time to meet with the contractor to come to some resolution. He asked Council to condition the funds to assure local subcontractors are paid. Alderman Frantsvog asked if the contractor is contesting the claim from Keller Paving. Soderstrom stated he does not have sufficient information to admit or deny this is being contested. They have filed a claim against the bonds and now have a meeting scheduled in September to discuss the situation. He said he knows it can take a long time to get issues resolved when filing a claim against a bond so he would like to see Council condition the loan to allow Keller Paving to come to a resolution. The Mayor asked if the $500,000 amount being sought, includes interest and penalties or if it is just principle. Soderstrom responded to the best of his knowledge that amount is without interest and penalties. Charles Tuttle, nd St SE, stated he is not appearing to oppose or support the request but believes it is important that people be informed of the situation. He has issued an open records request asking several questions that should be answered with regard to the parking structures. He said the parking structures need to be completed but has concerns with revenue projected and questions if the housing is necessary considering the recent vacancies that are being seen in Minot rental homes and motels. He explained the need to look at economic indicators for Minot before making this decision. Justin Thurn, representing Keller Paving, 1820 Hwy 2 Bypass East stated the $500,000 owed to Keller Paving does not include interest and penalties or attorney fees. Steve Larson of Cypress Development stated he believes the economy for Minot s future is bright and is still committed to the downtown project. He has already invested $4.6 million of his own funds in this project and will invest about $9 million of his own funds overall. The money from the City is a loan, not a gift to finish the project. It has been a long difficult project and like the City, Cypress has also been a victim in this situation. The original contractor that was hired to complete the project, who in turn hired Keller Paving as a subcontractor, was paid for the work that was done. Cypress has receipts to prove this contractor was paid and the contractor, not the developer, ran off with the money without paying the subcontractor what they were owed. He said North Dakota law states if it can be shown the main contractor was paid it is the obligation of the contractor to pay subcontractors and not the developer. He believes Keller needs to get paid and will help in any way he can to see this is done. He is confident this project will be a big win for the City and understands rentals are slowing down but are still needed. He stated he is totally committed to completing this project. He has gotten other investors involved as well. It is unfortunate that the project has had issues from the onset but this is a $20 million project.

10 The Mayor gave his understanding that Cypress is committed to the project but asked if Cypress is also committed to the subcontractors. Larson explained the subcontractors are in the same position as his company with regard to losses with the original contractor. Cypress will help to work through this. The situation happened before Cypress became involved. His company was not part of the bid but decided to step in when the project became stalled and put his own money in to get the project going again. He knows the subcontractors did a good job and deserve to be paid. He said the contractor that took the money needs to answer for it. Upon questioning by Alderman Shomento, Mr. Larson stated Construct ND was the original contractor that was paid, MGI also received $500,000 and walked away. They also walked away from the old YMCA Building project after receiving more than $200,000. Upon questioning by Alderman Schuler, Mr. Larson stated the parking structures will be usable during the building of the apartments and commercial units. Pam Karpenko, owner of Mainstream Boutique and President of the Downtown Business and Professionals Association appeared before the Council. She stressed that it is important for the City to understand the need and urgency for the downtown parking structures to be completed. There are many new businesses opened downtown relying on the structures to be complete. The parking structures were to be finished last year in time for the start of the downtown infrastructure project. She said this past year has been rough for downtown businesses. She urged Council to pass the request so the project can be completed. John MacMartin, President of the Minot Area Chamber of Commerce, stated the Chamber s Board went on record last week to unanimously support this loan request. He said the marketing piece for downtown Minot used to be the heart of downtown which is currently undergoing a major overhaul. It is important what was started, be completed. His Board urges Council to approve this request. This project is important to downtown and the community. MacMartin clarified, the dollars that are being requested are to complete the parking structures and will not go toward the development of the apartments. Alderman Hatlelid moved the City Council close the public hearing and approve the application request by the Minot Area Development Corporation on behalf of Cypress Development for the use of MAGIC Fund dollars in the amount of $2.5 million to complete two parking ramps which support redevelopment of downtown Minot. Motion seconded by Alderman Connole. Alderman Frey stated he has been contacted by downtown people and understands the need for this project to be completed. He is upset that additional funds are being requested but will show his support for the downtown businesses and not for the contractor. He believes there should be clauses put into contracts that would allow the City to go after developers and contractors who do not complete projects as promised, since the money is taxpayer funding. Upon questioning by Alderman Shomento, the Mayor indicated he is not aware of any other subcontractors who have not been paid but there could possibly be others. Dominic O Dierno, representing Cypress Developers, responded upon questioning by Alderman Frantsvog as to the promised commitment letter. Mr. O Dierno stated Cypress is still finalizing the financing with the bank and are in the final stages of closing. He stated Wells Fargo needs this request approval to finalize the loan. Mr. O Dierno stated a bank representative is present to discuss the current status of the Cypress loan. Randy Templeton, th St SE, representing Wells Fargo Bank stated he has worked with Cypress Development since the developer started moving the project forward. He stated Cypress loan is an unusual request because of the City involvement with the project, which makes it more complicated. It has been a long process and Wells Fargo has stepped away a couple of times because of the non-conforming nature of the request. He said however, Mr. Larson and Cypress have stepped forward and supplied additional assets to support the load request. Wells Fargo now needs the assurance from the

11 City side because of the City s ownership in the project. This approval is a critical part of putting the loan together and Wells Fargo is at the finalizing stage of underwriting and due diligence to complete the loan. If tonight s request does not pass Council, it would give Wells Fargo reason to deny the loan. The Mayor asked Templeton what is the criteria that keeps this loan from being completed. He stated the City needs assurances from the bank this loan will proceed. Mr. Templeton stated Cypress Development has put forward some assurances that need to be verified. He confirmed he is not anticipating any difficulty in getting the final steps completed. He estimated the decision should be final within the week. Upon questioning by Alderman Shomento as to placing contingencies on the funding request to include approval of the Wells Fargo loan, the City Attorney stated yes approval of the Magic Fund request could be contingent upon the Wells Fargo approval or be held for consideration at the next Council meeting. The Mayor expressed his concern in holding this item considering the limited construction season in North Dakota. Upon questioning by the Mayor as to how a contingency on the Magic Fund request would affect the Wells Fargo loan, Mr. Templeton stated this would be acceptable by the bank. Alderman Frey moved the City Council approve the application request for the use of Magic Fund dollars with a condition to withhold dispersing any Magic Fund money until the loan is approved by Wells Fargo and a commitment is provided. Motion seconded by Alderman Olson. Mr. Larson raised concerns this could slow down the project. Wells Fargo has not put any value on the project only on the liquid assets that have been put forth. Cypress is about $3 million away from completion and he has no reason to believe the loan will not be approved. He is intent on completing the project and will not lose what he already has invested. He explained he has already put in additional resources to get the project completed quicker. This amendment for approval may slow down the process dependent on how long finalizing the loan takes. He stated he understands the City s position as Cypress has been putting in money out of their own pocket to keep this project moving. The contingency could jeopardize the ability to keep the project moving. He personally guaranteed the loan from the City. He said this is just one more speed bump in the process. Upon questioning by Alderman Shomento as to whether there will be more funds requested, Mr. Larson stated he will assure the City there will not be any more funds requested. When the project is completed, he will have contributed $9 million to the project. It was not his intention to pay for the parking structures when he came back to Minot but he couldn t leave the City with two holes in the ground. He said Cypress has done and will continue to do their share to complete it. Alderman Miller stated it would be a financial disaster to downtown if the project is not completed. That disaster would far exceed the amount the City is being asked to approve in this request. He said the City cannot walk away from this but wonders if there could be a timeline commitment to secure the Wells Fargo loan. There could then be a Special City Council meeting to approve the request. Alderman Frantsvog stated it would be well served if staff could look at the document by Wells Fargo as a condition to approve the funding request tonight. Whereupon a vote was taken on the amendment to the motion by Alderman Frey, seconded by Alderman Olson and was carried by the following roll call vote: ayes: Berg, Connole, Frantsvog, Frey, Hatlelid, Jantzer, Miller, Olson, Schuler, Mr. Templeton estimated one week is necessary for approval which is subject to getting verification of assets from Cypress. Cypress is working diligently to provide this to move forward and he sees no issues to complete it. However, there are still assurances that need to be met.

12 Upon questioning by Alderman Miller, Mr. Larson stated he could not give a specific timeline but indicated the Magic Fund money would continue the project for the next three and a half months. Upon questioning by Alderman Schuler as to benchmarks on the forgivable loan. The City Manager stated there are four events needed to meet the conditions of the forgivable loan, which include the completion of the Renaissance Parking Ramp, the Central Parking Ramp, and the additional development of the rental and commercial space in each structure. Whereupon a vote was taken on the original motion by Alderman Hatlelid as amended, seconded by Alderman Connole and carried by the following roll call vote: ayes: Berg, Connole, Frantsvog, Frey, Hatlelid, Jantzer, Miller, Olson, Schuler, PERSONAL APPEARANCES Linda Victor of 11 Odessa St, Karlsruhe, appeared on behalf of her parents to address concerns regarding flood protection proposed for her parent s property and the timeline of the proposed flood protection. Her questions included; how are areas given their order as to when flood protection is provided and where is the money coming from? The Public Works Director stated the document Ms. Victor is referencing was a preliminary stage planning document completed in He said projects listed are not necessarily in the order that they will be completed. He explained the funding would be coming from the State Water Commission and the one half cent city sales tax. To date, the state has committed $101 million to put towards buyouts and acquisitions. The project currently has no federal funding invested. The Mayor added the City is working with the US Army Corps of Engineers and North Dakota Congressional delegation to receive federal funding. He stated the City Manager, Public Works Director and City Engineer would arrange a neighborhood meeting to address Ms. Victor s questions. MAYOR S REPORT The Mayor gave recognition to the Minot Fire Department on a successful fund raising 2015 MDA Fill the Boot campaign. Minot s Department is the highest contributor in the state and raised over $50,000 this year. The Assistant Fire Chief thanked the Air Force Fire Department for their contribution to this campaign s success. The Mayor mentioned participating in a tour of the Mandan Refinery. He then indicated he would be on vacation until August 12 th. CITY MANAGER REPORT The City Manager gave an update on priorities for the City. In reference to Public Communication, he stated the City would be launching its new website on Sept 7 which would also provide push notifications to subscribers. The Downtown Infrastructure Project is about three weeks behind and the City would be working on mitigating impact on the school for streets unfinished. Staab Stated both parking ramps are expected to be finished by the end of He briefly touched in the 2016 budget, indicating priorities as personnel retention, public safety, the new airport terminal and increased City transit. He continued by briefing those in attendance on the status and needs for success in the second phase of the HUD Resiliency Competition.
