1 CONSTITUTION OF ADASTRAL PARK LEISURE AND SPORTS (ATLAS) BODY TALK GYM CLUB 1. The organsaton shall be called Adastral Park Lesure and Sports (ATLAS) Body Talk Gym Club, herenafter referred as the Club. The Club wll be branded accordng to Adastral Park trademark gudelnes. 2. The objectves of the Club are as follows: a) To establsh and mantan gym facltes for use by ts members. b) To rase the profle and actvely promote heath and ftness at Adastral Park through exercse usng gym and weght tranng equpment. c) To encourage frendshp and contact between all employees at Adastral Park. d) To provde membershp servces for club members n support of the above objectves. (Annex 1) 3. Membershp of the Club:- Persons elgble for Full membershp of the Club shall be: a) Permanent employees of current Adastral Park based companes. b) Prevous employees of current Adastral Park based companes, who were members through (a). Membershp must be concurrent and contnuous. Persons elgble for Assocate membershp of the Club shall be: a) Temporary employees of current Adastral Park based companes. (Includng Students) Persons elgble for Frends and Famly membershp of the Club shall be: a) Frends and famly of Full Members. Every Full ATLAS member can have up to 3 Frends and Famly members assocated to them. Frends and Famly membershp termnates wth the assocated Full Member or can be moved to a dfferent Full Member, as approprate. Persons elgble for Guest membershp of the Club shall be: a) Anyone elgble for Full or Assocate membershp (As n 3. and 3. above) who only wshes to use the facltes occasonally and pay per vst (must be ATLAS Bronze member). b) Short term vstors to Adastral Park wshng to use the faclty. c) Anyone not covered by other categores but enttled to membershp n exceptonal crcumstances where approprate by proposal to, and nvtaton from the commttee (e.g. Ipswch Harrers AC). Guest members wll have to pay the Guest fee (Annex 2) and sgn a dsclamer form before usng the facltes. Full or Assocate members may nvte guests by arrangement of securty at Adastral Park and n accordance wth the club rules. A guest fee (Annex 2) wll apply and be collected by the club.

2 v Full and Assocate members must complete and sgn a membershp form and pay the current subscrpton (Annex 2), whch shall be determned for the ensung year at the club's AGM. The club s a non-proft makng organsaton. v Membershp s NOT avalable to chldren under the age of 16. v v v Guest membershp s avalable on a per vst bass. Nomnatons for honorary membershps are to be proposed and seconded at the club AGM. The commttee should be made aware of any proposals at least 1 month n advance of the AGM for valdaton. The bass for nomnaton for honorary membershp to the club shall be a sgnfcant contrbuton to the beneft/development of the club. Anyone holdng one of the executve commttee postons wll have temporary honorary membershp for the duraton of ther role of offce. If more than three years s served then honorary poston becomes permanent, dependant on the person remanng elgble for membershp as n 3. above, I.e. If they leave BT or other company then the honorary membershp s revoked. Cancellaton of membershp. People can cancel ther gym membershp at any tme by wrtng to atlas.comms@bt.com Cancellaton of payment s the responsblty of the ndvdual. People wll be expected to complete a new applcaton form and formal nducton to rejon before they can start usng the Club agan. Ths wll apply regardless of how short the perod of absence. People wshng to contnue usng other ATLAS clubs and facltes must contnue as an ATLAS Bronze member. No Refunds wll be gven. 4. The affars of the club shall be admnstered by a commttee of members to be known as the club commttee. The Commttee shall have the power to co-opt members to replace those resgnng durng the year. The Commttee shall have the power to co-opt members to assst n ther work. These members shall have full debatng rghts but no votng powers. 5. The Club Commttee shall consst of: a) Charman b) Secretary c) Treasurer 6. Condtons of the Commttees: v The Commttee shall be elected at the AGM. Nomnatons for the Commttee s new members shall be proposed wthn 28 days pror to the AGM. No Commttee members shall be elected n absenta wthout ther agreement. The elected members shall serve for three years and on retrement shall automatcally be elgble for re-electon. Any member of Commttees shall be deemed to have resgned f he/she s absent from three consecutve meetngs for reasons other than offcal busness, annual or sck leave, classes or examnaton. 7. Meetngs of the Commttee:-

3 v The meetngs of the Commttee shall be convened by the Secretary at the request of the Charperson. The meetngs shall be convened by the dstrbuton of an agenda to each member at least 5 workng days before the date of the meetng. A mnmum of three formal meetngs of the Club Commttee shall be held each year. These meetngs shall be mnuted. The decsons of the Club Commttee shall be made by smple majorty, the Charperson havng a castng vote. 8. The AGM of the Club shall be held not later than 31 st October n each, and not less than 28 days shall be gven by means of notfcaton to the Club s members. 9. At the AGM, the Commttee shall present a report and audted statement of accounts for the past fnancal year. Any member wshng to move a resoluton at the AGM shall forward the same n wrtng to the Secretary 21 days before the meetng and t shall be publshed 10 days before the meetng. Amendments to resolutons shall be forwarded n wrtng to the Secretary not less than 6 days before the meetng. All resolutons and amendments shall be notfed to the Club s members and the proposers of motons. A smple majorty shall be suffcent for the electon of offcers and for votng on other proposals. The Charperson wll have the castng vote. 10. Extraordnary General Meetngs (EGM) may be convened at any tme by the Commttee, or on wrtten request to the Secretary. Notce of such meetngs shall be not less than 14 days and shall take place wth 28 days of the request. The only busness conduct at an EGM shall be the consderaton of the matter for whch the meetng was convened. Notce of an EGM shall be gven to the Club s members. 11. A professonally qualfed audtor (e.g. F.C.A.) shall be apponted at each AGM. 12. Commttee meetngs shall be deemed quorum wth the followng club members n attendance: Charperson Secretary Treasurer In the event that a quorum s not present, the busness shall be postponed for a perod of not more that 28 days. Not less than 14 days notce of the resumed meetng shall be gven whch shall be announced by the Club s Secretary. If a quorum does not attend at a resumed meetng any proposal before the meetng shall be deemed to have faled. If a quorum does not attend at a resumed AGM the club shall be wound up, and the retrng Charperson shall stay n offce untl ths s effectve. Dsposal of the assets of the Club shall be decded by an Extraordnary General Meetng of the members to be publcsed as above. 13. Bank accounts n the name of the Club shall be mantaned at banks/buldng socetes as decded by the Commttee. Sgnatores wll be at least 2 of the members of the Commttee. 14. No alteraton to the man body of the consttuton shall be made except by a Commttee Meetng. No alteraton of the Annexes of ths consttuton shall be made except by a Commttee Meetng. The support of two-thrds of the members that are present s requred. 15. The Commttee has the authorty to make a rulng on any pont not covered by ths consttuton or on whch ths consttuton s consdered ambguous. 16. Regular contract revew meetngs wll be held n accordance wth Atlas requrements.

4 Annex 1 Membershp Servces Magaznes. The Club subscrbes to varous sports, ftness and general nterest magaznes for t s members beneft. Tropcana Health and Ftness. The gym supples food supplements and tranng accessores to club members at dscounted prces. Detals and prces can be found n the foyer entrance to the gym or by contactng the club secretary. Annex 2 - Subscrptons and Fees Full Members and Assocate Members must take out an ATLAS Slver Subscrpton, currently 10 per month ( 9 gym fee / 1 ATLAS fee) Frends and Famly Members must take out an ATLAS Slver Assocate Subscrpton, currently 15 per month ( 14 gym fee / 1 ATLAS fee) Guest Fee A per vst fee s payable by Guests to the club. Currently 3 per vst. Payable at the club recepton desk by cash or cheque.
