Name II. The name of the organzaton shall be Oregon Round Dance Teachers Assocaton (ORDTA). The offcal address of the organzaton shall be the home address of the current Secretary. Purpose The purpose of ths organzaton shall be: A. To mprove, strengthen, promote, and encourage the enjoyment of the Round Dance movement n the State of Oregon, n all phases. B. To cooperate wth other leaders, callers, and organzatons. C. To promote Round Dancng as a part of Square Dancng. D. To provde a vehcle for teachers/leaders to exchange deas, dance materal nformaton, and good fellowshp. E. To assst n the mprovement of the professonal development and sklls of area Round Dance teachers/leaders. III. Membershp and Votng Rghts A. Membershp 1. Regular Membershp Regular membershp status may be conferred upon any cuer/nstructor whose qualfcatons meet at least one of the followng crtera: a. A charter member as of January, b. A regular member as of October 2, c. Has been teachng round dancng for a mnmum of one year, currently teachng a round dance class, and has successfully completed the applcaton procedures set forth n Secton III.A.4 below. d. If not teachng a class, must have been cueng rounds for a mnmum of three years, currently cueng rounds for a round or square dance club, and has successfully completed the applcaton procedures set forth n Secton III.A.4 below. 2. Assocate Membershp Assocate membershp status may be conferred upon any person who meets the followng crtera: a. Has the basc knowledge to be at least a Phase II round dancer. b. Is nterested n becomng a round dance cuer/nstructor and s actvely workng toward that goal.

2 c. Has successfully completed the applcaton procedures set forth n Secton III.A.4 below. 3. Inactve Membershp Inactve membershp status may be conferred upon any person who meets the followng crtera: a. A regular or assocate member n good standng, not currently teachng or cueng, but wantng to reman nvolved n the round dance actvty. 4. Applcaton Procedures a. Assocate Membershp Submt to the Treasurer, n person, at a regularly scheduled meetng, a completed applcaton for assocate status, sgned by a regular member n good standng who s actng as applcant s sponsor. Such completed applcaton must be accompaned by payment for the current year s dues. Such completed applcaton shall be presented by the Treasurer at that meetng of the Assocaton for vote by the membershp. An affrmatve vote of two-thrds of those votng members present at such meetng shall consttute acceptance of the applcaton for assocate membershp. b. Regular Membershp A cuer/nstructor who meets the crtera of Paragraph 1.c or d of ths secton III, shall submt to the Treasurer, n person, at a regularly scheduled meetng, a completed applcaton for regular status, sgned by a regular member n good standng who s actng as applcant s sponsor. Such completed applcaton must be accompaned by payment for the current year s dues f the applcant s not an assocate member n good standng. Such completed applcaton shall be presented by the Treasurer at that meetng of the Assocaton for vote by the membershp. An affrmatve vote of two-thrds of those votng members present at such meetng shall consttute acceptance of the applcaton for regular membershp. No offcer of the Assocaton shall be responsble for determnng when an assocate member may apply for regular status; that responsblty rests wth the assocate member. c. Inactve Membershp A regular or assocate member n good standng shall notfy the Treasurer of hs or her desre to reman nvolved n Oregon Round Dance Teachers Assocaton. No offcer of the Assocaton shall be responsble for determnng when a member may apply for nactve status; that responsblty rests wth the member. 5. No person shall be refused membershp n ths Assocaton by reason of age, gender, natonal orgn, relgous preference, or sexual orentaton. 6. The word member as used n these bylaws shall nclude such member s partner. Partner shall nclude dancng partner, and/or teachng partner; need not be the member s legal martal partner. B. Votng Rghts 1. Regular Membershp Both the member and the member s partner are enttled to one (1) vote each. 2. Assocate Membershp Page 2

3 Assocate members do not have votng prvlege. 3. Inactve Membershp Inactve members wll have the same votng prvlege as regular or assocate members, dependng on status at tme of becomng nactve, but cannot be members of the Board of Drectors. C. Requrements for Votng Rghts Only regular members, actve or nactve, may vote. To be consdered a member, dues must be current. IV. Offcers and Commttees A. The offcers of the organzaton shall be: 1. Charman 2. Vce Charman 3. Secretary 4. Treasurer B. The management of the Assocaton shall be vested n the Board of Offcers. The Board shall nclude the elected offcers, the Immedate Past Charman, and three (3) elected members-atlarge. C. The Board of Offcers shall be regular members n good standng, and shall be nomnated by the Nomnatng Commttee or by a regular member at the annual meetng of the Assocaton (durng Md-Wnter Festval). Electons shall be held by mal (U.S. mal or electronc) wth the ballots maled to all members by February 15 and returned to the Secretary by March 15. The Secretary shall tabulate the ballots, and announce the results by Aprl 15. In the event of a te for any offce, a runoff electon shall be held mmedately wth the ballots returned to the Secretary by Aprl 15. If a te then stll exsts, the Board of Offcers wll vote. Offcers shall be elected by a pluralty vote of those regular members votng. The term of offce shall be for one year, to run from September 1 through August 31 of each year. D. Commttees shall be formed whenever commttee acton s requred to carry out the functons of the Assocaton. Such commttees shall be formed at the request of the membershp or of the Charman; membershp n such commttees s voluntary. V. Dutes of Offcers A. Charman The Charman shall presde at all busness meetngs and all meetngs of the Board of Offcers, appont all representatves and commttees, assst and advse the program charman, be certan that all commttees are nformed and that they follow through n the performance of ther dutes, assst commttees and other offcers when necessary, and be authorzed to sgn Assocaton checks n the absence of the Treasurer. B. Vce Charman The Vce Charman shall presde at all meetngs n the absence of the Charman, and shall perform all dutes assgned by the Charman. In addton, the Vce Charman shall be responsble for the program at each regular meetng of the Assocaton. When the cost of a proposed program wll exceed $50, approval for such program must frst be gven by the Board of Offcers. C. Secretary The Secretary shall keep accurate mnutes of all meetngs of the Assocaton and shall also handle all correspondence pertanng to assocaton busness when necessary, unless such Page 3

4 correspondence s the obvous responsblty of another offcer or commttee. The Secretary shall be responsble for sendng and recevng mal ballots; and otherwse keepng all members suppled wth bylaws, rosters, and mnutes of meetngs. D. Treasurer The Treasurer shall be responsble for collectng and recordng all dues payments. The Treasurer shall mantan the membershp roster, mantan any and all Assocaton bank accounts, make all dsbursements from such accounts, and depost funds to such accounts. All dsbursements must be supported by a recept or voucher. The Treasurer must submt a fnancal report at each convened meetng of the Assocaton and the Board of Offcers, and at any other tme f requred by the Charman. E. Immedate Past Charman The Immedate Past Charman shall be a member of the Board of Offcers and shall assst the Charman n the carry-over of busness from the prevous year. F. Board of Offcers VI. Meetngs The Board of Offcers shall act to carry out the polces of the Assocaton between regular meetngs. They shall be responsble for the approval of any program costng more than $50. In addton, the Board shall be responsble for an annual audt of the Treasurer s records. The Assocaton shall hold at least one (1) regular meetngs each year, at Md-Wnter Festval. The Md-Wnter Festval meetng shall be the annual meetng. A quorum at meetngs shall be a smple majorty of the members of the Board of Offcers. VII. Dues A. Dues shall be Ten Dollars ($10) per annum for all members, and shall become due and payable July 1 of each year (even though offcers tenure becomes effectve September 1). Any member whose dues are more than nnety (90) days n arrears wll be automatcally dropped from membershp and must thereafter re-apply for membershp. B. No other assessment shall be made of the membershp except by a two-thrds vote of regular members votng. Notce of the ntent to make an assessment must be maled to all members at least 30 days pror to the date of the meetng where the vote wll be taken. VIII. Offcer Vacances The vacancy of the offce of Charman shall be flled by the Vce Charman. All other vacances shall be flled by appontment of the Charman then n offce. IX. Voce of the Assocaton No opnon, endorsement, or preference purportng to have been made by ths Assocaton shall be publczed unless such opnon, endorsement, or preference shall have been determned by an actual poll of the entre membershp, and not just a majorty of those present at a meetng. X. Delegate to State Federaton Meetngs A delegate shall be apponted from ORDTA regular membershp to serve as the Assocaton s representatve to attend meetngs of the Oregon State Federaton. XI. Resgnaton and Renstatement If at any tme a member wshes to resgn from the Assocaton, such member shall submt hs or her ntentons n wrtng to the Treasurer. No cancellaton or refund of dues wll be made. If a member who resgns wshes to be renstated, he or she must make applcaton to the Assocaton as a new member. Page 4

5 XII. Parlamentary Authorty The proceedngs of ths Assocaton shall be governed by Robert s Rules of Order Revsed n all cases where they are applcable, except where such rules conflct wth the provsons of these bylaws or any subsequent rule or order of the Assocaton. XIII. Dssoluton In the event of dssoluton of ths Assocaton, after payng all labltes, the Board of Offcers shall dspose of all assets of the Assocaton to such non-proft organzaton organzed and operated exclusvely for chartable, educatonal, or scentfc purposes. XIV. Amendments All changes to these Bylaws shall be made by amendment, approved by an affrmatve vote of twothrds (2/3) of the members present and votng, provded that the proposed amendment(s) was presented at the last prevous meetng and provded that each member has been notfed of the proposed amendment(s) n wrtng at least thrty (30) days pror to the meetng of the adopton.
