Payment Terms n consderaton for the servces descrbed above, Parsh hereby agrees to pay the Contrector n accordance wth ts fee schedule lsted n Exhbt B: Fee Schedule. All payments must be approved by the Purchasng Drector. Montorng Plan Ths contract shall be montored by the Publc Works Drector. The montorng plan wll nclude a revew ot the servces delneated n Exhbt A: Statemen[ of Work to ensure completon, a revew of nvoces for accuracy pror to rembursement of servces, etc. Termnaton Clause The Parsh may termnate the Contract at any tme by gvng thrty (30) days wrtten notce to the Contrector. The Contractor shall be enttled to payment for delverables n progress, to the e# ent work has been performed satsfactorly. Ownershp All records, reports, documents, maps, dagrams, and other materal delvered or trensmtted to Contractor by Parsh shall reman the property of Parsh, and shall be returned by Contractor to Parsh, at Contractor' s expense, at termnaton or expreton of ths contract. All records, reports, documents, ar other materal related to ths contrect and/ or obtaned or prepared by Contractor n connecton wth the performance of the servces contracted for heren shall become the property of Parsh, and shall, upon request, be returned by Contractor to Parsh, at Contractor's expense, at termnaton or expreon 1

Ths provson shall not be construed to prohbt the contrector from assgnng hs bank, trust company, or other fnancal nsttuton any money due or to become due from approved contracts wthout such pror wrtten consent. Notce of any such assgnment or transfer shall be furnshed promptly to[ he Parsh. Audtors t s hereby agreed that the Parsh shall have the opton of audtng all accounts of contractor whch relate to ths contrect. 13 Ezhbt A STATEMENT OF WORK. Contrector shall mantan grounds n accordance wth customary ndustry standards, ncludng trmmng, and keepng both sdes of fence lnes free of growth. Contrector shall use any and all procedures requred n the performance of gress cuttng and grounds mantenance accordng to ndustry standards and/ or requred by any regulatory agency. The contractor shall be responsble for any damage done to the Parsh' s grounds, ncludng any and all other property or any damage done to Parsh employees, employees property, or neghbors' proper[y. The contractor shall repar any such damage done returnng the grounds and/ or property damaged to ts pre damaged state. f the Parsh judges that t s more expedent to have the damage repared themselves, then the cost of such repars wll be deducted from any amounts due the contrector or collected from the contractor. 11. Contractar shall provde and mantan a day and[ me schedule of when he expects to camplete each cut. The contractor shall be responsble for securng the faclty durng and after any perod of tme that servces are heng performed.. Mowng Cycles: Normal cuttng cycles shall be thrty-sx( 36) tmes per year and as follows: a. Once a month n December and January( cut n the frst week of each month or at the Parsh' s request.( two tmes) b. Twce a month n October, November, February, and March.( eght tmes) c. Once a week n Aprl, May, June, July, August, and September. ([ wenty-sx tmes) All cuttng shall be done wth fnsh cut equpment. V. Mowng: Contractor shall mow all areas usng " fnsh cuy' equpment. Gress clppngs or debrs caused by mowng shall be removed from adjacent walks, drves, gutter and curbs or surfaces on the same day as mowng. Mowng wll not be permtted when weather condtons wll result n damage to turf or lawn. Contrector shall remove all[ resh and ltter from the entre area pror to ntatng any mowng of the grass area. Upon comple[ on, a mowed area shall be free of clumped grass cuttngs and tre tracks or ruts from mowng equpment. Turf shall be cut n a professonal manner so as not to scalp turf or leave areas of uncut gress. V. Gress Heght: Gress heght shall be mantaned to an averege of one( 1) to two ( 2) nches. V. Trmmng: Grass shall be trmmed durng, or as an mmedate opereton followng mowng. Trmmng may be accomplshed by hand power shears or rotary nylon, " fsh lne" cuttng machnes or by chemcal control. Gress shall be trmmed at the same heght as adjacent turf or lawn s mowed. Areas requrng trmmng nclude, but are not lmted to, fences, walls, poles, elec[ rcal boxes, tree rngs, sprnklers, asphalt edges, plant beds and all other objects as requred by desgnated Parsh representatve. The base around all struc[ ures, trees, poles, sgns, fences, shall be trmmed. Specal care shall be gven to trmmng around small trees and shrub beds so as not to nflct damage to the bark of the trees and shrubs. Trees and plants damaged by trmmng shall be replaced at the expense of the Contrettor.

14 T - _.... V. Edgng: Contractor shall mechancal edge by all sdewalks, drens, drveways, fence lnes, flower beds, and the man/ front entronce of all buldngs. Walkways and drveways are to be swept or blown free of debrs after every cuttng. Edgng shall be performed to result n neat vertcal unform lnes and unform dep[ hs. V. Chemcals/ Ferbcdes ( f needed): All personnel nvolved n the handlng and applcaton of chemcal herbcdes or other regulated materals are to be properly trened, certfed, and lcensed by the governng authortes. All legally requred State and Local certfca[ ons and lcenses must be mantaned as current durng the entre contract term. Copes of the legally requred certfcatons and lcenses shall be provded to the Parsh. %. nvoces: Contrector shall submt nvoces to the Parsh' s Actounts Payable Department by the SO`" day of each month. The nvoces wll be for any and all ndvdual cuts, at the awarded per cut prce, performed durng the month. The Contrector shall attach a properly executed completon form for each cut to the nvoces. The Parsh wll match completon forms to cuts nvoced and pay for only those cuts for whch completon forms are submtted. Contractor wll not be pad for partal cuts. Payment on nvoces wll be submtted wthn thrty (30) days after submsson of the nvoce. X. Completon Forms: Contrectar shall be responsble for obtanng the proper sgnatures on all completon forms. The contrector shall be responsble for securng the faclty durng and after any perod of tme that servces are beng performed. Mowng Cycles: Normal cuttng cycles shall be thrty-sx( 36) tmes per year and as follows: a. Once a month n December and January (cut n the frst week of each month or at the Parsh' s request.( two tmes) b. Twce a month n October, Novem6er, February, and March.( eght tmes) c. Once a week n Aprl, May, lune, July, August, and September. ( twenty-sx tmes) All cuttng shall be done wth fnsh cut equpment. V. Mowng: Contrector shall mow all areas usng " fnsh cuy' equpment. Grass clppngs or debrs caused by mowng shall be removed from adjacent walks, drves, gutter and curbs or surfaces on the same day as mowng. Mowng wll not be permtted when weather condtons wll result n damage to turf or lawn. Contractor shall remove all tresh and ltter from the entre area pror to ntatng any mowng of the grass area. Upon completon, a mowed area shall be free of clumped grass cuttngs and tre tracks or ruts from mowng equpment. Turf shall be cut n a professonal manner so as not ta scalp tuf or leave areas of uncut grass. V. Gress Heght: Grass heght shall be mantaned to an averege of one( 1) to two (2) nches. V. Trmmng: Gress shall be trmmed durng, or as an mmedate opereton followng mowng. 7rmmng may be accomplshed by hand power shears or rotary nylon, " fsh lne" cuttng machnes or by chemcal control. Grass shall be trmmed at the same heght as adjacent turf or lawn s mowed. Areas requrng trmmng nclude, but are not lmted to, fences, walls, poles, electrcal boxes, tree rngs, sprnklers, asphalt edges, plant beds and all other objects as requred by desgnated Parsh representatve. The base around all structures, trees, poles, sgns, fences, shall be trmmed. Specal care shall be gven to trmmng around small trees and shrub beds so as not to nflct damage to [ he bark of the trees and shrubs. Trees and plants damaged by trmmng shall be replaced at the expense ofthe Contractor. 5

24 V. Edgng: Contractor shall mechancal edge by all sdewalks, drans, drveways, fence lnes, flower beds, and the man/ front entrance of all buldngs. Walkways and drveways are[ o be swept or blown free of debrs after every cuttng. Edgng shall be performed to result n neat vertcal unform lnes and unform dep[ hs. V. Chemcals/ Herbcdes ( f needed): All personnel nvolved n the handlng and applcaton of chemcal herbcdes or other regulated materals are to be properly traned, certfed, and lcensed by the governng authortes. All legally requred State and Local certfcatons and lcenses must be mantaned as current durng the entre contract term. Copes of the legally requred certfcatons and lcenses shall be provded to the Parsh. X. nvoces: Contrector shall submt nvoces to the Parsh' s Accounts Payable Department by the 10`" day of each month. The nvoces wll be for any and all ndvdual cuts, at the awarded per cut prce, performed durng the month. The Contractor shall a[ tach a properly executed completon form for each cut to the nvoces. The Parsh wll match competon forms to cuts nvoced and pay for only those cuts for whch completon forms are submtted. Contrector wll not be pad for partal cuts. Payment on nvoces wll be submtted wthn thrty( 30) days after submsson ofthe nvoce. X. Completon Forms: Contractor shall be responsble for ob[ anng the praper sgnatures on all comple[ on forms.
