Call To Order Chairperson Mead called the regular meeting of the WEA Board of Directors to order at 7:22 p.m. on Friday, January 26, 2018 at the WEA headquarters office in Federal Way Washington. Chairperson Mead declared a quorum was present. The following WEA staff members were present for this meeting: Armand Tiberio, Aimee Iverson, Manny Bosser, Margaret Knight, Lisa Kodama, Linda Mullen, Rod Regan, Shawn Lewis, AJ Hoyla (Fri. only), Sharon Closson (Sat. only), Christina Martinez (Sat. only), and Cindy Bonnell. Ex officio board members Vallerie Fisher and Katie Badger (Sat. only) were present. WEASO observer Mike McNett was present. Board Alternate Seating It was Moved by Lynn Maiorca and Seconded by Mona Rominger that the WEA Board approve the board alternate seating as presented in Agenda Item No. 2-A. That the WEA Board of Directors approve the seating of Les Allred (Spokane) as an alternate for Katy Henry (Spokane); approve the seating of Kevin Cope (Spokane) as an alternate for Jeremy Shay (Spokane); approve the seating of Eric Pickens (Port Angeles) as an alternate for Buddy Bear (Port Angeles); approve the seating of Amy Nylen (Ferndale) as an alternate for Summer Stoner (Bellingham). Ms. Maiorca s motion Carried Unanimously ( ). Adoption of Agenda

2 It was Moved by Lynn Maiorca and Seconded by Mona Rominger that the WEA Board approve the meeting agenda as presented in Agenda Item No. 2-B. Ms. Maiorca s motion Carried Unanimously ( ). Approval of Meeting Minutes It was Moved by Lynn Maiorca and Seconded by Mona Rominger that the WEA Board approve the November 3-4, 2017 meeting minutes as presented in Agenda Item No. 2-C. Ms. Maiorca s motion Carried Unanimously ( ). Vice President s Reports Budget Report Vice President Stephen Miller presented the budget analysis as of Dec. 31, 2017 as presented in Agenda Item No. 6-A. Budget Revisions and Transfers It was Moved by Jeb Binns and Seconded by Phyllis Campano that the WEA Board approve the budget transfers as described in Agenda Item No. 2-E. Mr. Binns motion Carried Unanimously ( ). Financial Audit Margaret Knight, WEA Chief Financial Officer, presented the financial audit statement. It was Moved by Steven Mayer and Seconded by Adam Aguilera that the WEA Board accept the annual financial audit as presented to the Budget and Finance Committee by Tremper and Company. Mr. Mayer s motion Carried Unanimously ( ). Janus Organizing Budget Proposal Armand Tiberio, WEA Executive Director, presented the 2018 Janus Organizing Budget Proposal. This proposal outlines an overall timeline for beginning to address the impact of a Janus decision and to assist local leaders in member recruitment, retention and engagement. Rod Regan, Director of Advocacy and Organizing, presented the draft framework and timeline for Janus organizing. Discussion ensued. Budget Process Margaret Knight presented an overview of the Budget Process. Discussion ensued. Change for March Board Meeting Chairperson Mead said that the March Board meeting will not be a one day meeting. There is a lot of work to do so this board meeting will be a regular two day meeting. The Executive Committee will meet on Thursday evening and Friday morning, Council Presidents will meet on Friday, the Budget & Finance Committee will meet on Friday afternoon, and the WEA Board will meet on Friday evening and Saturday. NEA 3-1(g) Report

3 Silas Berry, Board Director and member of the Diversity Work Team, presented the NEA 3-1(g) Report. Discussion ensued. State Teacher of the Year and Election Information Chairperson Mead said that our State Teacher of the Year is in the top 4 of the candidates. She also said that we have removed the need for 50 signatures for the election of NEA State Delegates. However, we still going to pass around the signature sheet. WEA Board Directors do not need to run as a local delegate for WEA RA. You are already a delegate as a Board Director. Meeting Recessed Chairperson Mead recessed the regular session meeting of the WEA Board of Directors at 9:01 p.m. on Friday, January 26, Meeting Reconvened Chairperson Mead reconvened the regular session meeting of the WEA Board of Directors at 8:32 a.m. on Saturday, January 27, Budget Discussion Margaret Knight explained the budget work that will be discussed in the small group break-outs. Board Small Group Break-out Sessions Chairperson Mead asked the WEA Board to break-out into their small groups for discussions about the budget process and any questions they may have regarding the Janus Organizing Budget Proposal. Feedback from Small Group Discussions The members of the Executive Committee provided feedback from their small group discussions. Legislative Update/WEA-PAC Update Shawn Lewis, Director of Governmental Relations, presented a legislative update. Discussion ensued. He also provided a WEA-PAC update. There is a copy of the WEA-PAC summary by council growth towards goal in the board packet. NEA State Director, Pam Kruse, said that if you go to the OurVoice website, there is a button where everyone can donate $20.18 to WEA- PAC. Pension Update Shawn Lewis provided a pension report from the last pension trustee meeting that was held in December The pension numbers were covered by Margaret Knight in the budget update. Janus Organizing Budget Motion It was Moved by Steven Mayer and Seconded by Phyllis Campano that the WEA Board approve the Janus Organizing plan as submitted with flexibility in the activities and oversight by the ad hoc Janus Organizing Committee to be made up of the Executive Committee and members appointed by the president. Without objection a roll call vote was conducted. Mr. Mayer s motion Carried Unanimously ( ). Professional Development (PD) Update Lisa Kodama, Director of CEQ Professional Practice, updated the Board on the PD network survey. Member Polling

4 Linda Mullen, Director of Communications, provided information acquired from our latest member polling. She also provided a communications update. Nominations and Elections Adam Brickell, Chairperson for the Nominations and Elections Work Team, provided information on the nominations and elections process. Documents and Resolutions Work Team The WEA Board took no position on 2018 Standing Rules Amendment No. 1 (Barriers to Normal Activity: Smells). It was Moved by Becca Ritchie and Seconded by Jeb Binns that the WEA Board recommend to the 2018 WEA RA Delegates a position of Do Pass for 2018 Amendment to Continuing Resolutions B-8 (Providing Resources for S.T.E.A.M. Education). Abstention (1): Kris Cameron Ms. Ritchie s motion Carried ( ). Minutes and Reports ESP Action Coordinating Team: Jan Olmstead, ESP ACT President, they will be meeting tomorrow and will be lobbying in Olympia on Monday. They will be giving out five Magnason grants. Their ESP Breakfast will be held in Spokane on April 20, The ESP of the Year applications are due soon. Janie White, 2017 ESP of the Year spoke about her experience as the WEA 2017 ESP of the Year. NEA State Directors: Martha Patterson gave a summary report for the group. They will be back in WA D.C. on February 7th for the next NEA Board meeting. They have been busy working on endorsements here in Washington. Please call them and invite them to visit your councils and locals. Legislative Strategy Committee: Jenn Black provided the report for committee. WEA-Retired: Neva Luke, WEA-Retired President, said that they had a board meeting last week and they have a large and active group. Their lobby day in Olympia is scheduled for February 5th. Small/Rural Committee: Larry Delaney provided the committee report. Higher Ed: Carla Naccarato-Sinclair, AHE-Chair: said that their focus for the last few months has been their bill in Olympia. They have a hearing on Thursday to get it out of the Senate. WEA RA Convention Work Team Shaerie Bruton and Jan Olmstead, Co-chairs, said that RA hotel reservations will open at 8:00 am. on Feb. 26th and will close at midnight on March 15th. Sandy Hunt, Board Director Rainier UniServ Council, provided information regarding the negative impact of light rail to many of the families in the community where she works. Health and Safety Work Team: Eric Grant provided an update and said you can go online to the WEA website for more information. Executive Director s Reports Legal Update Aimee Iverson, WEA General Counsel, updated the board on current litigation issues. Nominations & Elections Motion for NEA State Delegate Signatures It was Moved by Justin Fox-Bailey and Seconded by Shaerie Bruton that the WEA Board accept the nominations for NEA State Delegate as submitted.
