4 46 th Annual Meeting Wednesday, June 18, 2008 GREENTREE MALL Attendance: There were 27 voting members, and a total of 33 and two guests in attendance. Call to Order: President Brett Adams called the meeting to order at 7:05 pm. Adoption of the Agenda: Dave Vanderkolk moved to adopt and Larry Jensen seconded the motion. Carried. Motion to allow visitors to attend the meeting but not to have voting authorization: Don Adams moved and Stuart Moore seconded the motion. Carried. Notice of Meeting: Richard Faulter read the notice of meeting. Motion that the membership present constitutes a quorum: Al Lestrat moved and Stuart Moore seconded the motion. Carried. Minutes: Motion to accept the minutes from the 45th Annual Meeting as presented in the annual meeting package. Pat Hautzinger moved and Julia Nodder seconded the motion. Carried. Business arising from the Minutes: There was no business arising from the minutes. President s Report: Brett Adams read out his report giving a heartfelt thanks to our Managers, Staff and Membership of the organization, for their continued support. He announced the repayment of 25% of the 2007 equity allocation and the statements and cheques would be available on June 19th and 20th in the mall. General Manager s Report: Gordon Van Kannel went into detail on the happenings that have taken place in the Co-op during the past year and of the many programs that are available to the membership and about the continued support of local clubs and organizations through the till tape program. He also thanked the staff, customers/members and board for their continued support. Financial Report: Controller, Dave Kosolofski, read the Auditor s Report and reviewed the financial statements as presented in the members package. FCL Annual Meeting Report: Barry Fullerton presented the report of the 79th Annual Meeting of Federated Co-operatives Ltd. held in Saskatoon. FCL Directors Report: Russell Wolf, FCL Director for District C-14 read his report and gave details of sales volumes, equity payments and cash repayments made to the members in his district. 4

5 Motion that all reports be accepted as presented: Lyle Rowe moved and David Kosolofski seconded the motion. Carried. Call for Questions: There were no questions from the floor. Nominations for Directors: Two directors were up for election, Richard Faulter and Larry Jensen. Brett Adams asked for nominations from the floor. There were no other nominations. Motion to Cease Nominations: Dave Vanderkolk moved that nominations cease, Barry Fullerton seconded the motion. Carried. With no other nominations both Richard Faulter and Larry Jensen were elected by acclamation. Appointment of Auditors for 2008: David Kosolofski moved that Federated Cooperatives Ltd. be our Auditors for 2008, seconded by Pam McLellan. Carried. New Business: 3 draws were made for the flower arrangements at the head table and Isabelle Redding, Marion Zern and Diana Rowe were the winners. Adjournment: Myrna Doktorchik moved the adjournment at 7:50 pm. 6 DRUMHELLER CO-OP LTD ANNUAL MEETING I would like to start by thanking the Members, Employees, Management and Elected Board Members for their many contributions to the Drumheller Co-op over the last year. Our Members have shown strong support for the goods and services we offer. Our Employees and Management have been diligent and have been able to take advantage of numerous training opportunities and meetings to bring the members the best in both retail and service. The Board has spent many productive hours together to provide our local system with guidance and support. I am very pleased with the co-operation and enthusiasm that the board has shown over the last year. Recently we have renovated the Home & Agro Centre, acquired an additional fuel delivery truck and we have become very optimistic in our role as a major supplier of building material in our trading area. We have also gained many new employees and members. We have had a record year and are pleased to announce a general cash repayment of approximately $380,000. The Drumheller Co-op has taken many opportunities to show support for our community and our members. We have a new mascot that makes many appearances throughout the valley and our till tape program continues to be a success in giving back. Equity days are being held April 30th and May 1st from 9:00 am to 5:00 pm. Please come and pick up your cheques and equity statements in the mall outside the grocery entrance. 7 Good evening everyone. DRUMHELLER CO-OP LTD ANNUAL MEETING Welcome to the 47 th annual meeting of the Drumheller Co-op. It is a privilege for me to report to you on your Co-op s activities over the past year. Our Food Department installed a new shelf signage program this past winter. Overall feedback from our customers has been very positive. The Responsible Choice Recycling program has been very successful. The new reusable grocery bag program has expanded to include the new insulated bag which will keep cold products cold and hot products hot when leaving the store. I would like to remind everyone that we continue the collection of plastic bags for the purpose of recycling. The gift card program which was introduced before Christmas, initially into the Food Store and Gas Bar, has been an incredible success. New cards will continue to be introduced as they become available. Renovations at the Home and Agro Centre continued throughout 2008 and into the early part of The last work to be completed is the installation of an ornamental metal fence around the front left exterior of the building. This work is expected to be done by the end of this month. Our staff have worked very hard over the past year and a half. Now it was time to celebrate. A grand re-opening was held March 30 through April 4. The weeks events included free gifts to our customers, door prizes, suppliers on site, BBQ s, popcorn, coffee, baked goods and several grand opening specials. The feedback has been very positive and has been verified in the sales increases. Our Agro Centre experienced an excellent year in grain bin sales. Our bins have already been built and are ready for sale as we expect the coming year to be another success. Year after year our Petroleum Department has experienced growth and 2008 was no exception. This has provided the Drumheller Co-op the opportunity to purchase another delivery unit. Did you know the Drumheller Co-op Gas Bar is the only gas bar in the valley to provide full service to their customers? 7

8 DRUMHELLER CO-OP LTD ANNUAL MEETING In 2008, our member relations activities grew. A new member of our Co-op family was born, Cooper the Co-op mascot. He has been a hit with young and old at all the events and activities he has attended. Some of the other activities we support are member newsletters, our own website ( mini chuck races, Co-op Week pancake breakfast, Kids Club, BBQ program, the till tape program and dozens of donations for various events amounting to over $5000. On April 22, we co-hosted with the Credit Union our first Administrative Assistants luncheon. As our mall has some tenant vacancies, we have reviewed our options. We have hired the services of a commercial realtor. If you know of someone who is interested in becoming a merchant within our mall, please contact Century 21 or our Administration Office. We are very fortunate to have the team of individuals that we have working for you. Thank you to all our staff. Thank you to the Board of Directors for their support and vision for your Co-op. 21 DRUMHELLER CO-OP LTD ANNUAL MEETING The 80 th Annual Federated Co-operatives Annual Meeting Report March 2nd & 3rd, 2009 Brett Adams and myself, Barry Fullerton, attended the 80 th Annual Meeting of Federated Co-operatives as your delegates representing Drumheller Co-op Ltd. Out of a possible 425 delegates, there were 380 present, representing 229 retails. Glen Tully, President of the Board of Federated Co-operatives Ltd., presented the keynote address with this year s theme Community * Commitment * Innovation which allows us to reflect on our accomplishments, celebrate our successes and challenge our future. Glen Tully went on to say In other words, it is a reflection of where we have been in the last 80 years and where we envision ourselves to be during the next 80 years. Our success is, and will be, the result of a collective effort towards a single vision or purpose. That vision or purpose is to provide benefits and value to our members. With sales of 8.4 billion, an increase of 2.6 billion, and a Net savings of 755 million, FCL had another record year. Some of the departments of note were Crop Supplies at $293 million which was up $68 million from the previous year, Food at 1.67 billion which was up $ 55 million, Petroleum at 6 billion which was up $2.5 billion. The only department showing a loss was the Forest Products division, which at $52 million was down 22 million from the previous year. At the time of the meeting the sawmill at Canoe, BC was still closed indefinitely. Much will depend on the US housing market as to whether this situation will turn about. FCL s patronage allocation was 524 million, of which a total of 422 million was redeemed in cash during the year. Over the past five years more that 1.6 billion of equity has been repaid to retail co-operatives. Another thing that impressed me was the number of amalgamations and the number of retails that were supplying services to other Co-op s such as accounting, management and petroleum delivery. I did not get an accurate count but it was in the neighborhood of 40 to 45 agreements. FCL realizes that there is a tough road ahead, but with co-operation we will survive and come out of this even stronger. Thank you Barry Fullerton 21
