CALL TO ORDER/PLEDGE/INVOCATION Chairman Bare called the meeting to order. Commissioner Cole led the invocation and Commissioner Robertson led the pledge. B. APPROVAL OF AGENDA Staff recommended that action item #4 be moved up to #2 due to some members not being able to stay for the entire meeting and a quorum being necessary to pass the item. Commissioner Robinson moved to approve the agenda with the modification of moving action item #4 up to #2. Commissioner May seconded the motion and it was passed unanimously. C. PUBLIC FORUM Jim Hunt spoke as a citizen, not representing the CAC, in regards to information item #7. He expressed his concern for the TPO paying for a task that has already been done. He explained that there are guidelines for bus stops already in place that some of which Mr. Hunt created. Mr. Jonathan Stanford spoke on his concerns for Skipper Lane to Highway 90. He is concerned that the problems are not being resolved. Commissioner Williamson explained that discussions with Wal-Mart are underway to help with lighting the roadway for a temporary fix. Mr. Stanford said that the roadway is in the Project Priorities; however Commissioner Robinson suggested he get with staff to expedite the process. Barbara Mayall approached the board with issues regarding the intersection of Bayou Boulevard and 12 th Avenue; she also presented a letter to the FDOT Secretary from Councilwoman Sherry Myers. D. CONSENT AGENDA 1. Approval of August 2014 Meeting Minutes 2. Consideration of Citizens' Advisory Committee (CAC) Membership Application for Ms. Collette Boehm

7 FLORIDA-ALABAMA TPO MEETING MINUTES Consideration of Resolution FL-AL Amending the FY 2014 Section of the FY Unified Planning Work Program (UPWP) Funding Amount from Alabama Department of Transportation (ALDOT) Commissioner Robinson moved to approve the consent agenda. Commissioner Robertson seconded the motion and it was passed unanimously. E. ACTION ITEMS 1. Consideration of Resolution FL-AL Amending the FY Transportation Improvement Program to Split Design Money For Implementation of Corridor Management Plan Projects for SR 30/SR 10 (US 98/90) in Santa Rosa County into Three Different Projects Mr. Jim DeVries presented this item to the board. He explained that this item is for clarification and better tracking of the funds. No funds will be lost; they will be categorized and broken up. Commissioner Robinson moved to approve the Chairman to sign Resolution FL-AL amending the FY Transportation Improvement Program to split design money for implementation of Corridor Management Plan Projects for SR 30/SR 10 (US 98/90) in Santa Rosa County into three different projects. Commissioner Cole seconded the motion and it was passed unanimously. 2. Consideration of Resolution FL-AL Adopting the FL-AL FY Project Priorities Mr. Kramer presented this item to the board. The TCC recommended modifying the limits of the study for Bayou Boulevard from 12 th Avenue to Carpenters Creek to 12 th Avenue to Davis Highway. At the August meeting the TCC also recommended moving priority # 8 to #9 in Table 2 as well as adding the name of limits in table 11. Commissioner Cole stated his opposition to moving the project priorities in table 2. Both the CAC and BPAC also recommended the changes suggested by the TCC. Commissioner Robertson moved to approve the Chairman to sign Resolution FL-AL adopting the FL-AL FY Project Priorities. Mayor Thompson seconded the motion. Commissioner Robinson moved to amend the motion to change the project limit on Bayou Boulevard as requested by the advisory committees. Commissioner Barry seconded the motion and it was passed unanimously by roll call vote. 3. Consideration of Resolution FL-AL Adopting the 2040 Florida-Alabama Long Range Transportation Plan Goals and Objectives Mr. Page presented this item to the board. A steering committee comprised of members from the advisory committees met four times to establish the goals and objectives; they will be utilized throughout the update. All advisory committees recommended approval as presented. Commissioner Robinson moved to approve the Chairman to sign Resolution FL-AL adopting the 2040 Florida-Alabama Long Range Transportation Plan Goals and Objectives. Commissioner Cole seconded the motion and it was passed unanimously. 4. Consideration of Resolution FL-AL Adopting the Ranked List of Corridor Management Plans Mr. Youpatoff presented this item. The all advisory committees recommended modifying the parameters of Bayou Boulevard from 12 th Avenue to Davis Highway. The CAC recommended

8 FLORIDA-ALABAMA TPO MEETING MINUTES the ranked list of Corridor Management Plans that included Martin Luther King Boulevard/Davis Highway from Cervantes Street to Texar Drive. The BPAC recommended including Martin Luther King Boulevard/Davis Highway from Cervantes Street to Texar Drive as priority #4. Commissioner Robinson agreed to the extension of the limits to the Bayou Boulevard study. Councilman Terhaar moved to approve the Chairman to sign Resolution FL-AL adopting the ranked list of Corridor Management Plans, with the modification to the limits for Bayou Boulevard being from 12 th Avenue to Davis Highway. Commissioner May seconded the motion and it was passed unanimously. 5. Consideration of Resolution FL-AL Authorizing the Florida-Alabama TPO Chairman or His Designee to Execute a Joint Participation Agreement (JPA) Between the Florida-Alabama TPO and the Florida Department of Transportation (FDOT) for County Road (CR) 95 A (N Palafox Street) from US 29 (Pensacola Boulevard) to Nine Mile Road Corridor Management Plan (CMP) Mr. Youpatoff presented this item to the board. All committees recommended approval of this item. Commissioner Robertson and Commissioner Robinson both disclosed that they own property on C.R. 95A; however it does not conflict with this particular item. Commissioner Robertson moved to approve the Chairman to sign Resolution FL-AL authorizing the Florida-Alabama TPO Chairman or his designee to execute a Joint Participation Agreement (JPA) between the Florida-Alabama TPO and the Florida Department of Transportation (FDOT) for the County Road (CR) 95 A (N Palafox Street) from US 29 (Pensacola Boulevard) to Nine Mile Road Corridor Management Plan (CMP). Commissioner Gruber seconded the motion and it was passed unanimously. 6. Advertisement of Letters of Interest and Scope of Services for the Selection of a General Planning Consultant (GPC) Ms. Lavender presented this item to the board. The advisory committees all recommended the removal of the first sentence in Section A of the public participation process for further clarification. FDOT recommended Ms. Nancy Model no longer be the alternate on the General Planning Consultant Selection Committee, due to potential conflict. The TCC recommended the alternate be Shawn Ward as her replacement. Commissioner Robinson moved to approve the Chairman to sign Advertisement of Letters of Interest and Scope of Services for the Selection of a General Planning Consultant (GPC) to include the deletion of the first sentence of section A. This motion will also include the approval of Shawn Ward to replace Nancy Model as the alternate TCC member for the GPC selection committee. Commissioner Robertson seconded the motion and it was passed unanimously. 7. ADD ON ITEM: Adding the Route South of CSX to the PD&E Study for Highway 90 South The CAC and BPAC are recommending the TPO request the route south of CSX be added back to the PD&E study for Highway 90. There was lengthy discussion explaining the reasoning behind removing the route from the study. Mayor Thompson also informed the board that the Milton City Council has voted 7 to 1 to four lane Highway 90 through Downtown Milton. Mayor Thompson moved to reject the request of the CAC and BPAC to put the route south of CSX back in the PD&E study for Highway 90. Commissioner Gruber seconded the motion and it was passed unanimously.

FLORIDA DEPARTMENT OF TRANSPORTATION (FDOT) UPDATE Mr. DeVries informed the board that U.S. 90 and Scenic Highway will undergo some construction on an emergency basis. FDOT is looking at ways to maintain traffic for both. G. REVIEW/INFROMATIONN ITEMS 1. Overview of US 98 (W. Cervantes Street) Arterial Study and US 90 Arterial Study: Vulnerable Road Users Ms. H. Walker, FDOT, gave a detailed presentation. There was lengthy general discussion. 2. Alternative Corridors and Identification of Viable Alternatives for Capacity Improvements to State Road 292 (Perdido Key Drive) from the Alabama State Line to the Intersection of Innerarity Point Road/Gulf Beach Highway, Referred to as the State Road 292 (Perdido Key Drive) Corridor Report This item was not discussed by the board. 3. Draft Agreement for Professional Staff Services by and Between the West Florida Regional Planning Council and the FL-AL TPO for the Pensacola, FL-AL Urbanized Area Ms. Lavender presented this item to the committee. The draft agreement was for review; comments were asked to be provided no later than September 17, Draft Interlocal Agreement of the FL-AL TPO Ms. Lavender presented this item to the committee. This item is for review only and comments are asked to be submitted no later than September 17, Summary of Year 5 Signal Retiming and Future Signal Program and Local Signalization Engineering Including Retiming Efforts Through Existing Joint Partnership Agreement (JPA) This item was presented in great detail by Mr. Dylan Laird and Mr. Fred Brown, both with Volkert, as well as Mr. Colby Brown, with Escambia County. There was brief general discussion. 6. Overview of Comprehensive Operational Analysis for Escambia County Area Transit Ms. Garrett explained that this item is in response to some concern at the August meeting. She explained that the scope of services will be an area specific decision making tool not a recreation of what has already been done. She also explained that this project was approved in the adoption of the Unified Planning Work Program. 7. Transit Facilities Study Follow-up Ms. Tonya Ellis informed the Comprehensive Operational Analysis for Escambia County Area Transit will be for review at two public meetings. Flyers were provided with the date and time. Commissioner Barry had some questions in regards to the decrease in fairbox. Mr. Humphrey explained that flaws have been identified and are being resolved. Further general discussion ensued. 8. Health Impact Assessments This item was not discussed by the TPO. H. 10 FLORIDA-ALABAMA TPO MEETING MINUTES Letter from City of Pensacola Councilwoman Sherri Myers Regarding Intersection of 12 th and Bayou Boulevard Project I. OTHER BUSINESS Ms. Washnock took this opportunity to introduce the board to the idea of consolidating the TPO meetings to one or two days. She explained that some of the speakers that travel long distances can't always present to all committees. The idea is to send out a survey to all members of the TPO board and committee members for input. She also mentioned that the CAC and BPAC have been merged as one committee in the Bay County and Okaloosa-Walton TPOs. J. 12 RESOLUTION FL-AL A RESOLUTION OF THE FLORIDA ALABAMA TRANSPORTATION PLANNING ORGANIZATION RECOGNIZING JIM DEVRIES FOR HIS YEARS OF DISTINGUISHED SERVICE TO THE REGION WHEREAS, Mr. James "Jim" DeVries was hired by the West Florida Regional Planning Council (WFRPC) on March 16, 1979 and served as the Director of Transportation from March 18, 1982 to November 15, 1985; and WHEREAS, Jim has continued working for the region by serving as the Urban Liaison to this TPO for the Florida Department of Transportation and has been in this professional role since November 18, 1985; and WHEREAS, Jim has worked with, served, and offered a wealth of knowledge to the Transportation Planning Organizations of northwest Florida throughout the past thirty-five years; and WHEREAS, Jim has demonstrated servant leadership to the region by fulfilling his duties beyond the expectations of his superiors and the local governments that the TPOs serve; and WHEREAS, Jim has made significant contributions as a public servant at the Department and with the West Florida Regional Planning Council, to the region, and throughout the State of Florida during the past thirty-five years; NOW, THEREFORE, BE IT RESOLVED BY THE FLORIDA ALABAMA TRANSPORTATION PLANNING ORGANIZATION THAT: The Florida Alabama Transportation Planning Organization does hereby recognize and thank Mr. James "Jim" DeVries for his distinguished tenure and public service as a liaison between the Florida Department of Transportation and the Florida Alabama TPO and the citizens of the region. 14 RESOLUTION FL-AL A RESOLUTION OF THE FLORIDA-ALABAMA TRANSPORTATION PLANNING ORGANIZATION ACCEPTING THE FLORIDA DEPARTMENT OF TRANSPORTATION FY TENTATIVE FIVE- YEAR WORK PROGRAM WHEREAS, the Florida-Alabama Transportation Planning Organization (TPO) is the organization designated by the Governors of Florida and Alabama as being responsible, together with the States of Florida and Alabama, for carrying out the continuing, cooperative and comprehensive transportation planning process for the Florida-Alabama TPO Planning Area; and WHEREAS, the TPO annually adopts Transportation Project Priorities and forwards them to the Florida Department of Transportation (FDOT) each year as the initial step in the development of the Transportation Improvement Program (TIP) for the following project categories: Capacity Projects, Transportation Systems Management (TSM) Projects, Transportation Alternatives Program (TAP) Projects, Bicycle/Pedestrian Projects, Public Transportation Projects, Aviation Projects, and Seaport Projects; and WHEREAS, FDOT annually uses the TPO Project Priorities in the development of the FDOT Tentative Five-Year Work Program to the extent feasible within system maintenance requirements and funds available in various fund categories; and WHEREAS, FDOT annually presents the FDOT Tentative Five-Year Work Program to the TPO to ensure that the Work Program is consistent with the TPO Project Priorities to the extent feasible; and WHEREAS, the TPO Project Priorities and FDOT Work Program development processes are mutually supportive, resulting in a final TIP and FDOT Work Program that are consistent; NOW, THEREFORE, BE IT RESOLVED BY THE FLORIDA-ALABAMA TRANSPORTATION PLANNING ORGANIZATION THAT: The TPO accepts the FDOT FY Tentative Five-Year Work Program. 37 RESOLUTION FL-AL A RESOLUTION OF THE FLORIDA-ALABAMA TRANSPORTATION PLANNING ORGANIZATION SUPPORTING ALDOT'S ONGOING EFFORT TO ADDRESS LOCAL AND INTERSTATE TRAFFIC NEEDS AS IT RELATES TO THE CONGESTION ALONG INTERSTATE 10 (I-10) AND THE CONGESTION CAUSED BY THE I-10 TUNNELS UNDER THE MOBILE RIVER WHEREAS, the Florida-Alabama Transportation Planning Organization (TPO) is the organization designated by the Governors of Florida and Alabama as being responsible, together with the States of Florida and Alabama, for carrying out the continuing, cooperative and comprehensive transportation planning process for the Florida-Alabama TPO Planning Area; and WHEREAS, the TPO is considered to be a regional, multi-state organization attends to the transportation systems that affect both the Florida and Alabama areas; and WHEREAS, the Alabama Department of Transportation (ALDOT) has for many years studied how to alleviate existing and projected traffic congestion while improving highway safety and driving conditions on I-10, particularly in emergencies such as hurricane evacuations, and reducing hazardous materials traversing the central business district in Mobile; and WHEREAS, ALDOT, after public comment and input, has narrowed the alternative bridge routes to three locations south of downtown Mobile, and WHEREAS, the future economic growth in the area makes critical the need to determine the location of the proposed bridge and move forward to construction, the implementation of which will affect the gulf coast including the Pensacola metropolitan area; NOW, THEREFORE, BE IT RESOLVED BY THE FLORIDA-ALABAMA TRANSPORTATION PLANNING ORGANIZATION THAT: The Florida-Alabama TPO endorses and supports ALDOT's ongoing efforts to address local and interstate traffic needs in a manner sensitive to commercial and maritime concerns, while also addressing safety and environmental issues, and urges a reasoned but expeditious decision as to the location of the proposed bridge. 45 RESOLUTION FL-AL A RESOLUTION OF THE FLORIDA-ALABAMA TPO AUTHORIZING THE EXECUTION OF THE AGREEMENT FOR PROFESSIONAL STAFF SERVICES BY AND BETWEEN THE WEST FLORIDA REGIONAL PLANNING COUNCIL AND THE FL-AL TPO FOR THE PENSACOLA, FL-AL URBANIZED AREA WHEREAS, the Florida-Alabama Transportation Planning Organization (TPO) is the metropolitan planning organization designated by the Governor of Florida as being responsible for carrying out a continuing, cooperative and comprehensive transportation planning process for the Florida-Alabama Metropolitan Planning Area; and WHEREAS, pursuant to Section (6)(g), Florida Statutes, the TPO has the authority to contract with public or private entities for the provision and exchange of certain services; WHEREAS, the Planning Council, which is organized and exists under and by virtue of the provisions of Section , Florida Statutes, has the power to make and enter into all contracts and agreements necessary or incidental to the performance of its duties and the execution of its powers under Section , Florida Statutes; WHEREAS, the Planning Council has in the past, provided the primary staff and technical support for the transportation planning process for the Pensacola, FL-AL Urbanized Area, and presently maintains professional staff to perform such administrative and technical support; WHEREAS, the parties to this Agreement desire to participate cooperatively and on a continuing basis in a coordinated, comprehensive transportation planning process to assure that all modes of transport of people and goods will be properly considered in developing plans to meet the needs of the Pensacola FL-AL Urbanized Area; NOW, THEREFORE, BE IT RESOLVED THAT The TPO authorizes the Chairman or his designee to execute the Agreement for Professional Staff Services by and between the West Florida Regional Planning Council and the FL-AL TPO for the Pensacola, FL-AL Urbanized Area. W I T N E S S E T H: WHEREAS, Rules of the Federal Highway Administration, Title 23 Code of Federal Regulations Parts 450 and 500, and the Federal Transit Administration, Title 49 Code of Federal Regulations Part 613 (hereinafter referred to as the Rules), provide for the designation of a metropolitan planning organization for each urbanized area within each state, by the Governor of each state; WHEREAS, the Governor of Florida has designated the Florida-Alabama Transportation Planning Organization as the metropolitan planning organization for the Pensacola, FL-AL Urbanized Area; WHEREAS, pursuant to Section (6)(g), Florida Statutes, the TPO has the authority to contract with public or private entities for the provision and exchange of certain services; WHEREAS, the Planning Council, which is organized and exists under and by virtue of the provisions of Section , Florida Statutes, has the power to make and enter into all contracts and agreements necessary or incidental to the performance of its duties and the execution of its powers under Section , Florida Statutes; WHEREAS, the Planning Council has in the past, provided the primary staff and technical support for the transportation planning process for the Pensacola, FL-AL Urbanized Area, and presently maintains professional staff to perform such administrative and technical support; WHEREAS, the Federal Government, under authority of Title 23 United States Code Section 134 and Title 49 United States Code Section 5303, requires that each urbanized area, as a condition to the receipt of federal capital or operating assistance, have a continuing, cooperative, and comprehensive transportation planning process that results in plans and programs consistent with the comprehensively planned development of the urbanized area; and WHEREAS, the parties to this Agreement desire to participate cooperatively and on a continuing basis in a coordinated, comprehensive transportation planning process to assure that all modes of transport of people and goods will be properly considered in developing plans to meet the needs of the Pensacola FL-AL Urbanized Area;

47 NOW, THEREFORE, in consideration of the mutual covenants, promises, and representation herein set forth, the parties do hereby agree as follows: I. PURPOSE The purpose of the Agreement is to set forth the responsibilities of the Planning Council and the TPO in performing the professional staff planning functions and Projects relative to the transportation planning process for the Pensacola, FL-AL Urbanized Area, and to describe the cooperative procedures under which the metropolitan planning process will be carried out. The process is defined as the continuing, cooperative and comprehensive transportation planning process for the Pensacola, FL-AL Urbanized Area, to provide for the professional services deemed necessary to carry out the terms of the Interlocal Agreement and any other related agreement to which the TPO is a party. The Project is defined as any task(s) outlined in the Florida-Alabama TPO Unified Planning Work Program. II. TECHNICAL RESPONSIBILITIES A. The TPO Staff is defined as the designated Planning Council employees necessary and authorized by the TPO in the approved Unified Planning Work Program. The Planning Council Staff assigned to the TPO will be supervised by and report to the Planning Council s Transportation Director and will be subject to the same benefits package, policies and procedures of all Planning Council employees. B. The TPO staff, shall provide professional, technical and administrative assistance in the development of transportation plans and programs which shall include, but not be limited to the following: 1. A Unified Planning Work Program and all tasks outlined therein, as required by Section (b) and (c) of the Rules; 2. A Long Range Transportation Plan addressing no less than a 20-year planning horizon as required by Section of the Rules; 3. An annually updated Transportation Improvement Program (TIP) as required by Section of the Rules; 4. An annually updated List of Priority Projects; and 5. A Congestion Management Process Plan as required by Section of the Rules. C. The Planning Council shall be responsible for developing and using a documented public participation plan as approved by the TPO that defines a process for providing citizens, affected public agencies, representatives of public transportation employees, freight shippers, providers of freight transportation services, private providers of transportation, representatives of users of public transportation, representatives of users of pedestrian walkways and bicycle transportation facilities, representatives of the disabled and other interested parties with reasonable opportunities to be involved in the metropolitan transportation planning process.

48 III. ADMINISTRATIVE RESPONSIBILITIES A. Pursuant to Section (6) (g), Florida Statutes, the Executive Director of the Planning Council shall serve as the Executive Director of the TPO. The Executive Director of the Planning Council, serving as the Executive Director of the TPO, shall report directly to the TPO governing board for all matters regarding the administration and operation of the TPO. B. The Planning Council shall submit all plans and programs developed under Section II above, to appropriate agencies as directed by the TPO in order that said plans and programs will be properly adopted and approved. C. The Planning Council will maintain files of all plans and programs developed in Section II above. D. The Planning Council shall be responsible for providing staff support and coordination for the TPO Technical Coordinating Committee and submit plans and Programs developed in Section II. to said Technical Coordinating Committee as directed by the TPO. E. The Planning Council shall maintain all files for the TPO and committees, subcommittees and ad-hoc committees created by the TPO in compliance with Chapter 119, Florida Statutes. Their files may include the following: 1. All correspondence; 2. All contracts; 3. All meeting minutes; 4. Membership roster and mailing addresses; 5. TPO bylaws; and 6. All accounting/bookkeeping records. F. The Planning Council shall be responsible for arranging all meetings of the TPO and its related committees to include the following: 1. Preparation and mailing of all meeting notices and agendas to all appropriate persons; 2. Recording the proceedings of all meetings of the TPO and its related committees, preparing minutes and mailing such minutes out to TPO members prior to succeeding meetings; and 3. Mailing out all other information pertinent to the transportation planning process. G. The Planning Council shall be responsible for performing, on behalf of the TPO, the financial accounting, bookkeeping and grants management required by the Federal Highway Administration, Federal Transit Administration and Florida Department of Transportation to include the following:

49 1. Preparation of planning grant applications; 2. Planning grant administration; 3. Financial cost control including bookkeeping, recording, timesheets, invoicing and payment of bills; 4. All progress reporting required by Federal Highway Administration, Federal Transit Administration and the Florida Department of Transportation; 5. Arranging required public hearings; 6. Developing all required contracts and agreements subject to review as to legal form and sufficiency by the TPO attorney; and 7. At the direction of the TPO, obtain a year-end audit of all TPO funding by an independent auditor and present these audit findings to the TPO. H. At the direction of the TPO, the Planning Council shall direct and cooperate with any consultants hired by the TPO. I. The Planning Council may subcontract TPO work, as required with the approval of the TPO. IV. TPO RESPONSIBILITIES A. The TPO shall annually provide the required funds to meet staffing costs of the Planning Council as documented in the Unified Planning Work Program referenced in Section II. of this Agreement. B. The TPO shall be the recipient of funds authorized by Title 23 United States Code Section 104 and those planning funds authorized by Title 49 United States Code Section C. The TPO agrees to utilize the professional staff of the Planning Council, but it may also utilize City or County legal services with the consent of the governing body involved. D. The TPO agrees that the Executive Director of the Planning Council shall be the spokesperson for the Planning Council professional staff and shall have complete control over the hiring/terminating of said Planning Council professional staff. E. The TPO agrees that the Executive Director of the Planning Council shall annually prepare the TPO budget for the fiscal year ending June 30 and shall submit such budget to the TPO for review and approval. V. METHOD OF PAYMENT The Planning Council may submit invoices to the TPO for work completed on a monthly basis. Subject to receipt of an invoice from the Planning Council, the TPO will pay the Planning Council within thirty (30) days of receiving such invoice from the Planning Council; provided however, payment for services funded with Federal Highway Administration, Federal Transit Administration or Florida Department of Transportation funds shall be contingent upon the TPO receiving such funds. Furthermore, the TPO will pay the Planning Council within thirty (30) days of receipt of such funds by the TPO.

50 VI. DURATION OF AGREEMENT AND TERMINATION WITHOUT CAUSE This Agreement shall remain in effect until terminated by either or both parties to the Agreement. Either party may withdraw from said Agreement after presenting in written form a notice of intent to withdraw to the other party, at least sixty (60) days prior to the intended date of withdrawal; provided financial obligations continue as to work performed up to and including date of withdrawal and unavoidable expenses after that date. VII. AMENDMENT OF AGREEMENT Amendments of this Agreement may be initiated by the TPO or the Planning Council. Amendments shall be formally approved by the TPO and the Planning Council in written form and shall be incorporated as part of the Agreement. VIII. STANDARD PROVISIONS A. Subcontracting The Planning Council shall perform or shall subcontract the work to be performed hereunder which is budgeted as the TPO's direct responsibility and funded by the Federal Highway Administration, the Federal Transit Administration and the Florida Department of Transportation. B. Supplemental Agreements It is understood and agreed that, in order to permit federal participation, no supplemental agreement of any nature may be entered into by the parties hereto with regard to the work to be performed hereunder without the approval of the U.S. Department of Transportation, anything to the contrary in this Agreement notwithstanding. C. Third Party Contracts Except as otherwise authorized in writing by the Florida Department of Transportation, Federal Highway Administration and Federal Transit Administration, the Planning Council shall not execute any contract or obligate itself in any other manner with any third party with respect to the Project without the prior written concurrence of the Florida Department of Transportation, Federal Highway Administration and Federal Transit Administration. Subletting of consultant contracts shall be in accordance with the requirements of the Consultants' Competitive Negotiation Act, Section , Florida Statutes, as amended from time to time.

51 D. Default and Termination or Suspension. 1. Termination or Suspension Generally. If the Planning Council abandons or, before completion, finally discontinues the Project; or if for any other reason, the commencement, prosecution or timely completion of the Project by the Planning Council is rendered improbable, infeasible, impossible or illegal, the TPO may, by written notice to the Planning Council, suspend any or all of its obligations under this Agreement until such time as the event or condition resulting in such suspension has ceased or been corrected, or the TPO may terminate any or all of its obligations under this Agreement. 2. Action Subsequent to Notice of Termination or Suspension. Upon receipt of any final termination notice under this Section, the Planning Council shall proceed promptly to carry out the actions required therein which may include any or all of the following: (1) necessary action to terminate or suspend, as the case may be, Project activities and contracts and such other actions as may be required or desirable to keep the costs at a minimum;; and (2) furnish a statement of the status of the Project activities and of the Project accounts as well as a proposed schedule, plan and budget for terminating or suspending and closing out Project activities and contracts, and other undertakings, the cost of which are otherwise includable as Project costs. The closing out shall be carried out in conformity with the latest schedule, plan and budget as approved by the TPO or upon the basis of terms and conditions imposed by the TPO upon the failure of the Planning Council to furnish the schedule, plan and budget within a reasonable time. The acceptance of a remittance by the Planning Council or the closing of Federal financial participation in the Project shall not constitute a waiver of any claim which the TPO may otherwise have arising out of this Agreement. E. Audit and Inspection of Records 1. The Planning Council shall maintain records and supporting documents as prescribed in federal and state requirements, including but not limited to Title 23 Code of Federal Regulations Part 420, Title 49 Code of Federal Regulations Part 18, and Chapter 119, Florida Statutes. 2. All records pertinent to the Agreement shall be retained by the Planning Council for six (6) years following termination of this Agreement, with the following exception: If any litigation, claim or audit is started before the expiration of the six (6) year period and extends beyond the six (6) year period, the records will be maintained until all litigation, claims or audit findings involving the records have been resolved. 3. All records, including supporting documentation of all program costs, shall be sufficient to determine compliance with the requirements and objectives of the Project and all other applicable laws and regulations.

52 4. The Planning Council shall allow access to its records at reasonable times to the TPO, its employees and agents, to the Federal Highway Administration, its employees and agents, the Federal Transit Administration, its employees and agents, and the Florida Department of Transportation, its employees and agents. "Reasonable" shall be construed to mean during normal business hours of 8:00 a.m. to 5:00 p.m. on Monday through Friday. "Agents" shall include, but not be limited to, auditors retained by the TPO, the Federal Highway Administration, Federal Transit Administration and the Florida Department of Transportation. F. Equipment Where Federal funds are to be used to provide part or all of the cost of equipment, such expenditures must have prior written approval of the Florida Department of Transportation and the Federal Highway Administration and must be in accordance with the requirements of Title 49 Code of Federal Regulations Part 18. G. Publication, Rental of Space or Equipment and Indirect Costs This Agreement is subject to all applicable requirements of the United States Office of Management and Budget Circular A-87, Cost Principles for State, Local and Indian Tribal Governments, relative to approval of travel, report publication provisions, rental of space or equipment, and indirect costs. All reports published by the TPO or Planning Council which were funded wholly or in part by Title 23 United States Code Section 134 or Title 49 United States Code Section 5303 funds shall contain the credit, "The preparation of this report has been financed in part through grants from the Federal Highway Administration and Federal Transit Administration, U.S. Department of Transportation, under the State Planning and Research Program, Section 505 [or Metropolitan Planning Program, Section 104] of Title 23, United States Code. The contents of this report do not necessarily reflect the official views or policy of the U.S. Department of Transportation." H. Nondiscrimination 1. Compliance with Regulations. The Planning Council shall comply with the regulations of the U.S. Department of Transportation relative to the nondiscrimination in federally-assisted programs of the U.S. Department of Transportation (Title 49 Code of Federal Regulations Part 21, hereinafter referred to as the Regulations), which are herein incorporated by reference and made a part of this Agreement. 2. Nondiscrimination. The Planning Council, with regard to the work performed by it after award and prior to completion of the contract work, will not discriminate on the grounds of race, color, national origin, sex, age, disability, familial status, religious status, marital status, sexual orientation or gender identity in the selection and retention of subcontractors, including procurements of material and

53 3. leases of equipment. The Planning Council will not participate either directly or indirectly in the discrimination prohibited by Section 21.5 of the Regulations, including employment practices when the contract covers the program set forth in Appendix B of the Regulations. 4. Solicitations for Subcontractors, Including Procurements of Materials and Equipment. In all solicitations made by competitive bidding or negotiation made by the Planning Council for work to be performed under a subcontract, including procurements of materials and leases of equipment, each potential subcontractor, supplier or lessor shall be notified by the Planning Council of obligations under this Agreement and the Regulations relative to nondiscrimination on the grounds of race, color, national origin, sex, age, disability, familial status, religious status, marital status, sexual orientation or gender identity. 5. Information and Reports. The Planning Council will provide all information and reports required by the Regulations, or orders and instructions issued pursuant thereto, and will permit access to its books, records, accounts, other sources of information and its facilities as may be determined by the Florida Department of Transportation, Federal Highway Administration or Federal Transit Administration to be pertinent to ascertain compliance with such Regulations, orders and instructions. Where any information required of the Planning Council is in the exclusive possession of another who fails or refuses to furnish this information, the Planning Council shall certify to the Florida Department of Transportation, Federal Highway Administration or Federal Transit Administration, as appropriate, and shall set forth what efforts it has made to obtain the information. 6. Sanctions of Noncompliance. In the event of the Planning Council's noncompliance with the nondiscrimination provisions of this Agreement, the TPO shall impose such sanctions as it may determine to be appropriate, including, but not limited to, withholding of payments to the Planning Council under this Agreement until the Planning Council complies; and/or cancellation, termination or suspension of this Agreement, in whole or in part. 7. Incorporation of Provisions. The Planning Council will include the provisions of Paragraphs l through 4 in every subcontract, including procurement of materials and leases of equipment, unless exempt by Regulations, order, or instructions issued pursuant thereto. The Planning Council will take such action with respect to any subcontractor or procurement as the Florida Department of Transportation, Federal Highway Administration or Federal Transit Administration may direct as a means of enforcing such provisions, including sanctions for noncompliance, provided, however that, in the event the Planning Council becomes involved in, or is threatened with, litigation with a subcontractor or supplier as a result of such direction, the Planning Council may request the State to enter into such litigation to protect the interests of the State, and, in addition, may request the United

54 I. Training 8. States to enter into such litigation to protect the interests of the United States. The use of Title 23 United States Code Section 134 or Title 49 United States Code Section 5303 funds for training of employees of the Planning Council shall be in accordance with the requirements of 49 Code of Federal Regulations, Part 18. J. Prohibited Interests The Planning Council shall insert in all contracts entered into in connection with the Project or any property included or planning to be included in any Project, and shall require its contractors to insert in each of their subcontracts, the following provision: "No member, officer or employee of the Planning Council during his/her tenure or for one year thereafter shall have any interest, direct or indirect, in this Agreement or the proceeds thereof." This provision shall not be applicable to any agreement between the Planning Council and its fiscal depositories, or to any agreement for utility services the rates for which are fixed or controlled by a Governmental agency. IX. AGREEMENT SUBJECT TO JOINT PARTICIPATION AGREEMENT This Agreement is subject to the provisions contained in the Joint Participation Agreement between the TPO and the Florida Department of Transportation, dated April 14, X. LIABILITY The Planning Council hereby agrees to hold harmless the TPO, to the extent allowed and required by law, from all claims, demands, liabilities, and suits of third persons or entities not a party to this Agreement arising out of, or due to any act, occurrence or omission of the Planning Council, its subcontractors or agents, if any, that is related to the Planning Council's performance under this Agreement. However, the Planning Council has no obligation to indemnify the TPO for acts or omissions required or directed by the TPO. XI. ASSIGNABILITY The Planning Council shall not assign any interest in this Agreement and shall not transfer any interest in the same (whether by assignment or novation), without the prior consent of the TPO. However, the preceding sentence does not restrict the Planning Council from entering into subcontracts for the performance of the Planning Council s obligations.

55 XII. REPRESENTATIVES FOR THE PARTIES In all matters relating to the performance of this Agreement, the Chair of the TPO shall represent and act for the TPO and the Executive Director of the Planning Council shall represent and act for the Planning Council. XIII. VENUE AND JURISDICTION FOR LITIGATION BETWEEN PARTIES This Agreement shall be construed according to the laws of the State of Florida. Venue shall be exclusively in Escambia County, Florida for all litigation between the parties and all issues litigated between the parties shall be litigated exclusively in a court of competent jurisdiction of Escambia County, Florida. If any provision hereof is in conflict with any applicable statute or rule, or is otherwise unenforceable, then such provision shall be deemed null and void to the extent of such conflict, and shall be deemed severable, but shall not invalidate any other provision of the Agreement. XIV. COMPLETE CONTRACT This Agreement constitutes the entire contract between the parties, and any changes, amendments or modifications hereof shall be void unless the same are reduced to writing and signed by parties hereto. XV. PREVIOUS AGREEMENT SUPERSEDED Upon execution by both parties, this Agreement shall supersede the West Florida Regional Planning Council Contract for Professional Staff Services between the TPO and the Planning Council dated August 30, XVI. EFFECTIVE DATE This Agreement is effective on the day of. 64 Draft Scope of Work Purpose Northwest Florida continues to experience changing demographics, continued growth and urbanization, evolving economic sectors, as well as environmental and sustainability concerns. These factors point to the need for regional coordination and partnership to implement an efficient public transportation system. The purpose of this task work order is to determine the feasibility of establishing a Regional Transit Authority (RTA) in Northwest Florida. This authority would coordinate and/or provide transit services in an area to be determined. The implementation of this regional, cooperative approach will very much depend upon the willingness of citizens, businesses, and elected officials to build critical partnerships that harness the collective strength of individual communities across the region. Successful regions across the nation are those which have committed to innovative solutions and partnerships to plan, fund, and implement robust transportation and mobility systems to enhance economic development potential and create jobs. Other regions around Florida have seen advantages in establishing both regional transit and transportation authorities to assist in meeting the regional mobility needs. One of the recent authorities established is the Northeast Florida Regional Transportation Commission. This commission covers a seven county area and is charged with identifying and implementing transportation projects of regional significance. Over a two year period the Study Commission has debated the most effective means to elevate Northeast Florida s economy and quality of life by means of regionally-significant transportation investments in Duval, Nassau, St. Johns, Clay, Putnam, Baker and Flagler counties and the municipalities therein. The Study Commission carefully examined the roles and responsibilities of existing entities, studied the efforts and experiences of other peer regions and identified the gaps and opportunities in current efforts to deliver regional transportation projects and services. The Study Commission recommendations reflect a responsible approach that will position Northeast Florida not only to avoid a future crisis but take advantage of economic opportunities. The Study Commission based its recommendations on the following key findings of need: An efficient regional transportation system is central to the future economic competitiveness and quality of life for Northeast Florida

65 There is an opportunity for enhanced coordination of planners and implementers on a regional scale specifically for regionally significant projects There is a need for new, dedicated regional funding for regional transportation Having a strong and consistent regional voice on transportation issues is increasingly important in the successful pursuit of state, federal and private transportation funding The Florida-Alabama TPO is charged with implementing a comprehensive, corporative, and continuing planning process. This project s goal is to assist with completing public transportation planning at the regional level that addresses the long and short-term public transportation needs of the area. Phase 1 Work Tasks Task 1: Identify RTA Stakeholders The CONSULTANT will assist the TPO staff in identifying and interviewing potential stakeholders who will be charged with carefully examining the roles and responsibilities of existing public transportation entities, the efforts and experiences of other peer regions and the gaps and opportunities in current efforts to deliver public transportation projects and services at the local and regional levels. These stakeholders will be responsible for making a recommendation whether or not to proceed into Phase 2. It is currently envisioned that the stakeholders will be elected officials and regional leaders from the participating counties and cities. Deliverables 1. RTA Stakeholders database

66 Task 2: Regional Transit Authority Research and White Paper The CONSULTANT shall develop a White Paper on the various types of Regional Transit Authorities (RTA) in place around the State of Florida. If appropriate, up to two national examples will also be included. At a minimum, the White Paper will address the following questions: 1. Why a regional approach? 2. What is a Regional Transit Authority (RTA)? 3. How is an RTA formed? 4. What are the responsibilities of and RTA? 5. How is an RTA governed? 6. What are the advantages of an RTA? 7. How is an RTA funded? Deliverables 1. White Paper on Regional Transit Authorities (RTA). Task 3: Stakeholder Workshop on RTA White Paper The CONSULTANT will prepare and present a summary presentation of the White Paper to the RTA Stakeholders committee at a workshop. Once the white paper has been drafted the findings will be presented at a workshop. The CONSULTANT will have staff on hand to answer the committee s questions, record the workshop proceedings, summarize the workshop findings and follow up with the committee on items as appropriate. 67 Task 4: Regional Transit Authority Panel Discussion The CONSULTANT will organize and facilitate a panel discussion with three (3) to five (5) panelists. These panelists shall have firsthand experience establishing an RTA and/or administering an RTA. The goal of this workshop will be to provide an opportunity for the stakeholders to hear transportation professionals with experience at and real-world knowledge of RTA formation, administration and operation. The outcome should be that the stakeholders clarify, develop, and evaluate their position on the need for and type of RTA best suited for the transit needs of Northwest Florida. Invited panelists will be from the southeast with an emphasis on Florida experience. Travel expenses only, will be provided for the panelists. Steps to be completed: 1. The TPO Staff and the CONSULTANT will identify the goal and purpose of the panel discussion. 2. The CONSULTAND and TPO Staff will identify and invite experts to participate as panelists and a moderator. 3. TPO Staff, the moderator and the CONSULTANT will determine the parameters of the panel discussion. 4. The CONSULTANT and the moderator will develop a number of seed questions for the panelists. Deliverable 1. A half day panel discussion on the development and administration of an RTA that is recorded and formatted to use on the TPO s website. Task 5: Regional Transit Authority Workshop The CONSULTANT will prepare for and conduct a workshop with the stakeholders to determine if the formation of an RTA should continue to Phase 2. The workshop will be an intensive, structured meeting. The aim is for all participants to come to a consensus on the need for and continued efforts to establish a regional transit authority. The CONSULTANT will work with the TPO Staff to set the agenda, and establish a definite set of goals for the workshop. The workshop will be structured in such a way as to maximize participant s contributions and to ensure that all discussions are documented in a productive and effective manner.

68 Deliverable 1. A full day workshop with the stakeholders to reach an understanding and seek consensus in developing a recommendation to the Florida-Alabama TPO on whether or not to proceed with establishing a regional transit authority. The recommendation will provide background on and explanation of the stakeholders recommendation(s): Phase 1 Deliverable Phase 1 will be fully documented in a technical report that will cover all aspects of Tasks 1, 2, 3, 4 and 5. The document will be produced in both hard copy and electronic format as follows: Ten (10) hard copies One (1) camera ready original Fifty (50) compact disks (electronic documents) Two (2) series of meetings with the Florida-Alabama TPO Board and Advisory Committees o Project Kick-Off o Final Report Recommendation to the Florida-Alabama TPO on whether or not to proceed with establishing a regional transit authority.

FOR ALL ADVISORY COMMITTEE MEMBERS: The advisory committees of the Florida-Alabama TPO are considering consolidation to one day to lessen the burden on committee members and presenters. Please choose your preferred meeting day of week below: FOR ALL ADVISORY COMMITTEE MEMBERS: What time of day would work best for you to meet? Morning (8:30 or later) or afternoon (no later than 3)? FOR CAC AND BPAC MEMBERS ONLY: We are considering consolidating the Citizens' Advisory Committee with the Bicycle-Pedestrian Advisory Committee. Other TPOs have realized this structure served their needs better. The combination resulted in a stronger, more effective committee for all and it was more convenient for members who serve on more than one committee. Would you support combining the committees?

84 Additional comments Coffee would nice but not required. Maximizing the involvement of the public in the transportation planning process is important. Having two separate committees allows for broader participation and input from those with specific transportation planning interest. I believe the emphasis should be on growing the membership in both committees as you have been working to do. I thank you for those efforts and all you do to support the transportation planning process. Please do not combine; w/bepac they would be unbearably long! How about CAC in the morning and BEPAC in the afternoon. Eliminate dual committee membership, for then the "burden" for the citizen members is eliminated for the situation in the first question. Presenter burden is a separate issues and should warrrant its own question. Staff burden should not be relevant to committee members, non issue for members, this not a question "FOR ALL ADVISORY COMMMITTEE MEMBERS." Although few citizens attend, they should be the focus and remain the purpose for which memebs meet. For improved citizen, non-committee member, non-staff, non-presenter attendance, the PUBLIC meetings should be at a time which Bette accommodates public users of transportation plannning. After usual work hours, or late in the work shift day might improve public attendance. So might meeting at more convenient locations throughout the MPA - with regularly scheduled rotation of venues. Let the sun shine into and onto more meetings for more people. Minimize presentation to the absolute necessary for action items only, if and only if the agenda item is moved for voting and discussion is opened by the chair before a vote. If no discussion is initiated, then no presentation. Eliminate presentations for non action items; no presentations for content agenda items, no presentations for informational itmes. Require all presentations to be submitted one week prior for distribution, or web site patting and REQUIRED member viewing prior to meeting (IP addresses can be easily checked for viewing or downloading presentation) thus hold members accountable for meeting preparation. I think the earlier efforts to make all committee agendas, exactly the same as the TPO agenda allowed the committee meeting to go longer by becoming more comprehensive in an unnecessary manner. Committee Reports should be made to TPO, per Robert's Rules. But not by staff. Committees should report directly to the TPO as designed and purposed. CAC is a mini TPO, common (non-elected official) representation of public views. TCC should be just engineering feasability perspective, not political, not misrepresent citizens. Bike/Ped should only discuss and provide direct input to TPO on only bike and ped related projects. If none are included in a planning project then they should only inquire as to why, and maybe propose how bike/ped inclusion would be of greater benefit to more transportation users. Don't combine. Reduce and Focus. I believe the ideal day would be a TCC meeting in the morning and a combined BPAC/CAC in the afternoon following lunch. The meeting on a Monday would give RPC staff a day in between to prepare the committee's recommendations and/or address any issues that came out of the TCC or BPAC prior to the TPO meeting. This also gives local agencies time to review those recommendations with their respectable TPO representatives prior to the meeting on Wednesday. While I realize the issue of convenience could possibly be resolved for the TPO through the combination of committees, I feel the separate interests of these committees would be diluted through their combination. I prefer Monday because it provides more time to meet with the elected official before the TPO meeting on Wednesday. Although I checked pm for the meeting, I am flexible and could meet in the morning. I inadvertently checked combine for the CAC and BPAC, although I am not a member of either. Sorry. Thanks! Afternoon is better for me at the moment, but I think morning better overall. My concerns with combining committees are that 1. There will no longer be a committee who's name contains bicycle and pedestrian, 2. There will only be a single advisory voice which is dominated by the citizenry, 3. BPAC is already a large group to make it through an agenda with. Thank you guys for this and for all your hard work! no real preference on day of week or time of day. The study corridor, from North A Street to W Street is approximately 1.4 miles long. The local jurisdiction is the City of Pensacola. The facility is 5-lane undivided urban arterial (continuous center turn lane). The 2013 Florida Department of Transportation (FDOT) Average Annual Daily Traffic (AADT) count on SR10A (US90) West Cervantes Street from North A Street to the Pensacola City Limits was 19,300, resulting in a generalized level of service (LOS) of D according to the 2013 FDOT Quality/Level of Service Handbook. PURPOSE OF CORRIDOR MANAGEMENT PLAN The purpose of the CMP is to identify operational and access management improvements and priorities needed to support all modes of transportation including roadway capacity, public transit and bicycle and pedestrian movements. The CMP will also include any recommended land development code changes and/or additions for the corridor. CMP Objectives A. To determine existing and future transportation demands for all modes of travel based on current and adopted future land use. B. To generally describe natural, physical, environmental, social, political, operational, and economic constraints within the Corridor that could have negative effect upon any proposed improvements. C. To provide sufficient preliminary engineering and environmental information using standard typical sections and sketch planning techniques to serve as input for future project production activities. D. To maximize the public's participation in all phases of the planning process. E. To develop a traffic circulation plan (or plans) for the local system connection to arterial, collector, local roadways and driveways, promoting safe local traffic and bicycle and pedestrian movements. F. To develop a CMP that: 1. Identifies projects needed to improve the safe movement of all modes of travel. 2. Recommends project priorities based on safety and capacity improvement needs. Evaluation criteria will be used and explained to provide a prioritized list of projects. 3. Includes cost estimates for each recommended project to allow the TPO, state and the City of Pensacola to determine funding strategies. 4. Recommends complete streets improvements. 5. Considers drainage improvements.

93 Florida-Alabama TPO SR10A (US90) West Cervantes Street CMP Draft Scope of Services Page 3 SERVICES TO BE PERFORMED Task 1.0 Project Initiation Prior to beginning work, after the Notice to Proceed is issued, the CONSULTANT shall coordinate and conduct a meeting with TPO Staff to discuss the project and data collection. The TPO Staff shall: Identify the TPO Project Manager and other key TPO Staff Members Provide guidance on how the project will be conducted Explain the financial administration of the contract Provide the official Notice to Proceed letter Provide any available data Local Official Kick-off Workshop In order to solicit input from local agencies and officials, the CONSULTANT shall prepare for and conduct one (1) Kickoff Workshop with representatives from local agencies. The CONSULTANT shall provide an agenda, take minutes, discuss the project and collect available information. Task 2.0 Coordination Meetings with Local Officials In addition to the Local Official Kickoff Workshop, the CONSULTANT shall hold two (2) Coordination Meetings with local officials. Local officials include the City of Pensacola and FDOT officials invited to the Kick-off Workshop and any others deemed appropriate. Coordination Meetings will be held just prior to the Public Workshops to apprise local officials of the project status, present them with specific corridor alternatives, and receive their feedback. The CONSULTANT shall be responsible for all presentation equipment and notifying the participants of all meetings.

94 Florida-Alabama TPO SR10A (US90) West Cervantes Street CMP Draft Scope of Services Page 4 Task 3.0 Public Involvement Gaining public support for the proposed CMP is of primary importance to the success of this project. To accomplish this, the CONSULTANT shall conduct a proactive public involvement program throughout the duration of the study. The Public Involvement Program will include traditional and innovative means of informing the public, collecting comments, and incorporating appropriate ideas into the alternative concepts. Community profiles will be utilized. Mailing/Contact List Early in the study process the CONSULTANT shall identify and compile mailing/contact lists for the following groups: a. Any affected or possibly affected parties. This includes the identification (from County tax rolls) of all persons owning property within 300 feet either side of the centerline of all viable alternatives pursuant to the provisions of Florida Statutes In addition, the neighborhood associations representing the affected communities and/or users of the facility will be included on the mailing list. b. Elected/appointed officials and other local officials serving the area, community leaders and interested parties. Identify, Inspect and Reserve Public Meeting Site(s) The CONSULTANT shall inspect the suitability of prospective sites in the study area for meetings to be held during the plan development process. Consideration will be given to location, seating capacity, accessibility for the disabled, sound system, lighting, display space, internet access and any other physical characteristic, which would influence the viability of the site. The CONSULTANT shall make arrangements for use of meeting facilities for all Workshops. Collect Public Input The CONSULTANT shall collect public input throughout the life of the project. This activity requires maintenance of files, media outreach, letters, and especially direct contact before, during, and after any of the Public Workshops, as follows a. Comments are gathered during each Public Workshop, by personal contact or by formal testimony and by letter, visit, or telephone call in response to Public Workshops. b. Comments are also gathered by personal contact during each Public Workshop. The CONSULTANT shall document the public participation accomplished throughout the study period, and summarize and respond to the comments received from the public involvement efforts.

95 Florida-Alabama TPO SR10A (US90) West Cervantes Street CMP Draft Scope of Services Page 5 Public Workshops The CONSULTANT shall hold two (2) Public Workshops in the vicinity of the study area during the plan development process as follows: 1 st Public Workshop The purpose of this workshop, at the 20% to 40% project status, is to announce the plan development to the public. The major points, at a minimum, to be discussed at the Workshop include: Project purpose Key affected parties Potential areas of concern Previous history Project schedule Conceptual study solutions Public comment 2 nd Public Workshop The purpose of this workshop is to present a final draft CMP and receive public input for possible final additions, deletions or changes to the plan. The CONSULTANT shall advertise, attend and conduct Public Workshops and prepare all necessary displays, maps, etc. The CONSULTANT shall perform the following tasks for each Public Workshop: a. Prepare all presentations, media releases, and legal advertisements for review and authorization by TPO Staff. b. The following language shall be used (in English and Spanish) for all public meeting/workshop notices, etc: Public participation is solicited without regard to race, color, national origin, age, sex, religion, disability or family status. Persons requiring special accommodation under the Americans with Disabilities Act or those requiring language translation services, free of charge, should contact at at least days before the event. c. Prepare a black-and-white, quarter-page display advertisement announcing each Public Workshop. The CONSULTANT shall publish the advertisement in the area newspaper having the largest daily circulation at least ten (10) days prior to each Public Workshop. Advertising costs are the responsibility of the CONSULTANT. d. Prepare and submit a general press release to local media at least ten (10) days prior to each Public Workshop. e. Notify elected and appointed officials and other interested persons by US mail and at least ten (10) days prior to each Public Workshop. f. Prepare and send a letter to all property owners and property occupants whose property lies in whole or in part within 300 feet of the centerline of the study corridor at least ten (10) days prior to each Public Workshop. g. Develop each Public Workshop format for review and approval by the TPO Staff. h. Prepare appropriate displays, graphics and/or electronic projections for use during each Public Workshop. These include aerial photographs, renderings, charts, and graphs, as needed. i. Prepare project handouts for distribution at each Public Workshop.

Brief the TPO Staff (who will be on hand during the workshop) prior to each Public Workshop to bring the TPO Staff up to date on the project in order to to discuss it with the public and answer questions. k. Setup and take down each Public Workshop and return meeting facility to set up and condition that existed prior to the workshop. l. Provide adequately knowledgeable staff at each Public Workshop to handle the attendees anticipated. Although the workshop may be scheduled for a certain time period, the CONSULTANT shall be available for sometime before and/or after those set hours in order to maintain public contact, availability for media interviews, etc. m. Identify issues brought up at each Public Workshop as an integral part of the workshop debriefing process, which shall be attended by all staff members taking part in the workshop process and interacting with the public. n. Determine the significance of each issue brought up at each Public Workshop in consultation with TPO Staff (i.e., are the issues valid and should they be considered or do the issues have elements that may require further consideration). o. Address each issue brought up at each Public Workshop and respond to them. This task may involve letter writing, the placement of an ad, distribution of news releases, or any other appropriate technique. Presentations to TPO and City Council The CONSULTANT shall make the following presentations to the TPO and the Pensacola City Council: Project Initiation Prior to the Local Official Kick-off Workshop and first Public Workshop the CONSULTANT shall provide one (1) brief presentation each to the TPO and advisory committees announcing the initiation of the project. During Project Development During the project development process, the CONSULTANT shall be available to attend one (1) TPO (and advisory committees) or Pensacola City Council meeting if requested. Plan Adoption After the final Public Workshop, the CONSULTANT shall present the recommended Plan at the following meetings: 1) TPO and Advisory Committee Meetings for adoption by the TPO and endorsement of implementation of transportation strategies and projects identified in the plan by the TPO, FDOT and the City of Pensacola. Unscheduled Meetings and Presentations The CONSULTANT shall be available with no less than a five (5) workday notice to attend Civic Association or other public meetings or make presentations at the request of the TPO Staff. Such meetings and presentations may be held at any hour between 8:00 a.m. and 12:00 midnight on any day of the week. The CONSULTANT may be called upon to provide maps, press releases, advertisements, displays and similar materials for such meetings. No more than three (3) such meetings are anticipated. The CONSULTANT shall be responsible for all presentation materials and equipment required.

97 Florida-Alabama TPO SR10A (US90) West Cervantes Street CMP Draft Scope of Services Page 7 Task 4.0 Data Collection The CONSULTANT shall collect all pertinent data on the corridor. Eight (8) hour turning movement counts will be collected at the five (5) signalized intersections along the corridor for the a.m. (7am- 10am) and p.m. peak periods (3pm-6pm). Three (3) 24-hour traffic counts will be collected along the corridor. The latest aerial photography available at the FDOT Surveying and Mapping Office or the City of Pensacola will be used to show current conditions, hotspots, crashes and recommended improvements. The CONSULTANT shall field verify the accuracy of the aerials to ensure that recent roadway improvements and development access have been included in the study. The CONSULTANT shall collect other pertinent data as needed, including: 1. Speed limits 2. Lane widths 3. Intersection geometry 4. Recently approved driveway connection permits 5. Roadway cross-sections 6. Median and turn-lane data 7. Bicycle and pedestrian facilities 8. Public transit facilities (including park and ride lots) 9. Pedestrian crossing volumes 10. Relevant TPO data 10. Any Other Data determined to be needed The CONSULTANT shall collect the following other information from appropriate agencies: 1. Signal timing 2. Right-of-way limits 3. Parcel boundary data 4. Utility information (as needed) 5. Access management classifications 6. Existing operating conditions 7. Projected operating conditions 8. Current and future land use As part of this project, the CONSULTANT will develop aerial plots that are an appropriate scale for the corridor. Task 5.0 Crash Data Analyses The CONSULTANT shall obtain crash data for the corridor to determine the number and types of crashes for a two-year period. The CONSULTANT shall sort the data to identify high crash intersections and will pay particular attention to crashes involving pedestrians and bicyclists. The CONSULTANT shall identify improvements and/or access management modifications to help reduce the number and severity of crashes. Recommended improvements will be documented in the CMP. Task 6.0 Existing and Future Traffic Conditions The purpose of this task is to provide a general evaluation of the existing and future LOS along the study corridor. The latest version of the FDOT LOS Tables or operation analysis software (i.e., Synchro and HCS) will be utilized to define existing and future operating conditions. Accomplishment of these objectives will occur through the activities described below.

98 Florida-Alabama TPO SR10A (US90) West Cervantes Street CMP Draft Scope of Services Page 8 Existing Traffic The CONSULTANT shall prepare a spreadsheet tabulation showing location and specific values for: 1) the percent of daily traffic occurring in the peak hours, 2) the directional distribution of travel during the peak hours, and 3) the daily and peak hour truck percentages (where available). Traffic Adjustment The CONSULTANT shall adjust the actual counts to represent annual average daily traffic volumes using weekly seasonal adjustment factors provided by FDOT. Existing Intersection and Roadway Segment Analyses The CONSULTANT shall determine the existing intersection and roadway segment AM and PM peak hour levels of service for the study corridor using the most recent version of SYNCHRO and reporting the results in Highway Capacity Software (HCS) format. Future Intersection and Roadway Segment Analyses The CONSULTANT shall use the most recent version of SYNCHRO to perform intersection and roadway operational analyses for the study area. The Synchro analyses results will be reported in the HCS format for this study. The future roadway segment analyses will be completed for the segments between or approaching the study area intersections as identified above. The analyses will consist of analyzing the impacts of alternative improvements and may include signal optimization, review of turn-lane lengths, turn-lane installation, and turn prohibitions and possible driveway and median closings. The analyses will consider: 1. Conflict points at turn-lanes 2. Continuous middle turn-lanes 3. Access spacing 4. Increased capacity by adding a continuous turn-lane The following analyses will be conducted for each intersection: 1. Existing PM No-Build PM Build PM Task 7.0 Access Management Analyses The CONSULTANT shall apply the latest FDOT access management guidelines and procedures to estimate appropriate median and driveway modifications throughout the corridor. Joint access opportunities, local road connections, road diet, and midblock pedestrian crossings opportunities will also be explored. These improvements will be shown on the aerials.

99 Florida-Alabama TPO SR10A (US90) West Cervantes Street CMP Draft Scope of Services Page 9 Task 8.0 Identification of Opportunities and Constraints Based on the data collected in Task 4, the CONSULTANT will develop a menu of improvements to address the observed conditions of the corridor. These improvements will form the basis of the complete street concept developed in Task 9. Review existing data on traffic operations and conditions. Review current revitalization efforts and proposed area development projects to determine any impact on project design. Review existing ROW maps to determine ROW limits and frontage ingress and egress constraints along the length of the corridor. Review existing and planned utilities for the corridor to evaluate potential impacts for proposed improvements. Review existing and planned parks, recreation, trails, green spaces, schools, and residences to identify potential connections. Develop strategies to address existing and future operational and access constraints at intersections and businesses along the corridor. Coordinate with City of Pensacola staff on possible improvements where opportunities and/or constraints exist. As part of this task the CONSULTANT will develop a framework analysis of the corridor. A framework analysis is an analytical tool that provides a general overview of a project area and reviews how the project relates, connects and/or influences its contextual relationships. Task 9.0 Development of Complete Street Concepts One of the goals of the FDOT is to implement a policy that promotes safety, quality of life, and economic development in Florida. This policy is implemented through a context-sensitive system of Complete Streets. Complete Streets are for everyone: 1. Are designed and operated to enable safe access for all users; 2. Provide safe movement for pedestrians, cyclists, motorists, and transit riders of all ages and abilities. 3. Make it easy for cyclist and pedestrians to cross the street; 4. Allow transit to run on time and make it safe for people to walk to and from transit stops. There is no singular design prescription for Complete Streets. Each is unique and context-sensitive. As such, the CONSULTANT will develop up to four (4) Complete Street Concepts for the corridor. These concepts will include any needed transportation improvements identified in Task 6. Task 10.0 Deliverables (all reports will be in Adobe PDF) The CONSULTANT shall provide the following documents: 1. Monthly Progress Reports The CONSULTANT shall provide a monthly progress report to the TPO Staff. The report is required regardless of project status or payment request. 2. Pre-Draft CMP Report The CONSULTANT shall prepare and submit five (5) hard copies of a Pre-Draft CMP Report for TPO Staff review and comment prior to preparing a Draft CMP Report for the TPO and advisory committees review and comment. This will include aerials in hard copy form. 3. Draft CMP Report - The CONSULTANT shall prepare and submit eight (8) hard copies and eight (8) CD s each of the draft report for TPO staff, City of Pensacola staff, FDOT and FHWA

The CONSULTANT shall prepare and submit twenty (20) hard copies and sixty (60) CD s each of the draft report for the TPO and advisory committees for review and comment. The comments from the TPO Staff, City of Pensacola Staff, FDOT, FHWA, TPO and advisory committees will be incorporated into the final report as appropriate. Aerials that display recommendations will be presented in the report. 4. Final CMP Report The CONSULTANT shall incorporate comments from the state, federal and local governing boards and workshop presentations into the final CMP Report as appropriate. Sixteen (16) color hard copies and eighty-one (81) CD s will be submitted to the TPO Staff for distribution as follows: City of Pensacola - Five (5) color hard copies and ten (10) CD s FDOT - Five (5) color hard copies and five (5) CD s FHWA - One (1) color hard copy and one (1) CD TPO and Advisory Committees Sixty (60) CD s TPO Staff -Five (5) color hard copies and five (5) CD s will be maintained by TPO staff. Task 11.0 Americans with Disabilities Act The CONSULTANT will adhere to the Americans with Disabilities Act (ADA) of 1990 when developing recommendations for this corridor. The ADA is a wide-ranging civil rights law that prohibits, under certain circumstances, discrimination based on disability. Task 12.0 Additional Services If through the course of the project any additional tasks are determined to be needed by the CONSULTANT, TPO, City of Pensacola, or FDOT the cost must be determined and negotiated, and a change order must be processed by the TPO before the work is performed. If the CONSULTANT conducts the work first and requests payment afterwards the CONSULTANT risks not being paid for the work.

All Technical Coordinating Committee (TCC), Citizens Advisory Committee (CAC) and Bicycle Pedestrian Advisory Committee (BPAC) meetings are held at the West Florida Regional Planning Council.
