ArticleII Purposes Section1.Objectives.Thepurposeorpurposes(Objects)whichthecorporationwillhereafter pursueare: A.Topromotethewelfareofchildrenandyouthinhome,school,andthroughoutthe communityf B.ToraisethestandardsofhomelifeF C.Toadvocateforlawsthatfurthertheeducation,physicalandmentalhealth,welfare, safetyofchildrenandyouthf D.Topromotethecollaborationandengagementoffamiliesandeducatorsinthe EducationofCitrusRidgePreKL8thgradestudents. E.Toengagethepublicinunitedeffortstosecurethephysical,mental,emotional, andsocialwelllbeingofallstudentsfandfamilies. F.Toadvocateforfiscalresponsibilityregardingpublictaxdollarsinpubliceducation funding. Section2.Awareness.ThepurposesofthePTOarepromotedthroughadvocacyand educationincollaborationwithparents,families,teachers,educators,students,andthepublic. Collaborationwillbedevelopedthroughconferences,committees,projects,andprogramsFand governedandqualifiedbythebasicprinciplessetforthinarticleiii. Section3.FederalStatus.PTOisorganizedexclusivelyforthecharitable,scientific, literary,oreducationalpurposeswithinthemeaningofsection501(c)(3)oftheinternal RevenueCodeorcorrespondingsectionofanyfuturefederaltaxcode(referredtoas Internal RevenueCode ). ArticleIII Principles ThefollowingarebasicprinciplesofCitrusRidgePTO: A.Shallbenoncommercial,nonsectarian,andnonpartisan. B.Shallworktoengageandempowerchildren,families,andeducators Withintheschoolandcommunitytoprovidequalityeducationforallchildrenandyouth, andshallseektoparticipateinthedecisionlmakingprocessbyinfluencingschool policiesfaswellasadvocatingforchildren sissues,recognizingthatthelegal responsibilitytomakedecisionshasbeendelegatedbythepeopletoboardsof education,stateeducationauthorities,andlocaleducationauthorities. C.CitrusRidgePTOshallworktopromotethehealthandwelfareofchildrenandyouth,
2 andshallseektopromotecollaborationamongfamilies,schools,andthecommunityat large. D.Commitmenttoinclusivenessandequity,knowledgeofPTO,andprofessional expertiseshallbeguidingprinciplesforserviceincitrusridgepto. ArticleIV MembershipinPTO Section1.NonBdiscrimination.MembershipinPTOatalllevelsshallbeopen,without discrimination,toanyonewhobelievesinandsupportsthemission,purposesandprinciplesof CitrusRidgePTOandmeetsotherqualificationsformembershipasprescribedinthesebylaws andpaysduesasrequiredinthesebylaws. Section2.Anyparent,guardian,orotheradultstandinginlocoparentisforastudentatthe schoolmaybeamemberandshallhavevotingrights.theadministrationandanyteacher employedattheschoolmaybeamemberandhavevotingrights. Section3.Dues. A.DuesPayment.EachconstituentofPTOshallpayannualdues. B.Dueswillbeestablishedbytheexecutiveboard.Amembermust havepaidhisorherduesatleast7calendardaysbeforethemeetingtobeconsidereda memberingoodstandingwithvotingrights. Section4.MembershipYear.ThemembershipyearforPTOshallbeJuly1throughJune30. Section5.RightsandPrivileges.EveryindividualwhoisamemberofPTOwillbeentitledto allbenefitssuchas: A.AbilitytoserveingovernancepositionsinPTO B.Righttovoteatlocalmeetingsbasedupontherequirementsofservingasavoting delegate C.Eachmembershipshallprovide1voteupto(2)attendingadults. D.Officersandboardmembersshallbeelectedbyballotandmajorityvoteshallelect officers,andapluralityshallelectboardmembers.whenthereisonlyonecandidatefor anyoffice,thatelectionmaybeheldbyvoicevote. E.Whenaquorumof11membersisnotmet,thecurrentboardmemberswillremainin theirpositionsforthefollowingschoolyear. ArticleV GovernanceStructure Section1.Structure.TheCitrusRidgePTOgovernancestructureshallincludetheelected officers,administration,standingcommitteechair,associatedcommitteemembersbyelected officers. Section2.EligibilitytoServe.InordertobeeligibletoserveonthePTOgovernance structure,anindividualshall: A.BeacurrentmemberoforganizationF B.Maintainmembershipthroughouthis/hertermofserviceF C.ConsenttoupholdandadheretothepoliciesandprinciplesofCitrusRidgeF D.Meetotherqualificationsasprescribedinthesebylaws.
3 Section3.TermofOffice.Officersareelectedforoneyear.Eachpersonelectedshallhold onlyoneofficeatatime. Section4.Vacancies.Ifthereisavacancyintheofficeofpresident,thevicepresidentwill becomethepresidentatthenextregularlyscheduledmeeting.shouldthepresidentresign fromofficeandthevicepresidentdeclineappointmenttheexecutiveboardmayappointbyvote aninterimpresidentuntiltheelectionforthenextschoolyear.thiswillbetheprocessforany boardposition. Section5.RemovalfromOffice.OfficerscanberemovedfromofficewithcausebyatwoL thirdsvoteofthosepresent(assumingaquorum)ataregularmeetingwherepreviousnotice hasbeengiven. Section6.RemovalofChairmanofCommittee.ChairpersoncanberemovedbyBoard Membersandprincipalbyamajorityvote. ArticleVI Officers Section1.ElectedOfficers.TheofficersofCitrusRidgePTOshallbeaPresident,Vice President,Secretary,TreasurerandVPofFundraising. Section2.Eligibility.InadditiontothegeneralprovisionsprescribedinArticleV,Section2 thefollowingshallapply: A.Onlythosewhohaveactivelyparticipatedinpreviousschoolyearforatleast80%of PTOmeetingsFornominatedbyacurrentboardmember. B.Havevolunteered20plushoursinpreviousschoolyearFthisdoesnotapplywhen candidateisnewtoschool. Section5.DutiesofOfficers.Theelectedofficersshallperformthedutiesprovidedinthis sectionandsuchotherdutiesasprescribedbelowinthesebylaws. TheannualmeetingwillbeheldattheregularMaymeeting.Theannualmeetingisforreceiving reports,electingofficers,andconductingotherbusinessthatshouldarise.thesecretarywill notifythemembersofthemeetingsinaflyersenthomewiththestudentsatleastoneweek priortothemeeting. ArticleIX Section1.StandingRules.Standingrulesmaybeapprovedbytheexecutiveboardandthe secretaryshallkeeparecordofthestandingrulesforfuturereference. B.FinancialInterest.Apersonhasafinancialinterestifthepersonhas,directlyor indirectly,throughbusiness,investment,orfamily: i.anownershiporinvestmentinterestinanyentitywithwhichtheorganization hasatransactionorarrangementf ii.acompensationarrangementwiththeorganizationorwithanyentityor individualwithwhichtheorganizationhasatransactionorarrangementfor iii.apotentialownershiporinvestmentinterestin,orcompensationarrangement with,anyentityorindividualwithwhichtheorganizationisnegotiatinga transactionorarrangement. Compensation includesdirectandindirect remunerationaswellasgiftsorfavorsthatarenotinsubstantial. Afinancialinterestisnotnecessarilyaconflictofinterest.UnderSection3b,apersonwhohas afinancialinterestmayhaveaconflictofinterestonlyiftheappropriategoverningboardor committeedecidesthataconflictofinterestexists. Section3.Procedures. A.DutyToDisclose.Inconnectionwithanyactualorpossibleconflictofinterest,an interestedpersonmustdisclosetheexistenceofthefinancialinterestandbegiventhe opportunitytodiscloseallmaterialfactstotheboardandmembersofcommitteeswith
8 governingboardldelegatedpowerswhoareconsideringtheproposedtransactionor arrangement. B.DeterminingWhetheraConflictofInterestExists.Afterdisclosureofthefinancial interestandallmaterialfacts,andafteranydiscussionwiththeinterestedperson, he/sheshallleavethegoverningboardorcommitteemeetingwhilethedeterminationof aconflictofinterestisdiscussedandvotedupon.theremainingboardorcommittee membersshalldecidewhetheraconflictofinterestexists. C.ProceduresforAddressingtheConflictofInterest. i.aninterestedpersonmaymakeapresentationatthegoverningboardor committeemeeting,butafterthepresentation,he/sheshall leavethemeetingduringthediscussionof,andthevoteon,the transactionorarrangementinvolvingthepossibleconflictofinterest. ii.thechairpersonofthegoverningboardorcommitteeshall,if appropriate,appointadisinterestedpersonorcommitteetoinvestigate alternativestotheproposedtransactionorarrangement. iii.afterexercisingduediligence,thegoverningboardorcommitteeshall determinewhethertheorganizationcanobtain,withreasonableefforts,amore advantageoustransactionorarrangementfromapersonorentitythatwouldnot giverisetoaconflictofinterest. iv.ifamoreadvantageoustransactionorarrangementisnotreasonablypossible undercircumstancesnotproducingaconflictofinterest,thegoverningboardor committeeshalldeterminebyamajorityvoteofthedisinterestedboardmembers whetherthetransactionorarrangementisintheorganization sbestinterest,for itsownbenefit,andwhetheritisfairandreasonable.inconformitywiththe abovedetermination,itshallmakeitsdecisionastowhethertoenterintothe transactionorarrangement. D.ViolationsoftheConflictofInterestPolicy. i.ifthegoverningboardorcommitteehasreasonablecausetobelieveamember hasfailedtodiscloseactualorpossibleconflictsofinterest,itshallinformthe memberofthebasisforsuchbeliefandaffordthememberanopportunityto explaintheallegedfailuretodisclose. ii.if,afterhearingthemember sresponseandaftermakingfurtherinvestigation aswarrantedbythecircumstances,thegoverningboardorcommittee determinesthatthememberhasfailedtodiscloseanactualorpossibleconflict ofinterest,itshalltakeappropriatedisciplinaryandcorrectiveaction. Section4.RecordsofProceedings. Theminutesofthegoverningboardandallcommitteeswithboarddelegatedpowersshall contain: A.Thenamesofthepersonswhodisclosedorotherwisewerefoundtohaveafinancial interestinconnectionwithanactualorpossibleconflictofinterestfthenatureofthe
9 financialinterestfanyactiontakentodeterminewhetheraconflictofinterestwas presentfandthegoverningboard sorcommittee sdecisionastowhetheraconflictof interestinfactexisted. B.Thenamesofthepersonswhowerepresentfordiscussionsandvotesrelatingtothe transactionorarrangementfthecontentofthediscussionfincludinganyalternativesto theproposedtransactionorarrangementfandarecordofanyvotestakeninconnection withtheproceedings. Section5.Compensation. A.Avotingmemberofthegoverningboardwhoreceivescompensation,directlyor indirectly,fromtheorganizationforservicesisprecludedfromvotingonmatters pertainingtothatmember scompensation. B.Avotingmemberofanycommitteewhosejurisdictionincludescompensationmatters andwhoreceivescompensation,directlyorindirectly,fromtheorganizationforservices isprecludedfromvotingonmatterspertainingtothatmember scompensation. C.Novotingmemberofthegoverningboardoranycommitteewhosejurisdiction includescompensationmattersandwhoreceivescompensation,directlyorindirectly, fromtheorganization,eitherindividuallyorcollectively,isprohibitedfromproviding informationtoanycommitteeregardingcompensation. Section6.AnnualStatements.Eachboardmember,principal,andmemberofacommittee withgoverningboardldelegatedpowersshallannuallysignastatementwhichaffirms thatsuchperson: HasreceivedacopyoftheconflictofinterestpolicyF HasreadandunderstoodthepolicyF HasagreedtocomplywiththepolicyFand Understandsthattheorganizationischaritableandthatin ordertomaintainitsfederaltaxlexemptstatusitmustengage primarilyinactivitieswhichaccomplishoneormoreofitstaxlexempt purposes. Section7.PeriodicReviews.Toensurethattheorganizationoperatesinamannerconsistent withcharitablepurposesanddoesnotengageinactivitiesthatcouldjeopardizeits taxlexemptstatus,periodicreviewsshallbeconducted.theperiodicreviewsshall,ata minimum,includethefollowingsubjects: A. Whethercompensationarrangementandbenefitsarereasonableare basedoncompetentsurveyinformationandaretheresultofarmslength bargaining. B. Whetherpartnershipsjointventuresandarrangementswithmanagement organizationconformtotheorganizationswrittenpoliciesareproperly recorded,reflectreasonableinvestmentorpaymentsforgoodsand services,furthercharitablepurposes,anddonotresultininurement, impermissibleprivatebenefit,oranexcessbenefittransaction.
10 Section8.UseofOutsideExperts.Whenconductingtheperiodicreviewsasprovidedforin Section7,theorganizationmay,butneednot,useoutsideadvisers.Ifoutsideexperts areused,theiruseshallnotrelievethegoverningboardofitsresponsibilityforensuring thatperiodicreviewsareconducted. ArticleXVIDAmendments Section1.Amendments.ThesebylawsmaybeamendedattheannualmeetingbytwoLthirds voteprovidedthatthefollowingrequirementsshallfirsthavebeencompliedwithinthefollowing order: A. Theamendmentsshallhavebeenapprovedbytheboardmembers.Bylaws amendmentsapprovedbytheboardmaybeamendedattheannualmeetingbythe youngdelegates. B. Amendmentsshallbereceivedbyboardmembers,nolessthanfortyLfive(45)daysprior tothedateoftheconveningannualmeeting. ProvisototheBylaws: Alladoptedbylawamendmentspertainingtostandingcommitteesshalltakeeffectatthestartof the2018l2019term.
