2 ARTICLEI: NAME BYLAWSOFTHECOLORADOREPUBLICANSTATECENTRALCOMMITTEE Amendments(Adopted:(September26,2015 ThenameofthisorganizationshallbetheColoradoRepublicanStateCentralCommittee,alsoknownas thecoloradorepublicancommittee,andhereinafterreferredtoascrc. ARTICLEII: PURPOSE RecognizingtheprinciplesoftheRepublicanPartyasreflectedintheStateandNationalPlatforms,the primarypurposesofthisorganizationshallbetoelectdulynominatedordesignatedrepublican candidatestooffice,topromotetheprinciplesandachievetheobjectivesoftherepublicanpartyat nationalandstatelevels,andtoperformthefunctionssetforthintheelectionlawsofthestateof Colorado. ARTICLEIII:ORGANIZATIONANDPOLICY SectionA. Law. TheColoradoRepublicanCommitteeisanunincorporatednonprofitassociationandpoliticalparty committee,governedbyandoperatingunderthelawsofthestateofcolorado. SectionB. Powers. TheColoradoRepublicanStateCentralCommitteeshallhaveandmayexerciseallsuchpowersasare expresslyorimpliedlyconferreduponitbythesebylawsandbythelawsofthestateofcolorado, providedthesamearenotinconsistentwiththelawsofthestateofcolorado,andthelawsoftheunited States. SectionC.PreOPrimaryNeutrality. Nocandidateforanydesignationornominationforpartisanpublicofficeshallbeendorsed,supported,or opposedbythecrc,actingasanentity,orbyitsstateofficersorcommittees,beforetheprimaryelection, unlesssuchcandidateisunopposedintheprimaryelection. SectionD.AuthoritytoBind. Nopersonorentity,includinganycountyordistrictpoliticalpartycentralcommittee,affiliated,auxiliary, oralliedorganization,oranyseparateorganizationauthorizedtousethenamerepublican,hasauthority tobindinanymannerthecrcunlesspriorwrittenauthorizationfromthechairmanorhisdesigneeis given. ARTICLEIV: MEMBERSHIP SectionA.MembershipDefined. MembershipoftheCRCshallbecomposedofvotingandnonvotingmembers. ;1;
3 1. Thevotingmembersshallbe: a. TheChairman,Vice;ChairmanandSecretaryoftheCRC; b. Thechairman,vice;chairmanandsecretaryofeachoftheRepublicancountycentralcommittees; c. TheelectedRepublicanUnitedStatessenatorsandrepresentativesinCongress; d. TheelectedRepublicanstateofficialsincludinggovernor,lieutenantgovernor,secretaryofstate, statetreasurer,attorneygeneral,andmembersofthegeneralassembly,thestateboardofregents,and thestateboardofeducation; e. TheRepublicanNationalCommitteemanandNationalCommitteewomanforColorado;and f. Twoadditional("bonus")membersfromeachcountythatpolledtenthousandvotesatthelast precedinggeneralelectionfortherepublicancandidateforgovernorofcoloradoorpresidentofthe UnitedStates,andtwobonusmembersforeachadditionaltenthousandvotesormajorportionthereofso polledinsuchcounty. i. Thebonusmembersshallbeelectedbythecountycentralcommitteeatitsorganizational meeting. ii. Bonusmembervacanciesshallbefilledbythecountyentitledtomaketheoriginalselection,in accordancewiththebylawsofthecountycentralcommittee. iii. Countiesshallnotelectmorebonusmembersthantheyareentitledtobystatelaw. h. TheelectedRepublicanDistrictAttorneys. i. Thechairmanofeachcongressionaldistrictcentralcommittee. 2. Thenonvotingmembersshallbe: a. TheappointedofficersandchairmanoftheCRCstandingandspecialcommittees; b. Thechairmanandvice;chairmanofeachofthejudicial,senatorialandrepresentativedistrict centralcommitteesandthevice;chairmanofeachofthecongressionaldistrictcentralcommittees;and c. Thepresidingstateofficerofeachseparateorganization,auxiliaryoralliedorganization recognizedbytheexecutivecommitteeinaccordancewitharticlexviiiofthesebylaws; SectionB.RightsofNonvotingMembers. Nonvotingmembersshallhavealloftheprivileges,rightsanddutiesofvotingmembers,exceptthatthey mayvoteonlywhenactingastheproxyofanyvotingmember,orwhentheyarealsovotingmembersof thecrc. SectionC.ResidenceandRegistration. AllmembersshallresideandberegisteredasRepublicansinthecountythattheyrepresentasshownby theregistrationbooksofthecountyclerkandrecorderorthecoloradosecretaryofstate. ARTICLEV: OFFICERS SectionA.OfficersDefined. 1. TheelectedofficersoftheCRCshallbeaChairman,Vice;ChairmanandSecretary.Theyshallassume theirdutiesatthecloseoftheorganizationalmeetingandshallserveforatermoftwoyearsoruntiltheir successorsareelected. 2. TheappointedofficersshallbeanAssistantSecretary,aTreasurerandanAssistantTreasurer,allof whomshallberegisteredrepublicansappointedbythechairman,andwhoshallserveathispleasure; andanyotherofficersdeemednecessarybythecrc. SectionB. Duties. 1. TheChairmanshall: a. BethechiefexecutiveofficeroftheCRC. b. IssuethecallandpresideatallmeetingsoftheCRCandtheExecutiveCommittee. c. ObserveandenforcethebylawsandrulesoftheCRC. ;2;
4 d. Becustodianofallfunds,books,papers,recordsandproceedingsoftheCRCandtheRepublican stateassemblyand/orconventionandreporttotheexecutivecommitteewhenandastheexecutive Committeerequires. e. Appointnecessarystaffmembersandallstandingandspecialcommittees. f. Beexofficioamemberofallcommittees. g. WiththeassistanceoftheSecretary,fileunderoathwiththeColoradosecretaryofstateafulland completerollofthecrcmembershipinaccordancewithlaw. h. SubmitaproposedbudgettotheExecutiveCommitteebyJune15followinghiselection,and amendmentstosuchbudgetasmayberequired,andshallprovideorcausetobeprovidedquarterly financialstatementstotheexecutivecommitteeandtothecrc. i. MakearrangementsfortheRepublicanstateassemblyand/orconvention. j. PresideovertheRepublicanstateassemblyand/orconventionordesignateapresidingofficer. k. CertifythenamesoftheRepublicanNationalCommitteemanandNationalCommitteewomanto therepublicannationalcommitteeaftertheirelection. l. FilestatecentralcommitteebylawsandruleswiththeColoradosecretaryofstateinaccordance withlaw. m. Filenationaldelegateproceduresandthecertificationofdelegatesandalternatedelegateselected inaccordancewiththerulesoftherepublicannationalcommittee. 2. TheVice;Chairmanshall: a. ExercisethefunctionsoftheChairmanduringhistemporaryabsence,duringhistemporary inabilitytoact,orattherequestofthechairman. b. PerformsuchotherdutiesastheChairmanmayprescribe. 3. TheSecretaryshall: a. BethechiefclericalofficeroftheCRC,andrecordallCRCandExecutiveCommitteeproceedings. b. HavereadyfortheconveningofeachStateAssemblyand/orConvention,atemporaryrollof delegatesentitledtoparticipate.therollshallbepreparedfromthecredentialsofuncontesteddelegates filedwiththesecretaryandfromthecredentialsofthecontesteddelegatesplaceduponthetemporary rollbythecrc. c. ServeassecretaryatallStateAssembliesand/orConventions. d. Prepareandverifyallcredentialsfordelegatesandcertificatesshowingdesignationsmadebythe StateAssemblyand/orConvention. e. FilewiththeColoradosecretaryofstatealistofthenames,addresses,andtelephonenumbersof eachoftheofficerselected,togetherwithalistofthenames,addresses,andtelephonenumbersofthe vacancycommitteeselected,nolaterthanthirtydaysafterthemeetinginwhichtheofficerswereelected. f. PerformsuchotherdutiesastheChairmanmayprescribe. 4. TheAssistantSecretaryshall: a. AssumethedutiesoftheSecretaryifheisabsentorunabletoact. b. PerformsuchotherdutiesastheChairmanmayprescribe. 5. TheTreasurershall: a. Fileorcausetobefiledwiththeappropriateauthoritiesallcampaignfinancereportsandtax filingsrequiredbystateorfederallaw. b. Complywithallotherapplicablestateandfederallaws. c. PerformsuchotherdutiesastheChairmanmayprescribe. 6. TheAssistantTreasurershall: a. AssumethedutiesoftheTreasurerifheisabsentorunabletoact. b. PerformsuchotherdutiesastheChairmanmayprescribe. ;3;
5 SectionC. Removal. 1. AnyelectedofficeroftheCRCmayberemovedfromofficeatanytimeforwhatevercausetheCRC maydeemsufficient,byavoteofthree;fifthsoftheentiremembershipofthecrceligibletovoteata meetingcalledforthatpurpose. 2. Writtennoticegivingthetime,place,andpurposeofthemeetingshallb edtoeachmemberat leastfifteendaysbeforethemeeting. 3. TheactionoftheCRCshallbefinal. SectionD. Vacancies. 1. AvacancyshallexistintheeventofanofficersorNationalCommitteemanorNational Committeewoman sineligibilitytoholdoffice,death,resignation,removal,permanentabsence,or permanentdisability.theexecutivecommitteeshalldeterminebymajorityvotewhethersufficient evidenceexistsofpermanentabsenceorpermanentdisability. 2. AvacancyinanyelectedofficeshallbefilledbytheCRCmemberspresentorpresentbyproxyand votingatameetingofthecrccalledtofillthevacancy. a. TheVice;Chairmanshallmailorotherwisetransmitthecallforameetingtoallmembersofthe CRCwithintendaysofthevacancyintheofficeoftheChairman.Thismeetingshallbeheldwithinthirty daysofthecall. b. TheChairmanshallmailorotherwisetransmitthecallifavacancyoccursintheofficeoftheVice; Chairman,Secretary,NationalCommitteemanorNationalCommitteewoman. 3. Vacanciesoccurringinanyappointedofficeshallbefilledinthesamemannerastheappointment wasoriginallymade. ARTICLEVI:NOMINATIONSANDELECTIONS SectionA. Nominations. 1. CandidatesforChairman,Vice;ChairmanandSecretaryshallbenominatedfromtheflooratthe organizationalmeeting. 2. NominationsforanyofficeshallbemadeonlybymembersoftheCRCinpersonorbyapersonacting asaproxyonbehalfofavotingmember. SectionB. Elections. 1. Officersshallbeelectedbymajorityvoteusingasecretballotunlessthereisonlyonenomineefor theoffice.inthatcaseelectionshallbebyvoicevote. 2. Ifmorethantwopersonsarenominatedforanoffice,andafterthreeballotsnonomineehas receivedtherequiredmajorityvote,then,unlessoneormorenomineeshavewithdrawnduringor followingthisballoting,thenomineereceivingtheleastvotesonthelastofthethreeballotsshallbe ineligibleonallsubsequentballots.thenomineereceivingtheleastvotesoneachballotthereaftershall alsobeineligibleonsubsequentballots,unlessoneormoreothernomineeswithdrawfollowingsuch ballot.ballotingshallcontinueinthismanneruntilamajorityvoteiscastforonenominee. ARTICLEVII: MEETINGS SectionA.OrganizationalMeeting. TheorganizationalmeetingoftheCRCshallbeheldbetweenthefifteenthdayofFebruaryandthefirst dayofaprilofeachodd;numberedyear,oratthetimeasotherwisespecifiedbylaw.itspurposeshallbe toelectachairman,vice;chairmanandsecretary,andtoconductotherbusinessthatmayproperlycome beforeit. SectionB.Preassembly/PreOconventionMeeting. Apreassemblyand/orpre;conventionmeetingoftheCRCshallbeheldintheeven;numberedyearson thedayprecedingthestateassemblyand/orconvention.itspurposeshallbetohearanyandall ;4;
6 contestsofpersonsclaimingseatsintheassemblyorconventionandtoconductanyotherbusiness placedonthecallbythechairman. SectionC.OtherMeetings. Othermeetingsshallbeheld: 1. AtatimeandplacedesignatedbytheCRC;or 2. UponthecalloftheChairmanor,intheeventofhisabsenceorinabilitytoact,uponthecallofthe Vice;Chairmanor,intheeventwhenbothChairmanandVice;Chairmanareabsentorunabletoact,upon thecallofthesecretary;or 3. Uponthewrittenrequestofone;quarterofthevotingmembers.Themeetingshallbecalledbythe Chairmanwithintendaysafterreceiptofsuchrequest;iftheChairmanfailstodoso,anyvotingmember mayissuethecallattheexpenseofthecrc.themeetingshallbeheldwithinthirtydaysofthecall. SectionD. Call. Theofficialcallshallbeinwritingandmailedortransmittedby tothelastaddressofeachmember onfileattheofficeofthecrc.th ingshallbemadenofewerthanfifteen(15)daysbeforethedate ofthemeeting,exceptthatifamendmentstothebylawsareproposed,thecallshallb ednofewer thanthirty(30)daysbeforethemeetingandshallincludeacopyoftheproposedamendments.thecall shallstatethetimeandplaceofthemeetingandthebusinesstobeconducted,providedthatthebusiness ofthemeetingshallnotbelimitedtomattersstatedinthecallunlessthecallisforaspecialmeeting. SectionE. Quorum. Aquorumforanymeetingshallbeone;thirdofthevotingmembers;exceptthatoncethepresenceofa quorumhasbeenestablished,thedepartureofmembersshallnotbecauseforadjournment. SectionF.MinimumNumberofMeetings. MeetingsoftheCRCshallbeheldnofewerthanthreetimesduringanytwoyearperiod. SectionG.ActionbyWrittenConsent. Exceptfortheelectionofofficers,orthefillingofvacanciesspecifiedinArticleV,SectionDofthese Bylaws,anyactionrequiredtobetakenataspecialmeetingoftheCRCmaybetakenwithoutameetingif writtenorelectronicconsentshallbegivenbyamajorityofallthemembersofthecrcentitledtovote withrespecttothesubjectmatterthereof. ARTICLEVIII:VOTINGANDPROXIES SectionA.MethodsofVoting. Voting,withtheexceptionoftheelectionofofficers,shallbebyvoice,standing,orhandvoteatthe discretionofthechairmanunlessarollcallisrequestedbyforty;fiveormorevotingmembers.inthis case,rollshallbetakenwithinthecountydelegationsandthetotalsannouncedbythecountychairman orhisdesignee. SectionB.NoMultipleVotes. Apersonholdingmultipleofficesshallnotbeentitledtomorethanonevote,excludingproxies. SectionC.VotesbyMultipleOfficers. Nocountyshallincreaseitsvotingstrengthbyelectingmultipleofficers.Ifacountyhasmorethanone vice;chairman,thecountymusteitherinformthechairmanwithinthirtydaysofanycounty organizationalmeetingwhichvice;chairmanisentitledtovoteorthevotewillbesplitproportionally amongallthevice;chairmen. SectionD. Proxies. Anyvotingmemberdesiringtovotebyproxyshalldesignatehisproxyinwritingwhichshallspecifythe meetingandbedated,signed,witnessedandsubmittedtoandapprovedbythecredentialscommittee. 1. Theproxyshallapplytoasinglemeeting. ;5;
7 2. TheindividualdesignatedasaproxyshallbeaRepublicanelector,shallresideintheconstituencyor countywhichhisprincipalrepresents,andmayvoteonlyiftheprincipalisabsentatthetimeofthevote. Forexample,acountychairmanmaybedesignatedasaproxyforanyofhiscountysstatebonus membersandforanysenatororrepresentativeinwhosedistrictthechairmanresides. 3. Aproxyofamemberabsentatrollcallshallbesubmittedbeforethemeetingiscalledtoorder. 4. Aproxyofamemberpresentatrollcallwhosubsequentlyleavesthemeetingmaybesubmittedat anytimeduringthemeeting,buttheproxymaybevotedonaparticularballotonlyifsubmittedbefore votingcommencesonthatballot. 5. AnymemberoftheCRCshallhavetherighttoexaminetheproxiespriortoanyparticularvote. 6. AtthediscretionoftheCredentialsCommittee,checkinproceduresmaybesubstitutedfortheroll callasrequiredbythissection. ARTICLEIX:EXECUTIVECOMMITTEE SectionA. Membership. TheExecutiveCommitteeshallconsistofvotingandnonvotingmembersasfollows: 1. Votingmembers: a. MembersbyvirtueofholdingofficeshallbetheChairman,Vice;ChairmanandSecretaryofthe CRC;theNationalCommitteemanandNationalCommitteewoman;theRepublicanpresidentorminority leaderofthestatesenate;andtherepublicanspeakerorminorityleaderofthestatehouseof Representatives. b. Electedmembersshallbeonerepresentativeelectedfromandbyeachofthecongressional districtcentralcommittees. c. MembersappointedbytheChairmanshallbe:twocountyofficersshallbefromthecountycentral committeesfromcountieswithpopulationsofmorethan100,000;twocountyofficersshallbefromthe countycentralcommitteesfromcountieswithpopulationsoflessthan100,000;andtwoadditionalcrc members.notwomembersappointedbythechairmanshallbefromthesamecounty. d. Memberselectedbythecountycentralcommitteechairmen:twocountyofficersshallbeelected bythecountycentralcommitteechairmanfromcountieswithpopulationsofmorethan100,000;andtwo countyofficersshallbeelectedbythecountycentralcommitteechairmanfromcountieswithpopulations oflessthan100,000.notwomemberselectedbythecountycentralcommitteechairmenshallbefrom thesamecongressionaldistrict. 2. NonvotingmembersshallbetheTreasurer,eachcongressionaldistrictandcountycentral committeechairmanwhoisnotanappointedorotherwiseavotingmemberoftheexecutivecommittee, andthepresidingstateofficerofeachrecognizedstatewiderepublicanseparateorganization,auxiliary oralliedorganizationincolorado. SectionB. Duties. ThedutiesoftheExecutiveCommitteeshallbeto: 1. ServeasanadvisorycommitteetotheChairman,andtoperformotherfunctionsprescribedinthese bylawsorbythechairman. 2. ApprovethebudgetbyJuly15ofeachodd;numberedyear,andapprovethehiringandsalaryofany officerandanydirector;levelstaffmember. 3. Decidebymajorityvoteifsufficientevidenceexiststodeclareavacancyinanofficebecauseof permanentabsenceorpermanentdisability. 4. Hearanddeterminepartycontroversies,otherthandelegatecontests,subjecttoreviewbytheCRC. 5. Determinewhethertorecognizeanyaffiliatedorganizationorgrantpermissiontoanyseparate organizationusingthenamerepublican.thecommitteeshallalsohearallcontroversiesconcerningsuch organizations,subjecttoreviewbythecrc.(seearticlexvandarticlexvii.) ;6;
8 SectionC. Meetings. 1. RegularmeetingsoftheExecutiveCommitteeshallbeheldnofewerthansixtimesacalendaryear andatleastonceeachcalendarquarter.aregularmeetinglocation,dayandtimeshallbesetatthefirst meetingofthenewterm.thechairmanmay,athisdiscretion,callaregularmeetingatanotherlocation, day,ortime. 2. SpecialmeetingsshallbecalledbytheChairman,athisdiscretion,oratthewrittenrequestof one;thirdofthevotingmembersoftheexecutivecommittee. 3. Exceptincasesofemergency,atleastfivedaysnoticeofanyExecutiveCommitteemeetingshallbe giventoallvotingmembers. 4. MeetingsmaybeopenbutshallgointoexecutivesessionatthediscretionoftheChairmanorby majorityvoteofthememberspresentandvoting.nonvotingmembersshallbepermittedtoattend meetingsinexecutivesession. 5. Thequorumforanymeetingshallbeone;thirdofthevotingmembers. 6. Votesshallbecastinperson,viaphone,teleconference,orsimilartechnology,orbyproxygiventoa memberofthecrcandpresentedtothepresidingofficerbeforeoratthemeetingatwhichsaidproxyis exercised.otherwise,proxiesshallbegovernedbyart.viii, Dofthesebylaws. 7. AnyactionrequiredtobetakenatameetingoftheExecutiveCommitteemaybetakenwithouta meetingifwrittenorelectronicconsentshallbegivenbytwo;thirdsofallthemembersoftheexecutive Committeeentitledtovotewithrespecttothesubjectmatterthereof. ARTICLEX: COMMITTEES SectionA.StandingCommittees. Thestandingcommitteesshallbe:audit,bylaws,credentialsandanyothersdeemednecessarybythe Chairman. 1. a.theauditcommitteeshallbecomposedofthreemembers,noneofwhomshallbeastateparty officer,andatleastoneofwhomshallbeacertifiedpublicaccountant. b. ThecommitteeshallprovideforanannualauditofthebooksoftheCRCbyanindependent certifiedpublicaccountingfirm,shallreviewtheauditreport,andshallreporttheresultsoftheauditto thenextmeetingoftheexecutivecommittee.thecommitteeshallreportallauditssincethelast organizationalmeetingtothecrcatitsorganizationalmeeting. c. TheAuditCommitteeshallalsoauditthebooksatanyothertimerequestedbytheExecutive Committee.UponrequestoftheChairmanoramajorityofthevotingmembersoftheExecutive Committee,suchaudit(s)shallbeconductedbyanindependentcertifiedpublicaccountingfirmand reviewedbytheauditcommittee. d. UnlessotherwisedirectedbytheExecutiveCommittee,theAuditCommitteeshallestablishthe scopeandleveloftheaudit,whichmaybeinthenatureofaformalaudit,review,orcompilation. 2. TheBylawsCommitteeshallbecomposedofnofewerthanfivemembers.Itshallreviewall proposedamendmentsandmakerecommendationstothecrc.itshallalsonotifythecrcofmandatory changesrequiredbychangesintheelectionlawsorintherulesoftherepublicannationalcommittee. 3. SectionB.VotingMembers Votingmembersateachprecinctcaucusshallhavebeen: 1. Aresidentoftheprecinctforthirtydays;and 2. AcandidatefortheRepublicannominationforPresidentshallnotqualifyforallocationofany delegatesunlessthecandidatereceivesatleast15%ofthevoteatthepresidentialprimaryelection. b. Atleastthirty(30)dayspriortotheStateConvention,theCRCChairmanorhisdesigneeshall requestwrittenconfirmationofeachcandidatescontinuingcandidacy.noticeofsaidrequestshallbe servedbycertifiedmailaddressedtothequalifyingcandidatesnationalchairmanattheaddressofthe saidcandidatesnationalheadquarters,withacopyservedbymailtothecandidatescoloradochairman, ifsuchpersonisknown.thenoticeshallspecifytheconsequencesoffailuretosupplytherequired confirmation.saidwrittenconfirmationmustbereceivedbythecrcchairmannolaterthanfifteen(15) dayspriortothestateconvention.anysuchcandidatewhodoesnottimelyconfirmhiscontinuing candidacyshallceasetobedeemedaqualifyingcandidate. c. Thepercentageofdelegatesandalternatesallocatedtoaqualifyingcandidateshallbedetermined bytakingthenumberofvotescastforthequalifyingcandidateatthepresidentialprimaryelection dividedbythetotalnumberofvotescastforallqualifyingcandidates.thevotescastfornon;qualifying candidatesshallnotbeusedinthiscalculation.thispercentageshallbeappliedtothetotalnumberof ;9;

BallotingattheRepublicanNationalConvention. a. TheCRCChairmanorhisdesigneeshallcastthevotesforthedelegationonthefirstnominating ballotforpresidentinaccordancewiththepledgeofsupportmadebyeachnationaldelegateontheir noticeofintenttorun,orinaccordancewiththenumbersallocatedtoeachqualifyingcandidatebythe presidentialprimaryelectionandthesebylaws.ifaqualifyingcandidatereleaseshisdelegatesthrough publicdeclarationorwrittennotification,thecandidatesnameisnotplacedinnomination,orthe candidatedoesnototherwisequalifyfornominationundertherulesoftherepublicannational Convention,theindividualNationalDelegatesandNationalAlternateDelegatespreviouslypledgedare releasedtocasttheirballotsaseachmaychoose. b. OnanysucceedingballotforPresidentandonallballotsforotherpurposestheindividual delegatesarereleasedtocasttheirballotsaseachmaychoose. 4. Generalrulesandprocedures. a. OnorbeforethefirstdayofOctoberoftheyearbeforetheyearinwhichanationalconventionis tobeheldthecrcshall: i. Adoptrules,procedures,policies,andinstructivematerialgoverningtheselectionofdelegates andalternatedelegatestothenationalconventionwhichareconsistentwiththesebylawsandtherules oftherepublicannationalcommittee. ii. CertifyandfilewiththeRepublicanNationalCommitteestruecopiesoftheaboveandofall pertinentstatestatutes.changestothefiledmaterialshallbefiledinaccordancewiththerulesofthe RepublicanNationalCommittee. b. Delegatestothecountyassemblyshallservealsoasdelegatestothecorrespondingcounty convention.delegatestothecongressionalassemblyshallservealsoasdelegatestothecorresponding congressionalconvention.delegatestothestateassemblyshallservealsoasdelegatestothestate Convention. c. DelegatestothecongressionaldistrictconventionsshallbeapportionedbytheCRCamong countiesofthecongressionaldistrictinaccordancewiththesameallocationformulaadoptedforthe StateAssemblyand/orConvention. d. Thecongressionaldistrictchairman,undertheauthorityoftheCRCChairman,shallissuethecall tothecongressionalassemblyand/orconventionnotlaterthanthefirstdayoffebruaryofeach presidentialelectionyear.thecongressionalconventionsshallbeheldpriorto,butnoearlierthan14 daysbefore,thestateconvention. e. Noticeofanyprecinctcaucusmustcomplywithstatelaw. 5. Stateandcongressionaldistrictconventionprocedures: a. AllcandidatesforNationalConventionDelegate,whetheracandidateatanycongressional conventionorstateconventionorboth,mustfileanoticeofintenttorunfornationaldelegatewiththe CRCChairmaninwriting.SuchnoticeofintentmustbereceivedbytheCRCChairmanorhisdesigneeby mail,facsimile,electronictransmissionorhanddeliveryonaformandinsuchmannerasmaybe designatedbythecrcchairman,orinsuchothermannerasmaybedesignatedbythecrcchairman,no laterthanthirteen(13)dayspriortotheconventioninwhichthecandidatefornationaldelegatedesires tostandforelection,andmayspecifythepresidentialcandidatethecandidatefornationaldelegateis pledgedtosupport,ormayspecifythatthecandidatefornationaldelegateisunpledged.tobeeligibleto beselectedasanationalconventiondelegateoralternatedelegate,whetherascandidateatthe congressionalorstateconvention,thecandidatemusthavebeeneligibletoparticipateintheprecinct ;10;

NationalConventionDelegatesandAlternatesshallbeelectedonasingleballot.Eachconvention delegateshallbeentitledtovoteforthetotalnumberofdelegatesandalternatestobeelected.those candidatesreceivingthehighestnumberofvotesshallbeassignedtothenationaldelegateandalternate positionsaccordingtothetotalnumberofvoteseachreceived. c. CandidatesforNationalConventionDelegateandAlternateneednotidentifythepresidential candidatetheyarepledgedtosupport,butmaydosoattheiroption.theballotshallincludethe presidentialcandidateeachcandidatefornationaldelegateispledgedtosupport,orshallindicatethat thecandidatefornationaldelegateisunpledged. d. AlternateDelegateswillbedesignatedascongressionaldistrictorStateAlternateDelegates accordingtotheconventionatwhicheachiselected.intheeventadelegateoralternateisunableto serve,suchdelegateoralternatewillbereplacedbythenextrankedalternateelectedattheconvention whichelectedthedelegateoralternatebeingreplaced. e. IntheeventadelegateoralternateiselectedbyboththeStateConventionandacongressional districtconvention,thedelegateoralternateshallselecttheconventionforwhichhewishestoserveby notifyingthecrcchairman,inwriting,withintendaysofthecloseofthestateconvention.intheevent suchselectionisnotmadewithinthetimerequired,thecrcchairmanmaydesignatetheconvention fromwhichthedelegateoralternatewillserve. f. CongressionaldistrictchairmenshallcertifytheelectedNationalDelegatesandAlternatestothe CRCChairmanatthecloseoftheirconvention.TheCRCChairmanshallfilethecertificationsforall NationalConventionDelegatesandAlternateswiththeRepublicanNationalCommittee. g. Tiesofconsequenceshallbebrokenbylot: i. BytheCRCChairmaninthecaseofdelegateallocationtopresidentialcandidatesand ii. Bytheappropriateconventionchairmanindeterminingtheelectionorrankorderofnational conventiondelegatesandalternates. 6. TheCRCChairmanandtheColoradoRepublicanNationalCommitteemanandCommitteewoman shallbedelegatestothenationalconvention. SectionB.CountyAssemblies. Countyassembliesand/orconventionsshallbeheldaftertheprecinctcaucusesatthetimeandplace determinedbythecountycentralcommitteeandwithinthetimeperiodrequiredbylaw. 1. Eachcountycentralcommitteeshallconsiderthenumberofdelegatestobeelectedbythecounty assemblyand/orconventiontostateanddistrictassembliesand/orconventions,infixingthenumberof delegatestoparticipateinthecountyassemblyand/orconvention. 2. Thecallforthecountyassemblyand/orconventionshallinclude(inadditiontothetime,placeand purpose)astatementofthenumberofdelegatestobeelectedtothestateandmulti;countydistrict assembliesandconventions.attherequestofthechairmanofanydistrictlyingwhollywithinsuch county,thecallforthecountyassemblyand/orconventionshallincludethecallfortheassemblyofsuch district. 3. Thecountyassemblyand/orconventionshallelectfromamongitsmembersalldelegatestoevery stateorcongressionalassemblyorconvention,toanymulti;countysenatorialorrepresentativeassembly, andtoeveryjudicialassembly.however,nothingshallpreventanycountyfromelectingitsdelegates fromelectiondistricts,andanydelegateelectedbyhisdistrictshallbedeemedproperlyelectedbyhis countyassemblyorconventionunlesssuchcountyassemblyorconventionvotestooverturnornegate suchdistrictelection.countyassembliesshallelectdelegatesandalternates,shallestablishtheordering ofalternatedelegatestohigherassemblies,andshallprovideforthepromotionofalternates,tobe providedtothecrcandtothechairmanofallhigherdistrictcentralcommitteesinwritingwithinten (10) daysofthecountyassembly.ifnotsubmittedinatimelymatterinaccordancewiththesebylaws,the ;11;

Members"ofacountyassemblyand/orconventionshallmeanalldelegatesandalternatestothe countyassemblyand/orconventionelectedattheprecinctcaucuses(whetherornotpresentandvoting atthecountyassemblyand/orconvention)providedthatanalternatemayvoteonlywhenadelegateis absent. b. Adelegatewhomovesfromhisprecinctshallbeineligibletoserveasadelegatefromthat precinct. 4. Thecountyassemblyshallratifythelistofcommitteepeople.Thepresidingofficerandsecretaryof thecountyassemblyshallfileacertifiedlistofthenamesandaddresses,byprecinct,ofthosepersons electedasprecinctcommitteepeoplewiththecountyclerkandrecorderandforwardacopytothecrc withintendaysafterthedateofthecountyassembly. SectionC.SingleCountyDistrictAssemblies. 1. Singlecountysenatorial,representative,andjudicialdistrictassembliesshallbeheldonthesame dateandatthesamelocationasthecountyassembly. 2. Apportionmentofdelegates. a. Insenatorialandrepresentativedistrictslyingwhollywithinonecounty,thedelegatesand alternatedelegateselectedattheprecinctcaucusesshallservealsoasdelegatesandalternatedelegates totheirrespectivesenatorialandrepresentativedistrictassemblies. b. Injudicialdistrictscomprisedofasinglecountythedelegatesandalternatedelegateselectedat theprecinctcaucusesshallservealsoasdelegatesandalternatedelegatestotheirjudicialassembly. 2. Thecallforthedistrictassemblyshallincludetime,place,andpurposeandshouldbeissuedin conjunctionwiththecalltocountyassembly.seesectionb.2.ofthisarticle. 3. Failureofasinglecountydistricttoproperlyissueacallforthedistrictnominatingassemblyheld underthissectionshallnotinvalidatetheassemblyprovidedthattheassemblyisannouncedduringthe countyassemblyandbeforethedistrictassemblymeets. SectionD.OtherAssemblies. Allotherassembliesshallbeheldwithintheperiodasprovidedbystatelaw,butinanyeventshallbe heldpriortothestateassemblyand/orconvention.innoeventshallanymulti;countyassemblyor conventionbeheldpriortoanycountyassemblythatisfoundinwholeorinpartwithinthedistrict. 1. SectionB.VacanciesinDesignationandNomination. 1. Designationofcandidatesfornominationontheprimaryelectionballotshallbemadebythe appropriatedesignatingassembly.suchassemblyshallalsoselectavacancycommittee,whichmayfill anyvacancyoccurringinthedesignationswithinsuchperiodasprovidedbystatelawbeforetheprimary election,andanyvacancyoccurringthereafterinthenominationasprovidedbylawbeforeageneralor specialelection. 2. Ifnovacancycommitteehasbeenselectedbytheappropriatedesignatingassemblyandthe automaticselectionthereofhasnotbeenprovidedforinthecountyordistrictcentralcommitteebylaws, thevacancycommitteeshallbeselectedorconstitutedasfollows: a. Incounties,thevacancycommitteeshallconsistofthechairman,vice;chairmanandsecretaryof thecountycentralcommittee. b. Incountycommissionerdistricts,thecountycommissionerdistrictvacancycommitteeshall consistofthechairman,vice;chairmanandsecretaryofthecountycommissionerdistrictcentral committee.wherethereisnoseparatecountycommissionerdistrictcentralcommittee,vacanciesinthe designationornominationofcandidatesforcountycommissionershallbefilledbythechairman,vice; chairmanandsecretaryofthecountycentralcommittee. c. Instatesenatorial,representative,judicialandcongressionaldistricts,thevacancycommittee shallconsistofthedistrictcentralcommittee. d. TheChairmanoftheCRCshallappointthevotingmembersoftheCRCExecutiveCommitteeasthe statevacancycommittee,whichshallfillanyvacancyoccurringindesignationornominationatthestate level,unlessanduntilavacancycommitteeisselectedbythestateassemblyorconvention.thestate AssemblyorConventionmayselectavacancycommitteeofnotlessthansevennormorethantwenty; fourmembers,atleastoneofwhomshallbefromeachcongressionaldistrict.inthisevent,such committeeshallsupersedethevacancycommitteeappointedbythechairman. SectionC.VacanciesinPublicOffice. 1. Vacancycommitteesshallbeselectedbythevariouscongressional,county,statesenatorial, representativeandjudicialdistrictcentralcommitteesandbythecrc.ifanycentralcommitteefailsto selectavacancycommitteeasprovidedincoloradoelectionlaw,thenavacancycommitteeshallbe selectedorconstitutedaccordingtotheprovisionsoftheappropriatesubsectionsofsectionb.2.ofthis Article. 2. Vacancycommitteesshallbeselectedbythevariouscountyorcountycommissionerdistrictcentral committees,asappropriate,forthespecificandonlypurposeoffillingvacanciesintheofficeofcounty commissioner.ifanycentralcommitteefailstoselectavacancycommittee,thenavacancycommittee shallbeconstitutedaccordingtotheprovisionsoftheappropriatesubsectionsofcoloradoelectionlaw. 3. Thesevacancycommitteesshallactwithrespecttovacanciesinpublicofficeasfollows: a. WhenavacancyoccursintheGeneralAssembly,suchvacancyshallbefilledbytheappropriate districtvacancycommitteeinaccordancewithlaw.instatesenatorialorrepresentativedistricts comprisedofapartofoneormorecounties,thechairmanoftheseveralcountycentralcommitteeswho donotresideinthedistrictaredesignatedasnon;votingmembersofthedistrictvacancycommitteewith allprivileges,rightsanddutiesofvotingmembersexceptthatofvoting. b. WhenavacancyoccursintheofficeofUnitedStatessenatororanystateoffice,thestatevacancy committeeshallmakerecommendationspromptlytothegovernorconcerninganappointmenttofillsuch vacancy. ;14;
16 c. Whenavacancyoccursintheofficeofanydistrictattorney,thevacancycommitteeofthejudicial districtshallmakerecommendationspromptlytothegovernorconcerninganappointmenttofillsuch vacancy. d. Whenavacancyoccursintheofficeofcountycommissioner,suchvacancyshallbefilledbythe countycommissionervacancycommitteeinaccordancewithlaw. e. Whenavacancyoccursinanyothercountyoffice,thecountyvacancycommitteeshallmake recommendationspromptlytotheboardofcountycommissionersconcerninganappointmenttofillsuch vacancy. f. ShouldavacancyoccurintheofficeofregentoftheUniversityofColorado,otherthanavacancyin a seat filled by a regent elected from the state at large, the congressional district central committee vacancy committee for the congressional district represented by the vacating regent, or the vacancy committee designated in B.2.c. of the Article, shall make recommendations promptly to the governor concerninganappointmenttofillsuchvacancy. g. Should a vacancy occur in the office of member of the state board of education, other than a vacancyinaseatfilledbyamemberelectedfromthestateatlarge,suchvacancyshallbefilledbythe congressionaldistrictcentralcommitteevacancycommitteeforthecongressionaldistrictrepresentedby thevacatingboardmemberorregent,orthevacancycommitteedesignatedinb.2.c.ofthisarticle.should avacancyoccurintheofficeofamemberofthestateboardofeducationelectedfromthestateatlarge, thevacancyshallbefilledinaccordancewithcoloradoelectionlaw. 4. ShouldavacancyoccurintheofficeofrepresentativeinCongress: a. Acommitteecomposedoftheofficersofthecongressionaldistrictconcernedandthecounty chairmenofallcountiesentitledtobonusmemberrepresentationonthecentralcommitteeofthe congressionaldistrictconcernedareherebydesignatedtoconveneaconventionforthepurposeof nominatingacandidatetofillavacancyintheunexpiredtermofarepresentativeincongressandshall providetheprocedureforthenominationofsuchcandidate. b. Uponreceiptofthenoticeofelection,theCRCChairmanshallissuethecallfortheconvention, statingthenumberofdelegatesfromeachcountyandthemethodoftheirselection. c. Shouldtheconventionfailtoselectavacancycommitteethentheconveningcommitteeofthis sectionissodesignated. SectionD.OtherProvisions. 1. Districtvacancycommitteesandcountycommissionervacancycommitteesshallhaveaminimumof fivevotingmembers. 2. Promptlyafterselection,thenamesandaddressesofmembersofallvacancycommitteesshallbe filedwithboththecrcchairmanandthesecretaryofstate,bythechairmanofthecountyordistrict centralcommitteeforwhichsuchvacancycommitteeistoact. ARTICLEXV: CONTROVERSIES SectionA.StateDelegateContests. 1. TheCRCChairmanshallappointaCredentialsCommitteefromamongthemembersoftheState Assemblyand/orConvention.Itshallhearallcontestsofdelegateelectionsandmakerecommendations tothecrc. 2. TheCRCshallmeetthedaybeforetheStateAssemblyand/orConventiontohearanyandall contestsofpersonsclaimingseatsinsaidassemblyand/orconventionandtherecommendationsofthe CredentialsCommitteerelatingthereto.Itshallauthorizethetemporaryrollofdelegatestobeprepared bythesecretary. 3. Thenamesofalldelegateselectedanduncontestedshallbeplacedonthetemporaryroll.All delegateswhohavebeencontestedandwhosenameshavebeenplaceduponthetemporaryrollbya majorityofthecrcpresentandvotingshallhavetherighttovoteonallquestionsuntilotherwise determinedbytheassemblyand/orconvention,exceptuponcontestsinvolvingtheirowncredentials. ;15;
