1 SAFTA EST 2012 SAN ANTONIO FOOD TRUCK ASSOCIATION BYLAWS(OF( San$Antonio$Food$Truck$Association $ ARTICLE$I$ $OFFICES$ SECTION1.REGISTEREDOFFICE.Theregisteredofficeshallbeestablishedand maintainedat1807woodvinecircle,cityofsanantonio,bexarcountyinthestateof Texas. SECTION2.OTHEROFFICES.Thecorporationmayhaveotheroffices,eitherwithinor withoutthestateoftexas,atsuchplaceorplacesastheboardofdirectorsmayfrom timetotimeappointorthebusinessofthecorporationmayrequire. ARTICLE$II$ $MEMBERS$ SECTION1.MEMBERS:Thereshallbetwoclassesofmembershipofthiscorporation:1. Votingmembers2.Associatemembers.Allvotingmembersholdequalrights.No membershallholdmorethanonemembershipinthecorporation. SECTION2.NONSLIABILITYOFMEMBERS.Nomemberofthecorporationshallbe personallyliableforthedebts,liabilities,andobligationsofthecorporation. SECTION3.QUALIFICATIONS.Anyindividualorentitythatownsoroperatesatleastone mobilefoodtruck,paysallduesandassessmentsassetbytheboardofdirectors,and agreestobeboundbythearticlesofincorporationofthiscorporation,thesebyslaws, andbytherulesandregulationsadoptedbytheboardofdirectors,andisapprovedby theboardformembershipisqualifiedtobecomeamember. SECTION4.DUESANDASSESSMENTS.TheBoardofDirectorsshalldeterminethe amountandtypesofdues.initiallytherewillbetwotypesofduesandpaymentofboth typesofduesshallbeaconditionofmembership.theseduesincludefull Member/VotingMemberDues($250peryear),BasicAnnualDues($150peryear). MarketingProgram(ForVotingMembersonly,monthlyfeesTBDbytheendof2013) month.allduesaresubjecttoaugmentationbymajorityvotebytheboardofdirectors. BasicAnnualDueswillbeafixednonSrefundableamountforeachcalendaryear,and thereshallbenoprorationofthebasicannualduespayableforthecalendaryear.the amountofthedueswillbesetsemisannuallybytheboardofdirectors.additionalbasic AnnualDuesmaybecollectedforentitiesthatownmorethanonehealthdepartment licensedvendingvehicle.theinitialbasicannualduesshallbepaidpriortoanyrights vestinginamember. OperatingDuesmayincludeassessmentsforlobbyingactivities,legal,orotherexpenses ofthecorporation.paymentoftheoperatingduesandassessmentsshallbea conditionofmembership.memberswhojoinafterthebeginningofthecalendaryear Pg1

2 willberequiredtopayallcurrent(butnotprior),andfutureoperatingdues,whichare payableeffectivewiththefirstdayofthemonthoftheirmembership.monthly, quarterly(orotherperiodic)duesorassessmentsshallbepayableinadvanceoforon thefirstdayofeachmonthofanyapplicablebillingperiod. AmemberwhofailstomeettherequirementsofthisSectionshallbesubjecttothe SuspensionofMembershipprovisionsofSection8ofthisArticle. SECTION5.PARTICIPATION.Allmembersarerequiredtoattendinperson,orhavea companyrepresentativeattendinpersonatleastfiftypercent(50%)ofallmembership committeemeetings. AmemberthatdoesnotmeettheparticipationrequirementsofthisSectionshallbe subjecttoexclusionfromsaftasponsoredevents.compliancewiththisrequirement maybereviewedandenforcedduringtheplanningofeachsaftasponsoredevent. SECTION6.MEMBERSHIPBOOK.Thecorporationshallkeepamembershipbook containingthenamesandaddressofeachmemberwithstrictprivacy.terminationof themembershipofanymembershallberecordedinthebooktogetherwiththedateon whichsuchmembershipceased.suchbookmaybemaintainedinelectronicform,in whichcase,anymembermayrequesttoexamineitscontents,whichopportunityshall beprovidedwithinareasonabletimeaftersufficientnoticetotheexecutivedirector. SECTION7.PROPERTYRIGHTSNomembershallhaveanyrightorinterestinanyofthe propertyorassetsofthecorporation. SECTION8.SUSPENSIONOFMEMBERSHIP.Anindividualmember sprivilegesunder thesebyslawsmaybesuspendedbytheexecutivedirectorforuptosixtydaysifthe ExecutiveDirectorfindsthememberinnoncomplianceofthesebylaws,ortherulesand regulationsofthecorporationasadoptedbythedirectors.withinsixtydaysofthe suspensionthemembershallhavetherighttoadeterminationhearinginfrontofa membershipcommitteedesignatedbytheboardofdirectors.followingsuchhearing, theboardofdirectorsshalldeterminewhetherthemember'sprivilegesunderthesebys lawsshallbereinstated,conditionallyreinstated,orrevoked.amemberwhois suspendedorwhosemembershipisrevokedpursuanttothissectionshallnotbe entitledtoreimbursementforanypreviouslypaidbasicannualduesoroperatingdues. SECTION9.RESIGNATION.Anymembermayresignfromthecorporation.Resignation shallbeeffectiveupongivingwrittennoticetotheexecutivedirector,assistant ExecutiveDirectorforRecords,ormembershipcommittee,unlessthenoticespecifiesa latertimefortheresignationtobecomeeffective. SECTION10.TRANSFERANDTERMINATIONOFMEMBERSHIP.NoMembermaytransfer theirmembershipandtherightsarisingtherefromwithouttheapprovalofthe membershipcommitteeortheexecutivedirector.membershipshallterminateupon theresignationordeathofamember,oruponfailuretopaydueshereinrequired withinthirtydaysafterthedatetheybecomepayable. ARTICLE$III$ $BOARD$OF$DIRECTORS$ SECTION1.MEMBERSANDTERM. TheBoardofDirectorsshallconsistoffive(5) membersincludingtheofficers,(executivedirector,vicedirector,assistantexecutive DirectorforRecords,DirectorforFinanceandAssistantDirectorofMarketing& DowntownRelations)andtwoatlargepositions.Thedirectorsshallbeelectedatthe annualmeetingofmembersandshallbeelectedtoserveuntiltheirsuccessoriselected andqualified.eachdirectorshallbeelectedforatermofoneyear. SECTION2.RESIGNATIONS.SAnydirector,memberofacommitteeorotherofficermay resignatanytime.suchresignationshallbemadeinwriting,andshalltakeeffectatthe Pg2

3 timespecifiedtherein,andifnotimebespecified,atthetimeofitsreceiptbythe ExecutiveDirectororAssistantExecutiveDirectorforRecords.Theacceptanceofa resignationshallnotbenecessarytomakeiteffective. SECTION3.VACANCIES.SIftheofficeofanydirector,memberofacommitteeorother officerbecomesvacant,theremainingmembersoftheboardofdirectorsinoffice, thoughlessthanaquorum,byamajorityvote,mayappointanyqualifiedpersontofill suchvacancy,whoshallholdofficefortheunexpiredtermanduntiltheirsuccessorshall bedulychosenandqualified. SECTION4.REMOVAL.SAnydirectormayberemovedeitherfororwithoutcauseatany timebytheaffirmativevoteofthemajorityofotherdirectors,attheannualmeetingor aspecialmeetingofthedirectorscalledforthatpurpose. SECTION5.INCREASEOFNUMBER.SThenumberofdirectorsmaybeincreasedby amendmentofthesebyslawsbytheaffirmativevoteofamajorityofthedirectors thoughlessthanaquorum,attheannualmeetingorataspecialmeetingcalledforthat purpose,andbylikevotetheadditionaldirectorsmaybechosenatsuchmeetingto holdofficeuntilthenextannualelectionanduntiltheirsuccessorsareelectedand qualified. SECTION6.COMPENSATION.SDirectorsshallnotreceiveanystatedsalaryfortheir servicesatthistime.howeverinthefuturetheboardmaylooklookataddingsalaried Directorsasdirectorsorasmembersofcommittees,butbyresolutionoftheboarda fixedfeeandexpensesofattendancemaybeallowedforattendanceateachmeeting. Nothinghereincontainedshallbeconstruedtoprecludeanydirectorfromservingthe corporationinanyothercapacityasanofficer,agentorotherwiseandreceiving compensationtherefore. SECTION7.ANNUALMEETINGS.SAnnualmeetingstheBoardofDirectorswillbeheldat suchplace,eitherwithinorwithoutthestateoftexas,andatsuchtimeanddateasthe BoardofDirectors,byresolution,shalldetermineandassetforthinnoticeofthe meeting. IntheeventtheBoardofDirectorsfailstosodeterminethetime,dateandplaceof meeting,theannualmeetingshallbeheldattheregisteredofficeofthecorporationin TexasonSeptember1st.Ifthedateoftheannualmeetingshallfalluponalegalholiday, themeetingmaybeheldonthenextsucceedingbusinessday.ateachannualmeeting, thedirectorsentitledtovotemaytransactsuchcorporatebusinessasshallbestatedin thenoticeofthemeeting. SECTION8.DIRECTOR SMEETING.Theaffirmativevoteofamajorityofdirectors presentatameetingatwhichaquorumispresentwillbetheactoftheboardof Directors,unlessthevoteofagreaternumberofdirectorsisrequiredbylaw,the articlesofincorporation,orthesebylaws. SECTION9.ACTIONWITHOUTMEETING.SAnyactionrequiredorpermittedtobetaken atanymeetingoftheboardofdirectors,orofanycommitteethereof,maybetaken withoutameeting,ifpriornoticeofsuchactionorawrittenconsenttheretoissigned byallmembersoftheboard,orofsuchcommitteeasthecasemaybe,andsuchwritten consentisfiledwiththeminutesofthemeetingoftheboardorcommittee.meetingsof theboardofdirectors,oranyboardappointedcommitteemaybeheldbytelephone, orotherelectronicdevice. $ $ Pg3

4 ARTICLE$IV$ $OFFICERS$ SECTION1.OFFICERS.STheofficersofthecorporationshallconsistofanExecutive Director,ViceExecutiveDirector,AssistantExecutiveDirectorforRecords,Assistant ExecutiveDirectorforFinanceandAssistantDirectorofMarketing&Downtown RelationsandshallbeelectedbythemembersattheAnnualMembershipmeetingand shallholdofficeuntiltheirsuccessorsareelectedandqualified. SECTION2.OTHEROFFICERSANDAGENTS.STheBoardofDirectorsmayappointsuch officersandagentsasitmaydeemadvisable,whoshallholdtheirofficesforsuchterms andshallexercisesuchpowerandperformsuchdutiesasshallbedeterminedfromtime totimebytheboardofdirectors. SECTION3.CHAIRPERSON.STheExecutiveDirectorshallpresideatallmeetingsofthe BoardofDirectorsandshallhaveandperformsuchotherdutiesas,fromtimetotime, maybeassignedbytheboardofdirectors. SECTION4.EXECUTIVEDIRECTOR.STheExecutiveDirectorshallbethechiefexecutive officerofthecorporationandshallhavethegeneralpowersanddutiesofsupervision andmanagementusuallyvestedintheofficeoftheexecutivedirectorofaprofessional tradeassociation.theexecutivedirectorshallpresideatallmeetingsoftheboardof Directors,andshallhavegeneralsupervision,directionandcontrolofthebusinessof thecorporation,andexceptastheboardofdirectorsshallauthorizetheexecutionof contractsonbehalfofthecorporation,andshallcausethesealtobeaffixedtoany instrumentrequiringitandwhensoaffixedthesealshallbeattestedbythesignatureof theassistantexecutivedirectorforrecordsorassistantexecutivedirectorforfinance. ViceExecutiveDirectorcanconductmeetingswhenExecutiveDirectorisnotpresent. BoardofDirectorswillassigndutiesforthispositionandsaiddutiesaresubjectto change. SECTION5.ASSISTANTEXECUTIVEDIRECTORFORFINANCE.STheAssistantExecutive DirectorforFinanceshallhavethecustodyofthecorporatefundsandsecuritiesand shallkeepfullandaccurateaccountofthereceiptsanddisbursementsinbooks belongingtothecorporation.theassistantexecutivedirectorforfinanceshalldeposit allmoneysandothervaluablesinthenameandtothecreditofthecorporationinsuch depositoriesasmaybedesignatedbytheboardofdirectors. TheAssistantExecutiveDirectorforFinanceshalldisbursethefundsofthecorporation asmaybeorderedbytheboardofdirectors,ortheexecutivedirector,takingproper vouchersforsuchdisbursements.he/sheshallrendertotheexecutivedirectorandthe BoardofDirectorsattheregularmeetingoftheBoardofDirectors,orwheneverthey mayrequestit,anaccountofalltransactionsandofthefinancialconditionofthe corporation.ifrequiredbytheboardofdirectors,he/sheshallgivethecorporationa bondforthefaithfuldischargeofhis/herdutiesinsuchamountandwithsuchsuretyas theboardshallprescribe. SECTION6.ASSISTANTEXECUTIVEDIRECTORFORRECORDS.STheAssistantExecutive DirectorforRecordsshallgive,orcausetobegiven,noticeofallmeetingsofdirectors, andallothernoticesrequiredbylaworbythesebyslaws,andincaseofhis/herabsence orrefusalorneglecttodoso,suchnoticemaybegivenbyanyotherpersonthereunto directedbytheexecutivedirector,orbythedirectors,uponwhoserequisitionthe meetingiscalledasprovidedbythesebyslaws.theassistantexecutivedirectorfor Recordsshallrecordalltheproceedingsofthemeetingsofthecorporationandof directorsinabooktobekeptforthatpurpose,andshallaffixthesealtoallinstruments Pg4

5 requiringit,whenauthorizedbytheboardofdirectorsortheexecutivedirector,and attestthesame. SECTION7.AssistantExecutiveDirectorofMarketing&DowntownRelationswill coordinatewithotherdirectorsonhowwemarketandputtogethereventsforthe AssociationandwillbetheSAFTAliaisonforCitywideandeventsandourwatchdogfor educatingcityofficialsinordertoaffectchangeinpolicies. ARTICLE$V$<$MEETING$OF$MEMBERS$ SECTION1.ANNUALMEETINGS.SAnnualmeetingsofmemberswillbeheldtoelect officersanddirectorsandforsuchotherbusinessesasmaybestatedinthenoticeof themeetings,shallbeheldatsuchplace,eitherwithinorwithoutthestateoftexas, andatsuchtimeanddateastheboardofdirectors,byresolution,shalldetermineand assetforthinnoticeofthemeeting. IntheeventtheBoardofDirectorsfailstosodeterminethetime,dateandplaceof meeting,theannualmeetingshallbeheldattheregisteredofficeofthecorporationin DelawareonSeptember1st.Ifthedateoftheannualmeetingshallfalluponalegal holiday,themeetingmaybeheldonthenextsucceedingbusinessday.ateachannual meeting,themembersentitledtovoteshallelectaboardofdirectorsandmaytransact suchothercorporatebusinessasshallbestatedinthenoticeofthemeeting. SECTION2.OTHERMEETINGS.SMeetingsofmembersforanypurposeotherthan electionofboardofdirectorsmaybeheldatsuchtimeandplace,withinorwithoutthe StateofTexas,asshallbestatedinthenoticeofthemeeting. SECTION3.VOTINGSEachmemberentitledtovoteinaccordancewiththetermsand provisionsofthecertificateofincorporationandthesebyslawsshallbeentitledtoone vote,inpersonorproxy,butnoproxyshallbevotedafteroneyearfromitsdateunless suchproxyprovidesforalongerperiod.anyvotemaybetakenbyvoiceorbyshowof handsunlessamemberentitledtovoteobjects,inwhichcasewrittenballotsshallbe used.allelectionsforofficersanddirectorsshallbebywrittenballotanddecidedby pluralityvote;allotherquestionsshallbedecidedbymajorityvoteexceptasotherwise providedbythecertificateofincorporationorthelawsofthestateoftexas. SECTION4.QUORUM.SExceptasotherwiserequiredbylaw,bytheCertificateof IncorporationorbytheseBySLaws,thepresence,inpersonorbyproxy,ofmembers representingamajorityofthemembersentitledtovoteshallconstituteameeting,and mayconductsuchbusinessasmaybeproperlybroughtbeforethemeetinguntilitis adjourned.ifamajorityofinterestofthemembersentitledtovotethereat,isnot presentinperson,byproxy,orviaanacceptableelectronicmeans,themembers presentinpersonorbyproxyshallhavepowertoadjournthemeetingfromtimeto time,withoutnoticeotherthanannouncementatthemeeting,untilaquorumis present.whentherequisitenumbersofmembersentitledtovoteatanymeetinghas beenmade,suchdeterminationshallapply,andsaidmembersshallbeentitledtovote atanyadjournmentoradjournmentsthereof. SECTION5.SPECIALMEETINGS.SSpecialMeetingsofthemembers,foranypurpose, unlessotherwiseprescribedbystatuteorbycertificateofincorporation,maybecalled bytheexecutivedirector.theexecutivedirectorshallcallaspecialmeetinguponthe writtenrequestofamajorityofthemembersentitledtovote.arequestfromthe MembersforaspecialmeetingshallbesenttotheExecutiveDirector,withacopyto theassistantexecutivedirectorforrecords,andshallstatethepurposeofthe proposedspecialmeeting.uponreceiptofsuchtheexecutivedirectorshallissuenotice Pg5

6 ofthespecialmeetingassoonasisreasonablypractical,andshallissuenoticeofthe SpecialMeetingwithinfourteen(14)daysofreceiptofsuchrequest. SECTION6.NOTICEOFANNUALMEETING.SWrittennotice,statingtheplace,dateand timeoftheannualmeeting,andthegeneralnatureofthebusinesstobeconsidered, shallbegiventoeachmemberentitledtovotethereatattheiraddressasitappearson therecordsofthecorporation,notlessthanten(10)normorethanfifty(50)days beforethedateofthemeeting SECTION7.NOTICEOFOTHERMEETINGS. Writtennotice,statingtheplace,dateand timeofameetingofmembersforanypurposeotherthanelectionofboardofdirectors (includingspecialmeetings),andthegeneralnatureofthebusinesstobeconsidered, shallbegiventoeachmemberentitledtovotethereatattheiraddressasitappearson therecordsofthecorporation,notlessthanfive(5)normorethanthirty(30)days beforethedateofthemeeting. SECTION8.NOTICEANDWAIVEROFNOTICE.SWheneveranynoticeisrequiredbythese BySLawstobegiven,personalnoticeisnotrequiredunlessexpresslystated,andany noticeshallbedeemedtobesufficientifgivenbydepositingthesameintheunited Statesmail,postageprepaid,addressedtothepersonentitledtheretoattheiraddress asitappearsontherecordsofthecorporation,suchnoticeshallbedeemedtohave beengivenonthedayofsuchmailing.wheneveranynoticewhateverisrequiredtobe givenundertheprovisionsofanylaw,orundertheprovisionsofthecertificateof IncorporationofthecorporationortheseBySLaws,awaiverthereofinwritingsignedby thepersonorpersonsentitledtosaidnotice,whetherbeforeorafterthetimestated therein,shallbedeemedpropernotice. SECTION9.MEMBERSOFRECORD.Thepersonsentitledtoreceivenoticeofortovote atanymembers'meetingwillbethosepersonsdesignatedasmembersinthe membershipbooksofthecorporationatthecloseofbusinessonthedaypriortothe datethenoticeismailedorotherwisetransmitted,oronsuchotherdateasdetermined inadvancebytheboardofdirectors,whichdatemaynotbemorethanseventy(70)or lessthanten(10)daysbeforethemeeting.ifthemeetingisaspecialmeetingcalled uponrequestbymemberspursuanttosection5ofthisarticle,thepersonsentitledto receivenoticeofthemeetingandtovotewillbedeterminedasofthedatethefirst membersignsthedemand,unlessotherwisedeterminedinadvancebytheboardof directors. SECTION10.MEMBERSLIST.TheAssistantExecutiveDirectorforRecordsorother officermustprepareacompleterecordofthemembersentitledtovoteateach meeting,arrangedinalphabeticalorder,showingtheaddressofeachmemberandthe numberofvotesheldbythemember.themembers'listmustbeavailable,atthe corporation'sprincipaloffice,forinspectionbyanymember,orthemember'sagentor attorney,beginningtwobusinessdaysafternoticeofthemeetingisgivenand continuingthroughthemeeting. ARTICLE$VI$ SECTION1.SEAL.SThecorporationsealshallbecircularinformandshallcontainthe nameofthecorporation,theyearofits.saidsealmaybeusedbycausingitora facsimilethereoftobeimpressedoraffixedorotherwisereproduced. SECTION2.FISCALYEAR.SThefiscalyearofthecorporationshallbedeterminedby resolutionoftheboardofdirectors. SECTION3.CHECKS.SAllchecks,drafts,orotherordersforpaymentofmoney,notesor otherevidencesofindebtednessshallbeissuedinthenameofthecorporation,andin Pg6

7 suchmannerasshallbedeterminedfromtimetotimebyresolutionoftheboardof Directors. ARTICLE$VII$ $AMENDMENTS$ TheseBySLawsmaybealtered,amendedorrepealedornewBySLawsmaybeadopted atthesemisannualmeetingoraspecialmeetingofthemembers,bytheaffirmative voteofamajorityofthememberspresentatsuchmeeting,ifnoticeiscontainedinthe noticeofsuchspecialmeeting.
