3 ARTICLEI(1):PREAMBLE The WasteUtoUWealth Entrepreneurs Association is an organisation that coordinates the activities of registered small and mediumusized enterprises (SME S) that are involved in wastereuseandrecyclingactivitiesinbocityanditsenvirons.theassociation smembers use discarded waste products to transform them into valuable goods. These goods are of economicvalueandwillservethecommunity. This establishment will set standards, promote the work of the Association s members, represent them in the public and provide marketing services for them. The aim of the Associationistominimizewasteandreducelandpollutionthroughrecyclingofwasteinto usefulproductsandtocreatesustainablejobsincludingjobsforunemployedyouths. TheAssociationshallbeindependent,nonUpolitical,nonUreligiousandnonUtribalandshall collaborateandnetworkwithauthoritiesatalllevels. Furthermore the Association shall be officially registered with Bo City Council and shall liaisewithalegaladvisor,whowillrepresentitinalllegalmatters. ARTICLEII(2):NAMEOFASSOCIATION ThenameoftheAssociationshallbe Waste'to'Wealth+Entrepreneurs+Association. ARTICLEIII(3):MOTTO TheMottooftheassociationshallbe Useless+to+Useful. ARTICLEIV(4):LOGO/SYMBOL/COLOUR ThelogooftheAssociationshallbeatreethatissurroundedbyacircleconsistingofthree arrows. Each arrow has one of the R s of good waste management written in it: Reduce, ReuseandRecycle.Themottooftheassociation Uselesstouseful isalsomentionedinthe logo. 4 ARTICLEVI(6):CONSTITUTION This document is and shall be the constitution of the WasteUtoUWealth Entrepreneurs Association,hereinaftercalledthe constitution andtheprovisionsthereinshallgovernthe runningoftheassociationanditsaffairsandshallaccordinglybebindingontheumbrella organandallitsmembers. ARTICLEVII(7):AIMS&OBJECTIVES The+Waste'To'Wealth+Association+aims...+ a. Topromotereuseandrecyclinginitiativesinordertoreducewasteaccumulationat alllevels. b. Toensurethatrecyclablewasteiseffectivelyandefficientlyutilizedwiththeoverall objectiveofreducingwasteinbocity. c. Toincreaseawarenessontheneedtokeepthecommunityfreefromenvironmental hazards. d. ToprovideconvenientandaffordablerecyclableproductsfortheresidentsofBoCity andbeyond. e. To create sustainable employment for its members through marketing of their recyclableproducts. f. Toopenandoperatea JointMarketCentre inthecitycentrethatcanalsoserveas anofficespacefortheassociation. g. Toorganizeregularmeetingswithallitsmembersforsustainabledevelopmentofthe Association. h. Tomakeeveryreasonableefforttoimprovethequalityoftheproductscraftedand manufacturedbytheassociation smembers. i. ToprovidemarketingservicesforthemembersoftheAssociation. j. To produce large supply of recyclable products for long term export purposes in ordertocompetewithotherinternationalaswellaslocalproductsofsimilarlines. k. To improve and enhance the exchange with recycling initiatives and networks nationwide. l. TogainadditionalfundsfortheAssociationanditsmembersbydevelopingproject proposals for submission to government institutions or donors and other similar entities. m. ToensurethattheoperationsoftheAssociationarecarriedoutincompliancewith theconstitution. ARTICLEVIII(8):MEMBERSHIP a. All initial winners of the wasteutouwealth contest capacitated and financed by WHH/BCCwithawillingnesstojointheAssociationareconsideredpioneermembers. 4

5 b. All other businesses involved in waste reuse and recycling activities and who are willingtojointheassociationshallapplyformallythroughthesecretariat. c. Afterapplicationformembership,theExecutiveBodyshallinspectthefacilitiesofthe applicant. d. Intheeventofapplicantnotmeetingtherequisiteconditions,butwillingtojointhe Association,themembersshallorganizesometrainingexercisesforhimorherand uponcompletionbecertifiedtobeamember. e. TobecomeamemberaoneUtimeregistrationfeeof50.000SLLmustbepaid. f. Everymembershouldbeissuedamembershipcardandisrequiredtopayamonthly subscription fee to the Association. The monthly subscription fee for a member is SLL(Date: ).Thefeeisopentoamendmentsbasedonamajority voteof50%+1bythegeneralassembly(butshallneverbebelow20.000sll). g. All members are mandated to champion the activities of the Association, and administrativeissuesshouldbeaddressedcollectivelyandtransparently,butthefinal administrative responsibility lies with the Chairman and the Finance and AdministrativeOfficeroftheAssociation. ARTICLEIX(9):TERMINATION/SUSPENSIONOFMEMBERSHIP Any member of the Association (Executive and NonUExecutive member) may face suspension or termination and legal action if found guilty after investigation to have committedthefollowing: a. MisappropriationorembezzlementoftheAssociation sfunds b. Corruption c. Misbehaviour d. Theft e. DestructionofAssociation sproperties f. AnyactionthatmaybringthenameoftheAssociationintodisrepute g. Refusaltopaymonthlyduesforaperiodofthreemonthsevenafterwarningletters havebeenserved h. Unauthorised use of any property or facilities of the Association for purpose not connectedtotheassociation i. ContinuousbreachorabrogationoftheConstitution ARTICLEX(10):THEEXECUTIVEBODY The WasteUtoUWealth Entrepreneurs Association shall comprise the following executive members: A. Chairman B. FinanceandAdministrativeOfficer C. PublicRelationsandMarketingOfficer 5

6 D. Whip ARTICLEXI(11):FUNCTIONSOFTHEEXECUTIVEBODY A.Chairman a. S/HeshallbetheoverallheadoftheOrganization. b. S/Heshallassumethispositionthroughthemajorityvoteof50%+1inanelectionby thegeneralassembly(allmembers).thechairmaniselectedfortwoyears. c. S/He shall represent the organization in any function to be attended by the Organization, unless such function(s) is/are delegated by him/her to any other personoftheexecutivebody. d. S/He shall chair meetings and functions unless delegated due to circumstances beyondhis/hercontrol. e. S/He will authorize any activity(ies) and function(s) before they commence. Hence withouthis/hersignatureorapproval,thatactivityremainsvoid. f. S/Heshallbetheprincipalsignatoryofallfinancialandbankingdocumentationwith anyrelevantbankinginstitution(s). B.FinanceandAdministrativeOfficer a. S/HeshallhandleallfinancialdealingsandmanageallfinancesoftheAssociation. b. S/HeshallhandlealladministrativemattersoftheAssociation. c. S/Heshallassumethispositionthroughthemajorityvoteof50%+1inanelectionby the General Assembly (all members). The Finance and Administrative Officer is electedfortwoyears. d. S/HeshallbetheFinancialControlleroftheAssociation. e. S/HeshallpreparethebudgetandmonthlyfinancialreportsoftheAssociationand shallkeepallfinancialrecordsoftheassociation. f. S/HeshallinvolvetheChairmaninallfinancialdealingsbeforeandafterpayment. g. S/He shall take down all minutes, keep all records, make all correspondences, and recordalldealingswithinandoutsidetheassociation,andmakethemavailabletothe ChairmanandanymemberoftheAssociationwhenaskedfor. h. S/Heshallprepareallactivityplans,businessplansandworkplansoftheAssociation. i. S/HeshallhandleallprocurementswiththesupervisionoftheChairman. j. S/HeshallinformtheChairmanforanylegalregistrationorrenewals. k. S/Heshallprovidemonthlyreportsonallfinancialandadministrativemattersofthe AssociationtotheChairmanandtheGeneralAssembly(allmembers). l. S/HeshalladvicewaysandmeansofraisingfundsfortheAssociation. m. S/HeshallassisttheChairmaninallrelevantmatters. n. S/He shall be the second signatory to the Association s Bank Account (s) with any bankinginstitution(s). 6

7 C.PublicRelationsandMarketingOfficer a. S/HeshallbethemouthpieceanddefenderoftheOrganization. b. S/HeshallbetheofficialmarketingofficeroftheOrganization. c. S/Heshallassumethispositionthroughthemajorityvoteof50%+1inanelectionby the General Assembly (all members). The Public Relations and Marketing Officer is electedfortwoyears. d. S/Heshallliaisebetweenthegeneralpublic,otherstakeholderandtheAssociation. e. S/He shall market all product and services in order to generate revenue for the Association. f. S/HeshallsubmitmonthlyreportsoffunctionsattendedonbehalfoftheAssociation aswellasonallpractivitiescarriedoutbyhim/hertotheexecutivebodyandthe GeneralAssembly(allmembers). g. S/He shall conduct workshops for members of the Association through the supervisionofthechairmanandfinanceandadministrativeofficer. h. S/HeshallplangeneralmeetingsformembersoftheAssociation. D.Whip a. S/HewillbethedisciplinaryofficeroftheAssociation. b. S/He shall assume this position upon nomination of the Chairman. His/her tenure endswiththatofthechairman. c. S/He shall ensure compliance of members with the codes of conduct of the Association(asoutlinedintheConstitution). d. S/HereportsallincidentsofmisdemeanourofmemberstotheExecutiveBodyand thegeneralassemblyfordisciplinaryaction. ARTICLEXII(12):ELECTIONINTOOFFICEOFTHEEXECUTIVEBODY a. All members of the Executive Body are elected for a period of two years (with the exceptionofthewhip,whoisnominatedbythechairperson). b. Electedpersonscannotholdanyofficeformorethantwosuccessiveterms. c. On the expiration of the term of office of the Executive Body fresh elections are conducted. d. AnelectoralboardwillbesetupbytheGeneralAssemblytooverseetheconductof electionstoexecutivepositions. e. All expired executive positions are declared vacant and nominations allowed for them. f. All nominated candidates shall have seconders who shall be members of the Association. g. Anybodywhopollsasimplemajorityofvotesinanelection(50%+1)intoanyoffice isdeclaredthewinneroftheelectionanddulyelectedintothatoffice. 7

8 h. AllmembersoftheAssociationhavetherighttovote. i. All complaints emanating from the election shall be officially channelled within 24 hoursaftertheelection. j. AllcomplaintsshallbedealtwithbytheAdvisoryBoardoftheAssociation. k. ThedecisionoftheAdvisoryBoardonsuchmattersisfinalandbinding. ARTICLEXIII(13):THEADVISORYBOARD a. ThisbodyshallbetheofficialAdvisortotheOrganization. b. TheAdvisoryBoardshallcomprisesevenpeople: 1. ChairmanoftheWasteUtoUWealthAssociation 2. FinanceandAdministrationOfficeroftheWasteUtoUWealthAssociation 3. PublicRelationsandMarketingOfficeroftheWasteUtoUWealthAssociation 4. ChairmanWasteManagementCommittee(BCCRepresentative) 5. EnvironmentalFocalPerson(BCCRepresentative) 6. OnenominatedmemberoftheWasteManagementSteeringCommittee(mustbe anonbccmember) 7. Onepersonofhighintegrityandesteeminsociety(nominatedandelectedbythe GeneralAssemblyoftheAssociationwithasimplemajorityof50%+1). c. The Advisory Board shall advice the Executive Body on technical, financial, administrative,politicalandculturalmatters. d. TheadvicesgivenbytheAdvisoryBoardshouldguidethedecisionUmakingprocesses andtheworkoftheassociationanditsmembers. e. TheAdvisoryBoardshallmeetonceineveryquarteroftheyear,todevelop,oversee research,recommendandevaluateallactivitiesconductedbytheassociationandits Executive Body. Minutes of these meetings shall be prepared by the Finance and AdministrativeOfficeroftheAssociationanddistributedtoallBoardmembers. f. MembersoftheAdvisoryBoardshallreceivesittingfeeforeverysitting. g. Sittingfeeshallbe10,000SLL. ARTICLEXIV(14):VACANCYINANYPOSITIONOFTHEEXECUTIVEBODY a. AmemberoftheExecutiveBodyceasestobeoneinthefollowinginstances: 1. Resignation 2. UnsoundMind 3. Misconduct/InappropriateBehaviour 4. CorruptPractices 5. PhysicalIncapacitation 6. Death b. AllvacanciesintheExecutiveBodyshallbereplacedaccordingtothedueprocesses astheyaredefinedinarticlexiandxii. 8

9 ARTICLEXV(15):MEETINGS a. MEETINGSOFTHEGENERALASSEMBLY: Meetings of the General Assembly comprising all members of the Association shall be held monthly upon notice by the Chairman and Finance and Administrative Officer. Any member of the Association absent for three consecutivemeetingsofthegeneralassemblyshallbequeried. b. MEETINGSOFTHEEXECUTIVEBODY: MeetingsoftheExecutiveBodyshallbeheldonceeverytwoweeksuponnotice bythechairmanandthefinanceandadministrativeofficer. c. EMERGENCYMEETINGS: EmergencymeetingsshallbeconvenedbytheChairmanoranyothermemberof theassociationasdeemednecessaryanduponquicknotice.thechairmanand thefinanceandadministrativeofficershallissuesummonstomembersforsuch meetingsstatingdate,timeandplaceofmeeting. d. MINUTES All meetings shall be minuted and recorded for the archives and for posterity purposes. ARTICLEXVI(16):SOURCESOFINCOME SourcesofincomefortheAssociationhavetobestreamlinedandshallincludebutnotbe limitedto: a. Monthlysubscriptionfromeachmember b. Fundsfromnationalandinternationaldonorsandinstitutions c. Income from the sale of membership and identification cards and other designed materials d. Fundraisingactivitiessuchastradefairsandexhibitions. e. Grants,loansandgifts f. Fundsraisedthroughservicesrenderedtootherassociationsorpartnersforwhicha feewascharged(e.g.consultancyfees,etc.) g. Socialactivities h. Fines ARTICLEXVII(17):FINANCIALRULESOFOPERATION a. TheAssociationshalloperatebankaccount(s)withanyBankinginstitutioninSierra Leone. b. AllCashandChequemustbedepositedtotheOrganization sbankaccountwiththe sumof100,000leonesleftforpettycashandemergencies. 9

10 c. TwosignatoriesarenecessarywiththeprincipalsignatorybeingtheChairmanand thesecondsignatorybeingthefinanceandadministrativeofficer. ARTICLEXVIII(18):BYELAWS Alongsidetheconstitutiontherewillbeotherlawsthatwillbebindingonmembers.These shallinclude: a. MemberoftheAssociationshallatalltimesactinaccordancewiththeconstitution oftheassociationincarryingouttheirassignedduties. b. MembersoftheAssociationmustshowrespectfortheExecutiveBodyatalltimes intheperformanceoftheassociation sduties. c. The Executive Body and the members of the Association shall not misuse information they acquire in the course of their official duties or disclose informationthatisheldinconfidencewithintheassociation. d. Any member/executive of the Association guilty of any misconducts/criminal chargeshallbedismissedfromtheiroffice. e. All members of the Association shall have equal rights and opportunities within theassociation. ARTICLEXIX(19):AUDITING The Association s finances are subject to auditing in according with best practices. This includes: a. The financial operation of the Association must be internally audited by the ExecutiveBodyandapprovedattheGeneralAssembly. b. Aftertheinternalaudit,ifthemembersarenotsatisfiedanexternalauditcanbe conductedtovalidatetheformerauditreport. c. AllinternalandexternalauditreportsmustbepresentedtotheAdvisoryBoard through the Chairman assisted by the Finance and Administrative Officer respectivelytheexternalauditor. d. Afterthefinalauditanymemberfoundculpableofembezzlementorfraudmust refundsquanderedamountorfacelegalaction. ARTICLEXX(20):AFFILIATION a. The Association shall affiliate with other reputable Association whose dealings are legalandnofraudintended. b. The Association shall affiliate with other Government (Ministries, Departments & Agencies;M.D.A s)andnonugovernmentalorganizations(ngo S)andcompanies. 10

The Association shall terminate its affiliation with any association or organization if it is found out that the organization is corrupt or working contrary to the aims and objectives of the Waste-To-Wealth Entrepreneur's Association' / ARTICLE XXI (21): AMENDMENTS '),. The Organization constitution may be subject to amendment' z.
