1 ! BYLAWS! THE!PUERTO!RICO!CHAPTER! OF!THE!AMERICAN!COLLEGE!OF!CARDIOLOGY!! ARTICLEI NAMEANDPURPOSE Section1.Name:Thisorganization,anonHprofitcorporation*,shallbeknownasthePuertoRicoChapter oftheamericancollegeofcardiology. Section2.Purpose:ThepurposeoftheChaptershallbetocontributetothepreventionofcardiovascular diseasesandtoensureoptimalqualityofcareforindividualswithsuchdiseases.incarryingout thesepurposes,thechaptershallfunction,inconsultationwiththeleadershipofthecollege,asa sourceofadvicetolocalandstategovernmentalandprofessionalorganizationconcerningissues related to cardiovascular disease. The Chapter shall, ininterest of patients, physicians andthe public in general, maintain a high level of social consciousness and involvement with socioeconomicfactorsandaccesstothehighestpossiblequalityofcardiovascularhealthcare. *ThisChapterwillbeformedasa/501(c),(6)/notHforHprofitcorporationunderthefederalandstatetax codes. ARTICLEII MEMBERSHIP Section1.Eligibility:AllmembersoftheAmericanCollegeofCardiologyresidinginPuertoRicoshallbe eligibleformembershipinthechapter. Section2.ClassesofMembers:TheChaptershallhavefourclassesofmembership.Thequalificationsfor membershipintherespectiveclassesare: a) Active Members: all Fellows, Associate Fellows, Affiliates, Distinguished Fellows and HonoraryFellowsoftheAmericanCollegeofCardiology. b) Fellows In Training (FIT) Members: all FellowsHinHTraining of the American College of Cardiology. c) Emeritus Members: all Emeritus Members of the American College of Cardiology in PuertoRico. 2 d) Cardiovascular Team (CVT): Clinical Nurse Specialist, Clinical Pharmacist, Clinical Psychologist,ClinicalSocialWorker,ExercisePhysiologist,GeneticCounselor,Nurse Practitioner, Occupational Therapist, Physical Therapist, Physician Assistant, Registered Cardiac Electrophysiology Specialist, Registered Cardiac Sonographer, Registered Cardiovascular Invasive Specialist, Registered Congenital Cardiac Sonographer, Registered Diagnostic Cardiac Sonographer, Registered Dietician, RegisteredNurse,RegisteredVascularSpecialist,RegisteredVascularTechnologist. Section3.VotingandOfficeHoldingRights:OnlyactivemembersoftheChapteringoodstandingshallbe eligibletovote.activememberswithfellowshipstatusmayholdofficeinthechapter.other classesofchaptermembershipshallbeeligibletoserveincommitteesofthechapter.thecvt andfitmemberswillhaveparticipationincommitteesandhavevoiceandvotefordecisionsin theirdesignedcommittees.thecvtandfitwillbeabletovotefortheelectionoftheirdirectives butnottotheofficersofthecouncilofthepraccchapter. Section 4. Termination of Membership: Membership in the Chapter shall terminate when the member ceasestoholdmembershipintheamericancollegeofcardiologyorfailstopaychapterduesas specifiedinarticleviii. ARTICLEIII OFFICERS Section1.Officers:TheOfficersoftheChaptershallconsistofthePresident,theImmediatePastPresident andsecretaryhtreasurer.theamericancollegeofcardiologygovernorforpuertoricoshallserve concurrentlyasthepresidentofthechapter.theamericancollegeofcardiologyimmediatepast GovernorforPuertoRicoshallserveconcurrentlyastheImmediatePastPresidentoftheChapter. Section2.ElectionandTermofOffice:GovernorsoftheCollegeareelectedthroughaprocessassetforth inarticleiii,section6ofthebylawsoftheamericancollegeofcardiology. ThetermoftheofficeforCollegeGovernorsisthree(3)years;therefore,theChapterPresident s termshallbeforalikenumberofyears.thechapterimmediatepastpresidentshallalsoservea termofthree(3)years.thechaptersecretaryhtreasurershallserveatermofthree(3)yearsand shall be elected by the members of the Chapter at an annual meeting or by mail ballot. The SecretaryHTreasurermayserveamaximumoftwo(2)consecutivetermsasSecretaryHTreasurer. Section3.Vacancies:IfavacancyfortheofficeofPresidentoccursforanycause,itshallbefilledafter consultation with the Chapter, in accordance with Article VI, Section 1 of the Bylaws of the AmericanCollegeofCardiology.IftheofficesofImmediatePastPresidentorSecretaryHTreasurer become vacant, these offices shall be filled by decision of the members of the Council and subsequentlyratifiedbythemembersofthecouncilatanymeetingofthecouncil. 3 ARTICLEIV DUTIESOFOFFICERS Section1.President:ThePresidentoftheChapter,whocurrentlyistheAmericanCollegeofCardiology GovernorfortheCommonwealthofPuertoRicoshallbethechiefelectedofficeroftheChapter andshallingeneralsuperviseanddirectthebusinessandaffairsofthechapter,inconsultation withthecouncil.thepresidentshallserveasachairmanatallmeetingsofthemembershipand of the Council. The President, in consultation with the Council and committee chairman, shall appointthemembersofallstandingandadhhoccommitteesofthechapter. Section 2. Immediate Past President: The Immediate Past President shall assist the President in the dischargeofthedutiesofthepresidentasthepresidentmaydirect,andshallperformsuchduties as from time to time may be assigned by the President. In the absence of the President, the ImmediatePastPresidentshallperformthedutiesofthePresident. Section3.SecretaryHTreasurer:TheSecretaryHTreasurershall: 1.! MaintainacurrentrosterofallmemberoftheChapter. 2.! SendallnoticesofthemeetingsoftheChapterandoftheCouncil. 3.! KeeparecordofproceedingofallmeetingsoftheChapter,and 4.! ShallhaveresponsibilityformaintenanceofadequatebooksandaccountsfortheChapter. 5.! HavechargeandcustodyofallfundsandsecuritiesoftheChapter,andberesponsiblefor thereceiptanddisbursementthereof. 6.! Deposit all funds and securities of the Chapter in such banks, trust companies or other depositoriesasshallbeselectedbythecouncil,and 7.! IngeneralperformalldutiescustomarilyincidenttotheofficesofSecretaryandTreasurer, andsuchotherdutiesasfromtimetotimemaybeassignedbythechapterpresidentor Council. 8.! If required by the Council, the SecretaryHTreasurer shall give a bond for the faithful dischargeofdutiesofthatofficeinsuchsumandwithsuchsuretyorsuretiesasthecouncil shall determine the cost of any such bond or survey to be paid from the funds of the Chapter. ARTICLEV COUNCIL Section1.GeneralPowers:Theadministration,propertiesandactivitiesoftheChaptershallbemanaged byitcouncil. Section2.Composition:TheCouncilshallconsistoftheofficersoftheChapter;four(4)areacouncilors: (oneofeachareainpuertorico)andtwo(2)membersatlargeappointedbythecouncil.the ChapterPresidentshallserveasChairmanoftheCouncil. Section3.ElectionandTermofOffice:DuringtheinitialyearoftheChapter,halfofthecouncilorsshallbe appointed to one (1) year terms and half of two (2) years terms. For subsequently years, Councilors shall be elected by the members of the Chapter residing in each area, using a mail ballot of candidates proposed by the Nominating Committee, and shall serve three (3) years [3] ACCPRChapterBylaws

4 terms. The Chapter SecretaryHTreasurer shall be responsible for mailing ballots containing nominees recommended by the Nominating Committee and approved by the Council. Area Councilorsareeligibletosucceedthemselvesforoneadditionalthree(3)yearterm. Section4.Vacancies: A vacancy on the Council for members other than the Presidentmaybefilledby actionofthemembersofthecouncilatanymeetingofthecouncil.theindividualsoappointed tofillavacancyshallservefortheunexpiredtermofhis/herpredecessor. Section5.Meetings:MeetingsoftheCouncilmaybecalledbytheChapterPresident,whoalsoservesas ChairmanoftheCouncil,orattherequestoffour(4)Councilmembers.ThePresidentshallfixthe placeforholdingallcouncilmeetingsunlessotherwisedirectedbythecouncil.thecouncilshall meetatleasttwiceeachyear. Section6.Notice:Anoticestatingtheplace,dayandhourofthemeetingandthepurposeorpurposesfor whichthemeetingiscalledshallbesendingan andatextmessagetoeachcouncilmember notlessthanseven(7)daysbeforethedateofthemeeting. Section7.Quorum:Amajorityofthemembers(onemorethanthehalf)oftheCouncil,whendulycalled andassembled,shallconstituteaquorumforthetransactionofbusinessatanymeetingofthe Council. ARTICLEVI COMMITTEES Section 1. Establishment and Composition: There will be standing and adhhoc committees. AdHhoc committees may be established by resolution of the Council adopted at nay duly called and constitutedmeeting.thesize,purposesandpowersofanysuchcommitteeshallbeasprovided insuchresolution.thepresidentofthechaptershall,inconsultationwiththecouncil,appoint themembersofeachadhhoccommittee.allstandingcommitteeappointmentsmusthavethe approvalofthecouncil.thetermofserviceofanycommitteemembermaybeterminatedbythe President,whenever,inthejudgmentofthePresidentandtheCouncilthebestinterestsofthe Chaptershallbeservedbysuchtermination. Section2.TermofOffice:Thetermofofficeofthemembersofallcommittees,withtheexceptionofthe NominatingCommittee,shallbedeterminedbytheCouncil. Section3.Chairman:Achairmanofeachcommittee,withtheexceptionoftheNominatingCommittee, shallbeappointedbythepresidentofthechapter. Section4.Vacancies:Vacanciesinthemembershipofanycommitteeshallbefilledbyappointmentsmade bythechapterpresident.standingcommitteevacancyreplacementsrequiretheapprovalofthe Council.Theindividualsoappointedtofillavacancyshallservefortheunexpiredtermofhis/her predecessor. Section5.Reporting:AllChaptercommitteesshallreporttotheCouncil. [4] ACCPRChapterBylaws

5 Section 6. Standing Committees: Standing Committees of the Chapter shall be: Government Relations Committee,NominatingCommitteeandEducationCommittee. A)NominatingCommittee: 1. Committee CompositionH the Immediate Past President shall serve on this committee.withtheimmediatepastpresidentrepresentinghis/herarea, the Chapter President shall select four (4)additionalChaptermembersto this committee. These shall be area councilors or members of other Chapter committees. This process shall produce at least one member of each designated area district. The Immediate Past President shall not be eligible to serve as committee chairman. Each year, the chairman of the committeeshallbeelectedbythemembersofthecommitteeinameeting heldnotlaterthan30daysaftertheirappointments. 2.TermofCommitteeMembershipHthetermofImmediatePastPresidentshall beforaslongasthatindividualholdsofficeasimmediatepastpresidentof thechapter.theremainingfour(4)membersofthecommitteeshallserve three (3) years terms. No member shall be eligible to serve a second consecutivetermonthecommittee.vacanciesinthemembershipofthis committeeshallbefilledbytheprocesssetforthinarticlevi,section4of thesebylaws. 3. Charge and Function of Nominating CommitteeHthe committee shall recommended to the Council at least two (2) nominees for each area councilor position whose term is due to expired. Nominations shall be restrictedtoactivemembersofthechapterresidingintheareawherethe vacancyistooccur.thecommitteeshallnotnominateanyofitsmembers to any position on the ballot. The committee shall recommend to the Chapter membership at the annual business meeting the committee s nominee(s) for the office of SecretaryHTreasurer. It is recommended that wheneverpossible,considerationbegivenforabalancedrepresentationon this committee (i.e., Adult Cardiology, Pediatric Cardiology, Cardiovascular Surgery,PrivatePracticeandAcademicPractice). B).Government Relations Committee: The President of the Chapter will be an exhofficio member of this committee. With the President representing his/her area,thechapterpresidentinconsultationwiththecouncilshallselectthree(3) additionalchaptermemberstothiscommittee.theobjectivesofthiscommittee are to monitor all legislation and regulations by third party carriers affecting cardiovascularhealthcare.thechapterpresidentshallappointthechairmanof thiscommittee. C).EducationCommittee:ThePresidentoftheChaptershallserveonthiscommittee as an exhofficio member. With the President representing his/her area, the ChapterPresidentinconsultationwiththeCouncilshallselectthree(3)additional Chapter members to this committee. The Chapter President shall appoint the chairmanofthiscommittee.theobjectiveofthiscommitteeistoplantheyearly educationalactivitiesandscientificmeetingtobepresentedintheannualbusiness [5] ACCPRChapterBylaws

6 Meeting.TheCVT sandfit scandevelopconcomitantsimilaractivitieswiththe assistanceandapprovaloftheeducationcommittee. ARTICLEVII MEETINGS Section 1. Annual Business Meeting: The Chapter shall hold an Annual Business Meeting, open to all members and invited guest, at time and place designated by the Council. The purpose of the meetingshallbetotransactanybusinessthatmayoccurbeforetheconsiderationofthechapter. Section 2. Special Meeting: Special meeting of the membership may be called by the President after consultationwiththecounciloruponwrittenrequestofnotlessthan20%ofthemembership. Section3.NoticeofMeeting:Anoticestatingtheplace,dayandhourofthemeetingshallbesendingan andatextmessagetoeachmemberofthechapternotlessthanseven(7)daysbeforethe dateofthemeeting.inthecaseofspecialmeetings,purposeorpurposesofthemeetingshallbe statedinthenotificationandnootherbusinessshallbetransactedexceptthatstatedinthecall. ARTICLEVIII DUESANDASSESSMENTS Annual dues and assessments shall be sent by the Council and approved by the American College of Cardiologypriortoimplementation.TheduessetbytheCouncilhavebeen100.00/year.Theobligatory duesforthecvt swillbe25.00/year.theamericancollegeofcardiologyshallberesponsibleforbilling allaccmembersinthecommonwealthofpuertoricochapterdues.uponreceiptoftheduespayment, the American College of Cardiology shall promptly remit such payments to the Chapter SecretaryH Treasurer.Activemembersshallbedeemedasduespayingmembers.DuesshallbewaivedforEmeritus membersandfellowsintraining(fit)members. ARTICLEIX REPORTING The Chapter shall submit to the American College of Cardiology an annual report which includes: a)astatementofincomeandexpensessignedbyadulyhauthorizechapterofficer(usuallythesecretaryh Treasurer);b)acopyofInternalRevenueService(IRS)Form990andotherrequiredIRSformssubmitted bythechapter;andc)asummaryofchapteractivitiesfortheprevioustwelvemonthsperiodandplans forthecomingyear. 7 ARTICLEX CHAPTERANDNATIONALRELATIONS NeithertheChapternoranyofitsofficers,ormembersisauthorizedtorepresentorinanywaybindthe AmericanCollegeofCardiology,unlessauthorizedtodosobytheCollegePresident,norwillanyofthem in any way hold themselves out as being authorized to do so specific authorization of the College President.TheCollegeshallinformtheChapterofallpolicyandpositionstatementsinorderforChapter statementstobeconsistentwiththoseofthecollege,andmajornewpolicystatementsbythechapter shallbedevelopedinconsultationwiththecollegeleadership.therelationshipbetweenthechapterand the governing bodies of the American College of Cardiology is defined in the American College of CardiologyConstitutionBylaws.ArticleXIoftheConstitutionstatesthat:1)Chaptersmaybeorganized underguidelinesestablishedbyaccboardoftrusteesforthepurposeoffurtheringtheobjectivesofthe College;2)ArticlesorCertificateofIncorporationandBylawsofeachChaptermustbeapprovedbythe BoardofTrusteesoftheCollege;and3)afterincorporation,noChaptershallamendrestateorotherwise changetheprovisionofthearticleofincorporation,bylawsorothergoverningdocumentswithoutthe approvaloftheaccboardoftrustees. TheAmericanCollegeofCardiologymayterminatetheChapterstatusforanyChapterintheACCBoardof TrusteesfindsthattheChapterhasengagedinactivitiesdetrimentaltothebestinterestoftheCollege. TheChaptershallbeaffordedanopportunitytobeheardpursuanttosuchreasonableproceduresasthe ACCBoardofTrusteesshallprovide. ARTICLEXI INDEMNIFICATION The Chapter may purchase and maintain insurance of behalf of any of all officers, council members or committee members against any liability asserted against any such person, and incurred in any such capacity,whetherornotthechapterwouldhavethepowertoindemnifythemagainstsuchliabilityunder theprovisionsofthisarticle. ARTICLEXII ETHICS Members of the Chapter are expected to exhibit high ethical and moral standards. The Bylaws of the AmericanCollegeofCardiologyprovideamechanismforaddressingmattersrelatedtotheethicalconduct ofallmembersofthecollege. [7] ACCPRChapterBylaws

8 ARTICLEXIII AMENDMENTS BylawsmaybeamendedorrepealedandnewBylawsmaybeadoptedbymailballotswithatwoHthirds (⅔) approval by the respondents, provided that written notice of the proposed change or changes has beenmailedandehmailedtoeachvotingmemberatleastthirty(30)daysbeforethe final vote count. However,beforebecomingeffectivesuchamendmentsmusthavetheapprovaloftheBoardofTrustees oftheamericancollegeofcardiology. [8] ACCPRChapterBylaws
