These documents have been designated revised By-Laws to reflect their replacement of previously reviewed By-Laws. A review of the proposed revised By-Laws discloses that with the correction noted thereon they are in compliance with the Congressional Charter, By-Laws, Manual of Procedure, Ritual or laws and usages of the Veterans of Foreign Wars of the United States. 3 LAKE WASHINGTON POST #2995 VETERANS OF FOREIGN WARS OF THE UNITED STATES ORGANIZATION BY-LAWS AS AMENDED 2011 AND REVISED IN 2012 FOR SUBMITTAL ARTICLE 1 NAME This organization shall be known as the LAKE WASHNGTON POST #2995, VETERANS OF FOREIGN WARS of THE UNITED STATES. The official and permanent name of the Post Home, located at th Ave N.E., Redmond, Washington, shall be "Lake Washington Post #2995 V.F.W. Memorial Building", which shall be referred to in these By-Laws as the "POST HOME". ARTICLE II OBJECTS AND PURPOSES The Objects and Purposes if this post shall be those prescribed in the Congressional Charter, By-Laws, and the Manual of Procedure of the Veterans of Foreign Wars of the United States. ARTICLE III MEMBERSHIP Qualification for membership shall be as prescribed by the Congressional Charter, and By- Laws.. New and re-instated members shall be recommended and elected as prescribed by the Congressional Charter, By-Laws.. Life Membership shall be available as prescribed by the Congressional Charter, By-Laws and Manual of Procedure. ARTICLE IV FEES AND DUES Admission Fees for new members and Annual Dues shall be as established by the majority Of post members present and voting on the question at any regular scheduled post meeting, thirty days written notice having been provided all members prior to such vote. a).cunent dues of up to $40.00 per year, is authorized by Post Membership. `. Section 2 Admission Fees and Dues shall not be less than the amount required to cover National and Department Dues and Admission Fee, if applicable, as established in the Congressional Charter, By-Laws, Manual of Procedure, and Department By-Laws. Life Membership fee shall be as prescribed in the Congressional Charter, By-Laws, and Manual of Procedure. ARTICLE V MEETINGS Regular meetings will be held on the first and third Monday of each month, at 6:30PM, or, at such time and day as authorized by the post membership as specified in Article II; Section 206 of the Congressional Charter, By-laws, and Manual of Procedure;, except, when such meeting scheduled falls upon a federally mandated holiday, the scheduled meeting will then be held on Tuesday of the same week. 1

4 Special meetings may be called, as specified in the Congressional Charter, By-Laws and Manual of Procedure. Quorum: A quorum shall consist of nine members, in good standing, at any meeting of the post membership. ARTICLE.VL_ OFFICERS AND DUTIES Section 3: The officers of the post, members eligibility to office, nomination, election.or appointment, installation, term of office and duties, shall be in accordance with the provisions of the Congressional Charter, By-Laws and Manual of Procedure. It shall be the duty of the incoming Commander, the outgoing Quartermaster, and the Trustees to audit and inspect all files and extract and, destroy any obsolete material. Vacancies in office shall be declared and filled as provided by Congressional Charter, By-Laws, and Manual of Procedure. - ARTICLE VII COMMITTEES Section.l. Standing and Special committees may be appointed and dismissed by the Post Commander, as needed. ARTICLE VIII FUNDS Section 4. Section 5. Post funds shall include those funds specified in the Congressional Charter, By-Laws and Manual of Procedure. Special 'Funds may be raised, as required, for specific purposes. When the need for a special fund no longer exists, the fund may be terminated by a majority vote of those post members present and voting at any regular meeting of the post. Special funds such as poppy/relief, Honor Guard, and other non-operating funds shall not be commingled with post operating accounts. No expenditure of these funds for other than the stated special accounts is authorized. Control of expenditures shall repose in the membership, or by delegation to the House Committee for Post operations and maintenance. The Post Service Officer or Post Commander shall be authorized to spend up to a maximum of $ per need, from the Relief Fund. Each expenditure shall be reported at the next regular Post meeting. 2

5 ARTICLE IX DELEGATES Section 4. Delegates to National and Department conventions shall be selected as prescribed in the Congressional Charter, Department By-Laws and Manual of Procedure. Delegates to District conventions shall be selected as prescribed by District, and as determined by the post, in accordance with the Congressional Charter, By-Laws, and Manual of Procedure. A post member not selected or approved as a delegate per procedure outlined herein, may not represent the Post at any National, Department, or District meeting. Delegates to any National, Department, or District meeting shall cast their ballot(s) as directed by the post membership, on candidate selection or upon any issue presented. Should no decision be reached on the first ballot, delegates are released to vote as their conscience guides them. ARTICLE X ORDER OF BUSINESS AND RULES OF ORDER The order of business and rules of order governing all meetings shall be as prescribed in the Congressional Charter, By-Laws and Manual of Procedure. The post Adjutant shall keep a permanent hardbound record book or loose leaf binder of the minutes of all post meetings. The minutes of each meeting, when approved, shall be signed by the Adjutant, and the Post Commander, and maintained as a permanent record of the post. The Adjutant shall promptly surrender the notes to the incoming officers as he/she leaves office. Whenever any item of business is not specifically covered in the Congressional Charter, By-Laws, and Manual of Procedure, Demeter's Manual of Parliamentary Law and Procedure shall govern. ARTICLE XI AMENDING BY-LAWS These By-Laws may be amended by a two-thirds majority vote at any regular post meeting, provided: (a) Any and all such proposed amendments shall have been read in their entirety at the previous regular post meeting. (b) Each post member has been notified, in writing, at least twenty (20) days in advance of the specified meeting date of the purpose of the vote, the contents of the amendments to be acted upon.. All amendments shall be forwarded through channels and be reviewed by the Commander -in-chief prior to becoming effective. ARTICLEXII EFFECTIVENESS These By-Laws shall be forwarded to the Department Commander for review and become effective upon approval by the Commander-in-Chief, in accordance with Article II, Section 202 of the Congressional Charter, By-Laws, and the Manual of Procedure. 3

6 ARTICLE XIII HOUSE COMMITTEE Adoption of these By-Laws authorizes establishment of the HOUSE COMMITTEE to conduct daily. operations and maintenance of all Post property, canteen operations, buildings, and such equipment and supplies as may be required to fulfill assigned duties. The HOUSE COMMITTEE shall consist of 1) Post Commander, 2) Senior Vice Commander, 3) Quartermaster. The Commander shall appoint two (2) additional members. ARTICLE XIV DISCIPLINARY The Disciplinary Committee, appointed by the Commander, shall consist of at least three (3) and not more than five (5) post members in good standing. a) The committee shall serve a term of one (1) year. b) The committee shall meet, as required, to review and recommend such discipline as deemed appropriate, to the Commander and the Post Membership. c) The committee shall select from among its members one to serve as chairman of the committee. d) In event any committee member is unable to serve, or chooses to recuse themselves from a particular case, the Commander shall appoint a temporary committee member, if needed, to assure the committee has at least three(3) members to hear such as case. e) The House Committee shall issue rules, guidelines, and procedures for the Disciplinary Committee to assure safe and proper of the Canteen and property, ensuring due process to any person accused of rule violation(s). ARTICLE XV REPORTS AND AUDITS The Post Trustees shall make a comprehensive quarterly audit of all accounts and funds supervised by the House Committee, and shall submit a copy of such report to the, the Commander, and the Quartermaster. Within sixty (60) days of the close of the fiscal year, the officers and trustees of the post shall have an audited financial report of all post operations prepared and presented for that year. 4

7 ARTICLE XVI MISCELLANEOUS Whenever these By-Laws or subsequent amendments may be found to be in conflict with the present or any future National By-Laws and By-Laws of the Department, the latter shall prevail and be binding on this Post as though written herein.
