3 HUNTSVILLE AREA ASSOCIATION OF REALTORS OFFICERS & DIRECTORS MEETING MINUTES January 19, :30 am Present: President Kathy Mann, President Elect Larry Carroll, MLS President Valerie Miles, Opie Balch, Martha Bishop, Ginny Brandau, Paul Buxton, Loraine Cordule, Thelma Dawson, Chris Hulser, Sha Jarboe, Jim Johnson, Jay Jones, Jean Nelson, Jeff Nixon, Landa Pennington, Cindi Peters, Monica Sanford, Rod Schumann, Bill Stewart, Regina Underwood, Sharita Whitehead, Mark Williams Excused Absence: Roy Claytor, Mike James Absent: Lynn Kilgore Staff: Josh McFall, Katy Fitzgerald, Arely Jaimes, Elizabeth Pruett, Page brooks At a meeting of the Officers and Directors, held at 535 Monroe Street, Huntsville, AL., 35801, the meeting was called to order by President Kathy Mann at 8:33 am Central Standard Time. The Pledge of Allegiance and invocation were led by Kathy Mann. MOTION: To approve the HAAR Consent Agenda. Motion Carried. MOTION: To approve the absence of Roy Claytor and Mike James. Motion Carried. TREASURERS REPORT The Treasurer s report was given by President Kathy Mann. a 3

4 There being no questions, the financials are to be filed for audit. Motion: To refund the unused portion of the MLS fees for Ashley Brown RATIONALE: Ashley Brown prepaid the MLS fees in October. She went inactive on 1/29/16. In October 2015 Ashley paid $570 for her Quarter 4 of 2015 MLS fees and her Quarter 1 3 of 2016 fees. On January 29 Ashley went inactive and requested a refund of the unused prepaid fees for Quarters 2 & 3 of The amount would be $285 ($150/quarter less the 5% discount given for prepaying fees). Motion Carried PRESIDENT REMARKS i 4

5 President Kathy Mann announced a vacancy in the Personnel policy committee as well as on the Grievance committee. She named the following to fill the aforementioned positions: Personnel Policy General Member: Jennifer Perrault Grievance Committee: Isaac Winkles Motion: to ratify the names presented by President Kathy Mann to fill the vacant committee positons. Motion Carried President Kathy Mann reminded the officers and directors that all submissions for AAR s elected officers must be received no later than March 1. Anyone desiring to seek the office of AAR President, President Elect, Treasurer, Secretary and Reginal Vice President should submit a completed application to AAR. President Kathy Mann discussed the letter that went out to the NALMLS O&D regarding Dotloop. Dotloop had been reaching out to HAAR members regarding their contract renewal. MLS President Valerie Miles has reached out to Dotloop and has informed them that members do not negotiate contracts. If you receive any calls from Dotloop please refer them back to Valerie or Josh. Dotloop has submitted a written proposal that will be reviewed by the MLS committee. More information will be presented at the next NALMLS O&D meeting. CEO REMARKS i CEO Josh McFall informed the Officers and Directors that NAR s professional liability insurance was up for renewal. NAR added several new provisions, one of which is Cyberterrorism. That means this Association is now protected against computer based terrorist activities aimed at disabling vital computer systems. The requirements for an association s bylaw compliance, a prerequisite for coverage, will compel all associations to have adopted all mandatory policy changes by March 1, Also, additional language was added to the Policy clarifying that challenges to the validity of the REALTOR trademarks are covered through the Program. The premiums remained the same as those paid in 2014 & 2015 at $3,600 for coverage. There is no action required at this time; this insurance has already been purchased for both HAAR and NALMLS. However as NALMLS grows in the number of participates it is safe to anticipate an increase in premium. CEO Josh McFall reminded everyone of the upcoming past presidents/brokers meeting. He asked that our directors help encourage their brokers to attend this meeting CEO Josh McFall and President Elect Larry Carroll announced the speaker for the March Membership luncheon; career Army Officer Vincent E. Boles. His agency usually charges $10,000 he was gracious enough to accept a donation of $250 to go towards his favorite charity. COMMITTEE REPORTS c ARPAC Committee Chair, Ginny Brandau, reported the committee has raised $2000 in ticket sales for the Grill chance auction. At this time HAAR has reached 24% of its annual goal. The committee is diligently working on an upcoming event and another chance auction to benefit ARPAC. Affiliate Director, Martha Bishop, was excited to announce the success of the first affiliate council meeting. There were over 25 affiliates in attendance. A second meeting will be held May 17 th, Guest speaker to be announced. 5

6 Governmental Affairs Chair, Sha Jarboe, shared how thrilled she is to have John Richard as Governmental Affairs Director. Sha reported that the committee is preparing for candidate interviews following the primary elections. She also encouraged those in attendance to participate in Realtor Day on February 24 th. Lastly she announced that the New Hope school cluster will be hosting a Realtor breakfast on March 9 th starting at 9 am at New Hope School. CRS President, Sharita Whitehead, announce First network meeting taking place February 20ath at the Apple store in Bridge street. This will be the first meeting of an educational series. We encourage every not just apple users to attend this networking meeting and learn what new applications are out there that would benefit Realtors. The first CRS state meeting will be held at AAR s Capitol Conference on the 23 rd 12:30 1:30 pm. WCR President, Chris Hulser, announced their annual soup kitchen luncheon had been a success. The speaker was Mayor Tommy Battle and drew in more than 50 attendees. WCR s next resource meeting will be held March 16 th at HAAR. YPN Chair, Loraine Cordule, announced they will be hosting bimonthly events starting in March. Events will be educational and will offer networking opportunities. Dates to be announced. Other Business i Marshall County has requested a reciprocity Supra agreement between their Board and HAAR. Motion: To enter a reciprocity agreement for Supra with Marshall County. Motion Carried While discussing the reciprocal Supra agreement there were several questions regarding affiliate key. To address the issue a Lock Box Key Taskforce was formed. Ginny Brandau will serve as chair of the Lock Box Key Taskforce. There being no other business the meeting adjourned 9:20 am. Minutes respectfully submitted by Arely Jaimes for Roy Claytor. 6
