ITEM A. ROLL CALL Present: Excused: Abdulhamid Ali; David Dull; Mark Foley; Ashanti Hamilton; Mary Isbister; Grace Maizonet; Mary Scheibel, Kurt Wachholz and Ann Wilson. CHAIRPERSON S REPORT Mr. Wachholz: Attended MATC Spring Commencement with Directors Foley, Hamilton, Maizonet and Wilson. Announced MATC GED Graduation will be held June 7 in Cooley Auditorium. Mentioned the Board was invited to attend the MATC Milwaukee County House of Correction Jail Officer Training Academy Graduation which was held at the Oak Creek Campus on May 26. Announced the Wisconsin Technical College District Boards Association Summer Meeting is July in the Pleasant Prairie/Kenosha Area at Gateway Tech. Informed the Board the Public Hearing on the Budget will be held on June 20 and ESSS will immediately follow. Drew the attention of the Board to the ACCT Around the Region Weekly Report, which is a weekly collection of news related to community colleges and community college trustee interests. Reported Dr. Darienne Driver has resigned from the MATC District Board and the Board Appointment Committee will reconvene to select a new Board Member in the upcoming weeks. Announced Layla Merrifield, executive director of Wisconsin Technical College District Boards Association was not able to attend the Board Meeting as originally planned. ITEM G. PRESIDENT S REPORT Dr. Martin provided highlights about events at MATC from the month of May via PowerPoint.

PRESENTATION OF PROPOSED BUDGET Chairperson Wachholz introduced Mr. Jeff Hollow, vice president, Finance, who presented the proposed budget which included a comparison of the FY budget. Mr. James Weishan, senior director, Facilities, and Ms. Ginny Routhe, manager, Sustainability and Planning, presented information on the capital budget including future project initiatives as well as accomplishments over the past fiscal year.

Appointments 19 appointments occurred during the reporting period, six of which are faculty appointments and thirteen are staff appointments. The faculty appointments are four part-time regular, one full-time regular and one part-time limited term position. Approximately desktop, laptops, multimedia devices and file server computer systems have been proposed for acquisition. Displaced equipment will be used to upgrade other areas within MATC with the oldest early technology systems being disposed of. 67 Part II: Item 2: PROCUREMENTS FIRE ALARM PANEL AND MONITORING DEVICES UPGRADE NORTH CAMPUS Background Information Milwaukee Area Technical College Facilities Operations is requesting the upgrade of obsolete FS 90 Fire Alarm Panels and fire alarm monitoring devices. The upgrade affects the communication of our fire alarms, fire suppression system monitoring, door security and controls at the North Campus which has recently suffered communication breakdowns between the alarms and MATC s system due to the age of the existing system. An upgraded system was installed at the Education Center at the Walker Square location and has worked extremely well. When this upgrade is complete, the North Campus will be functioning using current Fire Alarm Panel and device technology. This purchase will be made under the guidelines of GSA Purchasing Cooperative Contract Number GS 07F 0063H, which meets all state of Wisconsin Procurement requirements. These are based upon project scopes, budget and college guidelines for standardization of furniture. In addition they provide carpeting for new construction and remodeling as well as miscellaneous furnishings. These commodities are purchased utilizing a number of sources that have been approved by the WTCS State office. The contracts that we purchase off of are competitively bid and awarded. Our FY2018 estimated budget is approximately $2,000,000. Due to copyright laws, most programs must be obtained from holders of said copyrights and as such would be classified as Sole Source procurements. These providers are, but may not be limited to: American Public Television $140,000 (estimate) After PBS, this is our second largest supplier of programming, including Create, World, Premium Service and Exchange. Some of the programs on our schedule that come to us from APT include documentaries, movie packages, and travel shows. BBC Worldwide Americas $100,000 (estimate) Major syndicator of British programming with the emphasis on comedies and dramas. A.C. Nielsen Company $101,000 (per contract) Nielsen provides Milwaukee PBS with viewership numbers and audience research used in program acquisition, scheduling and underwriting. Public Broadcasting Service $2,150,000 (estimate projected increase, pending PBS Board action) This covers fees associated with the National Program Service ( signature public television series ), pledge fundraising programs that are specifically produced for membership drives, PBS Plus, specialty programming such as AUSTIN CITY LIMITS, THIS OLD HOUSE, CHARLIE ROSE, administrative, promotion, copyright, engineering and distribution fees. Executive Program Service $90,000 Syndication of program material generally in the entertainment and documentary field, past acquisitions included: SHERLOCK HOLMES, RED GREEN SHOW, and INSPECTOR MORSE. Trac Media $16,250 Audience research for Public Television. The Association of Public Television Stations $43,600 Our national advocacy organization, which also undertakes planning and research projects. National Educational Television Association $14,938 The national association that provides most of the public television system s professional development service and also gives us low cost access to distribute our local programming to other stations on NETA s satellite uplink. RJL Entertainment (Acorn) $20,000 (estimate) Newer syndicator for public television pledge and general audience programming including mysteries, drama, and high profile specials. Campaigns done with DMW helped to grow this segment of donors significantly each year. DMW also provides a proprietary newsletter, the Milwaukee PBS Member Insider as a benefit to donors. This benefit along with the Sustainer Conversion campaigns raise at least $275,000 a year for Milwaukee PBS. 72 I-1 RESOLUTION (BD ) IN OPPOSITON TO PRESIDENT S TRUMP S FY18 BUDGET CUTTING FEDERAL INVESTMENTS IN EDUCATION, JOB TRAINING AND RELATED PROGRAMS BACKGROUND Last month, President Trump released his FY18 federal budget proposal which included deep cuts or defunding of many investments in federal education, job training and other initiatives that serve in supporting Milwaukee Area Technical College (MATC) students and the community the college serves. In total, the federal budget proposes a $7.9 billion cut to the Department of Education including, the elimination of a $3.9 billion Pell Grant program surplus; the elimination of the Supplemental Educational Opportunity Grant (SEOG); a nearly 50 percent reduction of the Federal Work Study program; and a $168 million reduction of the Perkins Career and Technical Education State Grants program. Additionally, proposed changes to the subsidized student loan and Parent Plus loan programs would create greater financial burdens for students still attending college. The budget also proposes cuts and elimination of other programs and services such as the after school programs that many MATC students with school age children rely on while attending classes. RESOLUTION WHEREAS, MATC is the largest technical college and most diverse postsecondary educational institution in the State of Wisconsin; and WHEREAS, MATC s downtown campus is located in a community that is ranked as the nation s fifth most impoverished city; and WHEREAS, in the academic year 11,564 students received financial aid, totaling $66.3 million (includes Pell grants, loans, scholarships and work-study employment). 60% of program students receive financial aid; and WHEREAS, it is the mission of MATC to offer quality educational and training opportunities and services to its diverse, metropolitan community to advance the lives of its students; and WHEREAS, MATC was recently selected as an experimental site to allow incarcerated individuals to receive Pell Grants and pursue postsecondary education; and

73 WHEREAS, President Trump s federal budget proposal seeks to defund or severely cut funding and programs that directly support MATC students including the PELL grant program, SEOG, Federal Work Study, Perkins Career and Technical Education State Grants and the subsidized student loan program resulting in adverse consequences to student debt repayment; and WHEREAS, thousands of MATC students rely on these critical federal programs and funding to support the cost of their education, fund on-campus jobs and defer student loan repayment allowing students to achieve their educational goals, preparing them for jobs to meet workforce demands. THEREFORE, BE IT RESOLVED that the MATC District Board urges the District s U.S. Senators and Congress members to advance and support targeted federal investments and adopt policies that reflect the critical role the federal government plays in assisting students with access, affordability and achievement of quality postsecondary education while improving the quality of life for our community and its residents.

74 I-2 RESOLUTION IN OPPOSITON TO PRESIDENT S TRUMP S FY18 BUDGET PROPOSAL ELIMINATING FUNDING FOR CORPORATION FOR PUBLIC BROADCASTING WHEREAS, President Trump released his fiscal year 2018 budget which included a proposal to eliminate funding for the Corporation for Public Broadcasting ( CPB ) which provides critical funding public television and radio; and WHEREAS, the Milwaukee Area Technical College (MATC) District Board is the license holder for Milwaukee PBS Channels 10 and 36; and WHEREAS, Milwaukee PBS receives over $2.5 million dollars from CPB, supporting approximately 20 percent of the station s operations; and WHEREAS, Milwaukee PBS broadcasts award-winning national and local programming to more than two million viewers monthly, focusing on the issues and needs of its viewers in 11 counties in southeastern Wisconsin; and WHEREAS, Milwaukee PBS and other public television and radio stations across the United States provide critical and proven ready to learn programming for children, public safety communications, and high quality educational and informational content not available through any other media source; and WHEREAS, the cost to taxpayers in maintaining current CPB funding is a mere $1.35 in taxes per person each year; and WHEREAS, eliminating CPB funding would negatively impact production of Milwaukee PBS local programming and also result in a detrimental effect on MATC s Television and Video Production course offerings; and WHEREAS, eliminating CPB funding would place Milwaukee PBS at financial risk resulting in staff layoffs and future broadcasting uncertainty. THEREFORE, BE IT RESOLVED, that the MATC District Board urges the District s Senators and Congress members to oppose defunding public media and support current CPB funding levels to ensure ongoing high quality commercial free educational programming for residents of the MATC District.

75 Attachment FPO - 6 $1,500, Milwaukee Area Technical College District, Wisconsin General Obligation Promissory Notes, Series A RESOLUTION AUTHORIZING THE SALE OF $1,500, GENERAL OBLIGATION PROMISSORY NOTES, SERIES A WHEREAS, pursuant to Section 67.12(12) of the Wisconsin Statutes, as amended (the Act ), the Milwaukee Area Technical College District, Wisconsin (the District ), is authorized to issue notes of the District in the aggregate amount of $1,500, for the public purpose of financing building remodeling and improvement projects, consisting of projects included in the District's building remodeling and improvement program (the public purpose projects described above are hereafter referred to as the Public Purposes ); and WHEREAS, on May 23, 2017, the District authorized the issuance of $1,500, General Obligation Promissory Notes, Series A (the Notes ) for the Public Purposes; and WHEREAS, the District has prepared and distributed a Preliminary Official Statement, dated June 20, 2017 (the Preliminary Official Statement ), describing the Notes and the security therefor; and WHEREAS, the District has examined proposed documentation for the Notes (collectively, the Note Documents ), as follows: (a) an Official Notice of Sale issued by the District and a Parity Bid Form (the Note Purchase Agreement ) to be entered into between the District and the Underwriter, providing for the sale of the Notes; and (b) the Preliminary Official Statement. WHEREAS, it is now expedient and necessary for the District to issue its general obligation promissory notes in the amount of $1,500, for the Public Purposes; NOW, THEREFORE, the District hereby resolves as follows: Section 1. Definitions. The following terms shall have the following meanings in this Resolution unless the text expressly or by implication requires otherwise: Act shall mean Section 67.12(12) of the Wisconsin Statutes; Code shall mean the Internal Revenue Code of 1986, as amended;

76 Continuing Disclosure Agreement shall mean the Continuing Disclosure Agreement, executed and delivered by the Issuer, dated July 10, 2017 (the Continuing Disclosure Agreement ), delivered by the District for the purpose of complying with the requirements of Rule 15c2-12 promulgated by the Securities and Exchange Commission under the Securities Exchange Act of 1934, as amended; Dated Date shall mean July 10, 2017; Debt Service Fund shall mean the Debt Service Fund of the District, which shall be the special redemption fund as such term is defined in the Act; District shall mean the Milwaukee Area Technical College District, Wisconsin; Fiscal Agent shall mean the Treasurer of the District; Governing Body shall mean the Board of the District, or such other body as may hereafter be the chief legislative body of the District; Initial Resolution shall mean the Resolution Authorizing the Issuance of $1,500, General Obligation Promissory Notes, Series A of Milwaukee Area Technical College District, Wisconsin, adopted by the Governing Body on May 23, 2017; Note Registrar means the Secretary of the District; Notes shall mean the $1,500, General Obligation Promissory Notes, Series A, of the District; Public Purposes shall mean the public purpose of financing $1,500, of building remodeling and improvement projects, consisting of projects included in the District's building remodeling and improvement program; Purchase Price shall mean $1,534, ($1,500, par amount of Notes, plus premium of $40,655.00, less underwriter's discount of $5,977.83); Record Date shall mean the close of business on the fifteenth day of the calendar month next preceding any principal or interest payment date; Securities Depository means The Depository Trust Company, New York, New York, or its nominee; and Underwriter means Fidelity Capital Markets. Section 2. Authorization of the Notes. For the purpose of financing the Public Purposes, there shall be borrowed on the full faith and credit of the District the sum of $1,500,000.00; and fully registered general obligation promissory notes of the District are authorized to be issued in evidence thereof. 2

77 Section 3. Sale of the Notes. To evidence such indebtedness, (i) the Chairperson or the Vice Chairperson and (ii) the Secretary of the District are hereby authorized, empowered and directed to make, execute, issue and sell to the Underwriter for, on behalf of and in the name of the District, general obligation promissory notes in the aggregate principal amount of One Million Five Hundred Thousand Dollars ($1,500,000.00) for the Purchase Price, plus accrued interest to the date of delivery. Section 4. Terms of the Notes. The Notes shall be designated General Obligation Promissory Notes, Series A ; shall be dated the Dated Date; shall be numbered one and upward; shall bear interest as shown on the Maturity Schedule below; shall be issued in denominations of $5,000 or any integral multiple thereof; and shall mature on the dates and in the amounts as set forth below. The Notes shall be executed in the name of the District by the manual signatures of (i) the Chairperson or the Vice Chairperson and (ii) the Secretary, and may be sealed with its official or corporate seal, if any. The principal of, premium, if any, and interest on the Notes shall be paid by the Fiscal Agent. Both the principal of and interest on the Notes shall be payable in lawful money of the United States of America by the Fiscal Agent. Payment of principal of the final maturity on the Notes will be payable upon presentation and surrender of the Notes to the Fiscal Agent. Payment of principal on the Notes (except the final maturity) and each installment of interest shall be made to the registered owner of each Note who shall appear on the registration books of the District, maintained by the Note Registrar, on the Record Date and shall be paid by check or draft of the Fiscal Agent and mailed to such 3

78 registered owner at the address appearing on such registration books or at such other address may be furnished in writing to such registered owner to the Note Registrar. Section 6. Note Proceeds. The sale proceeds of the Notes (exclusive of accrued interest, printing distribution and filing fees, and any premium received) shall, forthwith upon receipt, be placed in and kept by the District Treasurer as a separate fund to be known as the Promissory Notes, Series A, Borrowed Money Fund (hereinafter referred to as the Borrowed Money Fund ). Moneys in the Borrowed Money Fund shall be used solely for the purposes for which borrowed or for transfer to the Debt Service Fund as provided by law. Section 7. Tax Levy. In order to provide for the collection of a direct annual tax sufficient in amount to pay and for the express purpose of paying the interest on the Notes as it falls due and also to pay and discharge the principal thereof at maturity, there is hereby levied upon all of the taxable property in the District, in addition to all other taxes, a nonrepealable, direct, annual tax in an amount sufficient for that purpose. This tax shall be from year to year carried into the tax roll of the District and collected in addition to all other taxes and in the same manner and at the same time. Said tax is to be for the following years and in the following minimum amounts: Year of Levy Amount of Tax 2016 $12, $31, $378, $519, $509, $152, The District shall be and continue without power to repeal such levy or obstruct the collection of said tax until all such payments have been made or provided for. After the issuance of the Notes, said tax shall be carried into the tax rolls of the District and collected as other taxes are collected, provided that the amount of tax carried into said tax rolls with respect to the Notes may be reduced by the amount of any surplus money in the Debt Service Fund created pursuant to Section 8 below. If there shall be insufficient funds from the tax levy to pay the principal of or interest on the Notes when due, the said principal or interest shall be paid from other funds of the District on hand, said amounts to be returned when said taxes have been collected. There be and there hereby is appropriated from taxes levied by the District in anticipation of the issuance of the Notes and other funds of the District on hand a sum sufficient to be deposited in the Debt Service Fund to meet payments with respect to debt service due for the current year. Section 8. Debt Service Fund. Within the debt service fund previously established within the treasury of the District, there be and there hereby is established a separate and 4

79 distinct fund designated as the Debt Service Fund for $1,500, General Obligation Promissory Notes, Series A, dated July 10, 2017 (the Debt Service Fund ), and such fund shall be maintained until the indebtedness evidenced by the Notes is fully paid or otherwise extinguished. The District Treasurer shall deposit in such Debt Service Fund (i) all accrued interest received by the District at the time of delivery of and payment for the Notes; (ii) the taxes herein levied for the specific purpose of meeting principal of and interest on the Notes when due; (iii) such other sums as may be necessary at any time to pay principal of and interest on the Notes when due; (iv) any premium which may be received by the District above the par value of the Notes and accrued interest thereon; (v) surplus moneys in the Borrowed Money Fund for the Notes; and (vi) such further deposits as may be required by Section of the Wisconsin Statutes. No money shall be withdrawn from the Debt Service Fund and appropriated for any purpose other than the payment of principal of and interest on the Notes until all such principal and interest has been paid in full and canceled; provided (i) the funds to provide for each payment of principal of and interest on the Notes prior to the scheduled receipt of taxes from the next succeeding tax collection may be invested in direct obligations of the United States of America maturing in time to make such payments when they are due or in other investments permitted by law; and (ii) any funds over and above the amount of such principal and interest payments on the Notes may be used to reduce the next succeeding tax levy, or may, at the option of the District, be invested by purchasing the Notes as permitted by and subject to Section 67.11(2)(a) of the Wisconsin Statutes in interest-bearing obligations of the United States of America, in other obligations of the District or in other investments permitted by law, which investments shall continue as a part of the Debt Service Fund. When all of the Notes have been paid in full and canceled, and all permitted investments disposed of, any money remaining in the Debt Service Fund shall be deposited in the general fund of the District, unless the District Board directs otherwise. Section 9. Deposits and Investments. The Debt Service Fund shall be kept apart from moneys in the other funds and accounts of the District and the same shall be used for no purpose other than the prompt payment of principal of and interest on the Notes as the same becomes due and payable. All moneys therein shall be deposited in special and segregated accounts in a public depository selected under Chapter 34 of the Wisconsin Statutes and may be temporarily invested until needed in legal investments subject to the provisions of Sections (1m) and 67.10(3) of the Wisconsin Statutes. All income derived from such investments shall be regarded as revenues of the District. No such investment shall be in such a manner as would cause the Notes to be arbitrage bonds within the meaning of Section 148 of the Code or the Regulations of the Commissioner of Internal Revenue thereunder. The District Treasurer shall, on the basis of the facts, estimates and circumstances in existence on the date of closing, make such certifications as are necessary to permit the conclusion that the Notes are not arbitrage bonds under Section 148 of the Code or the Regulations of the Commissioner of Internal Revenue thereunder. 5

80 Section 10. Sale of Notes. The terms, conditions and provisions of the Notes and the Note Documents are, in all respects, authorized and approved. The form of the Note Purchase Agreement is hereby approved. The Notes shall be sold and delivered in the manner, at the Purchase Price, plus interest accrued from the Interest Accrual Date to the closing date, pursuant to the terms and conditions set forth in the Note Purchase Agreement. The preparation of the Preliminary Official Statement and the Final Official Statement, and their use as contemplated in the Note Purchase Agreement, are hereby approved. The Preliminary Official Statement is deemed final as of its date, except for omissions or subsequent modifications permitted under Rule 15c2-12 of the Securities and Exchange Commission. The Chairperson, the Vice Chairperson and Secretary of the District are authorized and directed to do any and all acts necessary to conclude delivery of the Notes to the Underwriter, as soon after adoption of this Resolution as is convenient. Section 11. Book-Entry Only Notes. The Notes shall be transferable as follows: (a) Each maturity of Notes will be issued as a single Note in the name of the Securities Depository, or its nominee, which will act as depository for the Notes. During the term of the Notes, ownership and subsequent transfers of ownership will be reflected by book entry on the records of the Securities Depository and those financial institutions for whom the Securities Depository effects book entry transfers (collectively, the Participants ). No person for whom a Participant has an interest in Notes (a Beneficial Owner ) shall receive bond certificates representing their respective interest in the Notes except in the event that the Securities Depository or the District shall determine, at its option, to terminate the book-entry system described in this Section. Payment of principal of, and interest on, the Notes will be made by the Fiscal Agent to the Securities Depository which will in turn remit such payment of principal and interest to its Participants which will in turn remit such principal and interest to the Beneficial Owners of the Notes until and unless the Securities Depository or the District elect to terminate the book entry system, whereupon the District shall deliver bond certificates to the Beneficial Owners of the Notes or their nominees. Note certificates issued under this Section may not be transferred or exchanged except as provided in this Section. (b) Upon the reduction of the principal amount of any maturity of Notes, the Registered Noteowner may make a notation of such redemption on the panel of the Note, stating the amount so redeemed, or may return the Note to the District for exchange for a new Note in a proper principal amount. Such notation, if made by the Noteowner, may be made for reference only, and may not be relied upon by any other person as being in any way determinative of the principal amount of such Note Outstanding, unless the Note Registrar initialed the notation on the panel. (c) Immediately upon delivery of the Notes to the purchasers thereof on the delivery date, such purchasers shall deposit the bond certificates representing all of the 6

81 Notes with the Securities Depository. The Securities Depository, or its nominee, will be the sole Noteowner of the Notes, and no investor or other party purchasing, selling or otherwise transferring ownership of any Notes will receive, hold or deliver any bond certificates as long as the Securities Depository holds the Notes immobilized from circulation. (d) The Notes may not be transferred or exchanged except: (1) To any successor of the Securities Depository (or its nominee) or any substitute depository ( Substitute Depository ) designated pursuant to (ii) below, provided that any successor of the Securities Depository or any Substitute Depository must be a qualified and registered clearing agency as provided in Section 17L of the Securities Exchange Act of 1934, as amended; (2) To a Substitute Depository designated by or acceptable to the District upon (a) the determination by the Securities Depository that the Notes shall no longer be eligible for depository services or (b) a determination by the District that the Securities Depository is no longer able to carry out its functions, provided that any such Substitute Depository must be qualified to act as such, as provided in subparagraph (1) above; or (3) To those persons to whom transfer is requested in written transfer instructions in the event that: (i) The Securities Depository shall resign or discontinue its services for the Notes and, only if the District is unable to locate a qualified successor within two months following the resignation or determination of noneligibility, or (ii) Upon a determination by the District that the continuation of the book entry system described herein, which precludes the issuance of certificates to any Noteowner other than the Securities Depository (or its nominee) is no longer in the best interest of the Beneficial Owners of the Notes. (e) The Depository Trust Company, New York, New York, is hereby appointed the Securities Depository for the Notes. Section 12. Undertaking to Provide Continuing Disclosure. The (i) Chairperson or the Vice Chairperson and (ii) Secretary of the District are hereby authorized and directed to execute on behalf of the District, the Continuing Disclosure Agreement in connection with the Notes for the purpose of complying with the requirements of Rule 15c2-12 promulgated by the Securities and Exchange Commission under the Securities Exchange Act of 1934, as amended. 7

82 Section 13. Compliance with Federal Tax Laws. (a) The District represents and covenants that the project financed by the Notes and their ownership, management and use will not cause the Notes to be private activity bonds within the meaning of Section 141 of the Code, and the District shall comply with the provisions of the Code to the extent necessary to maintain the taxexempt status of the interest on the Notes. (b) The District also covenants to use its best efforts to meet the requirements and restrictions of any different or additional federal legislation which may be made applicable to the Notes, provided that in meeting such requirements the District will do so only to the extent consistent with the proceedings authorizing the Notes and the laws of Wisconsin, and to the extent there is a reasonable period of time in which to comply. Section 14. Rebate Fund. If necessary, the District shall establish and maintain, so long as the Notes are outstanding, a separate account to be known as the Rebate Fund for the purpose of complying with the rebate requirements of Section 148(f) of the Code. The Rebate Fund is for the sole purpose of paying rebate to the United States of America, if any, on amounts of bond proceeds held by the District. The District hereby covenants and agrees that it shall pay from the Rebate Fund the rebate amounts as determined herein to the United States of America. The District may engage the services of accountants, attorneys, or other consultants necessary to assist it in determining rebate amounts. Amounts held in the Rebate Fund and the investment income therefrom are not pledged as security for the Notes and may only be used to pay amounts to the United States. The District shall maintain or cause to be maintained records of such determinations until six (6) years after payment in full of the Notes and shall make such records available upon reasonable request therefor. Section 15. Defeasance. When all Notes have been discharged, all pledges, covenants and other rights granted to the owners thereof by this Resolution shall cease. The District may discharge all Notes due on any date by irrevocably depositing in escrow with a suitable bank or trust company a sum of cash and/or bonds or securities issued or guaranteed as to principal and interest of the U.S. Government, or of a commission, board or other instrumentality of the U.S. Government ( Government Obligations ), or of securities wholly and irrevocably secured as to principal and interest by Government Obligations and rated in the highest rating category of a nationally recognized rating service, maturing on the dates and bearing interest at the rates required to provide funds sufficient to pay when due the interest to accrue on each of said Note to its maturity or, at the District's option, if said Note is prepayable to any prior date upon which it may be called for redemption, and to pay and redeem the principal amount of each such Note at maturity, or at the District's option, if said Note is prepayable, at its earliest redemption date, with the premium required for such redemption, if any, provided that notice of the redemption of all prepayable Notes on such date has been duly given or provided for. 8

83 Section 16. Resolution a Contract. The provisions of this Resolution shall constitute a contract between the District and the owner or owners of the Notes, and after issuance of any of the Notes no change or alteration of any kind in the provisions of this Resolution may be made, except as provided in Section 18, until all of the Notes have been paid in full as to both principal and interest. The owner or owners of any of the Notes shall have the right in addition to all other rights, by mandamus or other suit or action in any court of competent jurisdiction, to enforce such owner's or owners' rights against the District, the Governing Body thereof, and any and all officers and agents thereof including, but without limitation, the right to require the District, its Governing Body and any other authorized body, to fix and collect rates and charges fully adequate to carry out all of the provisions and agreements contained in this Resolution. Section 17. General Authorizations. The Chairperson, the Vice Chairperson and the Secretary of the District and the appropriate deputies and officials of the District in accordance with their assigned responsibilities are hereby each authorized to execute, deliver, publish, file and record such other documents, instruments, notices and records and to take such other actions as shall be necessary or desirable to accomplish the purposes of this Resolution and to comply with and perform the obligations of the District under the Notes. The execution or written approval of any document by the Chairperson, the Vice Chairperson or Secretary of the District herein authorized shall be conclusive evidence of the approval by the District of such document in accordance with the terms hereof. In the event that said officers shall be unable by reason of death, disability, absence or vacancy of office to perform in timely fashion any of the duties specified herein (such as the execution of Notes), such duties shall be performed by the officer or official succeeding to such duties in accordance with law and the rules of the District. Any actions taken by the Chairperson, the Vice Chairperson and Secretary consistent with this Resolution are hereby ratified and confirmed. Section 18. Amendment to Resolution. After the issuance of any of the Notes, no change or alteration of any kind in the provisions of this Resolution may be made until all of the Notes have been paid in full as to both principal and interest, or discharged as herein provided, except: (a) the District may, from to time, amend this Resolution without the consent of any of the owners of the Notes, but only to cure any ambiguity, administrative conflict, formal defect, or omission or procedural inconsistency of this Resolution; and (b) this Resolution may be amended, in any respect, with a written consent of the owners of not less than two-thirds (2/3) of the principal amount of the Notes then outstanding; provided, however, that no amendment shall permit any change in the pledge of tax revenues of the District or the maturity of any Note issued hereunder, or a reduction in the rate of interest on any Note, or in the amount of the principal obligation thereof, or in the amount of the redemption premium payable in the case of redemption thereof, or change the terms upon which the Notes may be redeemed or make any other modification in the terms of the payment of such principal or interest 9

84 without the written consent of the owner of each such Note to which the change is applicable. Section 19. Illegal or Invalid Provisions. In case any one or more of the provisions of this Resolution or any of the Notes shall for any reason be held to be illegal or invalid, such illegality or invalidity shall not affect any other provision of this Resolution or of the Notes. Section 20. Conflicting Resolutions. All ordinances, resolutions, or orders, or parts thereof heretofore enacted, adopted or entered, in conflict with the provisions of this Resolution, are hereby repealed and this Resolution shall be in effect from and after its passage. Detailed Rating Considerations Economy and Tax Base: Large Tax Base Within Metropolitan Milwaukee The district's economy is expected to remain relatively stable due to the strength of the diverse commercial sectors within the district's boundaries. The district, which is one of the largest in Wisconsin's technical college system, covers 470 square miles and provides vocational education to residents of Milwaukee County (Aa2 stable), the majority of Ozaukee County (Aaa) and small portions of several other surrounding suburban counties. The City of Milwaukee comprises slightly less than half of the district's equalized valuation and over half of the district's population, and is Wisconsin's (Aa2 positive) largest urban center and economic hub. 97 MOODY'S INVESTORS SERVICE U.S. PUBLIC FINANCE Despite three consecutive years of growth, the district's very large $74.9 billion tax base remains 10% below its prerecession high of $82.8 billion in The regional economy exhibits some manufacturing concentration as the sector represents approximately 15% of area employment, above the 9% national average; however, employment continues to diversify and there is a strong presence in health care, finance, and government. At 3.7% in April 2017, the unemployment rate in Milwaukee County was higher than the state's figure of 3.0%, but below the national rate of 4.1% for the same time period. Socio-economic indices are weak for the rating category with median family income for Milwaukee County at 85% of the US. Financial Operations and Reserves: Satisfactory Reserve Levels; Limited Revenue Raising Flexibility The district's financial profile is expected to remain stable given a demonstrated willingness and ability to align revenues and expenditures. After three consecutive draws on General Fund reserves, driven by enrollment declines, state aid cuts and drops in property tax revenues, the district posted two consecutive General Fund surpluses driven by a variety of expenditure reductions including personnel and benefit changes. The most recent General Fund surplus of $1.6 million increased available General Fund reserves to $27 million or 16.1% of General Fund revenues. On a full accrual basis, the college closed fiscal 2016 with an operating surplus of $312,927. When excluding the district's accrued net other post employment benefit (OPEB) obligation but inclusive of restrictions for debt service, the college's adjusted unrestricted net position totaled $36.3 million and 14.3% of college wide revenues at the close of fiscal Five years prior at the close of fiscal 2011, the college's adjusted unrestricted net position totaled $65.5 million and 25% total revenues. For fiscal 2017, the college has budgeted for balanced operations. While the college has demonstrated a recent willingness to reduce expenditures and stabilize operations, material reductions in reserves or in the college's unrestricted net position could place downward pressure on the rating. On April 13, 2017, the college announced that it will be receiving a one-time payment of $84.9 million as a result of its participation in the Federal Communications Commission broadcast incentive auction, created to free up bandwidth to accommodate the growing capacity needs for wireless technology. The college expects to receive the funds in late 2017 or early 2018 and intends to spend the funds on several core priorities, including program expansions and enhancements. The college's three primary revenue sources are property taxes, state aid and federal aid which comprise approximately 34%, 30%, and 14% of total revenues, respectively. The district's revenue raising flexibility is somewhat limited as the state dictates tuition rates, aid distributions, and levy limits. LIQUIDITY Across all college funds, unrestricted cash and cash equivalents totaled $21.5 million at the close of fiscal Inclusive of cash restricted for debt service and other available amounts, available net cash totaled $44.2 million and 17.4% of revenues. Debt and Pensions: Modest Debt Burden; Growing Pension Burden We expect the district's debt profile will remain modest given aggressive principal retirement and the district's sizeable base. The district's 5.0% overall debt burden is above average and reflects significant borrowing of overlapping governmental entities, namely the Milwaukee Metropolitan Sewerage District (Aa1 stable) and Milwaukee County. The district's direct debt burden is a modest 0.2% of full value and 0.6 times college wide revenues. The district's debt plans include $39 million in additional debt over the next twelve months. The district participates in the Wisconsin Retirement System (WRS), a statewide cost sharing plan. The district's contributions to WRS in fiscal 2016 were $7.6 million or 3% of college wide revenues. DEBT STRUCTURE All of the district's debt is fixed rate and long-term. Amortization of existing debt is sound, as 96% of principal is set to be retired over the next ten years. DEBT-RELATED DERIVATIVES The district is not a party to any derivative agreements. PENSIONS AND OPEB The one year Moody's adjusted net pension liability (ANPL) for MATC, under our methodology for adjusting reported pension data, was $264 million in fiscal 2016, a 23% increase from the fiscal 2015 ANPL of $204 million bringing the three year average to $226 million. 98 MOODY'S INVESTORS SERVICE U.S. PUBLIC FINANCE The increase reflects various factors, including plan asset underperformance relative to plan assumptions, and the decline in the Citi Pension Liability Index rate, which is the discount rate we use to calculate the ANPL. Despite recent growth, the district's 3 year average pension burden remains relatively low at 1.10 times operating revenue and 0.3% of full valuation. Moody's ANPL reflects the use of the Citi Pension Liability Index rate to value liabilities. The ANPL reflects the allocation of WRS liabilities to participating employers, which is a required reporting standard under GASB effective fiscal The ANPL is not intended to replace the district's reported liability information but is used to enhance comparability with other rated entities. Historically, the district offered a generous OPEB plan to qualifying retirees, including health insurance to those who would otherwise qualify for Medicare. Beginning July 1, 2015, post-65 retirees receiving healthcare benefits from MATC have been moved to a Medicare Advantage Plan offered by United Healthcare. The change reduced the unfunded actuarially accrued liability (UAAL) to $118 million and 0.45 times revenues as of July 1, 2014 from $260 million and 0.99 times revenues as of July 1, Management notes that the June 1, 2015 UAAL estimate from the plan's actuary shows a further reduction to $84.2 million. In addition, the MATC board recently adopted policies to eliminate post-employment healthcare benefits to new faculty employees hired after June 30, MATC faculty were the last remaining category of employees eligible to receive such benefits. The changes will further reduce the district's OPEB liability in coming years. The district's fiscal 2016 contribution to the plan was $7.5 million and 3% of college revenues. Management and Governance: Strong Institutional Framework; Limited Revenue Raising Flexibility Wisconsin community college districts (CCDs) have an institutional framework score of Aa, or strong. Wisconsin technical college districts benefit from very large tax bases, ample reserves, and considerable expenditure flexibility provided by Wisconsin s Act 10 legislation, which increased public employee contributions toward pensions and health coverage and restricted union powers of collective bargaining and dues collection. These sector attributes partially offset revenue constraints caused by state-imposed revenue limits and enrollment fluctuations that run counter to economic cycles. After enrollment grew in fiscal 2009 and 2010, the trend reversed and enrollment since declined annually. Declines in fiscals 2011 through 2016 brought enrollment to 10,634 FTE students. Due to a new privately funded initiative to grant qualified low income students free tuition, the district budgeted for an enrollment increase of 1% in Year-to-date, enrollment figures are trending approximately 300 students below budget. As in prior years, the district plans to offset declines in enrollment with expenditure reductions primarily by leaving budgeted positions vacant. Legal Security Debt service on the district's GO debt, including the current notes, is secured by the district's GOULT pledge to levy a designated property tax not limited by rate or amount. Use of Proceeds Proceeds from the notes will finance various infrastructure repairs and building improvements. 102 Attachment FPO - 7 Milwaukee Area Technical College District, Wisconsin General Obligation Promissory Notes, Series B RESOLUTION AUTHORIZING THE ISSUANCE AND ESTABLISHING THE PARAMETERS FOR THE SALE OF NOT TO EXCEED $1,500, GENERAL OBLIGATION PROMISSORY NOTES, SERIES B WHEREAS, Milwaukee Area Technical College District (the "District") is presently in need of $1,500, for the public purpose of financing building remodeling and improvement projects, consisting of projects included in the District's building remodeling and improvement program (the public purpose projects described above are hereafter referred to as the Public Purposes ); WHEREAS, it is in the best interest of the District that the monies needed for such purpose be borrowed through the issuance of general obligation promissory notes pursuant to Section 67.12(12) of the Wisconsin Statutes, as amended (the Act ); WHEREAS, pursuant to the Act, the District is authorized to issue notes of the District in the aggregate amount of not to exceed $1,500, for the Public Purposes; and WHEREAS, the District seeks to authorize the issuance of not to exceed $1,500, General Obligation Promissory Notes, Series B (the Notes ) for the Public Purposes and set forth the parameters for the sale of such Notes; and WHEREAS, it is now expedient and necessary for the District to issue its general obligation promissory notes in the amount of not to exceed $1,500, for the Public Purposes; NOW, THEREFORE, the District hereby resolves as follows: Section 1. Definitions. The following terms shall have the following meanings in this Resolution unless the text expressly or by implication requires otherwise: Act shall mean Section 67.12(12) of the Wisconsin Statutes; Code shall mean the Internal Revenue Code of 1986, as amended; Continuing Disclosure Agreement shall mean the Continuing Disclosure Agreement, executed and delivered by the District, dated the date of issuance of the Notes (the Continuing Disclosure Agreement ), delivered by the District for the purpose of complying with the requirements of Rule 15c2-12 promulgated by the Securities and Exchange Commission under the Securities Exchange Act of 1934, as amended;

103 Dated Date shall mean the date of issuance of the Notes; Debt Service Fund shall mean the Debt Service Fund of the District, which shall be the special redemption fund as such term is defined in the Act; District shall mean the Milwaukee Area Technical College District, Wisconsin; Fiscal Agent shall mean the Treasurer of the District; Governing Body shall mean the Board of the District, or such other body as may hereafter be the chief legislative body of the District; Initial Resolution shall mean the Resolution Authorizing the Issuance and Establishing the Parameters for the Sale of Not to Exceed $1,500, General Obligation Promissory Notes, Series B of Milwaukee Area Technical College District, Wisconsin, adopted by the Governing Body on June 27, 2017; Note Registrar means the Secretary of the District; Notes shall mean the General Obligation Promissory Notes, Series B, of the District; Public Purposes shall mean the public purpose of financing not to exceed $1,500, of building remodeling and improvement projects, consisting of projects included in the District's building remodeling and improvement program; Purchase Price shall mean the purchase price for the Notes as set forth in the Final Approval; Record Date shall mean the close of business on the fifteenth day of the calendar month next preceding any principal or interest payment date; and Securities Depository means The Depository Trust Company, New York, New York, or its nominee. Section 2. Authorization of the Notes; Parameters. For the purpose of financing the Public Purposes, there shall be borrowed from an underwriter (the Underwriter ) selected through a competitive sale with the assistance and counsel of the District s financial advisor, Robert W. Baird & Co. Incorporated, on the full faith and credit of the District the sum of not to exceed $1,500,000.00; and fully registered general obligation promissory notes of the District are authorized to be issued in evidence thereof, provided that: (i) the price paid by the Underwriter for the Notes shall not be less than % of the par amount of the Notes, (ii) the true interest cost to be paid on the Notes shall not exceed 4.00%; (iii) the Notes shall mature no later than June 1, 2022; and (iv) the Notes shall comply in all other respects with the terms provided herein. The District Secretary shall, within ten (10) days hereafter, cause public notice of the adoption of this resolution 2

104 to be given to the electors of the District by publishing a notice thereof in the Milwaukee Journal Sentinel, a newspaper published and having general circulation in the District, which newspaper is found and determined to be likely to give notice to the electors, such notice to be in substantially the form set forth in Exhibit A to this resolution. Section 3. Sale of the Notes; Delegation of Authority with Respect to Final Approval. Subject to such Final Approval (defined below), to evidence such indebtedness, the District is hereby authorized, empowered and directed to make, execute, issue and sell to the Underwriter for, on behalf of and in the name of the District, general obligation promissory notes in the aggregate principal amount of not to exceed One Million Five Hundred Thousand Dollars ($1,500,000.00). The issuance and sale of the Notes to the Underwriter is subject to final approval by the Interim Vice President, Finance. Such final approval shall be evidenced by a certificate of the Interim Vice President, Finance. The approval of such issuance and sale, and the execution of said certificate shall comprise and be referred to collectively herein as the Final Approval. The Governing Body of the District hereby delegates the authority to provide such Final Approval to the Interim Vice President, Finance. Said Interim Vice President, Finance, may act for the Governing Body of the District to provide such Final Approval with respect to the Notes. Section 4. Terms of the Notes. The Notes shall be designated General Obligation Promissory Notes, Series B ; shall be dated the Dated Date; shall be numbered one and upward; shall be issued in denominations of $5,000 or any integral multiple thereof; and shall bear interest and mature on the dates and in the amounts as set forth in the Final Approval. Redemption provisions relating to the Notes shall be set forth in the Final Approval. Section 5. Form, Execution, Registration and Payment of the Notes. The Notes shall be issued as registered obligations in substantially the form attached hereto as Exhibit B and incorporated herein by this reference. The Notes shall be executed in the name of the District by the manual signatures of (i) the Chairperson or the Vice Chairperson and (ii) the Secretary, and may be sealed with its official or corporate seal, if any. The principal of, premium, if any, and interest on the Notes shall be paid by the Fiscal Agent. Both the principal of and interest on the Notes shall be payable in lawful money of the United States of America by the Fiscal Agent. Payment of principal of the final maturity on the Notes will be payable upon presentation and surrender of the Notes to the Fiscal Agent. Payment of principal on the Notes (except the final maturity) and each installment of interest shall be made to the registered owner of each Note who shall appear on the registration books of the District, maintained by the Note Registrar, on the Record Date and shall be paid by check or draft of the Fiscal Agent and mailed to such 3

105 registered owner at the address appearing on such registration books or at such other address may be furnished in writing to such registered owner to the Note Registrar. Section 6. Note Proceeds. The sale proceeds of the Notes (exclusive of accrued interest, printing distribution and filing fees, and any premium received) shall, forthwith upon receipt, be placed in and kept by the District Treasurer as a separate fund to be known as the Promissory Notes, Series B, Borrowed Money Fund (hereinafter referred to as the Borrowed Money Fund ). Moneys in the Borrowed Money Fund shall be used solely for the purposes for which borrowed or for transfer to the Debt Service Fund as provided by law. Section 7. Tax Levy. In order to provide for the collection of a direct annual tax sufficient in amount to pay and for the express purpose of paying the interest on the Notes as it falls due and also to pay and discharge the principal thereof at maturity, there is hereby levied upon all of the taxable property in the District, in addition to all other taxes, a nonrepealable, direct, annual tax in an amount sufficient for that purpose. This tax shall be from year to year carried into the tax roll of the District and collected in addition to all other taxes and in the same manner and at the same time. Said tax shall be in the years and in the minimum amounts as set forth in the Final Approval. The District shall be and continue without power to repeal such levy or obstruct the collection of said tax until all such payments have been made or provided for. After the issuance of the Notes, said tax shall be carried into the tax rolls of the District and collected as other taxes are collected, provided that the amount of tax carried into said tax rolls with respect to the Notes may be reduced by the amount of any surplus money in the Debt Service Fund created pursuant to Section 8 below. If there shall be insufficient funds from the tax levy to pay the principal of or interest on the Notes when due, the said principal or interest shall be paid from other funds of the District on hand, said amounts to be returned when said taxes have been collected. There be and there hereby is appropriated from taxes levied by the District in anticipation of the issuance of the Notes and other funds of the District on hand a sum sufficient to be deposited in the Debt Service Fund to meet payments with respect to debt service due for the year Section 8. Debt Service Fund. Within the debt service fund previously established within the treasury of the District, there be and there hereby is established a separate and distinct fund designated as the Debt Service Fund for General Obligation Promissory Notes, Series B (the Debt Service Fund ), and such fund shall be maintained until the indebtedness evidenced by the Notes is fully paid or otherwise extinguished. The District Treasurer shall deposit in such Debt Service Fund (i) all accrued interest received by the District at the time of delivery of and payment for the Notes; (ii) the taxes herein levied for the specific purpose of meeting principal of and interest on the Notes when due; (iii) such other sums as may be necessary at any time to pay principal of and interest on the Notes when due; (iv) any premium which may be received by the District 4

106 above the par value of the Notes and accrued interest thereon; (v) surplus moneys in the Borrowed Money Fund for the Notes; and (vi) such further deposits as may be required by Section of the Wisconsin Statutes. No money shall be withdrawn from the Debt Service Fund and appropriated for any purpose other than the payment of principal of and interest on the Notes until all such principal and interest has been paid in full and canceled; provided (i) the funds to provide for each payment of principal of and interest on the Notes prior to the scheduled receipt of taxes from the next succeeding tax collection may be invested in direct obligations of the United States of America maturing in time to make such payments when they are due or in other investments permitted by law; and (ii) any funds over and above the amount of such principal and interest payments on the Notes may be used to reduce the next succeeding tax levy, or may, at the option of the District, be invested by purchasing the Notes as permitted by and subject to Section 67.11(2)(a) of the Wisconsin Statutes in interest-bearing obligations of the United States of America, in other obligations of the District or in other investments permitted by law, which investments shall continue as a part of the Debt Service Fund. When all of the Notes have been paid in full and canceled, and all permitted investments disposed of, any money remaining in the Debt Service Fund shall be deposited in the general fund of the District, unless the District Board directs otherwise. Section 9. Deposits and Investments. The Debt Service Fund shall be kept apart from moneys in the other funds and accounts of the District and the same shall be used for no purpose other than the prompt payment of principal of and interest on the Notes as the same becomes due and payable. All moneys therein shall be deposited in special and segregated accounts in a public depository selected under Chapter 34 of the Wisconsin Statutes and may be temporarily invested until needed in legal investments subject to the provisions of Sections (1m) and 67.10(3) of the Wisconsin Statutes. All income derived from such investments shall be regarded as revenues of the District. No such investment shall be in such a manner as would cause the Notes to be arbitrage bonds within the meaning of Section 148 of the Code or the Regulations of the Commissioner of Internal Revenue thereunder. The District Treasurer shall, on the basis of the facts, estimates and circumstances in existence on the date of closing, make such certifications as are necessary to permit the conclusion that the Notes are not arbitrage bonds under Section 148 of the Code or the Regulations of the Commissioner of Internal Revenue thereunder. Section 10. Sale of Notes. The District is authorized to prepare and distribute the following documentation for the Notes (collectively, the Note Documents ) (i) a Preliminary Official Statement (the Preliminary Official Statement ), describing the Notes and the security therefor; (ii) an Official Notice of Sale issued by the District and a Parity Bid Form (the Note Purchase Agreement ) to be entered into between the District and the Underwriter, providing for the sale of the Notes; and (iii) a Final Official Statement dated the date of sale of the Notes describing the Notes and the security therefor. 5

107 The Notes shall be sold and delivered in the manner, at the Purchase Price, pursuant to the terms and conditions set forth in the Note Purchase Agreement. The Chairperson, the Vice Chairperson, the Vice President, Finance and Secretary of the District are authorized and directed to do any and all acts necessary to conclude delivery of the Notes to the Underwriter, as soon after adoption of this Resolution as is convenient. Section 11. Book-Entry Only Notes. The Notes shall be transferable as follows: (a) Each maturity of Notes will be issued as a single Note in the name of the Securities Depository, or its nominee, which will act as depository for the Notes. During the term of the Notes, ownership and subsequent transfers of ownership will be reflected by book entry on the records of the Securities Depository and those financial institutions for whom the Securities Depository effects book entry transfers (collectively, the Participants ). No person for whom a Participant has an interest in Notes (a Beneficial Owner ) shall receive bond certificates representing their respective interest in the Notes except in the event that the Securities Depository or the District shall determine, at its option, to terminate the book-entry system described in this Section. Payment of principal of, and interest on, the Notes will be made by the Fiscal Agent to the Securities Depository which will in turn remit such payment of principal and interest to its Participants which will in turn remit such principal and interest to the Beneficial Owners of the Notes until and unless the Securities Depository or the District elects to terminate the book-entry system, whereupon the District shall deliver bond certificates to the Beneficial Owners of the Notes or their nominees. Note certificates issued under this Section may not be transferred or exchanged except as provided in this Section. (b) Upon the reduction of the principal amount of any maturity of Notes, the Registered Noteowner may make a notation of such redemption on the panel of the Note, stating the amount so redeemed, or may return the Note to the District for exchange for a new Note in a proper principal amount. Such notation, if made by the Noteowner, may be made for reference only, and may not be relied upon by any other person as being in any way determinative of the principal amount of such Note Outstanding, unless the Note Registrar initialed the notation on the panel. (c) Immediately upon delivery of the Notes to the purchasers thereof on the delivery date, such purchasers shall deposit the Note certificates representing all of the Notes with the Securities Depository. The Securities Depository, or its nominee, will be the sole Noteowner of the Notes, and no investor or other party purchasing, selling or otherwise transferring ownership of any Notes will receive, hold or deliver any bond certificates as long as the Securities Depository holds the Notes immobilized from circulation. 6

108 (d) The Notes may not be transferred or exchanged except: (1) To any successor of the Securities Depository (or its nominee) or any substitute depository ( Substitute Depository ) designated pursuant to (ii) below, provided that any successor of the Securities Depository or any Substitute Depository must be a qualified and registered clearing agency as provided in Section 17A of the Securities Exchange Act of 1934, as amended; (2) To a Substitute Depository designated by or acceptable to the District upon (a) the determination by the Securities Depository that the Notes shall no longer be eligible for depository services or (b) a determination by the District that the Securities Depository is no longer able to carry out its functions, provided that any such Substitute Depository must be qualified to act as such, as provided in subparagraph (1) above; or (3) To those persons to whom transfer is requested in written transfer instructions in the event that: (i) The Securities Depository shall resign or discontinue its services for the Notes and, only if the District is unable to locate a qualified successor within two months following the resignation or determination of noneligibility, or (ii) Upon a determination by the District that the continuation of the book-entry system described herein, which precludes the issuance of certificates to any Noteowner other than the Securities Depository (or its nominee) is no longer in the best interest of the Beneficial Owners of the Notes. (e) The Depository Trust Company, New York, New York, is hereby appointed the Securities Depository for the Notes. Section 12. Undertaking to Provide Continuing Disclosure. The (i) Chairperson or the Vice Chairperson and (ii) Secretary of the District are hereby authorized and directed to execute on behalf of the District, the Continuing Disclosure Agreement in connection with the Notes for the purpose of complying with the requirements of Rule 15c2-12 promulgated by the Securities and Exchange Commission under the Securities Exchange Act of 1934, as amended. Section 13. Compliance with Federal Tax Laws. (a) The District represents and covenants that the project financed by the Notes and their ownership, management and use will not cause the Notes to be private activity bonds within the meaning of Section 141 of the Code, and the District shall comply with the provisions of the Code to the extent necessary to maintain the taxexempt status of the interest on the Notes. 7

109 (b) The District also covenants to use its best efforts to meet the requirements and restrictions of any different or additional federal legislation which may be made applicable to the Notes, provided that in meeting such requirements the District will do so only to the extent consistent with the proceedings authorizing the Notes and the laws of Wisconsin, and to the extent there is a reasonable period of time in which to comply. Section 14. Rebate Fund. If necessary, the District shall establish and maintain, so long as the Notes are outstanding, a separate account to be known as the Rebate Fund for the purpose of complying with the rebate requirements of Section 148(f) of the Code. The Rebate Fund is for the sole purpose of paying rebate to the United States of America, if any, on amounts of bond proceeds held by the District. The District hereby covenants and agrees that it shall pay from the Rebate Fund the rebate amounts as determined herein to the United States of America. The District may engage the services of accountants, attorneys, or other consultants necessary to assist it in determining rebate amounts. Amounts held in the Rebate Fund and the investment income therefrom are not pledged as security for the Notes and may only be used to pay amounts to the United States. The District shall maintain or cause to be maintained records of such determinations until six (6) years after payment in full of the Notes and shall make such records available upon reasonable request therefor. Section 15. Defeasance. When all Notes have been discharged, all pledges, covenants and other rights granted to the owners thereof by this Resolution shall cease. The District may discharge all Notes due on any date by irrevocably depositing in escrow with a suitable bank or trust company a sum of cash and/or bonds or securities issued or guaranteed as to principal and interest by the U.S. Government, or of a commission, board or other instrumentality of the U.S. Government ( Government Obligations ), or of securities wholly and irrevocably secured as to principal and interest by Government Obligations and rated in the highest rating category of a nationally recognized rating service, maturing on the dates and bearing interest at the rates required to provide funds sufficient to pay when due the interest to accrue on each said Note to its maturity or, at the District's option, if said Note is prepayable to any prior date upon which it may be called for redemption, and to pay and redeem the principal amount of each such Note at maturity, or at the District's option, if said Note is prepayable, at its earliest redemption date, with the premium required for such redemption, if any, provided that notice of the redemption of all prepayable Notes on such date has been duly given or provided for. Section 16. Resolution a Contract. The provisions of this Resolution shall constitute a contract between the District and the owner or owners of the Notes, and after issuance of any of the Notes no change or alteration of any kind in the provisions of this Resolution may be made, except as provided in Section 18, until all of the Notes have been paid in full as to both principal and interest. The owner or owners of any of the Notes shall have the right in addition to all other rights, by mandamus or other suit or action in any court of competent jurisdiction, to enforce such owner's or owners' rights 8

110 against the District, the Governing Body thereof, and any and all officers and agents thereof including, but without limitation, the right to require the District, its Governing Body and any other authorized body, to fix and collect rates and charges fully adequate to carry out all of the provisions and agreements contained in this Resolution. Section 17. General Authorizations. The Chairperson, the Vice Chairperson and the Secretary of the District and the appropriate deputies and officials of the District in accordance with their assigned responsibilities are hereby each authorized to execute, deliver, publish, file and record such other documents, instruments, notices and records and to take such other actions as shall be necessary or desirable to accomplish the purposes of this Resolution and to comply with and perform the obligations of the District under the Notes. The execution or written approval of any document by the Chairperson, the Vice Chairperson or Secretary of the District herein authorized shall be conclusive evidence of the approval by the District of such document in accordance with the terms hereof. In the event that said officers shall be unable by reason of death, disability, absence or vacancy of office to perform in timely fashion any of the duties specified herein (such as the execution of Notes), such duties shall be performed by the officer or official succeeding to such duties in accordance with law and the rules of the District. Any actions taken by the Chairperson, the Vice Chairperson and Secretary consistent with this Resolution are hereby ratified and confirmed. Section 18. Amendment to Resolution. After the issuance of any of the Notes, no change or alteration of any kind in the provisions of this Resolution may be made until all of the Notes have been paid in full as to both principal and interest, or discharged as herein provided, except: (a) the District may, from to time, amend this Resolution without the consent of any of the owners of the Notes, but only to cure any ambiguity, administrative conflict, formal defect, or omission or procedural inconsistency of this Resolution; and (b) this Resolution may be amended, in any respect, with a written consent of the owners of not less than two-thirds (2/3) of the principal amount of the Notes then outstanding; provided, however, that no amendment shall permit any change in the pledge of tax revenues of the District or the maturity of any Note issued hereunder, or a reduction in the rate of interest on any Note, or in the amount of the principal obligation thereof, or in the amount of the redemption premium payable in the case of redemption thereof, or change the terms upon which the Notes may be redeemed or make any other modification in the terms of the payment of such principal or interest without the written consent of the owner of each such Note to which the change is applicable. Section 19. Illegal or Invalid Provisions. In case any one or more of the provisions of this Resolution or any of the Notes shall for any reason be held to be illegal or invalid, such illegality or invalidity shall not affect any other provision of this Resolution or of the Notes. 9

All ordinances, resolutions, or orders, or parts thereof heretofore enacted, adopted or entered, in conflict with the provisions of this Resolution, are hereby repealed and this Resolution shall be in effect from and after its passage. 230 Attachment FPO 10 RESOLUTION TO ESTABLISH RESERVES FOR FISCAL YEAR This is the second of two Board resolutions required to implement the Fiscal Year Activity Plan and Budget, and it is required by administrative rule. The resolution formalizes the Board s position relative to fund balances which were previously reviewed as a part of the budget development process (Pro Forma Balance Sheet) and the audit review process (Audited Financial Statements). RESOLUTION WHEREAS, the Wisconsin Administrative Code TCS 7(5) requires that a district board adopt a resolution creating reserves and other segregations of fund balance and requires that, prior to the adoption of its budget, each district shall disclose all reserves maintained by it, the amount contained in each reserve and the anticipated amount by which each reserve will increase or decrease during the year for which the budget is adopted, and WHEREAS, the Milwaukee Area Technical College District Board will be approving the District s Fiscal Year Annual Activity Plan and Budget, THEREFORE BE IT RESOLVED, that the Milwaukee Area Technical College District Board hereby approves the following reserves and designations of fund balance: Reserve for Capital Projects A reserve of a portion of the fund balance to provide for appropriations approved in prior budget periods, but programmed for expenditures in future accounting periods. The Reserve for Capital Projects is estimated to be $14,344,514 at June 30, 2017, and $1,214,481 June 30, The limit on this reserve is the total resources provided in the Capital Projects Fund. Reserve for Debt Service A reserve of the fund balance to provide for appropriations approved in prior budget periods, but programmed for expenditures in future accounting periods. At June 30, 2017, the Reserve for Debt Service is estimated at $15,469,266 and is estimated to increase to $16,644,185 during the next year. The limit on this reserve is the total resources provided in the Debt Service Fund. Reserve for Student Financial Assistance A reserve of the fund balance resulting from student financial assistance programs. At June 30, 2017, the Reserve for Student Financial Assistance is estimated at $2,962,116 and is

231 estimated to decrease to $2,568,494 during the next year. The limit on this reserve is the total resources provided in the Financial Aid Fund. Designated for Self-Insurance A designation of fund balance has been established to provide a reserve between the budgeted expenditures and individual limits for stop loss coverage. At June 30, 2017, this amount is estimated at $2,697,173. This amount may be modified by specific Board action. Reserve for Encumbrance A reserve of a portion of the fund balance for purchase orders, contracts and other commitments that will be honored in subsequent years. At June 30, 2017, the Reserve for Encumbrance is estimated at $500,000 for the General Fund and is not planned to change significantly during the next year. Reserve for Prepaid Expenditures A reserve of a portion of the fund balance for prepaid expenditures; that is, monies paid in the current year, but the related expenditures are to be charged to a future accounting period. At June 30, 2017, the Reserve for Prepaid Expenditures is estimated at $300,000 for the General Fund and is not planned to change significantly during the next year. The limit on this reserve is the total amount of prepaid expenditures. Designated for Operations A designation of a portion of fund balance to provide for fluctuations in operating cash balances and operating revenue amounts. At June 30, 2017, the General Fund Reserve is estimated to be $27,537,654, or percent of operating revenue. The Special Revenue Fund Reserve is estimated to be $660,351 or 11 percent of operating revenue at June 30, In FY17-18 the balance in the General Fund Reserve is planned to remain flat at $27,537,654, and the ratio of General Fund Reserve to operating revenue is estimated to be percent at June 30, 2018.

232 Attachment FPO 11 RESOLUTION TO AUTHORIZE CONTINGENCY PAYMENT OF BILLS AND AWARDING OF CONTRACTS BACKGROUND As the Board does not have a regular meeting scheduled in July 2017, it will be necessary to continue to pay bills on a monthly basis and to award contracts. The purpose of this resolution is to authorize the Chairperson of the Board, or in the absence of the Chairperson, the Vice- Chairperson of the Board, to review the list of bills for the month of June and contract proposals, and, if in agreement, authorize the administration to pay approved bills and award contracts to the low qualified bidders, with Finance, Personnel, and Operations Committee and formal Board action to follow at the regular meetings in August. The list of bills for the month will be in standard form and contract proposals will be invited following State regulations and Board policies governing a formal bidding process. Anticipated contracts are not unusual and bidder controversy is not likely; however, should there be any challenges to the bid documents, the bidding procedures, or the determination of the low qualified bidders, the award of contracts will be delayed to permit discussion at the August meeting of the Board. RESOLUTION WHEREAS, it is necessary for the District to pay bills and award contracts during the month of July 2017, when the Board is in recess; Therefore be it RESOLVED, that the Milwaukee Area Technical College Board authorizes the Chairperson or Vice-Chairperson of the Board to approve the payment of appropriate bills and the award of contracts during the month of July 2017; and be it RESOLVED further, that the list of all bills approved for payment and contracts awarded during the month of July 2017 be presented to the Finance, Personnel, and Operations Committee and the Board for recommendation and ratification, respectively, at the regular meetings in August.

233 Attachment FPO 12 RESOLUTION (F ) TO APPROVE RENEWAL OF INSURANCE COVERAGES THROUGH DISTRICTS MUTUAL INSURANCE AND THE WISCONSIN TECHNICAL COLLEGE INSURANCE TRUST BACKGROUND MATC requires various commercial insurances to provide coverage for the District s liability for acts stemming from the technical and vocational programs and activities and for property exposures for buildings, contents, and property owned by the College. Internal evaluations are routinely performed on securing required or desired commercial insurances at the lowest cost consistent with the most desirable levels of service. At the December 11, 2003 Board Meeting, a resolution was approved for the District to join and participate in the Wisconsin Technical College (WTC) Insurance Trust Program effective July 1, The WTC Insurance Trust and the sixteen (16) technical college districts have formed a Municipal Mutual Insurance Company called Districts Mutual Insurance (DMI) under Wisconsin Statute 611 and approved by the Office of the Commissioner of Insurance. Districts Mutual will provide coverages for the following types of insurance: Casualty Property Equipment Breakdown Worker Compensation Campus Violent Acts Terrorism Cyber Risk WTC Insurance Trust will provide coverages for the following types of insurance: Crime Business Travel Accident Foreign Travel Premiums for the coverages to be provided as shown above for FY18 have been quoted at $1,545, RESOLUTION WHEREAS, the MATC District has joined the Wisconsin Technical College Insurance Trust and Districts Mutual Insurance, it is recommended to accept renewal of the above stated insurance coverages, subject to future review of competitive third-party bids; THEREFORE, BE IT RESOLVED that the MATC District Board hereby approves the renewal of insurance coverages from Districts Mutual Insurance and WTC Insurance Trust for the period July 1, 2017 June 30, 2018, with an estimated cost exposure of $1,545,

234 Attachment FPO 13 RESOLUTION TO APPROVE FISCAL YEAR RENOVATION / REMODELING (CAPITAL) PROJECTS BACKGROUND Within the context of the Three-Year Plan, renovation and remodeling projects are identified and implemented on an annual basis in order to properly maintain District facilities and to reflect changing instructional and support service needs. To comply with State regulations governing construction and remodeling, it is necessary for the MATC Board to submit a list of applicable projects to the Wisconsin Technical College System Board for approval. Authorization from the MATC Board is sought at this time for the above reason, as well as to permit the development of plans and specifications to expedite construction. For 2017/2018 funding is proposed at approximately $18.0 million from twelve (12) borrowing packages of $1,500,000. The actual projects implemented will be adjusted to match the actual funding level with lower priority projects in the various phases eliminated or modified as required. Attached is a list of potential renovation and remodeling projects recommended for implementation during Fiscal Year 2017/2018. The list of projects was selected from a more comprehensive list of project needs identified in the Three-Year Plan and recent newer project requests. All of the projects recommended will complement any long range planning decisions. RESOLUTION BE IT RESOLVED, that the Milwaukee Area Technical College District Board include in the budget planning for Fiscal Year 2017/2018 various remodeling and renovation projects listed on the attached with an estimated cost of $18.0 million, with the understanding that the list may be modified; and be it; RESOLVED further, that the Milwaukee Area Technical College District Board approve the aforementioned projects and authorize the Administration to prepare plans, specifications, and contract documents; and be it; RESOLVED further, that the Milwaukee Area Technical College District Board request any necessary approvals from the Wisconsin Technical College System Board for applicable projects; and be it;
