125 Attachment ESIR -2 Resolution to Suspend Printing Technical Diploma ( ) Program Background: Program suspension determinations begin with an annual review of program viability conducted by the Office of Strategic Planning and Research. This office reviews all programs for low headcount, low FTE, graduation, job placement and other factors. After the divisional review of this data, and following discussion at ESIR as part of the program s QRP process, it was determined that a survey of employers should be done to confirm the lack of market need for this program. Previously, the Advisory Committee had recommended and a modification was implemented to change the program from associate degree to diploma. This modification was an attempt to address the severe declining enrollment and the changing printing industry climate within Milwaukee and Waukesha counties resulting in industry relocation. The survey was conducted in Fall 2007 and based on the results as well as additional divisional discussion of diploma program outcomes it was determined that the Printing Technical Diploma should be suspended. Over the past few years, the faculty have been aware of the program decline and the potential for suspension and have pursued alternative certifications. Students have been advised of the recommended suspension. Accommodations and other program options have been made for students continuing in the program. Resolution: THEREFORE, BE IT RESOLVED, that the MATC District Board approves that the Wisconsin Technical College System Board be informed that the following program is being placed on suspended status: Printing Technical Diploma ( )

Payment of principal of, and interest on, the Notes will be made by the Fiscal Agent to the Securities Depository which will in turn remit such payment of principal and interest to its Participants which will in turn remit such principal and interest to the Beneficial Owners of the Notes until and unless the Securities Depository or the District elect to terminate the book entry system, whereupon the District shall deliver bond certificates to the Beneficial Owners of the Notes or their nominees. Note certificates issued under this Section may not be transferred or exchanged except as provided in this Section. (b) Upon the reduction of the principal amount of any maturity of Notes, the Registered Noteowner may make a notation of such redemption on the panel of the Note, stating the amount so redeemed, or may return the Note to the District for exchange for a new Note in a proper principal amount. Such notation, if made by the Noteowner, may be made for reference only, and may not be relied upon by any other person as being in any way determinative of the principal amount of such Note Outstanding, unless the Note Registrar initialed the notation on the panel. 6

132 (c) Immediately upon delivery of the Notes to the purchasers thereof on the delivery date, such purchasers shall deposit the bond certificates representing all of the Notes with the Securities Depository. The Securities Depository, or its nominee, will be the sole Noteowner of the Notes, and no investor or other party purchasing, selling or otherwise transferring ownership of any Notes will receive, hold or deliver any bond certificates as long as the Securities Depository holds the Notes immobilized from circulation. (d) The Notes may not be transferred or exchanged except: (1) To any successor of the Securities Depository (or its nominee) or any substitute depository ( Substitute Depository ) designated pursuant to (ii) below, provided that any successor of the Securities Depository or any Substitute Depository must be a qualified and registered clearing agency as provided in Section 17A of the Securities Exchange Act of 1934, as amended; (2) To a Substitute Depository designated by or acceptable to the District upon (a) the determination by the Securities Depository that the Notes shall no longer be eligible for depository services or (b) a determination by the District that the Securities Depository is no longer able to carry out its functions, provided that any such Substitute Depository must be qualified to act as such, as provided in subparagraph (1) above; or (3) To those persons to whom transfer is requested in written transfer instructions in the event that: (i) The Securities Depository shall resign or discontinue its services for the Notes and, only if the District is unable to locate a qualified successor within two months following the resignation or determination of noneligibility, or (ii) Upon a determination by the District that the continuation of the book entry system described herein, which precludes the issuance of certificates to any Noteowner other than the Securities Depository (or its nominee) is no longer in the best interest of the Beneficial Owners of the Notes. (e) The Depository Trust Company, New York, New York, is hereby appointed the Securities Depository for the Notes. Section 12. Undertaking to Provide Continuing Disclosure. The Chairperson and the Secretary of the District are hereby authorized and directed to execute on behalf of the District, the Continuing Disclosure Agreement in connection with the Notes for the purpose of complying with the requirements of Rule 15c2-12 promulgated by the Securities and Exchange Commission under the Securities Exchange Act of 1934, as amended. 7

(b) The District also covenants to use its best efforts to meet the requirements and restrictions of any different or additional federal legislation which may be made applicable to the Notes, provided that in meeting such requirements the District will do so only to the extent consistent with the proceedings authorizing the Notes and the laws of Wisconsin, and to the extent there is a reasonable period of time in which to comply. Section 14. Rebate Fund. If necessary, the District shall establish and maintain, so long as the Notes are outstanding, a separate account to be known as the Rebate Fund for the purpose of complying with the rebate requirements of Section 148(f) of the Code. The Rebate Fund is for the sole purpose of paying rebate to the United States of America, if any, on amounts of bond proceeds held by the District. This shall be done in accordance with requirements set forth in state statutes, Wisconsin Administrative Code, WTCS Financial Accounting Manual, and adherence to federal regulations for federally funded procurement. Deleted:, The district board actively encourages the increased participation of minority, women, disabled, and disadvantaged businesses in district procurement activities. (See also B0804 and B0805.) The district board also directs that the expenditure of funds for the purchase of equipment, supplies, apparel and services be done in a manner that ensures that the integrity of the procurement process is not undermined by contractors or subcontractors who pay unfair wages and/or maintain inhumane working conditions. (See also B0807). The district board has determined that asbestos removal/abatement may pose a significant risk of exposure to students, employees and the public at-large. In order to minimize the dangers relating to asbestos removal/abatement, the district board requires that the responsible contractor performing asbestos removal/abatement services have an enforceable grievance procedure with its employees that shall end in final and binding arbitration to resolve alleged safety violations, regardless of whether the employment relationship is at-will, pursuant to a collective bargaining agreement or pursuant to an individual employment agreement. The Contractor shall agree that the arbitrator has the authority to schedule an expedited arbitration in cases involving alleged safety violations. The Contractor shall immediately notify the district of any such grievance and the district shall have the authority to order cessation of performance of the asbestos removal/abatement work pending the expedited arbitration process. This binding arbitration requirement does not require the Contractor to allow its employees to arbitrate any matters or disputes other than those involving work under the Contractor s asbestos removal abatement agreement with MATC. Further, any Contractor- Page 1 of 2

149 matc Milwaukee Area Technical College Title: PROCUREMENT OF EQUIPMENT, SUPPLIES, APPAREL AND SERVICES Code: B0801 established grievance procedure shall not supersede or limit any existing employee rights granted under federal or state safety and health laws. The district board recognizes that specific circumstances may occur involving unique equipment or supplies from a single-supply (sole) source, service capability differences, or differences in quality of products meeting minimum specifications. The district board, therefore, reserves the right to make awards on factors other than the low bid, and such factors shall be specified at the time bids or proposals are invited. The district board delegates to the Vice President of Finance, the responsibility for administering the district s procurement policies and procedures. The board will review and approve procurements, defined as the acts of obtaining supplies, equipment, construction, or services by purchase, rental, lease, or contracts, that exceed $50,000 over the life of the procurement, with the exception of emergency procurements and enterprise fund resale merchandise. If special circumstances dictate, an approved procurement amount may be increased by not more than 10% with the approval of the position responsible for administering this policy. Page 2 of 2

150 DRAFT POLICY Title: PROCUREMENT OF EQUIPMENT, SUPPLIES, APPAREL AND SERVICES FROM RESPONSIBLE MANUFACTURERS Authority: Code: B0807 Original Adoption: Revised/Reviewed: Effective: Milwaukee Area Technical College recognizes that the college s expenditure of funds for purchase of supplies, equipment and services should be allocated in a manner that enhances the rights and well-being of workers worldwide, while acquiring the best quality goods at reasonable cost. Through this policy, MATC seeks to ensure that the integrity of the procurement process is not undermined by contractors or subcontractors who pay unfair wages and maintain inhumane work environments and conditions. Therefore, it is in the college s best interest to procure items from responsible manufacturers (domestic and international) who provide a safe, non-discriminatory work environment, and who compensate their employees with non-poverty wages. MATC shall only award contracts to contractors or subcontractors who meet the definition of responsible manufacturers.
