3 RESOLUTION NO. A RESOLUTION AUTHORIZING RENEWAL OF CONTRACT D, PROVIDE DISTRIBUTION TREE TRIMMING SERVICES FOR AN ADDITIONAL ONE-YEAR PERIOD WITH ASPLUNDH TREE EXPERT, LLC 1) By Resolution , dated April 25, 2016, the District awarded Contract D, Provide Distribution Tree Trimming Services to Asplundh Tree Expert Co. As of September 29, 2017, Asplundh Tree Expert Co. legally changed their name to Asplundh Tree Expert, LLC converting from a Corporation to an LLC. 2) District staff recommends that the District exercise its option to renew the Contract for a third year. The total dollar amount shall not exceed $600,000 (Six hundred thousand dollars) per year as stated in the original bid document and will expire on April 30, ) It is in the best interests of the District to renew Contract D, Provide Distribution Tree Trimming Services for the third year to Asplundh Tree Expert, LLC. NOW, THEREFORE, BE IT RESOLVED by the Commission of Public Utility District No. 1 of Douglas County, Washington, that the District s General Manager is authorized and directed to renew Contract D, Provide Distribution Tree Trimming Services. 4 RESOLUTION NO. A RESOLUTION AUTHORIZING A CALL FOR BIDS UNDER BID DOCUMENT W, SUPPLY AND DELIVER ONE (1) TRUCK/CHASSIS WITH 2500 GALLON FISH TRANSPORT TANK TO THE WELLS FISH HATCHERY 1) The Wells Fish Hatchery rears and releases millions of fish each year toward compliance with the hatchery mitigation goals contained within the District s FERC license for the Wells Project. 2) Many of these fish are transported in large volume tanker trucks to rivers and lakes throughout North Central Washington and are used to move fish to release, acclimation and holding sites. 3) The District s existing trucks and tanks are no longer reliable and as such District staff has determined that they have reached the end of their useful life. 4) Staff recommends that the District solicit bids in compliance with RCW to supply and deliver one (1) truck/chassis with 2500 gallon fish transport tank to the Wells Fish Hatchery. Sealed bids will be accepted until April 23, 2018 at 8:30 a.m. Pacific Time in the District s East Wenatchee headquarters office. 5) It is in the best interests of the District to issue a call for bids under Bid Document W, Supply and Deliver one (1) truck/chassis with 2500 gallon fish transport tank to the Wells Fish Hatchery. NOW, THEREFORE, BE IT RESOLVED by the Commission of Public Utility District No. 1 of Douglas County, Washington, that Bid Document W is hereby approved, and the District s General Manager is hereby authorized and directed to issue a call for bids to supply and deliver one (1) truck/chassis with 2500 gallon fish transport tank to the Wells Fish Hatchery.

8 RESOLUTION NO. A RESOLUTION AUTHORIZING A PROFESSIONAL SERVICE AGREEMENT WITH BIOMARK, INC. FOR PIT TAGS AND RELATED DETECTION EQUIPMENT AND SERVICES FOR ) The Wells HCP requires the District to fund and implement Passage Survival and Hatchery Compensation plans that rely upon the deployment and detection of passive integrated transponder (PIT) tags implanted within salmon and steelhead. 2) The FERC license requires the District to implement the White Sturgeon, Bull Trout, and Pacific Lamprey management plans as part of the Aquatic Settlement Agreement. These plans require the deployment of PIT tags and the reliable detection of PIT-tagged fish. 3) Successful implementation of the license-required plans listed above depends upon compatibility of tags and detection equipment at all downstream dams. Currently all of the downstream hydroelectric projects operated by the Corps of Engineers, Chelan PUD, and Grant PUD, use Biomark PIT-tag-detection equipment. 4) Staff recommends approval of a Professional Service Agreement with Biomark, Inc., the only private professional providing hatchery PIT-tagging services. 5) As part of this agreement, the District would also purchase the necessary PIT tags (BIO12.B.03V1PLT, BIO9.B.03V1PLT, APT12PLT, or equivalent pre-loaded tags in trays) and equipment comprising the District s PIT-tag detection systems from Biomark, Inc., a sole-source manufacturer of those tags and detection equipment. Such purchases are exempt from the competitive bidding requirements of RCW pursuant to RCW (6) and RCW (1)(a). 6) It is in the best interests of the District to enter into a Professional Service Agreement with Biomark, Inc. for PIT tags and related detection equipment and services for and to waive the competitive bidding requirements for the purchase of the PIT tags and related detection equipment.

9 NOW, THEREFORE, BE IT RESOLVED by the Commission of Public Utility District No. 1 of Douglas County, Washington to hereby waive the competitive bidding process pursuant to RCW (6) and RCW (1)(a), and to hereby authorize and direct the District s General Manager to enter into a Professional Service Agreement with Biomark, Inc. to provide the District with PIT tags and related detection equipment and services for , the cost of which is not to exceed $834,000 (eight hundred thirty-four thousand dollars) with an expiration date of March 31, ADOPTED this 26th day of March, 2018.

10 RESOLUTION NO. A RESOLUTION AUTHORIZING THE THIRD YEAR OF A COOPERATIVE WORK AGREEMENT WITH U.S. DEPARTMENT OF AGRICULTURE REGARDING REPLACEMENT OF AVIAN EXCLUSIONARY WIRES AT WELLS DAM 1) Exclusionary wires suspended above the tailwater at the Wells Hydroelectric Project help Douglas PUD meet HCP survival standards, aid in deterring piscivorous birds from feeding on outmigrating salmonids and is a requirement of the HCP. 2) The U.S. Department of Agriculture (USDA) has maintained the exclusionary wires in the Wells Dam tailwater for Douglas PUD since 1993 and has a five year cooperative services agreement currently in place with the District (APHIS-WA RA). Pursuant to this agreement, USDA has submitted a new 2018 Cooperative Work Agreement/Work Plan (Agreement) to reinstall five missing wires in the spring of 2018 at a cost not to exceed of $15,606. 3) It is in the best interests of the District to approve the 2018 Agreement with USDA for the maintenance of the bird exclusion wires in the Wells Dam tailwater. NOW, THEREFORE, BE IT RESOLVED by the Commission of Public Utility District No. 1 of Douglas County, Washington, that the District s General Manager is hereby authorized and directed to sign the 2018 Cooperative Work Agreement/Work Plan with the U.S. Department of Agriculture for the maintenance of the bird exclusion wires in the Wells Dam tailwater until December 31, ADOPTED this 26th day of March, 2018.

11 RESOLUTION NO. A RESOLUTION AUTHORIZING AGREEMENT WITH THE CITY OF BRIDGEPORT FOR THE EXPANSION OF CONKLIN LANDING RV PARK 1) By Resolution No dated July 26, 2016, The District entered into an agreement with the City of Bridgeport to support their efforts in acquiring grant funding to be used towards adding an additional seven RV spaces to the proposed ten space Conklin Landing Boat Launch RV Park. 2) The City of Bridgeport has been awarded only a portion of the funding necessary to complete the project. 3) District staff recommends entering into a cooperative agreement with the City of Bridgeport for the expanded RV park, where the District will design, permit, construct the RV park and operate the park as a Wells Project recreation facility. The City of Bridgeport will contribute 41% of the construction cost, but City funding shall not exceed $225, ) It is in the best interest of the District to enter into a cooperative Agreement for the expanded Conklin Landing Boat Launch RV Park. NOW, THEREFORE, BE IT RESOLVED by the Commission of Public Utility District No. 1 of Douglas County, Washington, that the Agreement between the City of Bridgeport and Public Utility District No. 1 of Douglas County, Washington regarding the RV park improvements is hereby approved and the General Manager is hereby authorized and directed to sign the Agreement on behalf of the District.
