3 RESOLUTION NO. A RESOLUTION AUTHORIZING A SIGNAL TRANSPORT AGREEMENT WITH TURNER NETWORK SALES, INC. 1) The District operates a video headend that provides video service to retail service providers on the Douglas County Community Network. 2) The District previously entered into a Signal Transport Agreement with Turner Network Sales, Inc. (Turner), for the purpose of receiving Turner content and transporting it to retail service providers. This Agreement has expired and a new Signal Transport Agreement is required to continue transporting Turner content. 3) Staff recommends that the District's General Manager be authorized to sign the attached Signal Transport Agreement and subsequent affiliate agreements with Turner. 4) It is in the best interest of the District to enter into a Signal Transport Agreement to provide video service. NOW, THEREFORE, BE IT RESOLVED by the Commission of Public Utility District No. 1 of Douglas County, Washington, that the District s General Manager is authorized to sign a Signal Transport Agreement with Turner and to subsequently sign affiliate agreements related to said agreement, as necessary. ADOPTED this 10th day of September, 2018.
4 RESOLUTION NO. A RESOLUTION AFFIRMING CHANGE ORDER NO. 5 TO CONTRACT W, PATEROS DOCK REPLACEMENTS AND BOAT LAUNCH IMPROVEMENTS 1) By Resolution No dated August 28, 2017, the District awarded Contract W, Pateros Dock Replacements and Boat Launch Improvements to KRCI, LLC. 2) Change Order No. 5 was prepared to address the following issue: Custom-built gates were needed to exclude public access to the gangways during dock maintenance. These gates are better suited than premanufactured gates provided in the project specifications. 3) District staff recommends affirmation of Change Order No. 5 in the not-to-exceed amount of $2,341.37, which brings the total cost of the contract to $750, ) It is in the best interests of the District to affirm Change Order No. 5 to Contract W. NOW, THEREFORE, BE IT RESOLVED by the Commission of Public Utility District No. 1 of Douglas County, Washington, that Change Order No. 5 to Contract W, Pateros Boat Dock Replacements and Boat Launch Improvements is affirmed by the Commission. ADOPTED this 10th day of September, 2018.
5 RESOLUTION NO. A RESOLUTION APPOINTING COMPRESSED AIR MEDICAL DIRECTORS FOR THE WELLS HYDROELECTRIC PROJECT 1) Certain job duties at the Wells Hydroelectric Project require assigned District personnel to be certified for and work under compressed air conditions. The Wells Hydroelectric Project possesses two medical decompression chambers for the treatment of decompression illness. 2) Pursuant to Washington Administrative Code Chapter , Safety Standards for Compressed Air Work, the District is required to appoint one or more licensed physicians trained in the physical requirements and the medical aspects of compressed air work and the treatment of decompression illness. As the appointed Compressed Air Medical Directors, the physicians are required to, among other duties, examine workmen in accordance with the regulations, be immediately available in case of emergency or accident, be physically qualified to enter and work in a compressed air environment, and to make and sign all required reports. 3) Resolution appointed Dr. Keith Hanson, Dr. Eric Haeger, and Dr. Charles Waszkewitz as the Compressed Air Medical Directors for the Wells Hydroelectric Project. Dr. Waszkewitz has notified the District of a leave of absence from August 17, 2018, to October 1, 2019, and we are anticipating the retirement of Dr. Hanson within the next couple of years. Dr. Tobe Harberd is available and willing to support the needs of the District. 4) It is my recommendation and in the best interest of the District to appoint Dr. Keith Hanson, Dr. Eric Haeger, Dr. Charles Waszkewitz, and Dr. Tobe Harberd as the Compressed Air Medical Directors for the Wells Hydroelectric Project.
6 NOW, THEREFORE, BE IT RESOLVED by the Commission of Public Utility District No. 1 of Douglas County, Washington, that Dr. Keith Hanson, Dr. Eric E. Haeger, and Dr. Charles J. Waszkewitz are hereby appointed as the Compressed Air Medical Directors for the Wells Hydroelectric Project, and BE IT FURTHER RESOLVED that the District is hereby authorized and directed to negotiate an agreement, as approved by District Counsel, for the performance of the duties associated with that appointment at this time. ADOPTED this 10th day of September, 2018.
7 RESOLUTION NO. A RESOLUTION AUTHORIZING LETTERS TO, AND CONTINUATION OF AGREEMENT WITH THE U.S. GEOLOGICAL SURVEY, UNITED STATES DEPARTMENT OF THE INTERIOR RELATIVE TO RIVER-GAGING STATION MAINTENANCE AND OPERATION COSTS 1) The District has participated in an ongoing river-gaging program on the Columbia and Methow Rivers under an agreement with the U.S. Geological Survey, United States Department of Interior (USGS). 2) The District has received two letters from the USGS, dated August 15, 2018 and August 21, 2018, regarding their estimated operation and maintenance costs from October 1, 2018 through September 30, ) A review found the proposed annual charges to be reasonable and staff recommends that the funds be allocated for operating and maintaining the gages as requested at a total cost to the District of $17,170 for the Methow River near Winthrop and Pateros and $10,610 for the Columbia River below Wells Dam. 4) It is in the best interests of the District to participate in a river-gaging program on the Methow and Columbia Rivers as requested by the USGS and in accordance with Article 8 of the District s operating license with FERC. NOW, THEREFORE, BE IT RESOLVED that the Commission of Public Utility District No. 1 of Douglas County, Washington, does hereby approve the continuation of the agreement with the U.S. Geological Survey, United States Department of the Interior, relative to river-gaging station operation and maintenance costs and that the General Manager is authorized to sign and return the two letters from the U.S. Geological Survey, United States Department of the Interior, agreeing to payment of the District s share of costs associated with maintaining gaging stations on the Methow and Columbia Rivers.

9 RESOLUTION NO. A RESOLUTION AUTHORIZING A RENEWABLE ENERGY CERTIFICATE PURCHASE AND SALE AGREEMENT WITH ACT COMMODITIES, INC. 1) The District has Renewable Energy Certificates (RECs) which are surplus to its prospective needs. 2) An agreement has been negotiated for the District to sell a portion of the non-power attributes (RECs) associated with its share of Rocky Reach and Nine Canyon generation to ACT Commodities, Inc. agreement. 3) The District anticipates revenue of about $10,000 as a result of this 4) It is in the District's best interest to enter into said agreement referred to in Recital 2 above, for the sale of RECs associated with the District's share of generation from the Rocky Reach and Nine Canyon Projects. NOW, THEREFORE BE IT RESOLVED by the Commission of Public Utility District No. 1 of Douglas County, Washington, that the District is authorized to enter into an agreement with Shell for the sale of RECs and the District s General Manager is authorized to sign the Renewable Energy Certificate Purchase and Sale Agreement described above. ADOPTED this 10th day of September, 2018.
10 RESOLUTION NO. A RESOLUTION AUTHORIZING INTERCONNECTION AND SERVICE AGREEMENT WITH BLACKHAWK DEVELOPMENT, INC. 1) Blackhawk Development, Inc. (Blackhawk) has an agreement, by District Resolution , for eight MW of reserved capacity from the District s Veedol substation. 2) Blackhawk, by a letter dated August 27, 2018, released 6 MW of its reserved capacity to the District for the express purpose of entering into an interconnection and service agreement with the District. 3) The District and Blackhawk have negotiated an Interconnection and Service Agreement for services to be provided at 397 Urban Industrial Way in Douglas County, Washington. 4) It is in the best interest of the District to enter into the Interconnection and Service Agreement with Blackhawk. NOW, THEREFORE, BE IT RESOLVED by the Commission of Public Utility District No. 1 of Douglas County, Washington, that the District is authorized to enter into the Interconnection and Service Agreement with Blackhawk and the District s Manager is authorized to sign the Agreement. ADOPTED this 10th day of September, 2018.
