3 RESOLUTION NO. A RESOLUTION AUTHORIZING ACCEPTANCE OF WORK AND FINAL PAYMENT TO MI-TECH SERVICES, INC. UNDER CONTRACT D, PROVIDE POLE TESTING AND TREATING SERVICES 1) By Resolution No dated June 24, 2013, the District awarded Contract D, Provide Pole Testing and Treating Services to Mi-Tech Services, Inc. 2) District staff report the Contractor has satisfactorily completed all requirements of Contract D and has submitted a Request for Final Payment, Certificate and Release. Therefore, staff recommends that the District accept the completed work and authorize final payment in the amount of $81, plus tax to Mi- Tech Services, Inc. upon receiving the required notifications from the State of Washington. The total cost of work under this contract is $119, plus tax. 3) It is in the best interests of the District to accept the work as complete and authorize final payment under Contract D. NOW, THEREFORE, BE IT RESOLVED by the Commission of Public Utility District No. 1 of Douglas County, Washington, that the work under Contract D, Provide Pole Testing and Treating Services is hereby accepted as complete, and that final payment is authorized, contingent on receipt by the District of all necessary releases by the State of Washington. This acceptance in no manner waives any claim the District may have against the Contractor for failure to comply with the terms of the contract. ADOPTED this 24th day of November, 2014.

4 RESOLUTION NO. A RESOLUTION ESTABLISHING THE ASSESSMENT ROLL OF LOCAL UTILITY DISTRICT NO. 1 OF DOUGLAS COUNTY RIO VISTA PARK STREET LIGHTING SYSTEM FOR THE 2015 ASSESSMENT YEAR AND CALLING FOR NOTICE OF HEARING 1) The District did by resolution create Local Utility District No. 1 of Douglas County, Washington, establishing the boundaries thereof and ordering the installation of adequate street lighting within said District; and, 2) The District did by resolution, with agreement from the City of East Wenatchee, amend the assessment roll to include the City; and, 3) Staff recommends that $ be assessed against the City, and that $28.00 be assessed against each lot within said District for the assessment year 2015; and, 4) A legal notice of the assessment roll is required to be published for two consecutive weeks setting a date for hearing. Said hearing is to be held December 22, 2014 at 1:30 p.m. in the District s East Wenatchee office at the regular Board meeting. NOW, THEREFORE, BE IT RESOLVED by the Commission of Public Utility District No. 1 of Douglas County, Washington, that a legal notice of the assessment roll for Local Utility District No. 1 of Douglas County be published and that final hearing for approval of the assessment roll be held at 1:30 p.m. December 22, 2014, and further, if no protests are heard, that said assessment roll will become effective January 1, ADOPTED this 24th day of November 2014.

5 RESOLUTION NO. A RESOLUTION AUTHORIZING A LEGAL SERVICES AGREEMENT WITH THE LAW FIRM OF JEFFERS, DANIELSON, SONN AND AYLWARD, P.S. (1) It is in the best interests of the District to authorize a Legal Services Agreement with the Law Firm of Jeffers, Danielson, Sonn and Aylward, P.S., to be effective January 1, 2015 through December 31, 2015, at the agreed upon rates. (2) This agreement supersedes all previous agreements between the parties and resolutions of the District pertaining to legal services provided by this Law Firm. NOW, THEREFORE, BE IT RESOLVED by the Commission of Public Utility District No. 1 of Douglas County, Washington, that the Legal Services Agreement with the Law Firm of Jeffers, Danielson, Sonn and Aylward, P.S., be authorized for the period of January 1, 2015 through December 31, 2015 at the agreed upon rates. ADOPTED this 24th day of November 2014.

6 RESOLUTION NO. Group A RESOLUTION PERTAINING TO USE OF THE VOLUNTARY EMPLOYEES BENEFICIARY ASSOCIATION HEALTH REIMBURSEMENT ARRANGEMENT ( HRA-VEBA ) FOR EMPLOYEES RETIRING IN ) Eligible employees have voted their preference regarding the contribution of accrued personal leave into an HRA-VEBA account at retirement for ) The results of the vote are nonbinding to the District; however, the results are taken into consideration in determining the District s policy. Staff recommends approval of VEBA contributions in accordance with the results of the employee vote. 7 RESOLUTION NO. A RESOLUTION AUTHORIZING THE DISTRICT S PARTICIPATION IN THE PUBLIC GENERATING POOL (PGP) BUDGET FOR ) The District, as a member of the PGP, participates in the work plan and general expenses of the organization. 2) At the PGP's annual meeting on November 20, 2014, Administrative Committee representatives of the member utilities, Clark, Chelan, Cowlitz, Douglas, Grant, Klickitat, Lewis, Pend Oreille and Snohomish PUDs, Tacoma Public Utilities and Eugene Water and Electric Board, adopted a budget for staffing, consulting and other general expenses during ) It is in the best interests of the District to participate in its share of the PGP's expenses budgeted for 2015 in the amount of $30,000, the same amount paid in NOW, THEREFORE BE IT RESOLVED by the Commission of Public Utility District No. 1 of Douglas County, Washington, that the PGP budget for 2015 is approved and the District s General Manager is authorized to approve payment of the District s share of 2015 PGP expenditures. ADOPTED this 24th day of November, 2014.

8 RESOLUTION NO. A RESOLUTION REJECTING BID UNDER BID DOCUMENT W, PROVIDE AND INSTALL REPLACEMENT POND COVERS AT THE METHOW HATCHERY 1. On October 20, 2014, after due and proper notice, bids were opened for Bid Document W, Provide and Install Replacement Pond Covers at the Methow Hatchery. The following bid was received: RJS Construction, Inc. $ 341, Engineer s Estimate $ 149, The bid exceeded the Engineer s Estimate by more than 15%. RCW provides that no contract be let for more than 115% of the estimated cost. Staff recommends that the bid be rejected. NOW, THEREFORE, BE IT RESOLVED by the Commission of Public Utility District No. 1 of Douglas County, Washington, that the proposal submitted in response to Bid Document W is hereby rejected. ADOPTED this 24th day of November, 2014.

9 RESOLUTION NO. A RESOLUTION AUTHORIZING A PROFESSIONAL SERVICE AGREEMENT WITH SKALSKI STATISTICAL SERVICES FOR PROVIDING ON-CALL STATISTICAL CONSULTING SERVICES 1) The District has relied on Dr. Skalski and the staff of Skalski Statistical Services to provide on-call statistical consulting for the design, review, and analysis of environmental, license-implementation, and HCP studies. Dr. Skalski s statistical consulting facilitated initial agency and tribal approval of the District s HCP, and the continued fulfillment of HCP and license-compliance obligations. The existing professional service agreement with Skalski Statistical Services expires on December 31, ) Staff recommends approval of a Professional Service Agreement with Skalski Statistical Services for the calendar years, to provide continued statistical support for the Wells Hydroelectric Project. 3) It is in the best interests of the District to enter into a Professional Service Agreement with Skalski Statistical Services. NOW, THEREFORE, BE IT RESOLVED by the Commission of Public Utility District No. 1 of Douglas County, Washington, that the District s General Manager is hereby authorized and directed to enter into a Professional Service Agreement with Skalski Statistical Services for on-call statistical consulting for the calendar years, the cost of which is not to exceed $153,000 US (one hundred fifty-three thousand dollars) with an expiration date of December 31, 2017.

11 RESOLUTION NO. A RESOLUTION AUTHORIZING A PROFESSIONAL SERVICE AGREEMENT WITH LEONEL FLOWERS FOR THE TRAPPING OF BEAVERS 1) The Wildlife and Botanical Management Plan, as adopted by the FERC and contained within the Wells Project license, requires Douglas PUD to protect the riparian habitat and trees on the Wells Reservoir. 2) Since 2006 the District has annually hired a Wildlife Control Officer (WCO) to remove problem beavers on the Wells Reservoir and at the Methow Fish Hatchery. 3) Unfortunately the beaver population on Wells Reservoir has continued to increase and Douglas PUD staff is recommending that the District hire a second WCO to reduce beaver damage on the reservoir. 4) At the request of District staff, Mr. Leonel Flowers, a licensed WCO, has provided Douglas PUD with a rate schedule for trapping beaver on Wells Reservoir during the winter of ) It is in the best interest of the District to enter into this Professional Service Agreement with Leonel Flowers for the trapping of beavers. NOW, THEREFORE, BE IT RESOLVED by the Commission of Public Utility District No. 1 of Douglas County, Washington, that the District s General Manager is hereby authorized and directed to enter into a Professional Service Agreement with Leonel Flowers for the trapping of beavers, the cost of which is not to exceed $9,000. This Agreement is to commence on December 1, 2014 and will expire on December 1, 2015.
