3 A RESOLUTION PERTAINING TO USE OF THE VOLUNTARY EMPLOYEES BENEFICIARY ASSOCIATION HEALTH REIMBURSEMENT ARRANGEMENT (VEBA-HRA) FOR EMPLOYEES RETIRING IN ) Eligible employees have voted their preference regarding the contribution of accrued personal leave into a VEBA-HRA account at retirement for ) The results of the vote are nonbinding to the District; however, the results are taken into consideration in determining the District s policy. Staff recommends approval of VEBA contributions in accordance with the results of the employee vote. 4 A RESOLUTION AUTHORIZING ACCEPTANCE OF AN ENGAGEMENT LETTER WITH CORDELL, NEHER & COMPANY FOR DEFERRED COMPENSATION PLAN ADMINISTRATION 1) By Resolutions 07-30, and Cordell, Neher & Company was selected to provide third party administration services for the District s Section 457 and Section 401 (a) deferred compensation and deferred compensation matching plans, respectively. 2) Cordell, Neher & Company has satisfactorily provided these services. The attached engagement letter provides for the continuation of these services with no change in annual fee. 3) Staff recommends continuing to engage Cordell, Neher & Company to provide these services. District No. 1 of Douglas County, Washington, that the District s Human Resource Administrator is hereby authorized and directed to sign the engagement letters.

5 A RESOLUTION AUTHORIZING A LEGAL SERVICES AGREEMENT WITH THE LAW FIRM OF JEFFERS, DANIELSON, SONN AND AYLWARD, P.S. (1) It is in the best interests of the District to authorize a Legal Services Agreement with the Law Firm of Jeffers, Danielson, Sonn and Aylward, P.S., to be effective January 1, 2018 through January 1, 2019, at the agreed upon rates. (2) This agreement supersedes all previous agreements between the parties and resolutions of the District pertaining to legal services provided by this Law Firm. District No. 1 of Douglas County, Washington, that the Legal Services Agreement with the Law Firm of Jeffers, Danielson, Sonn and Aylward, P.S., be authorized for the period of January 1, 2018 through January 1, 2019 at the agreed upon rates.

6 A RESOLUTION AUTHORIZING AMENDMENT NO. 4 TO THE DISTRICT S VIDEO TRANSPORT AGREEMENT WITH KIRO-TV, INC. 1) Resolution authorized Amendment No. 3 to the Video Transport Agreement with KIRO-TV, Inc., extending the Agreement through December 31, ) Staff recommends approval of Amendment No. 4 to the Video Transport Agreement with KIRO-TV, Inc., to extend the term of the Video Transport Agreement through December 31, ) It is in the best interest of the District to amend the District's Video Transport Agreement with KIRO-TV, Inc. District No. 1 of Douglas County, Washington, that the District's General Manager is authorized and directed to execute Amendment No. 4 to the Video Transport Agreement with KIRO-TV, Inc.

7 A RESOLUTION AUTHORIZING INTERCONNECTION AND SERVICE AGREEMENT WITH SALCIDO ENTERPRISES, LLC HIGHLINE DRIVE 1) Salcido Enterprises, LLC will be installing facilities in Douglas County that will exceed 1,500 kilowatt amperes. 2) In accordance with Section 37 of the District s Customer Service Policies, new loads at one location in excess of 1,500 kilowatt amperes require a special contract. 3) The District and Salcido Enterprises, LLC have negotiated a special contract in the form of an Interconnection and Service Agreement for services to be provided at a location on Highline Drive in Douglas County. 4) It is in the best interest of the District to enter into the Interconnection and Service Agreement with Salcido Enterprises, LLC. District No. 1 of Douglas County, Washington, that the District is authorized to enter into the Interconnection and Service Agreement with Salcido Enterprises, LLC and the District s Manager is authorized to sign the Agreement.

8 A RESOLUTION AUTHORIZING INTERCONNECTION AND SERVICE AGREEMENT WITH SALCIDO ENTERPRISES, LLC PANGBORN AIRPORT INDUSTRIAL PARK 1) Salcido Enterprises, LLC will be installing facilities in Douglas County that will exceed 1,500 kilowatt amperes. 2) In accordance with Section 37 of the District s Customer Service Policies, new loads at one location in excess of 1,500 kilowatt amperes require a special contract. 3) The District and Salcido Enterprises, LLC have negotiated a special contract in the form of an Interconnection and Service Agreement for services to be provided on Lot 17 of the Pangborn Airport Industrial Park. 4) It is in the best interest of the District to enter into the Interconnection and Service Agreement with Salcido Enterprises, LLC. District No. 1 of Douglas County, Washington, that the District is authorized to enter into the Interconnection and Service Agreement with Salcido Enterprises, LLC and the District s Manager is authorized to sign the Agreement.

9 A RESOLUTION AUTHORIZING INTERCONNECTION AND SERVICE AGREEMENT WITH SALCIDO ENTERPRISES, LLC URBAN INDUSTRIAL WAY 1) Salcido Enterprises, LLC will be installing facilities in Douglas County that will exceed 1,500 kilowatt amperes. 2) In accordance with Section 37 of the District s Customer Service Policies, new loads at one location in excess of 1,500 kilowatt amperes require a special contract. 3) The District and Salcido Enterprises, LLC have negotiated a special contract in the form of an Interconnection and Service Agreement for services to be provided at a location on Urban Industrial Way in Douglas County. 4) It is in the best interest of the District to enter into the Interconnection and Service Agreement with Salcido Enterprises, LLC. District No. 1 of Douglas County, Washington, that the District is authorized to enter into the Interconnection and Service Agreement with Salcido Enterprises, LLC and the District s Manager is authorized to sign the Agreement.

10 A RESOLUTION AUTHORIZING AWARD OF CONTRACT D TO ERMCO TO SUPPLY AND DELIVER 2500 KVA DISTRIBUTION TRANSFORMERS 1) By Resolution No dated November 13, 2017, the District called for bids under Bid Document D, Supply and Deliver 2500 kva Distribution Transformers. 2) On December 4, 2017, the District opened 3 bids as follows: Bidder Total for Bid Comparison ERMCO $217, Dyersburg, TN General Pacific, Inc. (Howard) $343, Fairview, OR WEG Transformers Washington, MO No Bid Engineer s Estimate $265, ) District staff have reviewed the bids and found that the bid from ERMCO meets all terms and conditions of Bid Document D. A review of the bidder s experience, qualifications, financial and work references verified that this company fulfills all necessary requirements and staff recommends award of Contract D to ERMCO. 4) It is in the best interests of the District to award Contract D to the lowest responsive bidder, ERMCO with an authorized expenditure of $217, (two hundred seventeen thousand, four hundred dollars). District No. 1 of Douglas County, Washington, that Contract D is awarded to ERMCO. The General Manager is authorized to issue a Contract with ERMCO subject to the filing of the Contract and a Performance and Payment Bond in accordance with the

11 District s specifications and which contract and bond are to be in a form that is satisfactory to the District.

12 A RESOLUTION AUTHORIZING A CALL FOR BIDS UNDER BID DOCUMENT D, SUPPLY AND DELIVER 115 kv BREAKERS TO THE LONE PINE SUBSTATION 1) The District has started building Lone Pine Substation to satisfy part of the District s contract with Chelan County PUD. The design for Lone Pine Substation includes two 115 kv breakers. 2) Staff recommends that the District solicit bids in compliance with RCW to provide two 115 kv breakers in accord with the specifications, terms and conditions of Bid Document D. Sealed bids will be accepted until January 8, 2018 at 1:30 p.m. Pacific Time in the District s East Wenatchee headquarters office. 3) It is in the best interests of the District to issue a call for bids under Bid Document D, Supply and Deliver 115 kv Breakers to the Lone Pine Substation. District No. 1 of Douglas County, Washington, that Bid Document D is hereby approved, and the District s General Manager is hereby authorized and directed to issue a call for bids to supply and deliver 115 kv breakers to the Lone Pine Substation.

13 A RESOLUTION AUTHORIZING A PROFESSIONAL SERVICE AGREEMENT WITH WASHINGTON DEPARTMENT OF FISH AND WILDLIFE FOR THE 2018 HCP HATCHERY M&E IMPLEMENTATION PROGRAM 1) The Wells HCP requires the development and annual implementation of a monitoring and evaluation (M&E) plan for the District s hatchery programs. Presently, the Washington Department of Fish and Wildlife (WDFW) Supplementation Research Team annually implements the District s hatchery M&E program. 2) The 2018 M&E budget has been finalized following negotiations between District staff and WDFW. The negotiated final budget for calendar year 2018 represents a 5.2% increase compared to the 2017 budget. This increase is due to increases in Washington State salary rates, benefits, and indirect rate. 3) Continuation of WDFW s implementation of the District s M&E program is critical to maintaining compliance with the terms of the Wells HCP and the conditions of the various permits to operate the hatchery programs. 4) District staff believes that it is in the best interest of the District to approve this Professional Service Agreement with WDFW to satisfy the requirement of the Wells HCP. District No. 1 of Douglas County, Washington, that the District s General Manager is hereby authorized and directed to enter into a Professional Service Agreement with WDFW to implement the HCP Hatchery M&E Implementation Program, the cost of which is not to exceed $1,057,751 with an expiration date of December 31, 2018.

15 A RESOLUTION AFFIRMING CHANGE ORDER NO. 6 TO CONTRACT W, CONSTRUCT CARPENTER ISLAND PUBLIC BOAT LAUNCH 1) By Resolution No dated February 23, 2015 the District awarded Contract W, Construct Carpenter Island Public Boat Launch to Redside Construction, LLC. 2) Change Order No. 6 was prepared to address the following issues: Additional grading of road shoulders and cut slopes; Additional parking lot paving and excavation; Credit for deletion of PVC pile sleeves; Credit for deletion of hydroseeding. 3) District staff recommends affirmation of Change Order No. 6 in the amount of $23, Change Orders Nos. 1-5 in the amount of $52, were authorized by Resolution, bringing the total cost of the contract to $2,457, ) It is in the best interests of the District to affirm Change Order No. 6 to Contract W. District No. 1 of Douglas County, Washington, that Change Order No. 6 to Contract W, Construct Carpenter Island Public Boat Launch is affirmed by the Commission.

16 A RESOLUTION AUTHORIZING ACCEPTANCE OF WORK AND FINAL PAYMENT TO REDSIDE CONSTRUCTION, LLC UNDER CONTRACT W, CONSTRUCT CARPENTER ISLAND PUBLIC BOAT LAUNCH 1) By Resolution No dated February 23, 2015 the District awarded Contract W, Construct Carpenter Island Public Boat Launch to Redside Construction, LLC. 2) District staff report the Contractor has satisfactorily completed all requirements of Contract W and has submitted a Request for Final Payment, Certificate and Release. Therefore, staff recommends that the District accept the completed work and authorize final payment in the amount of $41, to Redside Construction, LLC and release retainage bond upon receiving the required notifications from the State of Washington. The total cost of work under this contract is $2,457,794.21, plus tax. 3) It is in the best interests of the District to accept the work as complete and authorize final payment under Contract W. District No. 1 of Douglas County, Washington, that the work under Contract W, Construct Carpenter Island Public Boat Launch is hereby accepted as complete, and that final payment and release of retainage bond is authorized, contingent on receipt by the District of all necessary releases by the State of Washington. This acceptance in no manner waives any claim the District may have against the Contractor for failure to comply with the terms of the contract.

18 A RESOLUTION AUTHORIZING CHANGE ORDER NO. 2 TO CONTRACT W, SERVICE AND DRAFT TUBE AIR COMPRESSOR UPGRADES AT THE WELLS HYDROELECTRIC PROJECT 1) By Resolution No dated March 27, 2017, the District awarded Contract W, Service and Draft Tube Air Compressor Upgrades at the Wells Hydroelectric Project to University Mechanical. 2) Change Order No. 2 was prepared for various changes necessary for the proper installation of the work. 3) District staff recommends approval of Change Order No. 2 in the amount of $10, Previous change orders, in addition to this change order, bring the total cost of the contract to $1,411, ) It is in the best interests of the District to approve Change Order No. 2 to Contract W. District No. 1 of Douglas County, Washington, in accordance with Administrative Bulletin 9.7, District staff is authorized and directed to issue Change Order No. 2 to Contract W, Service and Draft Tube Air Compressor Upgrades. ADOPTED this 11th day of December, 2017

19 A RESOLUTION AFFIRMING CHANGE ORDER NO. 1 TO CONTRACT W, CONSTRUCT OKANOGAN RIVER PADDLERS CAMPGROUND 1) By Resolution No dated September 13, 2017 the District awarded Contract W, Construct Okanogan River Paddlers Campground to Selland Construction, Inc. 2) Change Order No. 1 was prepared to address the following issue: A temporary haul road was constructed in order to address soft soil conditions that would not support heavy equipment. 3) District staff recommends affirmation of Change Order No. 1 in the amount of $13,729.60, which brings the total cost of the contract to $196, ) It is in the best interests of the District to affirm Change Order No. 1 to Contract W. District No. 1 of Douglas County, Washington, that Change Order No. 1 to Contract W, Construct Okanogan River Paddlers Campground is affirmed by the Commission.

20 A RESOLUTION AUTHORIZING CHANGE ORDER NO. 2 TO CONTRACT W, DIRECTIONAL DRILLING OF HDPE PIPE THROUGH A RAILROAD/ROADWAY EMBANKMENT AT THE WELLS HYDROELECTRIC PROJECT 1) By Resolution No dated October 23, 2017, the District awarded Contract W, Directional Drilling of HDPE Pipe Through a Railroad/Roadway Embankment at the Wells Hydroelectric Project to Trenchless Construction. 2) Change Order No. 2 was prepared for a change necessary for the proper installation of the work. 3) District staff recommends approval of Change Order No. 2, in the amount of $6,000.00, which brings the total amount of the contract to $89, ) It is in the best interests of the District to approve Change Order No. 2 to Contract W. District No. 1 of Douglas County, Washington, that, in accordance with Administrative Bulletin 9.7, District staff is authorized and directed to issue Change Order No. 2 to Contract W, Directional Drilling of HDPE Pipe Through a Railroad/Roadway Embankment.

21 RESOLUTION NO. A RESOLUTION AUTHORIZING CHANGE ORDERS NO. 76 THROUGH 79 TO CONTRACT W, GENERATOR REBUILD AND UNIT REFURBISHMENT FOR THE WELLS HYDROELECTRIC PROJECT 1. Resolution authorized award of Contract W to Toshiba International Corporation with a total Contract amount of $151,100,000 and authorized the District to issue a Notice to Proceed for the first Unit at a cost of $21,121, Change Orders No. 1 through 75 were previously authorized. Resolution No authorized Change Order No. 75 in the amount of $15,200 making the revised total for the Contract $167,585,587, with $80,418,381 authorized to date. 3. Change Orders No. 76 through 79 have been prepared to address the following changes to the Contract: Change Order No. 76 has been prepared to provide a 254 day extension of time for replacement of the Unit No. 4 generator rotor rim with no change to the contract dollar amount. Change Order No. 77 has been prepared for site management, field supervision and craft labor costs associated with the Unit No. 4 rotor rim replacement after October 8, 2016 with an increase to the contract of $204,675. Costs for site management, field supervision and craft labor associated with the Unit No. 4 rotor rim replacement through October 8, 2016 were included in Change Orders No. 61, 59 and 57, respectively. Change Order No. 78 has been prepared for work associated with upgrades to the Unit No. 4 coupling deck for turbine pit material handling and the new Unit No. 4 speed limiter access platform with an increase to the contract of $48,591. Change Order No. 79 has been prepared to include the Change Order No. 39 timeand-materials (T&M) work for the 3 rd through 10 th Units in the lump sum contract amount and to include work items in the contract scope based on experience from the first two units which would otherwise be required to be performed under separate change orders, with an increase to the contract of $21,000,000. Change Order No. 79 also reflects an increase to the contract total of $2,498,867 for Change Order No. 39 T&M work performed on the 2 nd Unit. 4. It is in the best interest of the District to execute Change Orders No. 76 through 79 with a combined contract increase of $21,253,266. NOW, THEREFORE, BE IT RESOLVED by the Commission of Public Utility District No. 1 of Douglas County, Washington, that the District is hereby

22 authorized and directed to issue Change Orders No. 76 through 79 to Contract W in the amount of $21,253,266, making the revised total for the Contract $191,337,720, with $88,420,514 authorized to date.

23 A RESOLUTION AUTHORIZING NWPP AGREEMENT TO AMEND AND RESTATE THE NORTHWEST POWER POOL AGREEMENT 1. By Resolution No dated November 27, 1995, the District entered into the Northwest Power Pool Agreement. By Resolution No dated March 7, 2011, the District authorized the execution of an Amendment to the Northwest Power Pool Agreement. 2. An Agreement to Amend and Restate the Northwest Power Pool Agreement has been prepared based on guidance provided by executives of the current NWPP members. The amended Agreement better reflects current NWPP practices and removes language that is out of date. 3. District staff have reviewed the amended Agreement and found all changes to be acceptable and in accordance with the executives guidance. 4. It is in the best interests of the District to enter the Agreement to Amend and Restate the Northwest Power Pool Agreement, which will be effective as of January 1, District No. 1 of Douglas County, Washington, that the District s General Manager is hereby authorized and directed to sign the NWPP Agreement to Amend and Restate the Northwest Power Pool Agreement on behalf of the District.

24 A RESOLUTION AUTHORIZING A PROFESSIONAL SERVICE AGREEMENT WITH BADGER MOUNTAIN PRODUCTIONS RECITALS 1) The District has need for video photography documentation of District facilities and activities on an ongoing basis. 2) Badger Mountain Productions has provided these services for the District for several years and has developed considerable knowledge of the District s operations. The current Agreement expires December 31, ) Staff recommends approval of a Professional Service Agreement with Badger Mountain Productions through December 31, 2018 under the same terms and conditions as 2017 with a rate adjustment. 4) It is in the best interest of the District to enter into a new Professional Service Agreement with Badger Mountain Productions. District No. 1 of Douglas County, Washington, that the District s General Manager is hereby authorized to enter into a Professional Service Agreement with Badger Mountain Productions, the total cost of which shall not exceed $130,000. 25 A RESOLUTION AUTHORIZING THE DISTRICT TO RENEW EXCESS LIABILITY INSURANCE WITH AEGIS INSURANCE SERVICES AND ENERGY INSURANCE MUTUAL 1) The District s current Excess Liability Insurance policies with AEGIS Insurance Services (AEGIS) and Energy Insurance Mutual (EIM) expire on December 15, ) AEGIS provided a quote for renewal of $383,019 for the $35,000,000 primary insurance layer and EIM has provided a quote of $118, for the $25,000,000 secondary layer. 3) District staff has reviewed the quotes and recommends renewal of the Excess Liability Insurance with AEGIS and EIM. 4) It is in the best interest of the District to obtain Excess Liability insurance through AEGIS for the quoted premium of $383,019 and EIM for the quoted premium of $118, for the policy year December 15, 2017 to December 15, District No. 1 of Douglas County, Washington, that the District s Accounting Assistant/Insurance Administrator will secure Excess Liability Insurance with AEGIS and EIM.

A RESOLUTION AUTHORIZING THE PURCHASE OF AVIATION INSURANCE FOR UNMANNED AIRCRAFT SYSTEMS WITH GLOBAL AEROSPACE 1) The District recently obtained a drone for use on various projects around 2) The District does not have insurance coverage for drone related liability. 3) Our insurance broker Marsh has secured a quote from Global Aerospace for Aviation Insurance for Unmanned Aircraft Systems for coverage with a $1,000,000 limit of liability and $0 deductible. The policy also provides coverage for physical damage to the drone at a deductible of 5% of the drone s value.
