2 RESOLUTION NO. A RESOLUTION AUTHORIZING ACCEPTANCE OF WORK AND FINAL PAYMENT TO EPC SERVICES UNDER CONTRACT D, PERFORM ON-SITE BATTERY TESTING SERVICES 1) By Resolution No dated September 3, 2013, the District awarded Contract D, Perform On-Site Battery Testing Services to EPC Services. 2) District staff report the Contractor has satisfactorily completed all requirements of Contract D and has submitted a Request for Final Payment, Certificate and Release. Therefore, staff recommends that the District accept the completed work and authorize final payment in the amount of $58, (Fifty-eight thousand, five hundred dollars) which is the total contract amount to EPC Services upon receiving the required notifications from the State of Washington. 3) It is in the best interests of the District to accept the work as complete and authorize final payment under Contract D. NOW, THEREFORE, BE IT RESOLVED by the Commission of Public Utility District No. 1 of Douglas County, Washington, that the work under Contract D, Perform On-Site Battery Testing Services is hereby accepted as complete, and that final payment is authorized, contingent on receipt by the District of all necessary releases by the State of Washington. This acceptance in no manner waives any claim the District may have against the Contractor for failure to comply with the terms of the contract. ADOPTED this 18 th day of February, 2014.
3 RESOLUTION NO. A RESOLUTION AUTHORIZING ADDENDUM NO. 1 TO BID DOCUMENT W, FURNISH AND INSTALL UNINTERRUPTABLE POWER SUPPLY 1) Resolution No authorized the District to issue a call for bids under Bid Document W, Furnish and Install Uninterruptable Power Supply. 2) A pre-bid conference was held on February 11, Addendum No. 1 to the Bid Document has been prepared in response to questions by the prospective bidders. 3) District staff recommends it is in the best interests of the District to approve Addendum No. 1 to Bid Document W, Furnish and Install Uninterruptable Power Supply. NOW, THEREFORE, BE IT RESOLVED by the Commission of Public Utility District No. 1 of Douglas County, Washington, that the District s General Manager is authorized and directed to issue Addendum No. 1 to Bid Document W, Furnish and Install Uninterruptable Power Supply. ADOPTED this 18th day of February, 2014.
4 RESOLUTION NO. A RESOLUTION AUTHORIZING NEGOTIATION OF PROFESSIONAL SERVICE AGREEMENT, REQUEST FOR PROPOSALS W, PROVIDE ENERGY SCHEDULING AND ACCOUNTING SOFTWARE 1) By Resolution No dated October 14, 2013, the District issued a Request for Proposals W, Provide Energy Scheduling and Accounting Software. 2) From October 14, 2013 through November 25, 2013, the District advertised its need for professional services to replace the District s current energy scheduling and accounting solution for power accounting and power operations. In response to that publication, the District received proposals from two companies: Open Access Technology International, Inc. (OATI), and SoftSmiths, Inc. 3) District staff has evaluated the proposals in response to W and recommends that the District be authorized to negotiate an agreement with Open Access Technology International, Inc. (OATI) or alternately SoftSmiths, Inc. NOW, THEREFORE, BE IT RESOLVED by the Commission of Public Utility District No. 1 of Douglas County, Washington, that the District negotiate a Professional Service Agreement with Open Access Technology International, Inc. (OATI) or alternately SoftSmiths, Inc. in response to Request for Proposals W, Provide Energy Scheduling and Accounting Software.

6 RESOLUTION NO. A RESOLUTION AUTHORIZING A PROFESSIONAL SERVICE AGREEMENT WITH COLUMBIA RESEARCH SPECIALISTS, LLC FOR PIKEMINNOW REMOVAL AND BURBOT MONITORING 1) The Wells HCP requires the implementation of a pikeminnow removal program. Removal efforts using set-line methods have been highly effective since their implementation in ) The FERC license requires the implementation of the Resident Fish Management Plan (RFMP) found within the Aquatic Settlement Agreement. The RFMP contains a requirement to implement resident fish assemblage studies periodically throughout the term of the FERC license. The 2014 Resident Fish Assemblage Study includes the objective to estimate the abundance of burbot in the Wells Reservoir. 3) Columbia Research Specialists, LLC has provided competent professional services to the District for 11 years in a cost-effective manner for the pikeminnow removal program and have demonstrated the ability to capture burbot as evidenced by the large numbers of burbot captured in recent years during pikeminnow removal efforts. 4) District staff believes it is in the best interest of the District to enter into a Professional Service Agreement with Columbia Research Specialists, LLC for three years ( ) for the removal of northern pikeminnow with costs not to exceed $130,000 per year and one year (2014) of burbot monitoring with costs not to exceed $40,000.
7 NOW, THEREFORE, BE IT RESOLVED by the Commission of Public Utility District No. 1 of Douglas County, Washington, that the District s General Manager is hereby authorized and directed to enter into a Professional Service Agreement with Columbia Research Specialists, LLC for pikeminnow removal and burbot monitoring. Total costs over the term of the contract are not to exceed $170,000 in 2014 and $130,000 per year in 2015 and 2016, with a contract expiration date of December 31, ADOPTED this 18 th day of February, 2014.
8 RESOLUTION NO. A RESOLUTION AUTHORIZING AMENDMENT NO. 1 TO PROFESSIONAL SERVICE AGREEMENT WITH THE DOH ASSOCIATES, P.S. UNDER CONTRACT NO D 1) Resolution authorized the District to issue a Request for Qualifications D, Professional Design Services for Warehouse Roof Membrane Replacement. 2) Resolution authorized negotiation of a Contract with The DOH Associates, P.S. 3) Resolution authorized execution of a Contract with The DOH Associates, P.S. 4) The project was postponed to allow for better weather for the installation of the new roof. The original expiration date of the Contract is March 1, The Amendment will extend the Contract expiration date to allow for the completion of the project. 4) It is in the best interests of the District to amend the Professional Service Agreement with The DOH Associates, P.S. to extend the expiration date to December 31, NOW, THEREFORE, BE IT RESOLVED by the Commission of Public Utility District No. 1 of Douglas County, Washington, that the District s General Manager is hereby authorized and directed to issue any necessary documents to implement the Amendment to the Professional Service Agreement with The DOH Associates, P.S. which extends the expiration date of the Agreement to December 31, ADOPTED this 18th day of February, 2014.
9 RESOLUTION NO. A RESOLUTION AUTHORIZING AMENDMENT NO. 1 TO PROFESSIONAL SERVICE AGREEMENT WITH ANCHOR QEA, LLC 1) Resolution No authorized the District to enter into a Professional Service Agreement with Anchor QEA, LLC regarding services to chair the Aquatic Settlement Work Group (Aquatic SWG). 2) The FERC license requires the District to collaboratively develop and gain agency and tribal approval for a large number of year one license compliance measures. The number of Aquatic SWG meetings has had to increase in order to comply with the FERC mandated implementation timelines for these measures. This addition work load has resulted in the District approaching the original not to exceed amount of $100,000 sooner than expected. 3) Staff recommends approval of Amendment No. 1 with Anchor QEA, LLC to adjust the not to exceed amount of the Professional Service Agreement from $100,000 to $176,500. 4) It is in the best interests of the District to issue Amendment No. 1 to the Professional Service Agreement associated with Resolution with Anchor QEA, LLC. NOW, THEREFORE, BE IT RESOLVED by the Commission of Public Utility District No. 1 of Douglas County, Washington, that the District s General Manager is authorized and directed to issue Amendment No. 1 to the Professional Service Agreement associated with Resolution with Anchor QEA, LLC and adjusts the not to exceed amount from $100,000 to $176,500. ADOPTED this 18 th day of February, 2014.
