3 A RESOLUTION APPROVING CHANGE IN ADMINISTRATIVE BULLETIN 5.13, DISTRICT TRAVEL POLICY 1) Administrative Bulletin 5.13 sets forth the District s travel policy. 2) The current policy sets forth the reimbursement for meal expenses and use of personal vehicles at $75.00 per day and 53.5 cents per mile, respectively. 3) The Internal Revenue Service announced a 1 cent increase to the standard mileage rates effective January 1, The new mileage rate is 54.5 cents per mile. 4) It is in the best interest of the District to revise the travel policy setting the reimbursement for meal expense incurred while on District business to a maximum of $75.00 per day and reimbursement for approved use of personal vehicles to 54.5 cents per mile. District No. 1 of Douglas County, Washington, that the rate of reimbursement for meal expense and use of personal vehicles be stated at $75.00 per and 54.5 cents per mile, respectively, effective January 1, ADOPTED this 29th day of December 2017.
4 A RESOLUTION REVISING THE WITHROW WATER SYSTEM CUSTOMER SERVICE POLICIES 1) Staff is proposing to amend the Withrow Water System Customer Service Policies. The amendments would update seven sections of the Customer Service Policies to reflect the current business needs of the District. 2) Update Section 4, Deposits and Section 5, Billing, to more closely match the Electric System Customer Service Policies for deposits and billing practices. 3) Update the various service fees listed in Section 6, Service Charges and delete paragraph seven to more closely match the fees charged in the Electric System Customer Service Policies. 4) Change the title of Section 7 from Non-Billed Occupants to Change of Occupancy and rewrite this section to more closely match the Electric System Customer Service Policies. 5) Revise the language in the first paragraph of Section 20 (A) to require customer piping to be buried at a minimum of three feet deep and removing language that currently specifies the type of piping the customer may use. error. 6) Revise the language in the first sentence of Section 23 to correct a spelling 7) Revise the language in Section 28 to align cost estimates with the Electric System Customer Service Policies. District No. 1 of Douglas County, Washington, that the Withrow Water System Customer Service Policies be amended as included in the attachments to this resolution.

6 RESOLUTION NO. A RESOLUTION AUTHORIZING AN EMPLOYEE ASSISTANCE PROGRAM AGREEMENT WITH KEPRO ACQUISITIONS, INC. (1) For several years Douglas County PUD has provided an Employee Assistance Program (EAP) for all employees and their immediate families. This EAP is provided by KEPRO Acquisitions, Inc. (2) Staff recommends approval of the Employee Assistance Program Agreement with KEPRO Acquisitions, Inc. to provide EAP services to Douglas County PUD. This Agreement is for January 1, 2018 through December 31, The rate per employee, per month will remain at $3.49 for the duration of the Agreement. (3) It is in the best interest of the employees and the District to approve the Employee Assistance Program Agreement with KEPRO Acquisitions, Inc. District No. 1 of Douglas County, Washington, that the Employee Assistance Program Agreement with KEPRO Acquisitions, Inc. is approved and that the General Manager is authorized and directed to sign said Professional Service Agreement ADOPTED this 29 th day of December, 2017.
7 A RESOLUTION AUTHORIZING AN IPTV TRANSPORT RIGHTS AGREEMENT WITH KXLY-TV 1) The District operates a video headend that provides Internet Protocol Television (IPTV) service to retail service providers. 2) Most television content owners require the District to enter into video transport agreements to receive the television signal and transport it to retail service providers. 3) District Staff have negotiated terms for an IPTV Transport Rights Agreement with KXLY-TV. 4) It is in the best interest of the District to enter into the IPTV Transport Rights Agreement to provide video service. District No. 1 of Douglas County, Washington, that the District's General Manager is authorized to sign an IPTV Transport Rights Agreement with KXLY-TV. ADOPTED this 29 th day of December, 2017.
8 A RESOLUTION AUTHORIZING INTERCONNECTION AND SERVICE AGREEMENT WITH PRONOIA EFFECTS, LLC. 1) Actapio, Inc. will be installing facilities in Douglas County that will exceed 1,500 kilowatt amperes. 2) In accordance with Section 36 of the District s Customer Service Policies, new loads at one location in excess of 1,500 kilowatt amperes require a special contract. 3) The District and Pronoia Effects, LLC have negotiated a special contract in the form of an Interconnection and Service Agreement for services to be provided at 455 and 501 Urban Industrial Way in Douglas County, Washington. 4) It is in the best interest of the District to enter into the Interconnection and Service Agreement with Pronoia Effects, LLC. NOW, THEREFORE, BE IT RESOLVED by the Commission of Public Utility District No. 1 of Douglas County, Washington, that the District is authorized to enter into the Interconnection and Service Agreement with Pronoia Effects, LLC and the District s Manager is authorized to sign the Agreement. ADOPTED this 29th day of December, 2017.
9 A RESOLUTION AUTHORIZING RESERVED CAPACITY AGREEMENT WITH ACTAPIO, INC. 1) Actapio, Inc. has plans to install facilities in Douglas County that will require substation capacity from the District s Veedol substation. 2) The District has limited substation capacity at its Veedol substation. 3) The District and Actapio, Inc. have negotiated a special contract in the form of a Reserved Capacity Agreement to reserve substation capacity for future installation(s) at or about 3555 Grant Road in Douglas County, Washington. 4) It is in the best interest of the District to enter into the Reserved Capacity Agreement with Actapio, Inc. NOW, THEREFORE, BE IT RESOLVED by the Commission of Public Utility District No. 1 of Douglas County, Washington, that the District is authorized to enter into the Reserved Capacity with Actapio, Inc. and the District s Manager is authorized to sign the Agreement. ADOPTED this 29th day of December, 2017.

11 A RESOLUTION ESTABLISHING A NEW EFFECTIVE DATE FOR SCHEDULED 2018 ELECTRICAL RATE ADJUSTMENTS 1) Resolution established new rate schedules effective January 1, 2017 and January 1, ) District staff have determined that favorable financial conditions would allow the District to defer the scheduled 2018 electric rate adjustment. 3) It is in the best interests of the District to defer the scheduled 2018 electric rate adjustments to January 1, District No. 1 of Douglas County, Washington, that the new schedules as listed below, with copies attached and made part of this resolution are hereby adopted to be effective January 1, Schedule 1 General Services Schedule 2 Irrigation Service Schedule 3 - Street Lighting and Area Light Service Schedule 4 Energy Delivery Service (for alternate energy supplier) ADOPTED this 29th day of December 2017.
12 A RESOLUTION AMENDING THE ELECTRIC DISTRIBUTION SYSTEM CUSTOMER SERVICE POLICES 1) District staff is proposing to amend the Electric Distribution System Customer Service Policies. This amendment would update Section 17 of the Customer Service Policy to reflect the current business needs of the District. 2) Update Section 17 to include language to allow the District to take into account the existing electrical service size when calculating ampacity fees for a customer changing the service voltage or changing from single-phase to three-phase service. 3) It is in the best interests of the District to revise the Electric Distribution System Customer Service Policies. District No. 1 of Douglas County, Washington, that the Electric Distribution System Customer Service Policies be amended. ADOPTED this 29th day of December 2017.
13 A RESOLUTION UPDATING SALE PRICE OF ORONDO TRANSFORMERS 1) By resolution dated October 26, 2015, the two power transformers at Orondo Substation were declared surplus and authorized for sale at $10, each. In 2015 Transformer Network, Inc. offered to purchase the transformers for $10, each on the condition that the transformer radiators and bushings were removed prior to being picked up. 2) Due to a number of delays, the radiators and bushings have just recently been removed. In September of 2017 Transformer Network, Inc. offered to purchase the surplus transformers for $5, each which is fair market value for these transformers. 3) It is in the best interests of the District to authorize sale of the transformers to Transformer Network, Inc. for the total price of $10,000. District No. 1 of Douglas County, Washington, that ADOPTED this 29th day of December 2017.
14 A RESOLUTION ESTABLISHING THE ASSESSMENT ROLL OF LOCAL UTILITY DISTRICT NO. 1 OF DOUGLAS COUNTY RIO VISTA PARK STREET LIGHTING SYSTEM FOR THE 2018 ASSESSEMENT YEAR AND CALLING FOR NOTICE OF HEARING 1) The District did by resolution create Local Utility District No. 1 of Douglas County, Washington, establishing the boundaries thereof and ordering the installation of adequate street lighting within said District, and, 2) The District did by resolution, with agreement from the City of East Wenatchee, amend the assessment roll to include the City, and, 3) Staff recommends that $ be assessed against the City, and that $31.00 be assessed against each lot within said District for the assessment year 2018; and, 4) A legal notice of the assessment roll will be published for two consecutive weeks setting a hearing date for January 22, 2018 at 1:30 p.m. in the District s East Wenatchee office at the regular Board meeting. District No. 1 of Douglas County, Washington, that a legal notice of the assessment roll for Local Utility District No.1 of Douglas County be published and that final hearing for approval of the assessment roll be held at 1:30 p.m. January 22, 2018, and further, if no protests are heard, that said assessment roll will become effective February 1, ADOPTED this 29th day of December 2017.
15 A RESOLUTION AUTHORIZING AWARD OF CONTRACT D TO CONSOLIDATED ELECTRICAL DISTRIBUTORS TO SUPPLY AND DELIVER LED STREET LIGHTS 1) By Resolution No dated November 13, 2017 the District called for bids under Bid Document D, Supply and Deliver LED Street Lights. 2) By Resolution No dated November 27, 2017 the District authorized Addendum No. 1 to Bid Document D, Supply and Deliver LED Street Lights. 3) On December 11, 2017 the District opened 13 bids as follows: Bidder Total for Bid Comparison Consolidated Electrical Distributors $ 129, Wenatchee, WA General Pacific, Inc. (Bid #4 AEL ATBS) $ 181, Boise, ID Engineer s Estimate $ 210, ) District staff have reviewed the bids and found that the bid from Consolidated Electrical Distributors meets all terms and conditions of Bid Document D. A review of the bidder s experience, qualifications, financial and work references verified that this company fulfills all necessary requirements and staff recommends award of Contract D to Consolidated Electrical Distributors. 4) It is in the best interests of the District to award Contract D to the lowest responsive bidder, Consolidated Electrical Distributors with an authorized expenditure of $ 129, (one hundred twenty nine thousand, five hundred dollars). District No. 1 of Douglas County, Washington, that Contract D is awarded to Consolidated Electrical Distributors. The General Manager is authorized to issue a Contract with Consolidated Electrical Distributors subject to the filing of the Contract and a Performance and Payment Bond in accordance with the District s specifications and which contract and bond are to be in a form that is satisfactory to the District. ADOPTED this 29th day of December, 2017.
17 A RESOLUTION AUTHORIZING A REQUEST FOR QUALIFICATIONS D, PROFESSIONAL DESIGN SERVICES FOR BRIDGEPORT OFFICE BUILDING ROOF MEMBRANE REPLACEMENT 1) The roof membrane of the Bridgeport Office building is failing and in need of replacement. 2) District staff states that the District has a need to issue Request for Qualifications D for Professional Design Services for Bridgeport Office Building Roof Membrane Replacement and recommends publication of the RFQ. Qualifications will be accepted until 5:00 p.m. Pacific time on February 2, 2018 in the District s East Wenatchee headquarters office. 3) It is in the best interests of the District to issue a Request for Qualifications and advertise in pertinent publications. District No. 1 of Douglas County, Washington, that RFQ D Professional Design Services for Bridgeport Office Building Roof Membrane Replacement is hereby approved and the District s General Manager is hereby authorized and directed to issue Request for Qualifications D to provide the necessary design services. ADOPTED this 29th day of December, 2017
18 A RESOLUTION AUTHORIZING AMENDMENT NO. 1 TO THE PROFESSIONAL SERVICE AGREEMENT WITH BECK BOTANICAL SERVICES 1) By Resolution dated March 6, 2017, the District entered into a Professional Service Agreement with Beck Botanical Services for noxious weeds and rare, threatened and endangered plant surveys. 2) District staff recommends approval of Amendment No. 1 with Beck Botanical Services, extending the term of the Agreement to provide sufficient time to complete the report. 3) It is in the best interests of the District to issue Amendment No. 1 to amend the Professional Service Agreement with Beck Botanical Services. Amendment No. 1 will extend the term of the agreement to February 28, District No. 1 of Douglas County, Washington, that the District s General Manager is hereby authorized and directed to issue Amendment No. 1 to the Professional Service Agreement with Beck Botanical Services, which will extend the term of the Agreement to February 28, ADOPTED this 29 th day of December, 2017.
19 A RESOLUTION AUTHORIZING A PROFESSIONAL SERVICE AGREEMENT WITH COLUMBIA RESEARCH FOR BIRD HAZING AT THE WELLS FISH HATCHERY AND IN THE WELLS DAM TAILWATER ) The Wells HCP requires the District to haze avian predators at the Wells Fish Hatchery and Wells Dam tailwater. 2) Bird hazing reduces juvenile fish losses at the Wells and Methow Fish Hatcheries and increases fish survival through the dam. 3) Columbia Research has been successfully providing bird hazing services for the past eight seasons. 4) Staff recommends approval of a contract with Columbia Research for bird hazing services. The proposed not to exceed price for the contract is $62,278. 5) It is in the best interests of the District to enter into a Professional Service Agreement with Columbia Research for bird hazing services at the Wells Fish Hatchery and in the Wells Dam tailwater. District No. 1 of Douglas County, Washington, that the District s General Manager is hereby authorized and directed to enter into a Professional Service Agreement with Columbia Research, the cost of which is not to exceed $62,278 with an expiration date of August 19, ADOPTED this 29th day of December, 2017.
20 A RESOLUTION AUTHORIZING AMENDMENT NO. 1 TO PROFESSIONAL SERVICE AGREEMENT WITH BIOMARK, INC. 1) Resolution No authorized the District to enter into a Professional Service Agreement with Biomark, Inc., regarding PIT tags and related detection equipment and services. 2) Staff recommends approval of Amendment No. 1 with Biomark, Inc., extending the term to March 31, 2018, to provide uninterrupted monitoring of the District s PIT-tag detection infrastructure while staff develops the scope for a new agreement for PIT tags and related detection equipment and services. 3) It is in the best interests of the District to issue Amendment No. 1 to amend the Professional Service Agreement with Biomark to extend the Agreement to March 31, District No. 1 of Douglas County, Washington, that the District s General Manager is authorized and directed to issue Amendment No. 1 to the Professional Service Agreement with Biomark, Inc., which extends the Agreement to March 31, ADOPTED this 29 th day of December, 2017.
21 A RESOLUTION AUTHORIZING A PROFESSIONAL SERVICE AGREEMENT WITH SKALSKI STATISTICAL SERVICES FOR PROVIDING ON-CALL STATISTICAL CONSULTING SERVICES 1) The District has relied on Dr. Skalski and the staff of Skalski Statistical Services to provide on-call statistical consulting for the design, review, and analysis of environmental, license-implementation, and HCP studies. Dr. Skalski s statistical consulting facilitated initial agency and tribal approval of the District s HCP, and will facilitate the continued fulfillment of HCP and license-compliance obligations. The existing professional service agreement with Skalski Statistical Services expires on December 31, ) Staff recommends approval of a Professional Service Agreement with Skalski Statistical Services for the calendar years, to provide continued statistical support for the Wells Hydroelectric Project. 3) It is in the best interests of the District to enter into a Professional Service Agreement with Skalski Statistical Services for on-call statistical consulting. District No. 1 of Douglas County, Washington, that the District s General Manager is hereby authorized and directed to enter into a Professional Service Agreement with Skalski Statistical Services for on-call statistical consulting for the calendar years, the cost of which is not to exceed $75,000 US (seventy-five thousand dollars) with an expiration date of December 31, 2020.

A RESOLUTION AUTHORIZING RENEWAL OF CONTRACT W, BUILDING MAINTENANCE FOR THE EAST WENATCHEE HEADQUARTERS FACILITY FOR AN ADDITIONAL ONE-YEAR PERIOD WITH ABM JANITORIAL SERVICES SOUTH CENTRAL INC. 1) By Resolution , dated December 28th, 2015, the District awarded Contract W, Building Maintenance for the East Wenatchee Headquarters Facility to ABM Janitorial Services South Central Inc. 2) District staff recommends that the District exercise its option to renew the Contract for a third year. The total dollar amount shall not exceed $75, (Seventyfive Thousand dollars) per year as stated in the original bid document and will expire on December 31, ) It is in the best interests of the District to renew Contract W, Building Maintenance for the East Wenatchee Headquarters Facility for the third year. District No. 1 of Douglas County, Washington, that the District s General Manager is authorized and directed to renew Contract W, Building Maintenance for the East Wenatchee Headquarters Facility. ADOPTED this 29th day of December, 2017.
24 RESOLUTION NO. A RESOLUTION AUTHORIZING RENEWAL OF CONTRACT W, 2017 GROUNDS MAINTENANCE FOR AN ADDITIONAL ONE-YEAR PERIOD WITH REEVES LAWN AND SPRAY SERVICE 1) By Resolution dated December 27th, 2016, the District awarded Contract W to Reeves Lawn & Spray Service, LLC. 2) District staff recommends that the District exercise its option to renew the Contract for a second year. The total dollar amount shall not exceed $300, per year as stated in the original bid document and will expire on December 31, ) It is in the best interests of the District to renew Contract W, 2017 Grounds Maintenance for the second year. District No. 1 of Douglas County, Washington, that the District s General Manager is authorized and directed to renew Contract W, 2017 Grounds Maintenance. ADOPTED this 29th day of December, 2017.
25 A RESOLUTION AFFIRMING CHANGE ORDER NO. 1 TO CONTRACT W, 2017 GROUNDS MAINTENANCE 1) By Resolution No dated December 27th, 2016 the District awarded Contract W, 2017 Grounds Maintenance to Reeves Lawn & Spray Service, LLC. 2) Change Order No. 1 was prepared to address the following issues: Added Bidding Schedule C Wells and Methow Hatcheries and Associated Facilities in order to segregate the work into three (3) areas for accounting and tracking purposes. Revised Conklin Landing Boat Launch to show as Remote since it is considered a remote location as defined in the original contract. 3) District staff recommends affirmation of Change Order No. 1 which has no effect on the total dollar amount of $300, ) It is in the best interests of the District to affirm Change Order No. 1 to Contract W. District No. 1 of Douglas County, Washington, that Change Order No. 1 to Contract W, 2017 Grounds Maintenance is affirmed by the Commission. ADOPTED this 29th day of December, 2017.

27 A RESOLUTION AUTHORIZING ACCEPTANCE OF WORK AND FINAL PAYMENT TO SELLAND CONSTRUCTION, INC. UNDER CONTRACT W, CONSTRUCT OKANOGAN RIVER PADDLERS CAMPGROUND 1) By Resolution No dated September 13, 2017 the District awarded Contract W, Construct Okanogan River Paddlers Campground to Selland Construction, Inc. 2) Resolution No authorized Change Order No. 1 to the contract. 3) District staff report the Contractor has satisfactorily completed all requirements of Contract W and has submitted a Request for Final Payment, Certificate and Release. Therefore, staff recommends that the District accept the completed work and authorize final payment in the amount of $0 to Selland Construction, Inc. and release retainage bond upon receiving the required notifications from the State of Washington. The total cost of work under this contract is $196,479.60, plus tax. 4) It is in the best interests of the District to accept the work as complete and authorize final payment under Contract W. District No. 1 of Douglas County, Washington, that the work under Contract W, Construct Okanogan River Paddlers Campground is hereby accepted as complete, and that final payment and release of retainage bond is authorized, contingent on receipt by the District of all necessary releases by the State of Washington. This acceptance in no manner waives any claim the District may have against the Contractor for failure to comply with the terms of the contract.

29 A RESOLUTION AFFIRMING CHANGE ORDER NO. 1 TO CONTRACT W, METHOW HATCHERY POND 13 AVIAN PROTECTION IMPROVEMENT AND POND LINER REPLACEMENT 1) By Resolution No dated September 25, 2017, the District awarded Contract W to Halme Builders, Inc., in the amount of $250,000 for the Methow Hatchery Pond 13 Avian Protection Improvement and Pond Liner Replacement. 2) Change Order No. 1 addresses the following changes to the work: Pump operation and rental for leaking 24 valves, relocate 8 clean-out, and square washers for new predation frame hole sizing. 3) Change Order No. 1 has been prepared to ensure that the avian protection system and replacement of the pond liner in Pond 13 at the Methow Hatchery are completed in a manner that meets the needs and intent of the District hatchery mitigation program. 4) District staff recommends affirmation of Change Order No. 1 in the amount of $3, The new not to exceed total for Contract W, including this change order, is $253, ) It is in the best interests of the District to affirm Change Order No. 1 to Contract W, Methow Hatchery Pond 13 Avian Protection Improvement and Pond Liner Replacement. District No. 1 of Douglas County, Washington, that Change Order No. 1 to Contract W is affirmed by the Commission.

CASS GEBBERS 1) The District has implemented a Land Use Policy which requires adjacent land owners wishing to use properties associated with the Wells Hydroelectric Project to obtain approval through a District issued permit. 2) District personnel recommends approval of the following permit: Mr. Cass Gebbers Wells Permit The permit is for use of Project lands for commercial agricultural use. This use was permitted previously to the former adjacent land owner. The permittee has provided proof of insurance coverage as required by the District s Land Use Policy. The use of the property located within the Wells Project Boundary is a continuation of existing activity previously reviewed by the Habitat Conservation Plan Parties and does not require additional review. 3) It is in the best interests of the District to approve Wells Permit District No. 1 of Douglas County, Washington, that the District s General Manager is hereby authorized and directed to execute, in accordance with the District s Land Use Policy, Land Use Permit No to the permittee.
