1 MINUTES OF THE MEETING OF COMMISSIONERS January 24, 2017 The regular meeting of the Commissioners of Public Utility District No. 1 of Lewis County was held in the Chehalis Office of the District on the above date at 10:00 a.m. Those present were Dean Dahlin, President; Ben Kostick, Vice President and Tim Cournyer, Secretary. Also present were Dan Kay, Manager; Rich Bauer, Treasurer; Brad Ford, Auditor; Stacy Davis, Executive Assistant. Additional attendees included: Bryan Watt, Operations Manager; Corenne Moses, Administrative Assistant; Matt Samuelson, Power Analyst; Marvin Keller, Engineer; Craig Kalich, Engineering Manager; Lora Provolt, HR Manager, Jeff Baine, IS Manager; Chris Roden, Manager of Power Planning and Business Services; Mike Kohn, Cowlitz Falls Project Biologist. Allen Unzelman, Attorney was also present. Commissioner Dahlin welcomed staff to the meeting. Ms. Provolt requested Executive Session as authorized by RCW (1)(g) to review the performance of a public employee. Mr. Roden discussed the Columbia River System Operations (CRSO) and Environmental Impact Statement (EIS). Three agencies will present a reasonable range of alternatives for longterm system operations of the CRSO and evaluate the potential environmental and socioeconomic impacts on flood risk management, irrigation, power generation, etc. Judge Simon s ruling remanded the plan back to the federal action agencies and called for a new plan that includes a scenario where the four lower Snake River dams are removed. As part of the EIS process, federal agencies are taking public comments until February 7, Following

2 discussion, Commissioners Dahlin, Kostick and Cournyer concurred with the recommendation to have the Board be the signers on the CRSP EIS final comments. Commissioner Kostick moved to approve the Consent Agenda as presented. The motion was seconded by Commissioner Cournyer. The Consent Agenda consisted of: a) Minutes of the January 10, 2017 Commission Meeting, b) Cowlitz Falls Project vouchers numbered to and including totaling $890, and Electric Service vouchers numbered to and including totaling $4,920, Commissioner Dahlin supported the motion and it carried unanimously. The motion was seconded by Commissioner Kostick. Following discussion, Commissioner Dahlin supported the motion and it carried unanimously. Mr. Keller further noted that items nos. 4, 5 and 11 were recommended for award to the lowest bidders due to Nehring s escalating clause. Following review of the bids, Commissioner Kostick moved to award Bid No as recommended. The motion was seconded by Commissioner Cournyer. Following discussion, Commissioner Dahlin supported the motion and it carried unanimously. Mr. Kohn presented a recommendation to award Bid No for rearing and delivery of mitigation trout to the sole responsive and responsible bidder, Trout Lodge in the amount of $3.50/lb. Mr. Kohn noted that the contract price is set for three years allowing, upon mutual agreement, an increase (if warranted) in the third year of the contract. Following review of the bid, Commissioner Cournyer moved to award Bid No as recommended. The motion was seconded by Commissioner Kostick. Following discussion, Commissioner Dahlin supported the motion and it carried unanimously. Mr. Ford discussed the Cost of Service Analysis (COSA) and revenue requirements. Mr. Ford expects the second draft from EES Consulting today. Mr. Ford discussed the rate process and schedule. Mr. Bauer noted that the year-end status of the budget is expected to be presented in mid-february.

4 Mr. Roden and Mr. Samuelson provided a recap of proposed legislation in the current session. Mr. Baine provided a discussion regarding service interruption of our telephone and computer systems. Mr. Baine stated that the District is looking to increase our reliability in our telephone and internet systems. Mr. Watt stated that the District sent two crews, one from Morton and one from Chehalis, to provide mutual aid to Skamania PUD to assist them in their weather related outages. Mr. Watt read an from a Skamania County PUD customer thanking the District for our assistance to reestablish their power. Commissioner Dahlin noted that he spoke to Skamania PUD Commissioner Liz Green and she voiced her appreciation to the District for providing assistance during their time of need. Mr. Kay and Commissioner Kostick reviewed the key topics for discussion during the WPUDA Legislative Rally in Washington D.C. Mr. Kay further discussed the proposed legislation allowing PUDs to have retail authority and the 5G telecom. Commissioner Dahlin noted that the WPUDA Telecom Workshop will be rescheduled to April. Commissioner Dahlin reported on the Energy Northwest six day outage due to Bonneville Power Administration s (BPA) outage to its substation. Ms. Moses noted that Washington Public Utility Districts Association (WPUDA) is having a PUD Day at the Hill on February 16, At 11:06 a.m. the meeting recessed for five minutes. At 11:11 a.m. the meeting reconvened and Commissioner Dahlin recessed the regular meeting and announced that the Commissioners, Manager and Human Resources would enter into an Executive Session for ten (10) minutes until 11:21 a.m. as authorized by RCW

5 (1)(g) to review the performance of a public employee. Those present were Commissioners Dahlin, Kostick and Cournyer, Mr. Kay and Ms. Provolt. At 11:21 a.m. the regular meeting reconvened and there being no further business, Commissioner Kostick moved to adjourn. The motion was seconded by Commissioner Cournyer.
