1 Page 1 of 6 MINUTES of the 4,803 rd Meeting being a Special Meeting of the Commission of Public Utility District No. 1 of Grays Harbor County Office located at 220 Myrtle Street, Hoquiam, Washington Monday, August 6, 2018 at 4:30 p.m., Pacific Prevailing Time WORKSHOP The workshop was called to order at 3:30 p.m. by President Arie Callaghan. Those in attendance were Commissioners Arie Callaghan and Dave Timmons. General Counsel Rick Pitt, Finance Director Kathryn Skolrood, Customer Service Director Katy Moore, Core Services Director Rob Hanny, Operations Director Steve Easton, Administrative Services Coordinator Tracy Dugas and Human Resources Director Angela Roberts were also present. No members of the public were present. Electrical Equipment Foreman Todd Gwinn and System Operations Superintendent Vaughn Hamilton took the Board and staff on a driving tour of the District s Highlands substation. MEETING CALLED TO ORDER: BUSINESS MEETING The Business Meeting was called to order at 4:46 p.m. by President Arie Callaghan. Those in attendance were Commissioners Arie Callaghan and Dave Timmons. General Counsel Rick Pitt, Contract Administrator/Clerk to the Board Tiffanee Parson, Administrative Services Coordinator Tracy Dugas, Finance Director Kathryn Skolrood, Customer Service Director Katy Moore, Core Services Director Rob Hanny, Operations Director Steve Easton, Human Resources Director Angela Roberts and Customer Service Support Alma Muro were also present. No members of the public were present. General Manager Dave Ward and Commissioner Russ Skolrood are absent from tonight s meeting. PETITIONS FROM THE PUBLIC/PUBLIC COMMENT: President Arie Callaghan called for petitions for the public and public comment. None were received. STAFF AND ATTORNEY REPORTS: Human Resources Director Angela Roberts reported: 1) She thanked Electrical Equipment Foreman Todd Gwinn and System Operations Superintendent Vaughn Hamilton for the tour today.

2 Page 2 of 6 2) She will be attending a strategic planning meeting this week. 3) The Transmission & Distribution Engineer and System Engineering Supervisor positions are still open. Administrative Services Coordinator Tracy Dugas reported: 1) She reminded everyone that the Grays Harbor County Fair is scheduled for August ) She attended a PURMS policyholder s conference with AEGIS. 3) She met with representatives from AEGIS recently. Operations Director Steve Easton reported: 1) Asplundh came in with three classes of mowers recently and the brush mowing work they did is very impressive. 2) The arc trailer will be at the fair again this year. 3) He is close to putting the final items together for the transbanker purchase. 4) All of the LED light projects have been completed, except for the City of Aberdeen and a handful in Montesano, but he believes those are being done this week. 5) The student helps in Operations are getting ready to go back to college. They have been very valuable. 6) There have not been too many outages lately. 7) Operations got a lot of good work done this summer. 8) Engineering Director Schuyler Burkhart went home early due to being ill. Customer Service Director Katy Moore reported: 1) She introduced the District s new Customer Service Support employee, Alma Muro. 2) Kim Beerbower will be retiring from the District tomorrow. There will be cake in Customer Service from 10 a.m. to noon in honor Kim s retirement. 3) She will be testifying in Grays Harbor Superior Court on Tuesday. 4) There is a lot of meter tampering going on recently. Finance Director Kathryn Skolrood reported: 1) She attended PNUCC and PPC meetings in Portland last week. She also attended the TEA member s summit last week. 2) She will be attending utility academy tomorrow. 3) She is working on wrapping up financial data for the month of June. General Counsel Rick Pitt reported: 1) He saw Asplundh s demo of their new mowing machine. 2) He is working on a number of Interlocal Agreements. 3) He provided the Board with an update on the Pasco CT s. 4) He will be attending mediation in the Pauley case on August 15 th.

3 Page 3 of 6 Core Services Officer Rob Hanny reported: 1) He is covering for General Manager Dave Ward. 2) He has been working on several Interlocal Agreements. 3) He thanked Electrical Equipment Foreman Todd Gwinn and System Operations Superintendent Vaughn Hamilton for the Highlands substation tour today. 4) Telecom has been very busy. 5) He will be attending a meeting regarding the Ocean Fiber project. 6) The City of Montesano is discussing fiber hook-up at their meeting on August 15 th. 7) He attended a meeting with a large social media company. 8) A contract for the directional boring portion of the East County Fiber Project has been awarded. 9) He will be working a shift at the PUD s booth at the fair on Thursday. COMMUNICATIONS: Contract Administrator/Clerk to the Board Tiffanee Parson read a thank you card from Grays Harbor Relay for Life into the record. Commissioner Dave Timmons moved that the Consent Calendar be approved. Commissioner Arie Callaghan seconded the motion. Motion carried by unanimous vote. RESOLUTIONS: RESOLUTION NO A RESOLUTION OF THE COMMISSION OF PUBLIC UTILITY DISTRICT NO. 1 OF GRAYS HARBOR COUNTY, WASHINGTON DECLARING ITS APPROVAL OF PUBLIC RISK MANAGEMENT SERVICES ( PURMS ) RESOLUTION NO AND RATIFYING THE AFFIRMATIVE VOTE ON SAID RESOLUTION BY THE DISTRICT S VOTING REPRESENTATIVE AT THE PURMS SEMI-ANNUAL BOARD MEETING ON JUNE 7, 2018 AND DECLARING ITS APPROVAL OF THE PURMS 2018 AMENDED AND RESTATED INTERLOCAL AGREEMENT ( 2018 ILA ) AND AUTHORIZING THE DISTRICT S SIGNING REPRESENTATIVE TO EXECUTE THE DUPLICATE ORIGINAL SIGNATURE PAGE FOR THE 2018 AMENDED AND RESTATED ILA FOR AND ON BEHALF OF THE DISTRICT Administrative Services Coordinator Tracy Dugas discussed Resolution #5014. RESOLUTION NO A RESOLUTION CANCELING THE DISTRICT S FACILITIES USE POLICY, APPROVING A NEW CAR WASH FUNDRAISER POLICY AND RENTAL AGREEMENT, AND SUPERSEDING ALL RESOLUTIONS INCONSISTENT WITH THE NEW POLICY AND RENTAL AGREEMENT Core Services Director Rob Hanny discussed Resolution #5015. RESOLUTION NO A RESOLUTION APPROVING AN INTERLOCAL AGREEMENT BETWEEN GRAYS HARBOR PUD AND ELMA SCHOOL DISTRICT NO. 68 FOR CONSTRUCTION OF A FIBER EXTENSION Core Services Director Rob Hanny discussed Resolution #5017. COMMENTS FROM THE PUBLIC: President Arie Callaghan called for comments from the public. None were received. COMMISSIONER REPORTS: Commissioner Dave Timmons reported: 1) He had no report tonight. Commissioner Arie Callaghan reported: 1) He attended Energy Northwest Executive Board meetings. 2) He will be working the PUD booth at the fair Friday afternoon. 3) He is trying to move his schedule around so he can attend the utility academy session tomorrow. 4) He met with Operations Director Steve Easton recently. ADJOURNMENT: There being no further business to bring before the Board, President Arie Callaghan declared the meeting adjourned at 5:28 p.m.
