1 Page 1 of 7 MINUTES of the 4,808 th Meeting being a Special Meeting of the Commission of Public Utility District No. 1 of Grays Harbor County Office located at 220 Myrtle Street, Hoquiam, Washington Monday, October 22, 2018 at 4:30 p.m., Pacific Prevailing Time WORKSHOP The workshop was called to order at 3:30 p.m. by President Arie Callaghan. Those in attendance were Commissioners Arie Callaghan, Russ Skolrood and Dave Timmons. General Manager Dave Ward, General Counsel Rick Pitt, Finance Director Kathryn Skolrood, Human Resources Director Angela Roberts, Operations Director Steve Easton, Core Services Director Rob Hanny, Communications & Government Relations Director Ian Cope, Engineering Director Schuyler Burkhart and Customer Service Supervisor Megan Warner were also present. No members of the public were present. Operations Director Steve Easton, Engineering Director Schuyler Burkhart and Core Services Director Rob Hanny gave a budget presentation. SPECIAL BUSINESS MEETING SPECIAL MEETING CALLED TO ORDER: The Special Business Meeting was called to order at 4:39 p.m. by President Arie Callaghan. Those in attendance were Commissioners Arie Callaghan, Russ Skolrood and Dave Timmons. General Manager Dave Ward, General Counsel Rick Pitt, Contract Administrator/Clerk to the Board Tiffanee Parson, Finance Director Kathryn Skolrood, Core Services Director Rob Hanny, Communications & Government Relations Director Ian Cope, Customer Service Supervisor Megan Warner, Human Resources Director Angela Roberts, Operations Director Steve Easton, Core Services Director Rob Hanny and Engineering Director Schuyler Burkhart were also present. One member of the public was present. President Arie Callaghan thanked staff for the budget presentation during today s workshop session. PETITIONS FROM THE PUBLIC/PUBLIC COMMENT: President Arie Callaghan called for petitions from the public/public comment. None were received. OLD BUSINESS: Customer Service Supervisor Megan Warner stated that 576 customers have been identified as being qualified for the E12 rate. Staff has a copy of the policy and talking points. If a customer does not qualify, then their accounts are noted as such. Discussion ensued.

2 Page 2 of 7 NEW BUSINESS: General Manager Dave Ward stated that there are 21 seats on the PPC Executive Committee and PPC has only received nominations for 20. Scott Corwin with PPC asked Dave if he would be willing to submit his name as the 21 st nomination. Scott needs a letter from Dave with his signature on it by midnight tonight for Dave to be considered. Discussion ensued. Dave will submit a letter to PPC by the deadline tonight. STAFF AND ATTORNEY REPORTS: Human Resources Director Angela Roberts reported: 1) The District posted the IT Construction Coordinator position last week vacated by Gary Malone. 2) She will be out of the office the week of October 10 th attending the NWPPA Labor Relations Conference in Seattle. 3) She and Human Resources Generalist Sarah Ainsworth attended a webinar put on the Employment Security Department regarding new changes to the FMLA law. Communications & Government Relations Director Ian Cope reported: 1) The Customer Appreciation Event for Public Power Week was a success. He thanked all of the employees who volunteered. Administrative Services Coordinator Tracy Dugas did a fantastic job putting everything together for this event. 2) The District has begun attending various local meetings to provide annual those entities with the District s updated annual report. 3) He will be attending a meeting with the Portland group on October 31 st. Engineering Director Schuyler Burkhart reported: 1) The Engineering Department is working on transitioning to NISC mapping. He thanked IT Supervisor Alice King for all of her hard work and assistance on this project. 2) He is still working on hiring a System Engineering Supervisor. 3) He is busy working on the budget. 4) He will be meeting with representatives from the Port of Grays Harbor and General Manager Dave Ward tomorrow to discuss how to improve the service at the Satsop Business Park. 5) He will be attending the RMC meeting tomorrow. 6) He will be attending a JATC meeting on October 25 th. Commissioner Arie Callaghan asked if the Port of Grays Harbor is aware of the capacity issues with BPA. Discussion ensued. Operations Director Steve Easton reported: 1) He attended a fee schedule meeting last week.

3 Page 3 of 7 2) He attended a foremen s meeting last week. 3) He attended generation to meter training last week. 4) He recently attended the East/West Superintendent meetings with Line Superintendent Jeff McClain at Okanogan PUD. He thanked the Board and General Manager Dave Ward for the opportunity to attend these meetings. They are very valuable and an excellent resource. 5) He will be attending a servicemen meeting tomorrow morning. 6) He attended an equipment committee meeting last week. 7) He will be attending a JATC meeting on October 25 th. Customer Service Supervisor Megan Warner reported: 1) She discussed budget billing. 2) The Customer Service Department has received some phone calls recently regarding high bill concerns. 3) A customer came into Customer Service last Wednesday. She is 82 and had just lost her husband of 52 years. She was unable to afford her power bill and another customer who was standing nearby offered to pay her bill for her to bring it current. The District was also able to further assist this customer with setting her up on the District s Senior/Disabled Discount Program. Discussion ensued. Core Services Director Rob Hanny reported: 1) He attended an Ocean Fiber stakeholders meeting last week. He is working on the CERB grant and is hoping to try to get it submitted sometime in November. 2) He will be attending the RMC meeting tomorrow. 3) He will be absent from the November 5 th Commission Meeting. 4) He will be out of the office on PTO October 26 th. 5) Gary Malone left the District recently to take another opportunity. Gary is really going to be missed. 6) He has a variety of staff meetings this week. Finance Director Kathryn Skolrood reported: 1) She will be attending Greater Grays Harbor s lunch presentation tomorrow afternoon. 2) She will be holding a budget status meeting on October 30 th. 3) She will be attending the RMC meeting tomorrow. 4) She will be attending the PURMS insurance group quarterly meeting. 5) Accounting will be re-structuring its office a bit. Discussion ensued. General Counsel Rick Pitt reported: 1) He is working on LIHEAP Agreements with CCAP and the Quinault Indian Nation. 2) There is an issue with a customer not wanting to provide the District with one of the Easements for the East County Fiber Project. Discussion ensued. 3) There are two pending records requests.

4 Page 4 of 7 4) He will be holding a meeting with the Legal and Records staff tomorrow morning. General Manager Dave Ward reported: 1) He will be attending General Manager meetings October 24 th 26 th. 2) He will be attending Energy Northwest s Member Forum directly following the General Manager meetings. 3) He will be participating in a drone demonstration. Discussion ensued. 4) He is looking forward to meeting with representatives Port of Grays Harbor tomorrow. COMMUNICATIONS: Commissioner Russ Skolrood stated that a customer called to thank him. Discussion ensued. CONSENT CALENDAR: a) 257 Claim Vouchers for the Weeks of October 1, 8 and 15, 2018 (No through No ) in the Total Amount of $864, b) 20 Wire Transfers in the Total Amount of $6,700, c) Payroll for the Pay Period Ending October 12, 2018 in the Total Amount of $649, d) Travel Applications: For Engineering Technician Alicia Loomis to Attend NISC MapWise In-Depth and In-Person Training December 3 6, 2018 at Lake Saint Louis, Missouri for a Total Estimated Cost of $1, Commissioner Dave Timmons moved that the Consent Calendar be approved. Commissioner Russ Skolrood seconded the motion. Motion carried by unanimous vote. RESOLUTIONS: RESOLUTION NO A RESOLUTION CANCELING CERTAIN DISTRICT WARRANTS PURSUANT TO RCW Finance Director Kathryn Skolrood explained Resolution #5031. Discussion ensued.

RESOLUTION NO A RESOLUTION APPROVING AN AMENDED ADMINISTRATIVE SALARY SCHEDULE AND SUPERSEDING RESOLUTION NO Human Resources Director Angela Roberts discussed and explained Resolution #5032. Commissioner Dave Timmons moved that Resolution #5032 be approved. Commissioner Russ Skolrood seconded the motion. Motion carried by unanimous vote. RESOLUTION NO A RESOLUTION OF PUBLIC UTILITY DISTRICT NO.1 OF GRAYS HARBOR COUNTY APPROVING ENERGY NORTHWEST S UNDERTAKING OF THE HORN RAPIDS SOLAR, STORAGE, AND TRAINING PROJECT Communications & Government Relations Director Ian Cope discussed Resolution #5033. Discussion ensued. Commissioner Russ Skolrood moved that Resolution #5033 be approved. Commissioner Dave Timmons seconded the motion. Motion carried by unanimous vote. RESOLUTION NO A RESOLUTION OF PUBLIC UTILITY DISTRICT NO. 1 OF GRAYS HARBOR COUNTY AUTHORIZING ACCEPTANCE OF PERFORMANCE OF WORK AND IMPROVEMENTS PURSUANT TO CONTRACT (SOUND ENERGY SYSTEMS, PURCHASE ORDER # ) AND AUTHORIZING RELEASE OF RETAINAGE President Arie Callaghan opened the Public Hearing for Acceptance of Work for Sound Energy Systems under Purchase Order # President Arie Callaghan called for comments, claims, or protests in relation to Sound Energy System s work on this project. None were received. Core Services Director Rob Hanny stated that all work was completed. He recommended the acceptance of Sound Energy System s work and release of their retainage. President Arie Callaghan closed the hearing.

FORWARD PLANNING: Communications & Government Relations Director Ian Cope went over the current workshop schedule. COMMENTS FROM THE PUBLIC: Commissioner Arie Callaghan called for public comment. None was received. COMMISSIONER REPORTS: Commissioner Dave Timmons reported: 1) He spoke with a customer about a concern. Commissioner Russ Skolrood reported: 1) He thanked Department Heads for all of their hard work on the budget. 2) He told Communications & Government Relations Director Ian Cope that he did a great job for Public Power Week. 3) The Hoquiam City Council really appreciated that the District took the time to attend a recent meeting and provide an annual update. 4) He attended the Greater Grays Harbor Banquet. He thanked Contract Administrator/Clerk to the Board Tiffanee Parson for the great job she did decorating the District s table for this event. Commissioner Arie Callaghan reported: 1) He attended various meetings with General Manager Dave Ward. 2) He will be attending Energy Northwest meetings tomorrow and the Energy Northwest Member s Forum in Pasco. He will be taking a look at the Pasco CT units while he is over there. 3) He thanked staff for the great job that was done for the Customer Appreciation Event during Public Power Week. 4) He attended the Greater Grays Harbor Banquet. It was very well attended this year. ADJOURNMENT: There being no further business to bring before the Board, President Arie Callaghan declared the meeting adjourned at 5:18 p.m. President
