2 REPORTS C METROPOLITAN AIRPORTS COMMISSION MANAGEMENT & OPERATIONS COMMITTEE REGULAR MEETING Monday,, 1:00 p.m. Room 3048A, Terminal 1-Lindbergh Minneapolis-St. Paul International Airport "CONSENT ITEMS" Call to Order A regular meeting of the Management and Operations Committee, having been duly called, was held, in Room 3048A, Terminal 1-Lindbergh, Minneapolis-St. Paul International Airport. OPEN FORUM The Open Forum is a portion of the Committee meeting where persons are allowed to address the Committee on subjects which are not a part of the meeting agenda. Public comments and questions were received from Frank Lorenz of Hulked Gheer. Mr. Lorenz asked several questions relating to various airports at MAC, including queries relating to security. AGENDA ITEMS C1. PROFESSIONAL SERVICE AUTHORIZATION (PSA) QUARTERLY REPORT CF 2266 The Professional Service Authorizations (PSAs) report for the third quarter (July, August, September) of 2011 was approved. THIS IS AN INFORMATIONAL ITEM ONLY; NO COMMITTEE ACTION IS REQUIRED.

REQUEST AUTHORIZATION TO ISSUE REQUEST FOR PROPOSALS FOR ELEVATOR/ESCALATOR/MOVING WALK MAINTENANCE CF 2267 The Metropolitan Airports Commission (MAC) contracts with Schindler Elevator for all maintenance associated with MSP s elevators, escalators and moving walks. The performance-based contract has virtually eliminated safety and code violations. In addition, repair callbacks were reduced from 130 per month in 2006 to an average of 65. Fewer callbacks means less down time, which improves the customer experience as people travel through MSP. Through expansion at both terminals, the number of units to maintain has grown to 205 (95 elevators, 72 escalators and 38 moving walks), up from a total of 185 when the contract began in Staff proposes to continue with the highly-successful performance-based contract model with three changes: 1) Reweight components of the performance-based contract to put more focus on improvements. 2) Increase minimum staffing component to acknowledge that the system has grown by 20 units since the current contract began. Also the aging system calls for more maintenance to keep it operational. 3) Add overnight repairman to reduce equipment maintenance downtime during normal airport operating hours. MANAGEMENT AND OPERATIONS COMMITTEE RECOMMEND THAT THE FULL COMMISSION AUTHORIZE STAFF TO ISSUE A REQUEST FOR PROPOSALS FOR ELEVATOR/ESCALATOR/MOVING WALK MAINTENANCE FOR A THREE-YEAR TERM WITH A THREE-YEAR RENEWAL OPTION, AND THAT THE EXECUTIVE DIRECTOR OR A DESIGNEE BE AUTHORIZED TO EXECUTE THE NECESSARY DOCUMENTS. C3. RECOMMENDATION TO RENEW UNINTERRUPTIBLE POWER SUPPLY MAINTENANCE AGREEMENT WITH MASTER ELECTRIC COMPANY CF 2268 Mr. Phil Burke, Assistant Director of MSP Operations/Facilities, addressed Commissioners on this item. BACKGROUND Since 2004, MAC has contracted for a maintenance program for the equipment supplying uninterrupted power for critical functions, such as the Emergency Communications Center, Airfield Lighting Center, Information Services, Computer Operations and other vital functions. MAC electricians are not certified to work on the Uninterruptible Power Supply (UPS) units at MSP; therefore, maintenance and repairs are contracted out to companies with certified technicians. In 2009, Master Electric was awarded the contract.

4 Page 3 Staff is very pleased with Master s performance under the current contract and, therefore, recommends renewal of the UPS maintenance agreement with them for a three year period. Commissioner Rehkamp asked about the substantial increase in rates, and Mr. Burke responded that the higher rates are due to additional maintenance for new infrastructure that will be built in the next round of capital improvements. Commissioner Landy asked why MAC does not hire additional staff for this work, and Mr. Burke explained that the work is sporadic and unpredictable and, therefore, not a good fit for a full time position. MANAGEMENT AND OPERATIONS COMMITTEE RECOMMEND THAT THE FULL COMMISSION AUTHORIZE STAFF TO RENEW THE UNINTERRUPTIBLE POWER SUPPLY MAINTENANCE AGREEMENT WITH MASTER ELECTRIC FOR A THREE-YEAR TERM, AND THAT THE EXECUTIVE DIRECTOR OR A DESIGNEE BE AUTHORIZED TO EXECUTE THE NECESSARY DOCUMENTS. C4. REQUEST AUTHORIZATION TO AMEND ORDINANCE 86 ON ELECTRIC CARTS CF 2269 Adopted in 1998, MAC Ordinance 86 governs the operation of electric carts in the terminal buildings. Electric carts are used to assist passengers who cannot walk great distances in Terminal 1 Lindbergh. The purpose of this ordinance revision is to address safety concerns related to carts in crowded passenger areas. In response to some accidents in the terminal, cart companies increased training and enhanced driver standards. Staff would like to amend the ordinance to reflect these increased safety standards. Staff is working with the interested parties to provide the best possible customer service while also creating a safe environment for our passengers. The revised ordinance will be presented to the for a public hearing at a future meeting. MANAGEMENT AND OPERATIONS COMMITTEE RECOMMEND THAT THE FULL COMMISSION GRANT AUTHORITY TO AMEND ORDINANCE 86 AND TO APPOINT THE MANAGEMENT & OPERATIONS COMMITTEE AS HEARING OFFICERS. C5. RECOMMENDATION FOR PROFESSIONAL LEGAL SERVICES CONTINUING CONSULTANT NON-FELONY PROSECUTION CF 2270 Mr. Thomas W. Anderson, General Counsel, addressed the Committee regarding this item. Non-felony prosecution legal services are needed for the prosecution of criminal violations of state law (petty misdemeanors, misdemeanors and gross misdemeanors), state traffic laws and MAC ordinances, averaging 650 case filings per year.

5 Page 4 After issuing an RFQ, MAC received three qualifications statements from: Borhart, LLP; Campbell Knutson, P.A.; Thomsen & Nybeck, P.A. Bonner & The review team independently reviewed the qualifications statements and then met collectively to discuss the qualifications statements. The criteria evaluated by the review team included relevant legal experience and responsiveness to the needs of MAC operating philosophy and fees. It is the consensus of the Review Team that Thomsen & Nybeck, P.A. be selected as Non-Felony Prosecution legal counsel. In response to questions from Commissioners Mr. Anderson confirmed that the fees for these services are billed at hourly rates. This arrangement is ideal for MAC needs, as non-felony prosecution cases are widely varied and unpredictable, entailing anything from traffic citations to runway incursions. MANAGEMENT AND OPERATIONS COMMITTEE RECOMMEND TO THE FULL COMMISSION THAT THOMSEN & NYBECK, P.A. BE DESIGNATED AS A CONTINUING CONSULTANT TO REPRESENT MAC AS NON-FELONY PROSECUTION LEGAL COUNSEL; AND AUTHORIZE THE EXECUTIVE DIRECTOR OR A DESIGNEE TO EXECUTE THE NECESSARY DOCUMENTS. C6. RECOMMENDATION FOR SELECTION OF A MYSTERY SHOPPING CONTINUING CONSULTANT CF 2271 Mr. John Greer, Assistant Director of Concessions and Business Development, addressed the committee regarding this item. MAC s current continuing consultant for the mystery shopping program has been in place since Commission policy requires that staff conduct a Request for Qualifications (RFQ) process for each consultant services at least once every six (6) years. The MAC uses the services of an outside mystery shopping consultant to assess concessionaire performance, identify issues needing to be addressed and measure impacts of corrective actions. In addition, the MAC uses the results of shop surveys to recognize and reward concession employees. After issuing an RFQ, MAC received twelve company responses. All responses were independently reviewed and scored by a review panel. Evaluation criteria included (but was not limited to): Qualifications and relevant experience of staff assigned to the MAC, Responsiveness to and understanding of the scope of work and proposed fees and expenses After meeting collectively to evaluate the responses, the review team interviewed three firms: Bestmark (the incumbent), Confero, and The Freeman Group. Each firm was invited to provide a 30-minute presentation followed by questions from the review panel.

6 Page 5 Based on the qualifications statements received and reviewed, the interviews conducted, and the evaluation criteria in the RFQ, it is the unanimous opinion of review panel members that The Freeman Group should be selected as the MAC s mystery shopping continuing consultant. In response to questions from Commissioner Rehkamp and Chair Boivin, Mr. Greer explained that the secret shopper process has evolved over the years to incorporate more effective ways for staff to monitor concessions employees and, when necessary, take the step of working with that concession to improve their customer service. The evaluation process aims to achieve a higher bar of customer satisfaction each year. Not only are the survey evaluations used by MAC, but also concessions supervisors find the feedback useful to know what is working well and what to adjust. In fact, the program contains a provision for rewarding individuals who provide exceptionally good service. COMMISSIONER GEISLER MOVED AND COMMISSIONER KING SECONDED THAT THE MANAGEMENT AND OPERATIONS COMMITTEE RECOMMEND TO THE FULL COMMISSION RATIFICATION OF THE REVIEW PANEL S SELECTION OF THE FREEMAN GROUP TO PROVIDE CONTINUING CONSULTANT SERVICES FOR MYSTERY SHOPPING SERVICES. FURTHER, THAT THE EXECUTIVE DIRECTOR OR A DESIGNEE BE AUTHORIZED TO EXECUTE THE NECESSARY AGREEMENTS. C7. REQUEST TO RE-CONCEPT A&W AND GODFATHER S PIZZA TO A CHICK-FIL-A NON AGENDA ITEM CF 2272 Mr. John Greer, Assistant Director of Concessions and Business Development, addressed the committee regarding this item. At the December 2010 meeting of the, the Commission approved the build-out of three new venues (Pei Wei, La Tapenade, and Creative Kidstuff), with Chick-fil-A only being a potential fourth option. At that time Host had not received approval from Chick-fil-A for the development and did not have a proposed construction budget. Host and MAC entered into a Concessions Lease Extension Letter of Agreement following the Commission s approval. According to the documents, any additional concepts must be approved by the Commission in order to count toward Host s $5M reinvestment obligation. HMS Host has now worked out details with Chick-fil-A to construct a restaurant in the C Concourse Food Court, replacing underperforming units A&W and Godfather s Pizza. Staff believes this concept, and its revenue performance, would be an excellent addition to the program and supports Host moving forward with construction starting in January of In response to questions from Commissioners Mr. Greer confirmed that Chick-fil-A is closed on Sundays. However, this has not resulted in decreased revenues at other airports which have a Chick-fil-A. Also, the gay-lesbian transgender community has protested the non-discriminatory policy of this company but, in his research, Mr. Greer has found Chick-fil-A to comply with non-discriminatory practices.

7 Page 6 COMMISSIONER REHKAMP MOVED AND COMMISSIONER KING SECONDED THAT THE MANAGEMENT AND OPERATIONS COMMITTEE RECOMMEND TO THE FULL COMMISSION AMENDMENT OF THE BATCH SEVEN AGREEMENT TO REPLACE A&W AND GODFATHER S PIZZA WITH A CHICK-FIL-A RESTAURANT AND THAT THE EXECUTIVE DIRECTOR OR A DESIGNEE BE AUTHORIZED TO EXECUTE THE NECESSARY DOCUMENTS. C8. STATUS UPDATE ON ACTIVITIES RELATING TO OTG PLANS FOR G CONCOURSE CF 2273 Mr. John Greer, Assistant Director of Concessions and Business Development, gave an overview of the award-winning concessions program at MSP. Mr. Greer and staff work to ensure that MSP concepts keep pace with traveler expectations, in part by tracking underperforming businesses and by selecting businesses which can simultaneously increase revenues and consumer satisfaction. Some recently approved offerings were Pei Wei, La Tapenade, Creative Kidstuff, Taco Bell, and Chick-fil-A, all examples of venues that enhance the experience for travelers coming through MSP. Mr. Greer noted that staff is looking to retain a mix of national, regional, and local operators. Operated by HMS Host, Before You Board allows passengers to order food from MSP restaurants and have the food delivered to their gate. In response to Chair Boivin, Mr. Greer explained that this new program is getting off to a slow start, and expects it to grow via word of mouth and via advertising at MSP. Those travelers who have used Before You Board very much appreciate the convenience of this service. Mr. Thomas W. Anderson, General Counsel, indicated that staff is still in discussions with OTG Management, the company selected to overhaul the G Concourse concessions. Also, staff is working with Delta on an amendment to their airline agreement which covers how the G Concourse will transition to a MAC operation in Staff plans on bringing an update to the Full Commission in November. In response to Commissioner Landy, Mr. Anderson stated that major improvements to facilities on the G Concourse are still in the agreement between OTG and Delta, and current discussions are determining details on how the agreement will be executed. Mr. Greer spoke to Commissioners to assure them that he is working with HMS Host and OTG in an ongoing capacity to coordinate how the G Concourse transition will be executed to make it as seamless as possible for MSP travelers. Mr. Greer further described how the transition will happen in stages over an 18 month period. THIS IS AN INFORMATIONAL ITEM ONLY; NO COMMITTEE ACTION IS REQUIRED. The meeting was adjourned at 1:51 pm
