1 VENETIA COMMUNITY ASSOCIATION, INC. A Corporation Not-for-Profit MINUTES OF THE BOARD OF DIRECTORS MEETING September 5, 2017 A REGULAR MEETING of the Board of Directors was scheduled to be held at 9:00 am at the Venetia Clubhouse, located at 4401 Corso Venetia Blvd., Venice, Florida. The meeting was called to order at 9:01 A.M. by the President, Wayne Hart. Notice of the meeting was delivered to each Board Member and posted on the property before the meeting, by the requirements of the Association Documents and Florida Statutes. (See attached marked as Handout #1) The following directors were in attendance: Wayne Hart George Sperry Bill Reiter Diane Schmalz *Attended by FaceTime Bill Cummings* Ann Viel Art Apicello A quorum was declared to be present. Under the heading of Approval of Meeting Minutes, the minutes of the Board of Directors meeting of the July 24, 2017, meeting, were approved as presented. Under the heading of Reports of Officers: President s Report by Wayne Hart, Be prepared for approaching Hurricane. Citizens Patrol. Entrance gates. Treasurer s Report, by Bill Reiter. Manager s Report, Dennis C. Smith, CAM reported, see attached marked as handout #2. Under the heading of Reports of Sub Associations: Venetia Neighborhood #1: report by Norman Hotz, Villa Paradiso: report by Diane Schmalz, Villa Vivaci: report by Don Maselli, Casa Di Amici: report by Mary Eve. Under the Heading of Reports of Committees: Art Apicello reported to the Infrastructure Committee, Bob Gilchrist has resigned from the committee After some discussion, upon a motion by Mr. Sperry, seconded by Ms. Schmalz, it was unanimously, VOTED 17-36: to take the gates out of service eight hours before a major storm, at the direction of Art Apicello. Motion Passed MTG Page 1 of 3
2 Mary Eve reported for the Social Club. Jeff Baldwin reported for the Clubhouse Committee. After some discussion about the requirement to have Clubhouse renters supply a certificate of Insurance when renting the Clubhouse; upon a motion by Mr. Sperry, seconded by Mr. Reiter, it was, VOTED 17-37: A certificate of insurance will not be required as part of the Clubhouse rental application. For: Against: Mr. Hart, Mr. Sperry, Mr. Reiter, Mr. Cummings, Mr. Apicello Ms. Schmalz, Ms. Viel Motion Passed Upon a motion by Ms. Viel, seconded by Ms. Schmalz it was unanimously, VOTED 17-38: to approve the draft of the clubhouse rules as amended. Motion Passed Bill Lillich reported for the Security Committee. Lynn Kroll reported for the Landscape Committee. UNDER THE HEADING OF OLD BUSINESS: Matters relating to Sidewalks & trees, Mark Knapp Progress Report: Mark Knapp reported on the findings of the ad-hoc Sidewalk and Tree Committee. See attached marked as handout #3. After some discussion about the Flexy Pave system installed by the City of Venice; upon a motion by Mr. Sperry, seconded by Ms. Veil, it was unanously, VOTED 17-39: to install a six-foot by six-foot sample in Butterfly Park at an estimated cost of $ Motion Passed After a brief discussion, upon a motion by Ms. Viel, seconded by Mr. Reiter, it was unanimously, VOTED 17-40: to make the Ad-hoc committee Tree and Sidewalk a standing committee with Mark Knapp as Chair. Motion Passed Matters relating to 4921 Bella Terra berm trees: after a brief discussion, upon a motion by Mr. Sperry, seconded by Mr. Reiter, it was unanimously, VOTED 17-41: to trim the Oak tree behind 4921 Bella Terra by Affordable Palm. 3 Matters relating to Cleaning Jacaranda Waterfalls: After a brief discussion, upon a motion by Mr. Apicello, seconded by Mr. Sperry, it was unanimously, VOTED 17-42: to accept the proposal from Kid Gloves to clean the waterfalls at the Jacaranda entrance at a total cost of $ Motion Passed Matters relating to 4476 Via Del Villetti Sidewalk: Deferred until a future meeting. UNDER THE HEADING OF NEW BUSINESS: Matters relating to New Association Attorney, Danial Scott, ESQ. Deferred for more information. Matters relating to Infrastructure Committee Member: Deferred Matters relating to Electronic Voting: Management informed the Board they cannot vote by Electronic means ( ), all Board voting had to be done in person, by speaker telephone or video phone. The next regular meeting of the Board is Tuesday, September 25, 2017, at 9:00 AM, at the Venetia Community Clubhouse at 4401 Corso Venetia Blvd., Venice, FL With no further business before the Board, upon a motion made and seconded, the meeting was adjourned at 12:43 P.M.
