1 2016 Fall Conference District Executive Committee Meeting (DECM) November 12, 2016, 5:00 am to 6:30 pm Lynnwood Convention Center CALL TO ORDER Michael Scheele, appointed Sergeant at Arms, introduced our District Director, Todd Cudaback. District Director Cudaback called the meeting to order at 5:17 p.m. on the 12th day November, WELCOME Omar Rivas read the District 2 Mission: We build new clubs and support all clubs in achieving excellence. CREDENTIALS COMMITTEE Eric Vaughn, Chair of the Credentials Committee, reported on the Credentials Committee and thanked those bringing proxies and tabulating the report. A quorum was established with 108 of the Presidents and Vice Presidents of Education or their proxy holders from 73 of the District Two s 175 paid clubs. Including members of the District Executive Committee also registered with Credentials, with a total voting strength of 134 constituting a majority. A majority would require 68 votes and a ⅔ vote would require 80 votes. Eric Vaughn moved for acceptance of this report. The Credentials Report was adopted without objection.
2 QUORUM Director Cudaback declared a quorum present for the transaction of business. STANDING RULES The Standing Rules as presented on pages 4 and 5 of the handout for were adopted without objection. AGENDA The Agenda as presented on page 2 of the handout was adopted without objection. 3 MINUTES OF SPRING 2016 Todd Cudaback announced if there was no objection the minutes of the May 21st District 2 Leadership Council meeting 2016 were approved by a committee appointed for that purpose. The final version was distributed June 8th, Full copies of the minutes were available at the d2tm.org website. 4 Winter MELE Chair-S Don Crawley ACS, ALB (two?) Officer s Breakfast Chair -? AUDIT REPORT Sandy Malone Audit Committee Chair, presented from page 7-10 of handout the following recommendations : 1. If there are duplicate payments for the conference, the person who paid twice should be responsible for reselling or donating it to someone else. 2. Prior to the audit committee meeting, accessibility to the necessary information on the electronic system (concursolutions.com) should be assessed. 3. Descriptions on pre-approval requests should be specific and accurate enough for the audit committee to understand them. Todd Cudaback thanked Sandy Malone and the committee for their thorough and diligent work. Todd Cudaback informed that in accordance with Toastmasters International requirements, a budget is prepared and presented to the Executive committee for preliminary approval, then submitted to TI to meet the September 30 deadline. It is then presented to the District Leadership Council with or without recommendation from the Executive Committee for final approval. TREASURER REPORT Finance Manager, Matt Liedtke, presented the budget for listed on pages of the handout. Todd Cudaback thanked Matt and the members who worked on preparing the budget. He moved for acceptance of this budget report because the District Executive Committee by vote on September 24th and on October 22nd,2016, recommended to the District Leadership Council that the budget be adopted as recommended. The question is on the adoption of the budget as presented since the motion being made on behalf of that committee, it does not require a second. Motion Carried; Budget Adopted. PUBLIC RELATIONS OFFICER REPORT District Governor Malone requested a report from Public Relations Officer, Marc Menninger, ACB ALB. A copy of his report is included in the file copy of the Minutes.
5 DIVISION DIRECTORS REPORTS Todd Cudaback called for reports from the Division Directors. The reports were heard in the as follows: Division A Director, Jenny Martin, CC Division B Director, Darrell DeRochier, ACB, CL Division C Director, Kathryn Cheatheam, ACB, ALB 25 Paid clubs. 1 new prospective club on the horizon 427 Paid members 38 DCP points - 1 club already Distinguished (6 points); 3 clubs have 3 DCP points 89 Officers trained 10 Area Visit reports filed (so far ) Bold Goals - To be Distinguished, Division C needs: 2 more paid clubs; 11 more distinguished clubs. To be Select Distinguished, Division C needs: 2 more paid clubs; 13 more distinguished clubs. To be President's Distinguished, Division C needs: 3 more paid clubs; 14 more distinguished clubs. OLD BUSINESS There was no old business
7 NEW BUSINESS Benjamin Cox of Whidbey Sounders, #4902, moved to form a committee consisting of the Finance Manger as chair and one member from each Division appointed by the District Director, to report solutions to our budgeting process at the next conference. The motion was seconded by Tim Segal. Luiz Melchert moved to amend the motion by striking out to our budgeting process and inserting to the problem that money is being spent before the budget is approved after solutions. The amendment to motion was seconded by Michael Warner. Rita Simmons-Owens, moved to strike out solutions and insert improvements. The chair ruled that the motion was out of order as not being germane to the current amendment. Amendment Ruled Not In Order. The amendment to strike out to our budgeting process and insert to the problem that money is being spent before the budget is approved after solutions was adopted (?unanimously?). After further debate, the Amended Main Motion to form a committee consisting of the Finance Manger as chair and one member from each division appointed by the District Director, to report solutions to the problem that money was being spent before the budget approved at the next conference meeting was adopted unanimously. District Director Cudaback ordered those interested in serving on the committee to speak with the Finance Manager who would then submit names for appointment. ADJOURN Todd Cudaback made the following announcements: District 2 Leader s Breakfast - Saturday, February 18th, am-11:30am District 2 Officers Training #2 3 Membership Education and Leadership Expo s in January, 2017 North-Bellingham January 14th, 2017 Central-Shoreline January 7th, 2017 South-Renton January 28th, 2017 Next District 2 Leadership Council Meeting: Saturday, May 20th, 2017, Lynnwood Conference Center Todd Cudaback thanked all who worked on this meeting and all the district officers.
