Call to Order The meeting was called to order at 4:31pm, start with Staff Presentation 1. Confirmation of Agenda A2. Review of Minutes Time: 5:05pm Agenda accepted as presented. Jim entered the meeting at 5:00pm. Time: 5:05-5:06pm The minutes of Dec 16, 2015 were reviewed. A3. Signature on Time: 5:06pm Approved Minutes The minutes of the meeting were signed by Shirley Boston (Secretary) A4. Conflict of There were no conflicts of interest declared. Interest B. Staff Presentation Time: 4:31-5:04pm Dental/Oral Health presentation by: Stafford dental coalition Lynne Arsenault & Colleen Danforth KFLA public health dental program Leann Cunningham BBKC dental varnish program Kim Frost-Garant & Nancy Murphy dental health program A2 Moved by: Shirley Boston To accept the agenda as presented. The integrated presentation demonstrated the importance of good oral health from infancy to old age, the programs that KCHC is involved in and the positive impact on the health and wellbeing of clients involved in these programs. C Planning/Decision Items 1. Executive Limitations and Legislative Statutes Compliance report 2. Board Accountability Policy 3. SELHIN Community Accountability Program Submission (CAPS) Time: 5:06-5:26pm Hersh presented Executive Limitations and Legislative Statutes Compliance reports. Time: 5:27-5:30pm Hersh presented the Board Accountability Policy. Time: 5:30-5:40pm In the middle year of MSAA. CAPS is yearly. Reports on core funding only, does not show one time funding eg. Thrive, Dental programs. Moved by: Jim Brown Seconded by: Shirley Boston To accept the Executive Limitations report and the Legislative Statutes report. Moved by: Terri Brennan Seconded by: Mary Campeau To accept the Board Accountability Policy report. Seconded by: Gustavo Petterle To accept the CAPS as presented and approve submission to the SELHIN.

3 Page 3 of 5 4. In Camera Time: 6:32-6:52pm The board went In Camera at 6:32pm to discuss 2 items. Item 1 was discussion, Item 2 required decision. Peter Milliken declared a conflict of interest with item 2 and excused himself from the room for this part of the meeting. Terri left the meeting at 6:49pm The board came Out of Camera at 6:52pm. Monitoring Items 1.Treasurer s Report Time: 5:41-5:50pm Mary presented the Treasurer s report. Everything paid and up to date. Mary Beth presented the quarterly financial reports and reported on variances. The tender for hiring of the auditor is due this year; however, with the hiring of a new Director of Corporate Services it is recommended to defer Seconded by: Jim Brown To come Out of Camera at 6:52pm. 4 Page 4 of 5 the tender for auditors for one year. 2. ED Report Time: 5:51-6:12pm Hersh gave highlights from the ED report. It will be important for the board to attend consultations regarding the health care transformation. After attending AOHC webinar Gustavo has some concerns especially with the short timeframe. Gustavo will send the webinar info to the board and time will be set aside at next meeting for discussion. Suggestion about adding anti-discrimination/equity questions on next staff survey. Terri was asked to be the liaison between the board and the IHC. Hersh and the board to send a letter notifying the IHC. To defer the tender for auditor for one year. Gustavo to information about AOHC webinar to board members and time will be allocated at next meeting for Gustavo to discuss the webinar. Terri to send Stafford information about equity questions for staff survey. Hersh/board to send a letter to IHC that Terri will be the liaison between the board and the IHC. 3. NACHC & SHC Capital Update Time: 6:12-6:13pm NACHC report reviewed. NACHC is coming together very well and will be beautiful, on schedule for OHRDP to move into new SHC site by end of March.
