1 MINUTES FIRST TAXING DISTRICT FEBRUARY 9, 2010 ATTENDANCE: Staff Present: Also Present: Commissioner Ernestine Santaniello, Commissioner Robert Corbo, Commissioner Frank Zullo Dominick M. Roll call The meeting was called to order at 7:01P.M. by Chairwoman Ernestine Santaniello. Mr. Brenda Lametta called the roll. Commissioners Corbo, Santaniello and Zullo were present. 2. Public participation relating to agenda items There was no public comment. 3. Approval of Minutes January 12, 2010 Regular Meeting ** COMMISSIONER CORBO MOVED TO APPROVE THE MINUTES OF THE JANUARY 12, 2010 REGULAR MEETING. 4. Correspondence There was no correspondence 5. Parks 6. Receive Financial Report ** COMMISSIONER CORBO MOVED TO RECEIVE THE FINANCIAL REPORT FOR THE PERIOD ENDING DECEMBER 31, 2009.

2 Based on concerns regarding the existing fund balance, required infrastructure improvements, the rehabilitation of Brown s Dam, and the potential impact of the proposed Stream Flow regulations on safe yield, it was agreed to schedule a Special Meeting of the Board of Commissioners to be held on Thursday, February 25, 2010 at 4:00 P.M. to review and discuss Water Department finances. 7. Approval of FY 10 Operating Budget Transfers ** COMMISSIONER CORBO MOVED TO APPROVE FY 10 OPERATING BUDGET TRANSFERS AS SHOWN ON EXHIBIT 7 DEPARTMENTAL BUDGET TRANSFER REQUEST FORMS. 8. FY 11 Operating Budget Approval Process Schedule The General Manager reviewed the proposed FY Operating Budget Approval Process Schedule. Sufficient flexibility has been provided within the schedule to accommodate any changes. 9. Authorize the General Manager to renew the MEHIP Anthem Blue Cross and Blue Shield Medical Benefits Plan ** COMMISSIONER CORBO MOVED TO AUTHORIZE THE GENERAL MANAGER TO RENEW THE MEHIP ANTHEM BLUE CROSS AND BLUE SHIELD MEDICAL BENEFITS PLAN. The General Manager stated that in order to have sufficient time to explore possible health insurance options, it would be best to renew the existing MEHIP coverage. Since the MEHIP coverage can be cancelled with 30 days advanced notice, the District could review potential options. Both TR Paul and Benefits Administration will be invited to present possible alternatives to the Board of Commissioners. 10. Authorize the General Manager to issue a Purchase Order to Accucom for the purchase of 5 Workstations for the implementation of the Financial Information, Utility Billing and Customer Information Systems for a sum not to exceed $ 10,000 (Account No )

3 ** COMMISSIONER ZULLO MOVED TO AUTHORIZE THE GENERAL MANAGER TO ISSUE A PURCHASE ORDER TO ACCUCOM FOR THE PURCHASE OF 5 WORKSTATIONS FOR THE IMPLEMENTATION OF THE FINANCIAL INFORMATION, UTILITY BILLING AND CUSTOMER INFORMATION SYSTEMS FOR A SUM NOT TO EXCEED $ 10,000 (ACCOUNT NO ). 11. Extension of the Agreement at the original bid price and terms with Mark Harris, Jr. Landscape Design for Project GM , Grounds Maintenance at Various Reservoirs and Water Department Facilities Located in Lewisboro, New York, New Canaan and Norwalk, Connecticut for a sum not to exceed $ 25,350 and authorize the Production Supervisor to issue Orders on Contract for a sum not to exceed $ 5,000. (Account No ) ** COMMISSIONER ZULLO MOVED TO APPROVE THE EXTENSION AT THE ORIGINAL BID PRICE AND TERMS WITH MARK HARRIS, JR. LANDSCAPE DESIGN FOR PROJECT GM , GROUNDS MAINTENANCE AT VARIOUS RESERVOIRS AND WATER DEPARTMENT FACILITIES LOCATED IN LEWISBORO, NEE YORK, NEW CANAAN AND NORWALK, CONNECTICUT FOR A SUM NOT TO EXCEED $ 25,350 AND AUTHORIZE THE PRODUCTION SUPERVIXOR TO ISSUE ORDERS ON CONTRACT FOR A SUM NOT TO EXCEED $5,000 (ACCOUNT NO ). PURSUANT TO CGS SECTION 1-200(6)(B) FOR THE PURPOSE OF DISCUSSING STRATEGY AND NEGOTIATIONS WITH RESPECT TO PENDING CLAIMS OR PENDING LITIGATION RELATING TO CHRO COMPLAINT NO , ALAN ELY V FIRST TAXING DISTRICT OF NORWALK. ** COMMISSIONER CORBO MOVED TO COME OUT OF EXECUTIVE SESSION AT 8:35 P.M. ** COMMISSIONER CORBO MOVED TO APPROVE THE AGREEMENT REGARDING THE SETTLEMENT OF THE PENDING CHRO COMPLAINT NO , ALAN ELY VS FIRST TAXING DISTRICT OF NORWALK.

5 Attorney Monastersky, representing the District in this matter, summarized the provisions of the proposed settlement agreement as follows: Full release of all claims with the exception of Mr. Ely s on going worker s compensation claim, in exchange for $70,000, paid 2/3 to Mr. Ely and 1/3 to his attorney. CIRMA, the District s insurer, shall be responsible for $50,000 of the settlement with the remaining $20,000 paid by the First Taxing District. 16.
