1 AAUW MISSOURI STATE BOARD MEETING MINUTES FRIDAY, MAY 4, 2018 COLUMBIA, MISSOURI List of Attendees: Board Members: Linda Berube, Jane Biers, Shirley Breeze, Suzanne Couch, Karen Francis, Ellen Johnson, Joyce Katz, Marsha Koch, Pam Kulp, Diane B. Call to Order: Jan Scott, President The AAUW Missouri State Board meeting was called to order by President Jan Scott at 2:25 p.m. at Holiday Inn Executive Center, Columbia, Missouri. Jan welcomed Board and guests. Jan appointed Shirley Breeze and Betty Takahashi as readers of today s minutes Quorum: Linda Berube, Parliamentarian We have 9 voting positions, which is a quorum, with a total of 20 board members present. Approval of Agenda: Sue Shineman moved Agenda be accepted, 2 nd, motion approved. President s Report: Jan Scott Jan distributed Directories and gave Board members a thank you gift for their service. At the Board meeting January 27, 2018, the Board discussed adding a position of Diversity. In her May 4, 2018, report, Governance Chair, Marianne Fues reported it needed to be determined whether this Diversity position is non-voting standing committee chair or a nonvoting appointed officer. By electronic voting after the January 27, 2018 Board meeting, the Executive Board declined to approve Kirkwood/Webster Groves Branch incentive grant. Secretary s Report: Doris Nistler Minutes from the Board meeting conference call of were electronically served upon the Board. Marsha Koch moved minutes be accepted, 2 nd, motion approved. Finance Officer s Report: Ellen Johnson Financial report March 31, 2018, and proposed budget of distributed. Expenses are low as not all bills have been received, but are expected to be received and paid by June 30 th. Board members are requested to submit their travel and reimbursement forms. Board budget review and proposals: -0- President Elect, $50 Membership, $3000 Board travel, $350 food, $600 NCCWSL. Income adjusted to show $6510 for dues, for a total of $11,635 budget. Ellen moved the budget of be approved as adjusted, motion approved.

2 Page 2, AAUW MO Board minutes May 4, 2018 Membership: Sue Shineman we had 737 members, and 691 members as of , with a decrease of 6.24% during this 12 month period, but we gained 71 new members. We have 14 dual members. Branches are encouraged to focus on retention and recruitment. Members are encouraged to participate in the Dues Increase Webinar. A Membership VP Notebook including Job Description, National Resources, and website links will be shared with branches attending tomorrow s membership lunch and learn, and mailed to those not attending. Membership is continuing to work with National on getting the Springfield Branch disbanded, which will probably be a done deal when the National Board meets in June. The problem was the branch reduced in membership to one member, there are no viable records and no dues have been paid since everyone was a life member. All branches are expected at tomorrow s conference except Canton and Boonville. AAUW Fund: Julie Triplett AAUW Award Brochures have been prepared, and will be distributed at the conference. Branches were notified of the number of Named Gift members they could select and those names are included in the brochure. The First Quarter Contribution Report for 2018 has just been received and the information will be distributed to Branches after the State meeting. Communications/Web Manager: Joyce Katz We have an exciting project to be presented at tomorrow s convention during the break-out session. We have 10 branches in the state that do not have a web presence. We contacted each one and 4 have agreed to learn how to manage a branch web site. Web sites have all been designed by Site Resources and they are ready to go. The 4 branches attending are Joplin, Kansas City Northland, Jefferson City and Maryville and we will have mentors for each of them during the session. We offered an incentive of partial payment of their fee, and the selling point that web sites are a useful means for reaching out to potential members. Public Policy: Karen Francis and Pat Shores We had a successful Equity Action Day and talked to many legislators. We had two young women from Fort Zumwalt, who are seniors. They said they got out of the day, Equal pay for equal work is truly a problem, ERA is necessary and We need to have more young women to participate in Equity Action Day. The buses were cancelled because we did not have enough participants, and the money will be used for travel reimbursements, which has been arranged. State Net is a system used by National in tracking bills going through the legislature. Another system used to track bills is Fast Democracy, which seems to be more user friendly. We have been in contact with the creator and we want to have him do a training for AAUW MO this summer or next fall, location and date to be advised. It is important to be informed of the legislation being proposed or in the voting process.

3 Page 3, AAUW MO Board minutes May 4, 2018 On a positive note, the ERA has been brought forward every year and this is the first time since 2009 that we got a hearing, which is a step forward. Another positive is the LAF case of Aileen Rizo where the Ninth Circuit held that prior salary alone or in combination with other factors cannot justify a pay differential. We are working on Title IX delivery system, Get out the Vote and voter registration. The Status of Women in the States report is valuable information. Overall Missouri ranks 30 th in the country. Pat announced that Karen Francis was honored at the IBC St. Louis Spring Fling receiving the Barbara Lackritz Award. An AAUW member, Shimi Rostami, is going to be the AAUW liaison for Lindenwood University. VP Programs, May State Conference: Marsha Koch Thanked the Board for help in organizing and getting ready for tomorrow s conference, with special thanks to the Kirkwood/Webster Groves branch. Our theme is Taking the Lead and registration includes folders which have been organized and assembled. The folders contain items relevant to the meeting, such as the agenda and information on our speakers, Kim Churches, AAUW CEO, and Susan Daria Landino, AAUW LAF plaintiff, and also a list of those attending, our Board members, and names and s of leaders and break-out trainers. Each attendee receives a ticket for attendance prize drawing. We also have paper pads and pens from the Attorney General s office, and a map of the State of Missouri. Several branches are bringing displays and there is a display of AAUW resources. Pam has a table on Incentive grants and handouts on important links. We have a map of the State of Missouri with colored pins, blue pins for branch location, red for schools, and green for student groups. There are displays for Galaxy Awards and forms for branch reimbursement. We have a tight schedule and networking is encouraged. The meeting room has a continental breakfast and lunch is salad, soup, potato bar and dessert. Our LAF speaker is scheduled for after lunch and then the student panel, with a popcorn snack later in the afternoon. The Town Hall will be led by Sue Barley and Jan Scott. Kirkwood has a raffle for four different gifts and we are selling bracelets. Independence has T shirts. The reception tonight will be in the atrium bar. Copies of the article written by Kim Churches will be available and we will have flowers and balloons, which we will use again on Saturday. Julie Triplett: Our tradition at our State meetings when we have an LAF speaker is to request an AAUW fund contribution and individual giving envelopes will be at each table after our LAF speaker. Branches will get credit for these donations.

4 Page 4, AAUW MO Board minutes May 4, 2018 College/University Report: Debbie McWard A list of student members is available to the Board. We are looking forward to the women student participation in tomorrow s program. Eight young women are scheduled and the intention is to give them the topic and allow them to discuss the needs and interest from their viewpoint. Four are from Missouri State, and four from the University of Missouri. We need to get representation on campus, important to have direct conversations. Several student reps have indicated that they would be willing to be interns. We are waiting for Start Smart to become affordable. Historian: Jane Biers There is nothing to add to her report. At this time, waiting for the directory and final reports from the Board members. Missouri History Day: Betty Takahashi The event was held April 28, 2018, and this is the 26 th year AAUW has sponsored History Day. The theme was Conflict and Compromise in History, and the judges were Kay Meyer, Nancy Hutchins, Margaret Gladbach, Nicole Takahashi and Betty Takahashi. Winners are: Jr. Performance, Allison Vallier, Sr. Performance, Kylie Harris, and Sr. Documentary, Canasia McBride. Three $100 special prizes were donated by AAUW Missouri, and given in the honor of Jean Shull, longtime AAUW Member and past Missouri History Day Judge. Branch Incentive Program: Pam Kulp/Alyse Stoll Incentive Grant Committee was pleased to award the Kirkwood/Webster Groves branch $200 for two booths this summer. A big project was preparing a hard copy for what the Incentive Grant Committee is and does. We have a visual display for tomorrow s conference showing past projects for purpose of inspiring branches to apply for grants. In addition, brochures have been compiled for each branch that includes, a) application/explanation, b) added ideas of past successful projects, c) added ideas branches might consider for projects, and d) copy from national website pertaining to other U.S. branches successful fund raising events. Those branches not present will be mailed a copy of the brochure. Inter Branch Council, St. Louis: Suzanne Couch/Karen Francis There are five branches in IBC St. Louis and we coordinate programs, events and collaborations with other like-minded organizations, such as International Speakers series with Tuesday s Women s Association, Ethical Society. Kay Meyer is chairperson of this series. Our gift wrapping at Barnes and Noble collected $650 to send women to NCCWSL. Our big push will be Title IX Delivery Project. Our members participated in Equity Action Day in Jefferson City, and our Spring Fling was held , a successful fundraiser. Karen Francis was honored this year by receiving the Sixteenth Annual Barbara Lackritz Service Award.

5 Page 5, AAUW MO Board minutes May 4, 2018 Inter Branch Council, Kansas City: Kathleen Welton There are four branches in IBC in the greater Kansas City area, Kansas City, Kansas City Northland, Parkville and Independence. Our focus this year is solely on reentry award scholarships and we awarded eight scholarships at $600 each. The money came from within the branches, a memorial for Tony Thornton, and Parkville did their own special scholarship. Our award luncheon was April 21 st at Unity Village Dining Hall and Kansas City branch was the host, with about 40 attending. National Liaison: Shirley Breeze A packet was distributed, which includes information on women in Olympics, showing how much more involved women have become in sports over the years. Of particular interest, the last page in the packet contains information on the increase in the number of women running for US House seats, which has set a record. Missouri in Motion Newsletter: Carol Davis McDonald The newsletter will probably be put out later this month, so Board members are encouraged to submit their articles, including articles on the conference. Branches are encouraged to write their articles for Leaves from the Branches. Deadline is next week. Nominating Committee: Diane B. Ludwig Thanked nominating committee of Su Bacon, Patt Braley, Kay Meyer and Julie Triplett. In looking for slate of officers for 2018/2020, our president-elect had to resign, which meant that whoever we nominated for president had to go right into office, and we found Kay Meyer. Our nomination for Membership VP is Sue Shineman, and our new finance officer is Patt Braley. Continuing on the Board is Marsha Koch as Program VP and Doris Nistler as Secretary. Strategic Plan: Diane B. Ludwig/Jan Scott Diane referred Board members to their Directory, AAUW MO Strategic Plan, pgs. 10, 11, requesting Board members give themselves a rating by consensus on how the Board is doing in the listed Key Areas of the Strategic Plan with 5 being an outstanding rating and 1 being we didn t get anything done. After review and discussion on each of the Key Areas, the Board answers by consensus on each area is as follows: 1) Expand Branch understanding of AAUW Big Picture Rating 4/5 2) Grow Membership Rating 3 3) Branch support for programs and membership Rating 5 4) Active advocacy for key Public Policy priorities as Described in brochure Rating 5 5) Effective and timely Communications Rating 3/4

Diane B. Ludwig and the Board thanked Jan Scott for her dedication and two year service as AAUW MO State Board President. Next Meeting: Kay Meyer The next Board meeting will be held July 14, 2018, location not determined, but most likely to be held in Fulton, Missouri. Information on location and time to be given at a later date. Adjournment: Suzanne Couch moved the meeting be adjourned, 2 nd, motion approved.
