2 Introduction The Board of Directors of the South Florida Chapter of the Association of Corporate Counsel (ACCA-SFL) is excited to invite you to participate in its 2013 Sponsorship Program. ACCA-SFL is the pre-eminent organization of and for in-house counsel in South Florida. ACCA-SFL is focused on meeting the unique, professional needs of nearly 400 in-house attorneys in Miami-Dade, Broward and Palm Beach Counties. ACCA-SFL offers its members outstanding continuing legal education programming, networking functions, social events, and community service opportunities. In an effort to improve accessibility to its geographically diverse membership, ACCA-SFL s Board of Directors has planned major event programming in all three counties served by the Chapter. Membership attendance improved dramatically in 2012 as a result of this initiative, and the Board is pleased to offer you the opportunity to participate in programming planned for The three major events offered in 2013 will include: (i) ACCA-SFL s Inaugural Golf & Spa CLE in Palm Beach County; (ii) ACCA-SFL s 4th Annual CLE Conference in Broward County; and (iii) ACCA-SFL s Progressive Dinner in Miami-Dade County. ACCA-SFL s Inaugural Golf & Spa CLE ACCA-SFL is excited to introduce its Inaugural Golf & Spa CLE, which will be held on Friday, May 17, 2013 at the beautiful PGA National Resort & Spa in Palm Beach Gardens, Florida. The Golf & Spa CLE will offer a half day of educational programming to its members, followed by the option for members and sponsors to enjoy an afternoon of golf or luxuriating at the spa. A variety of sponsorships are available, with the opportunity to present educational tracks reserved to our Hole in One, Eagle and Birdie Sponsors. ACCA-SFL s 4th Annual CLE Conference ACCA-SFL introduced its full day CLE conference in 2010, and it was a tremendous success. Attendance has increased annually since its inception, with more than 130 lawyers in attendance at the 3rd Annual CLE Conference held on September 20, 2012 at the Seminole Hard Rock Hotel & Casino in Hollywood. In October 2013, this day-long conference will provide maximum networking and educational opportunities through exhibit hall showcasing of the best law firms and legal vendors in South Florida, educational tracks presented by our Platinum, Gold and Silver Sponsors, Business Luncheon and much more! Progressive Dinner This coming summer ACCA-SFL will offer a Progressive Dinner. This is a fantastic opportunity for Sponsors to host ACCA-SFL members in each Sponsor s office, for a unique dining and networking experience. The Progressive Dinner is limited to 3 Sponsors. The Premier Sponsor will host the first course of cocktails and appetizers, and have the opportunity to present a CLE. The second course will be hosted by the Dinner Sponsor and the third course will be hosted by the Dessert Sponsor. All Sponsors will be given a theme to follow which will facilitate networking. The Sponsorship fees for this event are significantly reduced to reflect absorption of food and beverage costs by each Sponsor. Sponsors for the Progressive Dinner must be in close geographic proximity to one another. Preference will be given to Sponsors within the same building or within short walking distance of each other. In addition to sponsorships for its three major events, for 2013 ACCA-SFL is offering a Friends of the Chapter sponsorship opportunity so that smaller firms or businesses may economically host ACCA-SFL Members at the Sponsor s choice of community service event, sporting event social or MicroLunch. This level of sponsorship can also be used as an add-on to another sponsorship. ACCA-SFL s sponsorship opportunities are on a first-come, first-served basis, and are limited in quantity. 8 Sponsorship Terms & Conditions 1. Term. The term of a sponsorship under the 2013 ACCA-SFL Sponsorship Program begins on January 1, 2013 and ends on December 31, Sponsorship Fee. Each Sponsor shall pay ACCA-SFL the applicable sponsorship fee within ten (10) business days after execution and delivery of a Sponsorship Form. The Sponsorship Fees are as set forth elsewhere in this Sponsorship Packet. 3. s. In addition to payment of the applicable Sponsorship Fee, each 2013 Sponsor may be responsible for any costs associated with a particular sponsored program or event as is mutually agreed to between ACCA -SFL and the Sponsor. For example, there may be additional costs associated with a breakfast or luncheon CLE program, such as providing light breakfast or lunch to those in attendance. The Progressive Dinner and Friends of the Chapter Sponsors are specifically responsible for food, beverage, print materials, decor costs, etc. associated with their hosted program or event. 4. Program and Event Marketing. ACCA-SFL will actively market sponsored programs and events to ACCA-SFL members in conjunction with your marketing personnel. Law firm sponsors may also market the program or event they are sponsoring to their in-house counsel clients, but may not market to ACCA-SFL Members without the express written permission of ACCA- SFL. In order to ensure that an ACCA-SFL program or event is marketed in a timely and effective manner, the Sponsor responsible for that program or event is expected to work closely with ACCA-SFL and to adhere to all deadlines associated with the program or event. The content of all programs and the design, layout and content of all Sponsor advertising and promotional materials and articles is subject to prior approval by ACCA-SFL. 5. Continuing Legal Education (CLE). ACCA-SFL shall arrange for Continuing Legal Education (CLE) credits with the Florida Bar at its cost and expense. The Sponsor shall take responsibility for arranging for Speaker Lecture Credit for any of its CLE presenters. 6. CLE Topics and Presentation Materials. If the selected Sponsorship includes the opportunity to present CLE to ACCA- SFL Members, Sponsor must submit a topic to ACCA-SFL for approval within thirty (30) days of securing the Sponsorship. Topic selection is subject to ACCA-SFL s approval in its sole and absolute discretion, and may not be changed without ACCA-SFL consent. Sponsor must provide ACCA-SFL with presentation information and materials requested by ACCA- SFL no later than eight (8) weeks prior to the date of the CLE presentation. Sponsor shall be responsible for any late fee or rush fee required by the Florida Bar which is necessitated by Sponsor s failure to meet submission deadlines. ACCA-SFL reserves the right to suspend presentation rights under the Sponsorship for any Sponsor who fails to meet Sponsorship deadlines set forth by ACCA-SFL. Any CLE presentation may be presented as a Webinar at Sponsor s sole effort, cost and expense, upon prior reasonable notice to ACCA-SFL. 7. CLE Series. The dates of the 2013 CLE Series are March 7, 2013, June 6, 2013 and September 17, Sponsors presenting a breakfast or luncheon CLE or a MicroLunch shall select their preferred CLE Series date on a first-come, firstserved basis. 8. Program Cancellation. Programs may not be cancelled by the Sponsor. Any Sponsorship Fee paid by a Sponsor is final and non-refundable. In the unlikely event ACCA-SFL cancels a program, the fee shall be refunded unless ACCA-SFL cancels a program due to the failure of a Sponsor to meet the timeframes and responsibilities set forth in the Sponsorship Terms & Conditions, or if in ACCA-SFL s sole discretion, a Sponsor has not prepared sufficiently in advance, or has provided insufficient detail for ACCA-SFL to adequately market and publicize the program to its members. 9. Sponsorship Terms and Conditions. The Sponsorship Program and the foregoing terms and conditions are subject to change at any time at the discretion of ACCA-SFL.
