1 SPECIAL MEETING OF PALMA SOLA TRACE MASTER ASSOCIATION WEDNESDAY, JULY 18, 2018, 6:30 PM PALMA SOLA TRACE CLUBHOUSE A special meeting of the Palma Sola Trace Master Association was held on Wednesday, July 18, 2018 at 6:30 PM in the clubhouse to discuss and vote on this ballot question: Do you approve, as required by Sec (1), Florida Statutes, the filing by the Association of the legal action styled Palma Sola Trace Master Association, Inc. vs. Taylor Morrison, Inc., etc., Case No. 2018CA001700AX, in the Circuit Court of the Twelfth Judicial Circuit in and for Manatee County, Florida (the Litigation ) seeking damages relating to the defective construction of the perimeter wall that surrounds the Palma Sola Trace Community. President Bryan Groh explained the litigation to a large group of homeowners and answered their questions. After discussion homeowners who were present and had not voted electronically, cast their ballots. All votes were tallied. There were 177 votes cast to approve the litigation and 22 votes that did not approve the litigation.

2 PALMA SOLA TRACE MASTER ASSOCIATION BOARD OF DIRECTORS MEETING WEDNESDAY, JULY 18, 2018, 7:00 PM PALMA SOLA TRACE CLUBHOUSE A meeting of the Palma Sola Trace Master Association was called to order on Wednesday, July 18, 2018 at 7:20 PM in the Palma Sola Trace Clubhouse by President Bryan Groh. Present were board members Groh, Sabini and Zeiner. Attending via conference call were Allgood and Ohlson. Also present was Jill Gravino from Vanguard Management Group. A motion was made, seconded (Groh, Sabini) and approved to accept the minutes of the June, 18, 2018 meeting. A motion was made, seconded (Groh, Zeiner) and approved to accept the financial report as presented by Treasurer Gene Sabini. Committee Reports attached Management Report attached Old Business A motion was made, seconded (Groh, Sabini) to approve a bid by 5 Star to clean and seal the pavers around the pool and the Bridlecrest monument at a cost of $2085. The motion was defeated (for Groh, against Allgood, Ohlson, Sabini, Zeiner). A motion was made, seconded (Groh, Zeiner) and approved to accept the bid to clean and seal the pavers around the pool and Bridlecrest monument from 7Star at a cost of $ A motion was made, seconded (Groh, Zeiner) and approved to have the lanai area cleaned and painted by Superior at a cost of $225. New Business A motion was made, seconded (Groh, Sabini) and approved to table the consideration of DRC fees for projects that are not approved by the DRC prior to completion. A motion was made, seconded (Groh, Zeiner) and approved to trim the oak trees around the clubhouse at a cost of $720. A motion was made, seconded (Groh, Ohlson) and approved to replace the Pindo palm at the corner of Rainforest and Summerwind with a triple foxtail at a cost of $410. (Enhancement funds) A motion was made, seconded (Groh, Allgood) and approved to table discussion of the repair of clubhouse doors. A motion was made, seconded (Groh, Zeiner) and approved to replace irrigation decoders in the common area at a cost of $

3 A motion was made, seconded (Groh, Sabini) and approved to table discussion of solutions for stained driveways while the DRC investigates possibilities. A motion was made, seconded (Groh, Zeiner) and approved to contract with RLJames for destructive testing on the perimeter wall at a cost of $3000. A motion was made, seconded (Groh, Ohlson) and approved to purchase 2 new mailboxes to replace one destroyed (homeowner expense) and the second on a single post at an Association cost of $150. A motion was made, seconded (Groh, Sabini) and approved to replace the life rings, and ropes at the pool at a cost of $ After general discussion a motion was made, seconded (Groh, Sabini) to adjourn the meeting at 8:32PM. 10 DRC Report Month of June we received 12 applications Landscaping - 3 Misc - Cage rescreening & shade in lanai - 2 Oak tree removal - 1 Pavers - 2 Paint - 1 Windows & accordion shutters - 2 Front Door replacement - 1 Month of July (as of July 11) we received 2 (YEAH, it's slowing down) Front door replacement - 1 Landscaping - 1 We are encouraging folks to look into professional driveway cleaners and sealers. If folks find companies that are good and reliable, please let the DRC know so that we can let others know. Just power washing driveways will not take out some of the oil and other stains. There are also a number of products on the market that are supposed to help take out stains from concrete. If folks find some that are useful, again, let DRC know so that we can inform other HO's.

11 Palma Sola Trace Fining Committee Meeting Minutes Friday, July 6, 2018 at 10:00 am 1. Meeting called to order by Chairman Marvin Karp at 10:01 am 2. Confirm quorum present and proper notice posting: Members present by phone conference call: Marvin Karp, Chairman, Lee Bailey, Mike Quinlan. Present: Karen Wilson, Bryan Groh, PST Board President, and Dan Crumpler, secretary. A quorum was present. The agenda was posted on the bulletin board in the clubhouse one day prior to the meeting. 3. Approval of Minutes: Motion made by Marvin to approve the minutes of the June 1, 2018 meeting, seconded by Lee. The motion passed unanimously. 4. Address/Violations to be reviewed: 3608 Summerwind Circle Driveway has heavy oil stains. The homeowners explained the steps that they had taken to remove the oil stains. There was a wealth of discussion on the need for a resolution to the dirty driveway problem with suggestions for the community leadership to look into as this is a common issue in Palma Sola Trace. A motion to not levy a fine was made. The motion passed unanimously Summerwind Circle Metal hangers for exterior lights need to be removed. Discussion by the committee that while the violation had been taken care of, there are now rust stains on the facia trim. The painter doing work there said he was painting the interior and the rust was supposed to be taken care of before the house was sold. A motion was made to not levy a fine for the violation. It passed unanimously Summerwind Circle Exterior of the house needs to be painted. A motion was made to levy a fine of $ per day up to $1, total for the violation. It passed unanimously Summerwind Circle Exterior of the house needs to be painted. The homeowner Susan Wild passionately spoke to the committee on a conference call from England expressing her frustration with the lack of documentation on the violation. She did eventually get the notice from Vanguard, but not in a timely manner. Susan said that she will take care of getting the house painted straight away through her realtor contact here. A motion was made to not levy a fine for the violation. It passed unanimously Summerwind Circle Exterior of the house needs to be painted. A motion was made to levy a fine of $ per day up to $1, total for the violation. It passed unanimously. 5. New Business: Marvin gave his regrets, but his schedule is too demanding to continue performing his duties as the Chair of the fining committee. He said that he would still like to serve on the committee. The committee expressed their gratitude to Marvin for his service and wished him well. Lee was suggested as a good replacement for the position and he graciously accepted the duty as the Chair. The decision to accept Lee as the Chair was unanimous. The violation notification process from Vanguard was discussed. The general feeling of the committee was that the process that Vanguard is following is inadequate in documenting the violations in question. Their documentation is lacking for the needs of the committee in assessing a fine for violations. The next fining committee meeting will be August 3, 2018 at 10:00 am. 6. 12 HOA LANDSCAPE REPORT FOR JULY 2018 The Landscape Committee met on July 5th, 2018 with Jim Jordon, Dan Martin (irrigation), Randy Eldridge (tree division), and Sharryn Walter (enhancement) present from BrightView (BV) The next Landscape Meeting will be August 2nd at 10AM in the Clubhouse. General Comments Additional spraying for weeds has been completed, but weed control continues to be ongoing. Finally, the sodding of areas where trees were removed after Hurricane Irma has been completed. Clubhouse Plantings were completed and were spaced to allow for mature growth. Some additional plants maybe added. Single Family Homes We have had ongoing irrigation issues with various homes. GFI s have needed resetting, heads changed, adjustments made, etc. The too wet areas between many homes have been corrected by adjusting run times. There are several irrigation caps (purple round plastic discs in the ground) that have been broken or are missing. These will be replaced when the irrigation teams are inspecting individual systems which they do monthly. We do not believe there is a problem with cinch bugs (they feed on distressed turf), but we are keeping a close watch as we do have some browning areas. We still have not used a pallet of sod that was previously approved but will be identifying areas for replacement soon. The Pindo Palm on the corner of Summerwind Circle and Rainforest was removed as it died after insects "ate the heart". This happened quickly; by the time it showed signs of distress, it was too late. We are recommending planting a triple Foxtail palm to replace the Pindo Palm. Cost $ which will be from the Associa Credit $. Homeowners continue to apply for removal of oak trees that are growing too close to homes and/or are requesting additional trimming. Our trees are growing rapidly. Commons Trimming of the large oaks around the clubhouse parking lot was discussed as branches are hanging so low that clearance is an issue. We are requesting $ to allow trimming to elevate 8 oaks to 14 over roadways and 8 over turf. Trimming of the viburnum bushes around the parking lot will be done to hopefully encourage growth to fill out the bushes. Many look poor as they do not get enough light for proper growth. We hope a light trimming will help. A severe trim is not recommended. Trimming as needed will be done in pool area. The jatropha are blooming which means the bees are present. They have been trimmed quite high to keep the bees as far away as possible. Recommendations Approve trimming of oaks around clubhouse - $ Approve planting of Foxtail Palm - $ from Enhancement Funds

13 Social Committee Report Pizza Party on Friday, July 20, 2018 for Social/Hour Cocktails. Please RSVP tonight if you still want to come and let me know what kind of pizza you prefer. Bring school supplies to donate to a local elementary school and your own beverage. No Bunco until Fall but other social activities continue as usual. Adult Halloween Party on October 29, Start planning your costume! We ll decorate the Clubhouse on December 1, 2018 at 9:00 AM instead of the Saturday after Thanksgiving. Holiday Party will be December 8, More details soon.

14 Property Inspection Highlights PST Manager s Report- July 2018 Palma Sola Trace Master Association Overall the property looks good. The lake water has risen and looks nice. Fences at north and south end of property have been repaired. Playground has been pressured washed. Also getting estimates to have the pool and seating area to the north of the pool paved and sealed. Retrieved quote for the clubhouse door repair. Work Orders - Open and Completed 1. Estimates for paving & sealing. 2. Bathroom light temporarily fixed 3. Trimmed bushes at h/o home 4. Sprinkler head repaired. 5. Replace sprinkler issues in a few homes. 6. Ongoing tree shaping and clean-up of dead palms. 7. Playground Pressure Washed 8. Traveler Palm to be removed 9. Estimates for clubhouse door Collections Demand stage letters continue to be forwarded to the attorney. Vanguard will continue to verify any coupon books or letters returned and will r to the correct address. Violations All violations letters were sent out on the June 13. Will continue to do drive violations within a week of the board meeting. Miscellaneous Am currently working on getting estimates for fixing the clubhouse door oil leak and fixing the lifting pavers around the pool. The backflow has been fixed. Board will vote on a paver and sealer company and having the gates were fixed and have a call in to Inovasion to fix digital end of it. Spectrum analog to digital will begin in September. The grounds look very well kept and I ve noticed a lot of homeowners are pressure washing their driveways.
