5 COMMITTEE REPORT- COMMITI'EE ON MUNICIPAL AFFAIRS, AVIATION, HOUSING, AND RECREATION BILL NO T.R. MuNA BARNES COMMITTEE REPORT NARRATIVE 5 I. OVERVIEW The Committee on Municipal Affairs, Aviation, Housing, and Recreation convened a public hearing on Wednesday, December 23,2009 at 9:00a.m. in I Liheslatura's Public Hearing Room. Among the items on the agenda was the consideration of Bill No (COR) - 11 An act to repeal and reenact Section of Article 2, Chapter 1, Division 1,12 GCA for the purpose of extending the terms of exclusive concession agreement at the Antonio B. Won pat International Airport Authority," sponsored by T.R. Mufia Barnes. Public Notice Requirements All legal requirements for public notices were met. Notices were disseminated via handdelivery and to all senators and all local media outlets on December 16, 2009, and again on December 21,2009, with requests for publication in the Marianas Variety and the Pacific Daily News. Notice of the hearing was also made known on the Guam Legislature's website. Senators Present Chairperson Tina Rose Mufia Barnes Senator ben pangelinan II. SUMMARY OF TESTIMONY Chairperson Tina Rose Muiia Barnes read the title of Bill No and invited the first witness to testify. Ed Ching, Legal Counsel, Guam International Airport Authority, provided testimony in support of Bill No He stated the five-year term minimizes businesses investing in the airport because of the short term. With a longer term, he said, more investors will be attracted, thereby allowing more income for the airport in the form of higher rents through longer term leases. Senator ben pangelinan requested clarification of the mention of exclusivity in the bill. Attorney Ching stated that sometimes exclusivity is desired, depending on the business; a Duty Free shopping gallery, for example, or a fast food chain. Sen. pangelinan suggested perhaps allowing exclusive at five-year and non-exclusive at 10- year terms; some kind of combination, he said, to allow the airport to maximize its property. Stated he is concerned about granting long-term concession agreements because competition will no longer work in the favor of the airport.

MUNA BARNFS Attorney Ching stated the problem with the current short term is the investors do not want to put in the money because they fear they will not recover it in the short term allowed. This causes them to bid lower. Chairperson Mufta Barnes invited the next witness to testify. Carlos H. Salas, Executive Manager, GIAA provided written testimony (attached) in support of Bill No Chairperson Mufta Barnes asked Mr. Salas to provide some examples of concessions that need the longer term and why the current public law in existence for the last 17 years fails them. Salas replied GIAA' s fuel operator, who is on a month-to-month basis because of the expiration of the contract, is needed for his specialized training and certification. According to a survey GIAA conducted, firms qualified and interested will not enter into an agreement with the airport for a five-year period. He said more than $4M will be required at the initial stage of upgrading the airport over the next 10 to 15 years. Another example Salas provided is the airport's newest goal of attracting an in-flight kitchen caterer; interested parties may invest $5M for the construction if this bill passes and the terms are extended. Sen. pangelinan asked when the fueling services contract expired and when it was entered into. Jean Arriola, GIAA, who appeared in support of the bill stated the fuel farm agreement was established in 1979 under a special facility agreement, which included construction through Lockheed Terminal. Arriola stated she was not employed with GIAA at the time but thinks it was executed through a special financing arrangement and not through the bid process. Sen. pangelinan clarified that for fuel services, the airport is not looking to build anything new, just for an operator and asked, therefore, what kind of investment this operator has to make. Salas replied ongoing repairs and maintenance is needed; fuel tanks have to be maintained in accordance with EPA standards. A week ago, he recalled, EPA's inspection found the airport needs $150,000 to address deficiencies. Sen. pangelinan asked why the airport would not simply bid out a five-year agreement for operations and spend its own money on capital improvements. Salas replied it is better for the operator to pay for the capital outlay to keep the system going. Sen. pangelinan asked why it is better to go continue the month-to-month arrangement with a higher cost and defer all maintenance that the airport could do on its own funding and reduce its concession agreement for just the operations expense and not the capital repair expenditures.

Sen. pangelinan asked if the bill does not pass, will the airport continue the month-to-month agreement forever. Salas replied the airport could go on the five-year period but it would have to absorb the capital outlay costs. Sen. pangelinan says the airport will pay it anyway, through the monies billed by the contractor. He asked why the airport decided it was better to continue a month-to-month agreement instead of entering into a five-year contract, since the airport would be paying the capital expenditure one way or another. Salas said the experienced and capable fuel operator with the responsibility of maintaining the facility enters into agreements with the carriers and the fuel supplier. He said this is where the cost effective rates are decided. Over a period of time they continue to work with the carriers, whatever capital outlay they put out is effectively amortized, so the airport actually does not pay for it. Sen. pangelinan asked if the carriers are paying and the airport is not, what, then, is the airport's concern. Salas said, U.S. EPA inspected and the current month-to-month operator presented the $150,000 estimate for repairs. Sen. pangelinan asked again for clarification that the fuel operator charges this off to the carrier. Salas stated then, no, it is the airport's facility, the airport's responsibility. Sen. pangelinan asked why Mr. Salas said the fuel charge, the capital expenditures are negotiated with the carriers. Salas said they are not able to do this under the current month-to-month arrangement. Sen. pangelinan asked why didn't the airport enter into a five-year agreement with them, as while that is the term limit now in question, it is still a better arrangement than a month-tomonth. Salas replied, the airport is very hopeful that this bill will be accommodated by the Legislature to promote its business model which is a better period of time for concessions to amortize their investments. Sen. pangelinan referred to Salas's testimony, reading aloud, "The current term has underperformed in new investments since It has not been proven that it is conducive to

MuNA BARNES attracting significant capital investments," and asked for the itemized analysis on this conclusion. Salas said he will provide that and also companies who have stated they are not interested in doing business with the airport under its current five-year concessions arrangement. Sen. pangelinan asked for clarification of the previously mentioned in-flight kitchen. Salas explained, the current scenario is not attractive for an in-flight kitchen to make the investment to build the facility, implying the airport would have to build it. If the bill were to pass, the airport would bid this out and award the best proposal to provide the service to the carriers. Sen. pangelinan stated, l.sg has its own kitchen off of airport property and they supply the carrriers. Arriola explained l.sg is operating under a license agreement. She clarified that the in-flight kitchen would be exclusive to a nonairline operator. Airlines have the ability under the current leasing operating agreement to operate their own kitchen so this would not preclude the carriers from handling it themselves. Sen. pangelinan clarified that the longer term is needed to give somebody exclusivity and if l.sg is able to negotiate separately with carriers, he wondered why the airport wants to even get involved. Salas replied he GIAA has spoken with LSG regarding LSG' s plans. He explained an on-site kitchen would be more cost effective. l.sg is considering investing in the airport kitchen based on their understanding that the contract terms may be extended. Sen. pangelinan clarified that the airport is not involved in the agreement between l.sg and the carriers for the meal services and that the airport is now trying to involve itself by bringing a tenant onto the airport property to compete against l.sg. Salas replied l.sg will be able to respond to the bid with a competitive proposal. GIAA does not get involved in l.sg's negotiations with the carriers. Rather, GIAA's role is to facilitate the services to the carriers. The carriers have indicated an interest in an on-site in-flight kitchen for cost efficacy. Chairperson Barnes asked for a date to expect the requested analysis. Salas replied he would need one week and a half.

10 IMINA 'TRENT ANA LIHESLATURAN GUAHAN 2009 (FIRST) REGULAR SESSION BILL No.'lqQ,!Ji) (f&i J Introduced by: T.R. MUNA-BARNES AN ACT TO REPEAL AND REENACT SECTION OF ARTICLE 2, CHAPTER l, DIVISION l, 12 GCA FOR THE PURPOSE OF EXTENDING THE TERMS OF EXCLUSIVE CONCESSION AGREEMENT AT THE ANTONIO B. WON PAT INTERNATIONAL AIRPORT AUTHORITY I BE IT ENACTED BY THE PEOPLE OF GUAM: Section 1. Legislative Findings and Intent. On September 24, 1992, Governor Joseph H. Ada signed Bill No. 797 (LS) into law as Public Law , and thereby granted the Antonio B. Won Pat International Airport Authority the right to enter into exclusive concession agreements with businesses and service providers operating at the Airport ("Concessionaires") 7 for a maximum term of five (5) years. I Liheslaturan Guahan passed Bill No. 797 (LS) in the 8 hope that such exclusive concession agreements would induce Concessionaires to make 9 significant capital investments in the Airport. However, in the past seventeen years since its 10 adoption, Public Law has failed to effect the level of new investment hoped for by I 11 Liheslaturan Guahan and the Authority. 12 I Liheslaturan Guahan fmds that the five (5) year maximum term currently permitted 13 under Public Law is, in the main, too short to induce Concessionaires into making 14 significant capital investments in the Airport A five (5) year term does not provide a

11 1 Concessionaire enough time to amortize the cost of significant capital outlays. Moreover, a five 2 (5) year term does not represent an asset upon which a Concessionaire can secure financing for 3 significant capital outlays at terms that are not cost prohibitive. 4 I Liheslaturan Guahan finds that by increasing the maximum tenn for exclusive concession 5 agreements between the Authority and Concessionaires to ten (10) years, Concessionaires will be 6 much better positioned, and much more apt, to make significant investments in the Airport. 7 Moreover, I Liheslaturan Guahan finds that increased private investment in the Airport will not 8 only benefit Airport customers through enhanced service and lower costs, but will also benefit 9 the people of Guam. Increased investment in the Airport will raise the revenue of the Airport, 10 increase the number of new jobs and amount taxable income generated by Concessionaires and ll reduce Guam's dependence on the public debt market as a means for fmancing Airport 12 improvements. 13 Section 2. Section of Title 12 Guam Code Annotated is repealed and 14 reenacted to read as follows: 15 "(a) The Antonio B. Won Pat International Airport Authority shall have the power and 16 authority to enter into or award leases, licenses, or concession agreements for the retail sale of 17 goods and merchandise, (including food and beverages) and the provisions of services at the 18 Airport, provided that any such lease, license or concession agreement shall conform to the 19 following: 20 (i) allow for an exclusive right to sell certain goods (or categories of goods 21 and merchandise) or provide certain services only after a competitive proposal procedure, 22 according to the applicable procurement laws and rules and regulations, and for a duration of no 23 longer than ten ( l 0) years; 2

12 1 (ii) in the procurement and award of any lease, license or concession for the 2 sale of goods or merchandise or the provision of services, to the extent consistent with good 3 business practice and in conformance with the applicable procurement laws and rules and 4 regulations, the Antonio B. Won Pat International Guam International shall make every effort to 5 maximize the local participation in concession businesses at the Airport facility. The Authority 6 may use any mode of procurement available to it under the applicable procurement laws and 7 rules and regulations, including sealed bids and competitive proposals. 8 (b) The rates, charges, fees under the agreements between the Antonio B. Won Pat 9 International Airport and airlines offering service to Guam using the facilities of the Airport shall I 0 be sufficient to cover the reasonable operating expenses of the Airport and the debt service 11 coverage of any revenue bonds issued by the Authority pursuant to the Authority granted under GCA Such rates, charges, fees shall be non-discriminatory." 13 Section 3. Effeetive Date. The provisions of this Act shall be effective upon 14 enactment Only new transactions that have gone through the Authority's competitive 15 procurement process after the enactment date of this Act shall be eligible for the changes made to 16 this provision

Won Pat International Airport Authority, Guam, is in full support of Bill No that would authorize the Airport to enter into or award leases, licenses or concession agreements for the sale of goods and the provision of services which allows the concessionaire or service provider a sufficient length to amortize its capital investments. The current term for exclusive agreements is a five year maximum, provided for in Public Law The current term has underperformed in new investment since 1992 and has proven not conducive to attracting significant capital investment at the Airport. Principally, the five year term does not allow for the number of years to reasonably amortize investment, especially in regard to the significant capital outlay Airport exclusive concessions generally require. Bill is reflective of the Authority's policy to maximize revenue without creating an undue financial burden on those contracting with the Airport by providing sufficient time for firms to recover and yield returns. The incentive of a longer term will open the field to competent firms and the broadest range of quality services who will be more apt to make the significant investments and better able to avail themselves of private capital financing options. The longer term also supports private enterprise opportunity with less dependency upon public investment.
