2 1a BOARD OF TRUSTEES CHARLES STEWART MOTT COMMUNITY COLLEGE Special Organizational Meeting, January 23, 2017 Volume 47 Minutes of Special Organizational Meeting of January 26, 2017 I. CALL TO ORDER: James Delaney, Board Attorney called the meeting to order at 6:48 p.m., explaining that, traditionally, chairmanship of the meeting is temporarily transferred to him until a new Chairperson is elected. II CONGRATULATIONS AND OATH OF OFFICE: ANNE FIGUEROA, ART REYES, AND RAFAEL TURNER Mr. Delaney asked the Honorable Vicki Bayeh Haley, Judge, 67 th District Court, to come forward to administer the oath of office to Trustees Figueroa, Reyes, and Turner. Judge Haley came forward and administered the Oath of Office to the Trustees (See Attachments A-C). III. ADDITIONS TO THE AGENDA There were no additions to the agenda. IV. ADOPTION OF AGENDA Mr. Delaney called for a motion to adopt the agenda. MOVED BY TRUSTEE REYES, SECONDED BY TRUSTEE JOSEPH THAT THE BOARD ADOPT THE AGENDA AS PRESENTED. Mr. Delaney called for a vote on the adoption of the agenda as presented. There were no comments from the public. ALL PRESENT VOTED AYE. MOTION PASSED. V. COMMENTS FROM THE PUBLIC

3 1b VI. NEW BUSINESS 1.01 NOMINATION AND ELECTION OF CHAIRPERSON Mr. Delaney called for nominations for Board Chairperson. Trustee Snell nominated Trustee Freeman for the position of Chairperson. Trustee Joseph Mr. Delaney asked for any other nominations, and seeing none, declared the nominations closed. Trustee Reyes that the motion be passed via acclimation. Trustee Joseph seconded the motion. ALL PRESENT VOTED AYE. TRUSTEE FREEMAN WAS ELECTED CHAIRPERSON. Chair Freeman assumed chairmanship of the meeting NOMINATION AND ELECTION OF VICE CHAIRPERSON Trustee Joseph nominated Trustee Turner for the position of Vice Chairperson. Trustee Figueroa Chair Freeman asked for any other nominations, and seeing none, declared the nominations closed. He then asked those in favor of the nomination to say aye. ALL PRESENT VOTED AYE. TRUSTEE TURNER WAS ELECTED VICE CHAIRPERSON NOMINATION AND ELECTION OF SECRETARY Trustee Reyes nominated Trustee Joseph for the position of Secretary. Trustee Snell seconded the nomination. Chair Freeman asked for any other nominations, and seeing none, declared the nominations closed. He then asked those in favor of the nomination to say aye. ALL PRESENT VOTED AYE. TRUSTEE JOSEPH WAS ELECTED SECRETARY NOMINATION AND ELECTION OF TREASURER Vice Chair Turner nominated Trustee Snell for the position of Treasurer. Secretary Joseph Chair Freeman asked for any other nominations, and seeing none, declared the nominations closed. He then asked those in favor of the nomination to say aye. ALL PRESENT VOTED AYE. TRUSTEE SNELL WAS ELECTED TREASURER.

4 1c 1.05 NOMINATION OF ASSISTANT SECRETARY Treasurer Snell nominated Michael Simon for the position of Assistant Secretary. Trustee Reyes There were no other nominations. Chair Freeman asked all those in favor to say aye. ALL PRESENT VOTED AYE. MR. SIMON WAS APPOINTED ASSISTANT SECRETARY MOTION TO APPROVE LEGAL COUNSEL Secretary Joseph moved that Item 1.06, appointing James Delaney and the firm of Thomas & Delaney, PC, as the Legal Counsel for the Board and the College, be approved. Treasurer Snell seconded the motion. There was no discussion. Chair Freeman called for a vote. ALL PRESENT VOTED AYE. MOTION PASSED. MR. DELANEY AND THE FIRM OF THOMAS & DELANEY, P.C. WAS APPOINTED LEGAL COUNSEL APPOINTMENT OF FINANCE/AUDIT AND PERSONNEL COMMITTEES Chair Freeman appointed Treasurer Snell, Vice Chair Turner, and Trustee Figueroa to serve as members of the Finance/Audit Committee, with Treasurer Snell as Chair, and appointed Secretary Joseph, Trustee Norwood, and Trustee Reyes to serve as members of the Personnel Committee, with Secretary Joseph as Chair. There was no objection. VII. COMMENTS FROM BOARD MEMBERS Trustee Reyes introduced the members of his family who were in attendance, and thanked them all for being here. Trustee Figueroa introduced her husband. Vice Chair Turner said he glad he was to have the new Trustees here as part of the Board. VII. ADJOURNMENT Chair Freeman declared the meeting adjourned at 7:02 p.m. Minutes submitted by Michael Simon, Assistant Secretary, Mott Community College Board of Trustees.
