1 Participatin Plan ACI-NA Cmmercial Management Cmmittee Participatin Plan Last Updated: September 2018 Cmmittee Name: Purpse: ACI-NA Cmmercial Management Cmmittee T share ideas and exchange infrmatin amng fellw airprt cncessins and cmmercial prperties prfessinals. T initiate and cmplete an annual wrk plan f prjects that will benefit the airprt industry as it relates t cncessins and cmmercial prperties matters. T assist ACI-NA with the crdinatin f the annual ACI-NA Business f Airprts Cnference. T assist ACI-NA with the crdinatin f the annual Airprt Cncessins Awards. T actively prvide the ACI-NA Bard and ther ACI-NA Cmmittees with input regarding cncessin and cmmercial prperty issues, and t crdinate selected initiatives. T facilitate the develpment f cmmercial pprtunities in all areas f nn-airline revenue develpment. Cmmittee Structure: 1. Officers: Chair ne year term; shuld have a minimum f three years n the Steering Grup, and must be an airprt emplyee. (Must have been the Vice Chair in the year previus.) Vice-Chair ne year term; shuld have a minimum f tw years n the Steering Grup and must be an airprt emplyee. The Vice-Chair becmes the Chair in the fllwing year. Secnd Vice-Chair - ne year term; shuld have a minimum f ne year n the Steering Grup and must be an airprt emplyee. The Secnd Vice-Chair becmes the Vice-Chair in the fllwing year. Assciate Member Representative tw year term; shuld have a minimum f ne year n the Steering Grup and must be elected subject t the Nminatin and Electin Prcess utlined belw. Bard Liaisn Representative appinted by the ACI-NA Chair each year. Cmmissiner s Liaisn a member f the Cmmissiner s Cmmittee may be nminated by that cmmittee t serve as a liaisn between the Cmmittee and the Cmmissiner s Cmmittee. (ptinal) 2. Steering Grup: Membership: The Steering Grup shall cnsist f a minimum f 9 and a maximum f 23 members including: 5 Cmmittee Officers 1 Cmmittee Past Chair (Optinal) 1 Bard Liaisn Page 1

2 Participatin Plan 1 Cmmissinaire Liaisn (Optinal) 2-12 Airprt Member Representatives Shuld include Chairs f any Wrking Grup Only ne representative frm each airprt Up t 2 Canadian airprts, if interested 2-9 Assciate Member Representatives Terms: Steering Grup members may serve a term f up t 4 cnsecutive years, after which, the member must take ne year ff, subject t the fllwing exceptin: Time served as an Officer r Past Chair is nt included in the 4 year term. The Airprt and Assciate rganizatin/cmpany must take ne year ff, befre cming back n the Steering Grup. The Airprt Member Representatives and the Assciate Member Representatives have staggered terms s that apprximately 25% f the Representatives are up fr nminatin each year. Accrdingly, as part f the first year nminatin prcess, the Representatives shall be given terms f ne t fur years, first based n the nminee s preference, and then as determined by the Officers. Members with initial partial terms may be re-nminated after the partial term t serve ne additinal 4 year term. Only ne representative frm an airprt and nly ne representative frm an assciate s cmpany may participate n the Steering Grup at any ne time. This excludes the Past Chair psitin as it is an ptinal psitin and Cmmittee participatin may be minimal. 3. Wrking Grups: Leadership: Each Wrking Grup will have a Chair and C-Chair wh will be appinted by the Officers. Chairs must be an airprt member. Term: Chairs may serve up t a tw year term with the c-chair taking ver the psitin nce the chair has cmpleted their term. Chair respnsibilities: Frmulate an annual wrk plan. Crdinate cnference calls and cmmunicatin with interested members. Present the wrk plan and prgress reprts at Steering Grup meetings. Member participatin: Page 2

3 Participatin Plan ACI will infrmatin cncerning the Wrking Grups and request member participatin. Cmmittee members may participate in any Wrking Grup. ACI will frward interested member participatin lists t the Wrking Grup Chairs. Wrking grup members must participate n scheduled cnference calls and can be remved upn the discretin f the wrking grup Chair if participatin needs are nt met. Frmatin f Wrking Grups: New Wrking Grups may be initiated as deemed necessary by the Cmmittee s Officers/Leadership Team. Wrking Grups may be discntinued r inactivated by the Steering Grup if there are n pertinent issues t be discussed r the Wrking Grup des nt have an annual wrk plan. Current Wrking Grups: 1. Business f Airprts Cnference and the Airprt Cncessins Awards: The Officers and the Steering Grup Assciate Representatives will wrk with ACI staff t rganize and plan the cnference and cntest. ACI will, at a minimum, cmmit an experienced cnference planner t the cncessins cnference planning and a marketing representative r cmpany t the cncessins awards. 2. Cncessins Benchmarking 3. Cncessins Task Frce (Crss Cmmittee invite nly) General Membership: Any emplyee f an airprt member r an assciate member f ACI-NA can jin the Cmmittee by ntifying the apprpriate ACI-NA supprt persn wh will place them n the distributin list. Meetings: 1. Full Cmmittee (Steering Grup and members): Annual Business f Airprts Cnference Annual Cnference & Exhibitin Telecnference meetings may be held as deemed necessary by the Officers 2. ACI staff: Will prvide a meeting calendar schedule t the Steering Grup and keep it updated n a regular basis. Will give advance ntice f Steering Grup meetings which will be pen t any Cmmittee member that wishes t attend. Nminatin and Electin Prcess: 1. The Nminatin Cmmittee shall be chaired by the past Chair f the Cmmittee and will include the Cmmittee s Officers/Leadership Team. Page 3

4 Participatin Plan 2. By September 1 f each year, ACI-NA will, in crdinatin with the past Chair, circulate a request fr nminatins fr the pen Steering Grup psitins. A Cmmittee member may self-nminate. 3. The Nminee s will be cntacted t cnfirm their desire and cmmitment t participate n the Cmmittee, if elected. 4. An electrnic ballt will be ed ut t all Cmmittee members and the results f the electrnic ballt tabulated by ACI staff n later than Octber The Nminatin Cmmittee will then access the results f the ballt tabulatin and the new leadership will be annunced at the Annual Cncessins Cnference. 6. Terms shall run frm January 1 thrugh December 31 each year. 7. Officers: If the Chair resigns during the year, then the Vice Chair will assume the Chair psitin fr the remainder f that term, and may serve in this psitin fr an additinal year. If the Vice Chair resigns during the year, then the Secnd Vice Chair will assume the Vice Chair psitin fr the remainder f that term, and may serve in this psitin fr an additinal year. If the Secnd Vice Chair resigns during the year, then a special electin may be held fr that psitin r the Officers may select ne f the airprt representatives frm the Steering Grup t fill this psitin and the individual may serve in this psitin fr an additinal year. If an electin is held, the Nminatin Cmmittee and ACI staff will handle this prcess thrugh an electrnic ballt t the Cmmittee members. If the Assciate Member Representative resigns during the year, then a special electin may be held fr that psitin. The Nminatin Cmmittee and ACI staff will handle this prcess thrugh an electrnic ballt t the Cmmittee members. 8. Steering Grup Terms: If a Steering Grup vacancy arises during the year, the psitin may be filled at the ptin f the Cmmittee s Officers. Changes in Steering Grup Member Emplyment: In the event a Steering Grup member changes emplyers during his r her term, the fllwing prvisins apply: Page 4

If a Steering Grup member becmes n lnger emplyed by an ACI-NA member, shall vacate the psitin n the Steering Grup, unless the Officers, upn cnsultatin with the Steering Grup, permits such member t remain n the Steering Grup fr up t 90 days after terminatin f such member s representatin f an ACI-NA Airprt r Assciate Member. 2. If a Steering Grup member changes emplyment frm ne ACI-NA member airprt r assciate t anther ACI-NA member airprt r assciate that is nt already represented n the Steering Grup, they may serve the remainder f the term as lng as participatin is supprted by the new emplyer. 3. If a Steering Grup member changes emplyment frm ne ACI-NA member airprt r assciate t anther ACI-NA member airprt r assciate that is already represented n the Steering Grup, there will be cnsultatin with the Steering Grup. 4. If a Steering Grup airprt member mves t an assciate member there will be cnsultatin with the Officers if there are vacancies n the Steering Grup. Likewise, if a Steering Grup assciate member mves t an airprt member there will be cnsultatin with the Officers if there are vacancies n the Steering Grup. Page 5
