Box 2748 West Chester, PA (610) COMMISSIONERS MEETING MINUTES August 20, CALL MEETING TO ORDER CALL TO The public meeting of the Chester County Board of Commissioners was called to ORDER order at 10:30 a.m. on Wednesday, August 20, 2014 in the Commissioners Boardroom by Chairman of the Board of Commissioners Ryan Costello. Commissioner Kathi Cozzone and Commissioner Terence Farrell were also present. 2. PLEDGE OF ALLEGIANCE PLEDGE OF Commissioner Costello asked Tom Abrahamsen, Assistant Solicitor, to lead the Pledge. ALLEGIANCE 3. ANNOUNCEMENTS ANNOUNCEMENTS Commissioner Cozzone read a Citation recognizing and congratulating Danielle Stelzer for 13 years of perfect attendance as a student in the Coatesville Area School District. Chairman Costello announced that the Board of Commissioners met in Executive Session on August 19, 2014 to discuss personnel matters. 4. MINUTES OF PREVIOUS MEETING MINUTES Following a Motion made by Commissioner Farrell, which was Seconded by Commissioner APPROVED Cozzone, the Board voted unanimously to accept the Minutes from the July 8, 2014 Commissioners Meeting. 5. Following a Second of the Motion by Commissioner Farrell, the Board voted unanimously to approve the Human Resources Agenda. 9. FINANCIAL MATTERS FINANCE Finance Agenda Commissioner Farrell made a Motion to approve the Finance Agenda. Following a Second of the Motion by Commissioner Cozzone, the Board voted unanimously to approve the following: Budget Change Vouchers as submitted by the Controller 10. 7 COUNTY OF CHESTER, COMMONWEALTH OF PENNSYLVANIA RESOLUTION # APPROVING A FINANCING BY THE CHESTER COUNTY INDUSTRIAL DEVELOPMENT AUTHORITY OF A PROJECT FOR UNIVERSITY STUDENT HOUSING, LLC WHEREAS, in accordance with the requirements of the Tax Equity and Fiscal Responsibility Act of 1982, as amended, the Chester County Industrial Development Authority (the Authority ), after publicizing notice thereof in a newspaper of general circulation, held a public hearing on August 20, 2014 regarding the application of University Student Housing (the Project Applicant ) for the financing of its capital project (as more fully described in the attached public notice announcement, the Project ); and WHEREAS, the Authority has determined that the Project conforms to the public purpose, eligibility and financial responsibility requirements of the Pennsylvania Economic Development Financing Law, and, at its August 20, 2014 meeting, approved the Project and the issuance by the Authority of its revenue bonds in the maximum amount of $96,100, (the Bonds ), the proceeds of which will be loaned by the Authority to the Project Applicant to fund a portion of the Project; and WHEREAS, Section 147(f) of the Internal Revenue Code of 1986, as amended, 26 U.S.C. 147(f) (the Code ), requires that the applicable elected representatives of the governmental unit on behalf of which bonds are issued and of a governmental unit having jurisdiction over the area in which any financed facility is located approve private activity bonds after a public hearing in order for such bond to be a bond qualifying for tax-exemption under the Code; and WHEREAS, the Board of County Commissioners constitutes the appropriate elected representative for the purposes of giving approval under Section 147(f) of the Code; and WHEREAS, pursuant to Section 147(f), the Project Applicant and the Authority have requested the Board of County Commissioners to approve the issuance of the Bonds for the purposes of Section 147(f) of the Code. NOW, THEREFORE, IT IS HEREBY RESOLVED by the Board of Commissioners of Chester County, Commonwealth of Pennsylvania, as follows: SECTION 1. The Project, as defined in the preambles hereto, and the issuance of the Bonds by the Authority are hereby approved, it being understood that such approval shall not, directly or indirectly, obligate the taxing power of Chester County or otherwise obligate Chester County in any way whatsoever. SECTION 2. The foregoing determination, declaration and approval are for the purposes of the applicable provisions of the Code and do not constitute approval for any permit,

8 license or zoning required for the construction or occupancy of any facilities to be financed or refinanced as part of the Project. SECTION 3. All actions of this Board of Commissioners of Chester County taken in conformity with the intents and purposes of these Resolutions are ratified, confirmed and approved in all respects. SECTION 4. These Resolutions shall take effect immediately. All prior resolutions or portions thereof inconsistent herewith are hereby repealed. 37 MEMORANDUM OF UNDERSTANDING BETWEEN THE COUNTY OF CHESTER, PENNSYLVANIA AND THE SOUTHEASTERN PENNSYLVANIA CHAPTER OF THE AMERICAN RED CROSS AGREEMENT made as of the day of, 2014, by and between The County of Chester ( County ), with its principal offices located at 313 West Market Street, West Chester, PA and The Southeastern Pennsylvania Chapter of the American Red Cross, with its principal offices located at 2221 Chestnut Street, Philadelphia, Pennsylvania (hereinafter referred to as SEPA ARC ). I. PURPOSE OF THE AGREEMENT. The parties agree that the County will provide office space to a SEPA ARC employee who will provide mutually beneficial emergency preparedness, response, recovery, and mitigation activities within Chester County. The purpose of this MOU is to set forth the details of the office sharing arrangement and partnership. II. TERM. The term of this MOU shall be from October 27, 2014 through October 26, III. OFFICE SPACE/EQUIPMENT. The County shall provide sufficient office space in an amount no less than 100 square feet within the Chester County Department of Emergency Services ( CCDES ) assigned area located in the basement of the Chester County Government Services Center, 601 Westtown Road, Suite 012, West Chester, PA to SEPA ARC to house the designated employee. The County will provide a desk; chair; telephone; wireless internet access; and access to commonly used office supplies, including but not limited to paper, pens, staples and stapler, and paper and binder clips. SEPA ARC shall provide its employee with a computer. IV. ACKNOWLEDGMENTS. a. The County will keep the interior of the premises, including plumbing, closets, pipes, and fixtures belonging thereto in good repair, neat, clean, safe, and sanitary during the term of this MOU for the suitability of providing the designated office space. b. SEPA ARC shall not be liable to the County or to the County s employees, patrons, guests, or visitors in or upon the premises for any damage to person or property caused or claimed to have been caused by the negligence of the County, County s agents, employees, or invitees. c. The County shall not be liable for any injury or loss to any property, or person by theft, fire, act of God, public enemy, riot, strike, or other matters beyond its reasonable control, or for any damage or inconvenience which may arise through repair or alteration of any part of the premises, from any cause whatsoever. 1

38 d. SEPA ARC expressly recognizes that the premises are publicly owned and that the County desires that the premises be used in such a manner that gives the appearance of impartiality in political campaigns and on public issues; as such SEPA ARC will not use the premises for any partisan or political activity or for any overt public activities that take a position on policy issues before the County and its agencies review such position, provided that this provision shall not prevent SEPA ARC from taking positions in newsletters, correspondence, internal meetings, etc. that otherwise are in accordance with the purposes of the organization. e. SEPA ARC will conduct its business, and exercise control of its agents, employees, and invitees in such a manner as not to create any nuisance, or otherwise interfere with, annoy or disturb other occupants, guests, or the County in the management of the building. f. The SEPA ARC employee assigned to provide services described in Section I will undergo a background check performed by the CCDES and be fingerprinted at a location approved by CCDES. One Fingerprint Card will be provided to the CCDES Deputy Director for Administration. Any employee assigned to CCDES will not have been convicted or under indictment for any felony; convicted for any misdemeanor where the employee was incarcerated within the last ten years; or convicted for two or more misdemeanors within the last ten years. SEPA ARC agrees to immediately notify CCDES should the assigned employee be charged with and/or convicted of any felony; any misdemeanor where the employee is incarcerated, or convicted of two or more misdemeanors within the last ten years. V. RENT. There shall be no rent or other incurred cost to SEPA ARC for the office space provided by the County. Consideration for this MOU is the mutual benefit to SEPA ARC and the County of a partnership between the parties to advance the mutual goals and objectives of emergency preparedness, response, recovery, and mitigation activities in the county. VI. VII. INDEPENDENT CONTRACTOR. Both parties hereto, in the performance of this MOU, will be acting in their individual capacity and not as agents, employees, partners in a joint venture, or as associates of one another. The employees or agents of one party shall not be deemed or construed to be the employees or agents of the other party for any purpose whatsoever. NOTICES. The County or SEPA ARC may terminate this MOU, whenever, for any reason, either party determines that the termination is in the best interest of the parties. In the event either of the parties elect to terminate this MOU pursuant to this provision, the terminating party shall provide the other party written notice at least sixty (60) days before the termination date. This termination shall be effective as of the date specified in the notice. 2
