1 HARRODSBURG INDEPENDENT SCHOOLS, Harrodsburg, KY DISTRICT FINANCE CORPORATION Minutes May 19, :00 p.m. The Harrodsburg Independent School District Finance Corporation met at Mercer Co. Sr. High School, 1124 Moberly Rd., Harrodsburg, KY at a special called meeting on May 19, / THE MEETING WAS CALLED TO ORDER The meeting was called to order by the board secretary. All present with the exception of Mr. Larry Yeager who was in the hospital. (Absent) 15/ APPROVAL OF AGENDA On a motion by, second by, the board voted to approve the agenda as presented. VOTE: 6 of 6 15/ EXPLANATION AND PURPOSE OF MEETING Hadden Dean, Board Attorney for Mercer Co. Schools, explained to the board that the property at 371 E. Lexington St was still held by the Harrodsburg Indpt Schools Finance Corporation, and they needed to transfer the title to Mercer Co. He also stated that since Harrodsburg Indpt. Schools merged with Mercer Co. Schools our board members can now fill the positions of their Finance Corp for this situation. 15/ IDENTIFICATION OF CORPORATION DIRECTORS/OFFICERS Mr. Dean read Article 10 of Harrodsburg s Finance Corp Articles of Incorporation which states how the officers should be set up. He stated we were free to use the same officers as we have set up for Mercer Co. Finance Corp. Page1

2 15/ ELECTION OF OFFICERS On a motion by, second by, the board voted to elect officers for the Harrodsburg Indpt. Schools Finance Corp to mirror those already set up for the Mercer Co. District Finance Corp. Therefore, officers will be:, President;, Vice President; Ruth Ann Cocanougher, Treasurer;, Secretary;, Member;, Member; Billy Montgomery, Member. In Hospital 15/ APPROVAL OF TRANSFER OF DEED, WINDING UP OF CORPORATE AFFAIRS On a motion by, second by, the Harrodsburg Finance Corp Officers voted to transfer the title by deed from the Harrodsburg Finance Corp to the Mercer County District Finance Corp, and authorize, Chairman, and, Secretary, to execute any deed to formulate that motion. In Hospital 15/ ADJOURNMENT 5:15 P.M. There being no further business to conduct, on a motion by, second by, the Harrodsburg Indpt. Schools Distirct Finance Corp. voted to adjourn. District Finance Corp authorized, Chairman and, Secretary, to transfer the deed from the Harrodsburg Indpt. Finance Corp to the Mercer Co. District Finance Corp, including property but not limited to acres located at 2371 E. Lexington St ADJOURNMENT 5:20 P.M.
