1 HAMBURG AREA SCHOOL DISTRICT Hamburg, Berks County, PA December 4, 2017 The reorganization meeting of the Board of Directors of the Hamburg Area School District was called to order by President, Brian R. Specht, at 6:34 p.m. in the James A. Gilmartin Community Room of the Hamburg Area High School, Windsor Street, Hamburg, Pennsylvania. A roll call of directors followed, and the following directors were present: Bradley R. Faust, Todd D. Hummel, Cory M. Johnson, Brian Riegel Absent - There were four directors present at the meeting when roll call was taken. OTHERS PRESENT Richard J. Mextorf, Superintendent; Michele Zimmerman, Business Manager; Chris Spohn, High School Principal; Chris Beissel, High School Assistant Principal, Shawn Gravish, Middle School Principal; Timothy Easter, Middle School Dean of Students; Andrea Berger, Elementary Principal; Lacie Cucciuffo, Elementary Principal; Kimberly Byassee, Transportation Director; Mark Meinhart, Facilities Director; Aaron Menapace, Athletic Director; Russel Farbiarz, Solicitor; Cynthia Sunday, Secretary (NM); Press John Kurtz, Hamburg Item; Visitors David Mengle, John R. H. Ide, Andrew Hoffman, Teresa McCathy, Andrea Heckman, Kathy Dimera Mr. Specht opened the meeting with the pledge to the flag. The Board met for the purpose of reorganization under appropriate sections of Article IV of the School Laws of Pennsylvania as amended. Mr. Specht asked for a motion for a temporary president for the purpose of reorganization. A motion was made by Bradley R. Faust, seconded by Cory M. Johnson to nominate Todd D. Hummel. There were no further nominations for temporary president. A roll call voice vote was taken on the motion for temporary president as follows: YES - Bradley R. Faust, Todd D. Hummel, Cory M. Johnson, Brian R. Specht Motion carried with four directors voting yes.

2 Page 2 of 5 At this point Mr. Hummel took the chair. Reading of Certificates Cindy Sunday, board secretary, read the certificates of election for Brian N. Riegel Region 1 (4 year term), Andrew C. Raugh Region 2 (4 year term), Maggie L. Rhoades Region 2 (2 year term), Leon J. Grim Region 3 (4 year term) and Laura Lolly Lesher Region 3 (4year term) Oaths of Office District Justice, Kim Bagenstose was present to administer the Oaths of Office to the five newly elected Board Members (see exhibit XXVd-44) The newly elected members took their seats. There are now nine members present at the meeting Mr. Hummel, temporary president, stated that he would accept a motion for president for the ensuing year. A motion was made by Brian N. Riegel, seconded by Cory M. Johnson, to nominate Brian R. Specht as President for There were no further nominations. A roll call voice vote on the motion for president was taken as follows: Mr. Specht took the chair and asked for a nomination for vice-president for the ensuing year. A motion was made by Laura Lolly Lesher, seconded by Todd D. Hummel, to nominate Andrew C. Raugh as Vice-President for There were no further nominations. A roll call voice vote on the motion for vicepresident was taken as follows: YES - Bradley R. Faust, Leon J. Grim, Todd D. Hummel, Cory M.

3 Page 3 of 6 A motion was made by Laura Lolly Lesher, seconded by Todd D. Hummel to nominate the Law Firm of Antanavage, Farbiarz, PLLC. There were no further nominations for solicitor. A roll call voice vote on the motion was taken as follows: A motion was made by Brian N. Riegel, seconded by Todd D.
