3 Antitrust Compliance Guidelines I. General It is NERC s policy and practice to obey the antitrust laws and to avoid all conduct that unreasonably restrains competition. This policy requires the avoidance of any conduct that violates, or that might appear to violate, the antitrust laws. Among other things, the antitrust laws forbid any agreement between or among competitors regarding prices, availability of service, product design, terms of sale, division of markets, allocation of customers or any other activity that unreasonably restrains competition. It is the responsibility of every NERC participant and employee who may in any way affect NERC s compliance with the antitrust laws to carry out this commitment. Antitrust laws are complex and subject to court interpretation that can vary over time and from one court to another. The purpose of these guidelines is to alert NERC participants and employees to potential antitrust problems and to set forth policies to be followed with respect to activities that may involve antitrust considerations. In some instances, the NERC policy contained in these guidelines is stricter than the applicable antitrust laws. Any NERC participant or employee who is uncertain about the legal ramifications of a particular course of conduct or who has doubts or concerns about whether NERC s antitrust compliance policy is implicated in any situation should consult NERC s General Counsel immediately. II. Prohibited Activities Participants in NERC activities (including those of its committees and subgroups) should refrain from the following when acting in their capacity as participants in NERC activities (e.g., at NERC meetings, conference calls and in informal discussions): Discussions involving pricing information, especially margin (profit) and internal cost information and participants expectations as to their future prices or internal costs. Discussions of a participant s marketing strategies. Discussions regarding how customers and geographical areas are to be divided among competitors. Discussions concerning the exclusion of competitors from markets. Discussions concerning boycotting or group refusals to deal with competitors, vendors or suppliers.

4 Any other matters that do not clearly fall within these guidelines should be reviewed with NERC s General Counsel before being discussed. III. Activities That Are Permitted From time to time decisions or actions of NERC (including those of its committees and subgroups) may have a negative impact on particular entities and thus in that sense adversely impact competition. Decisions and actions by NERC (including its committees and subgroups) should only be undertaken for the purpose of promoting and maintaining the reliability and adequacy of the bulk power system. If you do not have a legitimate purpose consistent with this objective for discussing a matter, please refrain from discussing the matter during NERC meetings and in other NERC-related communications. You should also ensure that NERC procedures, including those set forth in NERC s Certificate of Incorporation, Bylaws, and Rules of Procedure are followed in conducting NERC business. In addition, all discussions in NERC meetings and other NERC-related communications should be within the scope of the mandate for or assignment to the particular NERC committee or subgroup, as well as within the scope of the published agenda for the meeting. No decisions should be made nor any actions taken in NERC activities for the purpose of giving an industry participant or group of participants a competitive advantage over other participants. In particular, decisions with respect to setting, revising, or assessing compliance with NERC reliability standards should not be influenced by anti-competitive motivations. Subject to the foregoing restrictions, participants in NERC activities may discuss: Reliability matters relating to the bulk power system, including operation and planning matters such as establishing or revising reliability standards, special operating procedures, operating transfer capabilities, and plans for new facilities. Matters relating to the impact of reliability standards for the bulk power system on electricity markets, and the impact of electricity market operations on the reliability of the bulk power system. Proposed filings or other communications with state or federal regulatory authorities or other governmental entities. Matters relating to the internal governance, management and operation of NERC, such as nominations for vacant committee positions, budgeting and assessments, and employment matters; and procedural matters such as planning and scheduling meetings. Yeung welcomed everyone. Members include: Michael Brytowski, Amy Casuscelli, Ken Goldsmith, Rod Kinard (vice chair), Ken Lanehome, Ash Mayfield, Mark Pratt, Jennifer Sterling, and Charles Yeung (chair). Observers include: Scott Barfield-McGinnis (Secretary), Rachel Coyne, Michelle D Antuono, Brenda Hampton, Vic Howell, Soo Jin Kim, and Lauren Perotti (NERC Counsel). NERC Antitrust Compliance Guidelines and Public Announcement NERC staff provided the NERC Antitrust Compliance Guidelines and Public Announcement in the consent agenda. Agenda Items 1. Review of Agenda The agenda was reviewed by PMOS members. 2. Consent Agenda (Approve) a. The agenda and December 13, 2016 Project Management and Oversight Subcommittee Meeting Notes were approved by acclamation. 3. Appointment of Members PMOS member A. Mayfield and K. Lanehome were appointed to the PMOS. A. Mayfield is an attorney involved with the Order No. 693 and 706 standards, and K. Lanehome is an electrical engineer with Bulk Electric System background as well as an active observer on the Critical Infrastructure Protection (CIP) project. 4. Project Tracking Spreadsheet (Review) a Alignment of Terms (Archived) The project was archived in the Project Tracking Spreadsheet (PTS). b INT-01 (Archived) The project was archived in the PTS.

7 c. Project RSDP Priorities & Footnotes R. Kinard pointed out that some projects do not have a priority assigned from the Reliability Standards Development Plan (RSDP). Furthermore, that the associated footnotes reference an earlier version of the RSDP. These items in the PTS will be updated and/or corrected by S. Barfield-McGinnis. 5. Project Progress & Reassignments (Update) a Alignment of Terms The project was moved to the archives. b Establish and Communicate System Operating Limits Andrew Gallo will be transitioning off of the PMOS; therefore, K. Lanehome was assigned to assume liaison for this project. c Single Points of Failure TPL-001 The standard drafting team is to provide an update on their outreach plan. d Supply Chain Management (Schedule only) The schedule was accepted by PMOS and will be presented to the Standards Committee in March Other Business (Review) a Projects Annual Calendar PMOS (Archive) The following projects were archived: 2015-INT-01 (CIP for EnergySec), (Alignment of Terms), and (CIP LERC Definition Only) b. PMOS Scope i. Roles and Responsibilities S. Barfield-McGinnis covered the PMOS roles and responsibilities from a PowerPoint presentation. ii. Alignment with 2013 charter Time did not allow members to discuss the PMOS charter; deferred to the March 2017 meeting. c. In-person travel recommendations S. Barfield-McGinnis recapped the changes in the PMOS schedule for 2017 noting it is a bit of a pilot. It will give the opportunity for more Standards Committee members to join in and for PMOS members to attend the Standards Committee Process Subcommittee. 11 Project Management and Oversight Subcommittee Charter Section 1: Purpose The Project Management and Oversight Subcommittee (Subcommittee) works closely with NERC staff and the standards drafting teams (SDTs) to aggressively manage the timely development and maintenance of a comprehensive set of world class, results based Reliability Standards. The Subcommittee reports to the full Standards Committee (SC). Section 2: Overview and Functions The Subcommittee shall have, at a minimum, the following duties: 1) Work closely with NERC staff, and the SDTs to establish milestones and deadlines for all SC work activities relating to reliability standard development, up to and including BOT approval; a) Assist NERC Staff and SDTs with the development of an initial project schedule for approval by the SC as referenced in Standard Processes Manual Section 4.4.1; and b) Actively monitor and assist NERC staff in the oversight of SDT milestones and deadlines; and extend or expedite milestones and deadlines, as appropriate; and c) Work with NERC staff to develop and refine project management tools; such as dashboards, project charting for tracking projects and communicating the status of projects including the reasons for and plans to address any schedule deviations; and d) Track the status of all existing and pending Reliability Standards, including when a Reliability Standard is considered completed (i.e., is Results based, and has had P81 concepts applied). 2) Work with NERC staff to develop preliminary project timelines to set the expectation prior to the solicitation of a SDT so that prospective members of an SDT can understand and commit to meeting the project timeline, including milestones, at the time of their nomination and appointment. 3) Support all SAR drafting teams and SDTs by providing any specialized resources as may be needed to resolve issues and increase productivity and quality as needed to reach consensus and/or meet its milestones and deadlines; a) Assign PMOS liaisons for each active Standard development project who will provide oversight and support and maintain regular contact with the SDT Chair and NERC Standard Developer; b) Facilitate SAR drafting teams and SDTs use of stakeholder technical experts and NERC technical, standing and regional committees for consultation, comments and endorsement, as needed; and c) Work with the SC Chair, Vice Chair and NERC standards developer to ensure SAR drafting teams and SDTs use informal methods to actively gain consensus during both the informal development period, as well as during the formal project development period. These informal methods may include, but are not limited to, outreach to individual industry experts and trade associations, webinars and workshops. Section 3: Accountability and Reporting The Subcommittee is accountable to the full SC and will report jointly with NERC staff on the status of all SDT activities and any issues at regularly scheduled SC meetings and calls. 12 Project Management and Oversight Subcommittee Charter Section 4: Membership General. Subcommittee membership is open to SC members and other interested parties. The SC Chair and Vice Chair will participate in and support the Subcommittee as non members. Term. Subcommittee members will serve two year terms with no term limits. Nominations for the Chair and Vice Chair, as well as new members, will be requested at least every two years, or as needed to add or replace members. Members. Subcommittee members shall be selected by the Subcommittee Officers. Size. The Subcommittee size will be determined by the workload and needs of the Subcommittee. Section 5: Responsibilities of Officers Officers. The Subcommittee shall have a Chair and a Vice Chair who shall be appointed by the SC for a two year term with no term limits. A member of the NERC staff shall serve as Secretary for the Subcommittee and has the responsibility to support the business of the Subcommittee as agreed to with the Subcommittee Chair. Responsibilities. The Chair and Vice Chair shall select the members of the Subcommittee, and shall prepare meeting agendas and manage Subcommittee meetings. Section 6: Meetings Conducting meetings. The Subcommittee Chair will set the agenda and preside over the meetings and calls. The Chair may transfer this authority to the Vice Chair for short periods of time, including when absent from a meeting or call. General Requirements. The Subcommittee shall hold meetings as needed and may use conference calls or to conduct its business. Meeting notices and agendas shall be publicly posted on the NERC website. The Subcommittee Secretary shall announce regularly scheduled meetings with a written notice (letter, facsimile, or e mail) sent to all Subcommittee members. Rules. The Subcommittee shall conduct its meetings guided by spirit of the most recent edition of Robert s Rules of Order Newly Revised. Recommendations. Consensus recommendations will be presented to the Standards Committee. However, when a consensus cannot be achieved, majority and minority opinions may be presented to the Standards Committee for final decision. Proxies. Members of the Subcommittee may not send a proxy. Meeting Notes. Meeting notes will include the date and time of the meeting, attendance, and a summary of significant actions taken. The meeting notes shall be posted in the NERC website. Open Meetings. Subcommittee meetings are open to any and all observers. Section 7: Approval This Charter shall be effective upon approval of the SC. 13 Agenda Item 6b(i) Project Management and Oversight Subcommittee March 15, 2017 Project Management and Oversight Subcommittee Scope Approved by the Standards Committee December 8, 2014 Purpose The Project Management and Oversight Subcommittee (PMOS) works with NERC staff to support industry subject matter experts (SMEs) in all aspects of standard development. This includes advising and supporting Standard Drafting Teams (SDTs), periodic review teams, and special projects to achieve standard goals specified in the Reliability Standards Development Plan. The PMOS reports to the full Standards Committee (SC). Activities The PMOS shall have, at a minimum, the following duties: 1. Support all Standard Authorization Request (SAR) drafting teams and SDTs by providing any specialized resources as may be needed to resolve issues and increase productivity and quality to reach consensus and/or meet its milestones and deadlines. a) Assign a PMOS liaison(s) for each active standard development project who will provide oversight and support and maintain regular contact with the SDT Chair and NERC Standards Staff; b) Facilitate SAR drafting teams and SDTs use of stakeholder technical SMEs and NERC technical, standing, and regional committees for consultation, comments, and endorsement, as needed; and c) Work with the SC Chair, Vice Chair, and NERC Standards Developer to support SAR drafting teams and SDTs to actively gain stakeholder consensus throughout all project activities. Membership 1. PMOS membership and participation is open to SC members and interested parties. 2. The need to add or replace members will be evaluated at least annually and nominations for new members may be solicited as necessary. The PMOS officers will select the new PMOS members. 3. The size of PMOS will be determined by the workload needs of the Subcommittee. 4. Members will serve two year staggered terms with no term limits. 5. The SC Chair and Vice Chair may participate in and support the PMOS as non members. 6. A NERC staff member will be assigned as the non voting PMOS Coordinator. Officers 1. The SC Chair will appoint the PMOS officers (Chair and Vice Chair) for a specific term (generally two years). 2. The PMOS may recommend officer candidates for the SC Chair s consideration following a supporting motion by the PMOS membership. This may be via a nominating committee and/or election. 3. The PMOS officer appointment will be made at the third quarter SC meeting. 4. At least one PMOS officer must also be a member of the SC. 5. The PMOS Chair or Vice Chair will set the agenda and preside over the meetings and calls. 6. PMOS officers will generally serve two-year terms with no term limits. 7. The PMOS Vice Chair should be available to succeed the PMOS Chair. Reporting 1. The PMOS is accountable to the full SC and will report jointly with NERC staff on the status of all SDT activities and any issues at regularly scheduled SC meetings and calls. 2. 15 Meetings 1. The PMOS will generally follow the approach used by the SC. 2. Four to six open meetings per year, or as needed. Emphasis will be given to conference calls and webbased meetings. 3.
