3 Antitrust Compliance Guidelines I. General It is NERC s policy and practice to obey the antitrust laws and to avoid all conduct that unreasonably restrains competition. This policy requires the avoidance of any conduct that violates, or that might appear to violate, the antitrust laws. Among other things, the antitrust laws forbid any agreement between or among competitors regarding prices, availability of service, product design, terms of sale, division of markets, allocation of customers or any other activity that unreasonably restrains competition. It is the responsibility of every NERC participant and employee who may in any way affect NERC s compliance with the antitrust laws to carry out this commitment. Antitrust laws are complex and subject to court interpretation that can vary over time and from one court to another. The purpose of these guidelines is to alert NERC participants and employees to potential antitrust problems and to set forth policies to be followed with respect to activities that may involve antitrust considerations. In some instances, the NERC policy contained in these guidelines is stricter than the applicable antitrust laws. Any NERC participant or employee who is uncertain about the legal ramifications of a particular course of conduct or who has doubts or concerns about whether NERC s antitrust compliance policy is implicated in any situation should consult NERC s General Counsel immediately. II. Prohibited Activities Participants in NERC activities (including those of its committees and subgroups) should refrain from the following when acting in their capacity as participants in NERC activities (e.g., at NERC meetings, conference calls and in informal discussions): Discussions involving pricing information, especially margin (profit) and internal cost information and participants expectations as to their future prices or internal costs. Discussions of a participant s marketing strategies. Discussions regarding how customers and geographical areas are to be divided among competitors. Discussions concerning the exclusion of competitors from markets. Discussions concerning boycotting or group refusals to deal with competitors, vendors or suppliers.

4 Any other matters that do not clearly fall within these guidelines should be reviewed with NERC s General Counsel before being discussed. III. Activities That Are Permitted From time to time decisions or actions of NERC (including those of its committees and subgroups) may have a negative impact on particular entities and thus in that sense adversely impact competition. Decisions and actions by NERC (including its committees and subgroups) should only be undertaken for the purpose of promoting and maintaining the reliability and adequacy of the bulk power system. If you do not have a legitimate purpose consistent with this objective for discussing a matter, please refrain from discussing the matter during NERC meetings and in other NERC-related communications. You should also ensure that NERC procedures, including those set forth in NERC s Certificate of Incorporation, Bylaws, and Rules of Procedure are followed in conducting NERC business. In addition, all discussions in NERC meetings and other NERC-related communications should be within the scope of the mandate for or assignment to the particular NERC committee or subgroup, as well as within the scope of the published agenda for the meeting. No decisions should be made nor any actions taken in NERC activities for the purpose of giving an industry participant or group of participants a competitive advantage over other participants. In particular, decisions with respect to setting, revising, or assessing compliance with NERC reliability standards should not be influenced by anti-competitive motivations. Subject to the foregoing restrictions, participants in NERC activities may discuss: Reliability matters relating to the bulk power system, including operation and planning matters such as establishing or revising reliability standards, special operating procedures, operating transfer capabilities, and plans for new facilities. Matters relating to the impact of reliability standards for the bulk power system on electricity markets, and the impact of electricity market operations on the reliability of the bulk power system. Proposed filings or other communications with state or federal regulatory authorities or other governmental entities. Matters relating to the internal governance, management and operation of NERC, such as nominations for vacant committee positions, budgeting and assessments, and employment matters; and procedural matters such as planning and scheduling meetings. 6 Agenda Item 2a Project Management and Oversight Subcommittee Meeting July 27, 2017 Meeting Notes Project Management and Oversight Subcommittee (PMOS) June 14, :00 to 10:00 a.m. Eastern Introduction and Chair s Remarks Chair C. Yeung called the meeting to order at 8:02 a.m. Eastern and welcomed members and guests. Members included: Michael Brytowski, Amy Casuscelli, Brenda Hampton, Ken Lanehome, Ash Mayfield, Mark Pratt, Jennifer Sterling, and Charles Yeung (chair). Observers included: Scott Barfield-McGinnis (secretary), Karie Barczak, Colby Belville, Rachel Coyne, Randy Crissman, Andrew Gallo, Latrice Harkness, Marisa Hecht, Soo Jin Kim, Laura Lee, Michael Marchand, Steve Noess, Lauren Perotti, Chris Scanlon, RuiDa Shu, Alexander Vedvik, and Guy Zito. NERC Antitrust Compliance Guidelines and Public Announcement* NERC staff provided the NERC Antitrust Compliance Guidelines and Public Announcement in the consent agenda. S. Barfield-McGinnis provided a verbal highlight of the guidelines and announcement, and a reminder that it is in the agenda package that was distributed via the PMOS list. Agenda Items 1. Review of Agenda C. Yeung noted that the agenda now combines what were two larger items of doing project updates and review of the Project Tracking Spreadsheet (PTS). 2. Consent Agenda a. April 27, 2017 Project Management and Oversight Subcommittee Meeting Notes* S. Barfield-McGinnis noted that the Liaison Best Practices presentation from April 27, 2017 would be appended to the April 27, 2017 Meeting Notes. Also, not in the distributed agenda package for the June 14, 2017 meeting were revisions to the Best Practices presentation by C. Yeung. An additional item was added to Item 8 of the presented agenda to address revisions to the Liaison Best Practices presentation. M. Brytowski motioned to approve the June 14, 2017 agenda as amended and April 27, 2017 Meeting Notes. Agenda and Meeting Notes were approved by unanimous consent. 3. Review of Prior Action Items There were four action items from the previous April 27, 2017 meeting and were reviewed as follows:

7 1. C. Yeung raised a question about informal comment periods from the April 27, 2017 meeting. He noted there is an impact to industry having a comment period without a ballot. 2. C. Yeung asked about the baseline on Establish and Communicate System Operating Limits project. S. Kim provided an update on the project and anticipated the project would move forward by the July 2017 Standards Committee (SC) meeting. 3. S. Barfield-McGinnis reported the PTS includes the six new projects that are coming online; three are standards revisions and three are periodic reviews. 4. S. Barfield-McGinnis reported that C. Yeung was added to the project distribution list. 4. PTS and Project Review a Geomagnetic Disturbance (GMD) Mitigation baseline schedule J. Sterling reported that the SC will be presented a request to authorize initial posting of the documents on June 14, The team continues to work on the technical documents associated with the project. C. Yeung asked about the NERC budget item for GMD research. J. Sterling responded that the item came out of the FERC Order. The baseline schedule provided by the team was accepted by unanimous consent. b Establish and Communicate System Operating Limits (SOL) K. Lanehome provided an update of the SOL team s work. He noted that the team anticipates delivering documents to the SC in July c Single Points of Failure TPL-001 M. Pratt provided an update about short-term planning outages based on team discussion. The team is debating whether to move criteria about outage coordination to IRO-017 Outage Coordination, or determine whether existing language in IRO-017 could cover the elements from TPL-001. S. Kim noted that revising or creating a new Standard Authorization Request (SAR) due to a change in scope, may create issues. The issues include the need to have Reliability Coordinator representation (not on the SAR), and additional need to increase develop time. S. Kim believes that the team will be able to address the issue of outage coordination within the TPL standard. d Modifications to CIP Standards K. Lanehome provided an update that the team is seeking informal comments on virtualization. This is the second informal posting due to lack of consensus among team members. The team is currently treating virtualization as an independent issue from the other three areas being addressed under the project. PMOS members discussed how to manage the project as a separate schedule baseline. S. Barfield- McGinnis highlighted that CIP is divided into three discrete projects in the PTS for similar reasons, and adding a fourth would not be an issue, if needed. 8 e EPR-01 Enhanced Periodic Review of Personnel Performance, Training, and Qualifications Standards M. Brytowski reported the project is on the SC June 14, 2017 agenda and he anticipates the recommendations and SAR to be accepted and a project initiated to address the recommendations. f EPR-02 Enhanced Periodic Review of the Voltage and Reactive Standards A. Casuscelli provided an update that the periodic review is complete and will be presented to the SC on June 14, The recommendation is to accept the recommendation and reaffirm the standards. g Cyber Security Supply Chain Management B. Hampton provided a report on the project noting that the initial ballot was 10 percent and the team s outreach indicates stakeholders will ballot affirmatively with substantive comments. The concern is that there will not be sufficient time to meet the directive deadline if a third posting is needed to reach industry approval. B. Hampton emphasized that socialization of the team s work is receiving positive feedback. h Modifications to PRC C. Yeung reported that the team met in Atlanta in May 2017, noting he was uncertain whether the team developed a baseline schedule. S. Barfield- McGinnis added that the team did agree on a baseline; however, the schedule has not been populated in the PTS. 5. Project Assignments a. Project Modifications to BAL was assigned to A. Casuscelli. b. Project Modifications to Personnel Performance, Training, and Qualifications Standards was assigned to M. Brytowski. c. Project FAC Periodic Review was assigned to M. Pratt. d. Project Periodic Review of Interchange Scheduling and Coordination Standards was assigned to C. Yeung. e. Project NUC Periodic Review was assigned to A. Casuscelli. f. Project Modifications to BAL was assigned to K. Lanehome. 6. Other a. Replacement of Vice Chair. A nomination was put forward for M. Brytowski to be appointed as vice chair. The motion was accepted by unanimous consent. b. Ratification of the PMOS Liaison Best Practices presentation for posting. PMOS members accepted the changes presented by C. Yeung.
