3 Antitrust Compliance Guidelines I. General It is NERC s policy and practice to obey the antitrust laws and to avoid all conduct that unreasonably restrains competition. This policy requires the avoidance of any conduct that violates, or that might appear to violate, the antitrust laws. Among other things, the antitrust laws forbid any agreement between or among competitors regarding prices, availability of service, product design, terms of sale, division of markets, allocation of customers or any other activity that unreasonably restrains competition. It is the responsibility of every NERC participant and employee who may in any way affect NERC s compliance with the antitrust laws to carry out this commitment. Antitrust laws are complex and subject to court interpretation that can vary over time and from one court to another. The purpose of these guidelines is to alert NERC participants and employees to potential antitrust problems and to set forth policies to be followed with respect to activities that may involve antitrust considerations. In some instances, the NERC policy contained in these guidelines is stricter than the applicable antitrust laws. Any NERC participant or employee who is uncertain about the legal ramifications of a particular course of conduct or who has doubts or concerns about whether NERC s antitrust compliance policy is implicated in any situation should consult NERC s General Counsel immediately. II. Prohibited Activities Participants in NERC activities (including those of its committees and subgroups) should refrain from the following when acting in their capacity as participants in NERC activities (e.g., at NERC meetings, conference calls and in informal discussions): Discussions involving pricing information, especially margin (profit) and internal cost information and participants expectations as to their future prices or internal costs. Discussions of a participant s marketing strategies. Discussions regarding how customers and geographical areas are to be divided among competitors. Discussions concerning the exclusion of competitors from markets. Discussions concerning boycotting or group refusals to deal with competitors, vendors or suppliers.

4 Any other matters that do not clearly fall within these guidelines should be reviewed with NERC s General Counsel before being discussed. III. Activities That Are Permitted From time to time decisions or actions of NERC (including those of its committees and subgroups) may have a negative impact on particular entities and thus in that sense adversely impact competition. Decisions and actions by NERC (including its committees and subgroups) should only be undertaken for the purpose of promoting and maintaining the reliability and adequacy of the bulk power system. If you do not have a legitimate purpose consistent with this objective for discussing a matter, please refrain from discussing the matter during NERC meetings and in other NERC-related communications. You should also ensure that NERC procedures, including those set forth in NERC s Certificate of Incorporation, Bylaws, and Rules of Procedure are followed in conducting NERC business. In addition, all discussions in NERC meetings and other NERC-related communications should be within the scope of the mandate for or assignment to the particular NERC committee or subgroup, as well as within the scope of the published agenda for the meeting. No decisions should be made nor any actions taken in NERC activities for the purpose of giving an industry participant or group of participants a competitive advantage over other participants. In particular, decisions with respect to setting, revising, or assessing compliance with NERC reliability standards should not be influenced by anti-competitive motivations. Subject to the foregoing restrictions, participants in NERC activities may discuss: Reliability matters relating to the bulk power system, including operation and planning matters such as establishing or revising reliability standards, special operating procedures, operating transfer capabilities, and plans for new facilities. Matters relating to the impact of reliability standards for the bulk power system on electricity markets, and the impact of electricity market operations on the reliability of the bulk power system. Proposed filings or other communications with state or federal regulatory authorities or other governmental entities. Matters relating to the internal governance, management and operation of NERC, such as nominations for vacant committee positions, budgeting and assessments, and employment matters; and procedural matters such as planning and scheduling meetings. 6 Meeting Notes Project Management and Oversight Subcommittee (PMOS) Conference Call October 12, 2017 Noon to 1:30 p.m. Eastern Introduction and Chair s Remarks Vice Chair M. Brytowski called the meeting to order at 12:00 p.m. Eastern while the host addressed a technical issue with the web portion. The Chair provided the subcommittee with opening remarks and welcomed members and guests. Members included: Colby Bellville, Michael Brytowski (vice chair), Ken Lanehome, Linda Lynch, Ash Mayfield, Mark Pratt, Kirk Rosener, and Charles Yeung (chair). Observers included: Scott Barfield-McGinnis (secretary). NERC Antitrust Compliance Guidelines and Public Announcement NERC Antitrust Compliance Guidelines and Public Announcement were reviewed by S. Barfield-McGinnis. There were no questions. Agenda Items 1. Review of Agenda M. Brytowski reviewed the agenda with members and attendees. 2. Consent Agenda A motion was made by A. Casuscelli to approve the consent agenda. The motion was properly seconded. The motion carried unanimously. 3. Introduction of New Members Each of the three new members provided a brief introduction as follows: a. Colby Bellville with Duke Energy provided the group with his background working in compliance. b. Linda Lynch recently joined Florida Power and Light. She has worked with Common Wealth Edison, SERC, and Burns McDonnell. c. Kirk Rosener with CPS Energy provided his background in the Cyber area of NERC standards and recently underwent an audit. 4. Review of Prior Action Items Agenda Item 2a Project Management and Oversight Subcommittee December 6, 2017 S. Barfield-McGinnis reported that the following action items from September 7, 2017 were completed: a. C. Yeung and M. Brytowski reviewed the three nominees outside of the meeting and decided to appoint all three. They notified the three nominees of their appointments and about the upcoming PMOS meetings.

7 b. Project has not solidified enough to create a baseline. The team, once appointed, should be able to provide a baseline schedule in December c. C. Yeung has been added to the INT Standards Periodic Review. 5. Project Tracking Spreadsheet (PTS) and Project Review a Geomagnetic Disturbance Mitigation baseline schedule S. Barfield-McGinnis updated the PMOS members that the project is ready for final ballot; however, the team made a correction in the Implementation Plan that is going before the Standards Committee (SC) on October 18, 2017 for their concurrence that the change is non-substantive in nature and is a correction. If so, the project will move to final ballot on October 20, 2017 according to the internal NERC scheduling. If the standard passes it will be delivered to the NERC Board of Trustees (Board) at their November 2017 meeting for adoption. b Establish and Communicate System Operating Limits K. Lanehome reported the project is currently in a comment period. c Single Points of Failure TPL-001 M. Pratt reported that the standard drafting team (SDT) received approval by the SC (at the September 7, 2017 meeting in St. Paul) to post the revised Standard for a 45-day comment and ballot period (initial ballot). The standard is currently in a 45-day comment period and includes an initial ballot that will end on October 23, Comments and ballots are due October 23, The SDT decided to solicit industry feedback during the comment period regarding Planning Coordinator and Reliability Coordinator coordination aspect of the Standard in determining which equipment outages to include in studies. This will inform the team of any need to pursue a different option (such as opening up IRO-017-1) and provide support in lobbying the SC for a revised Standard Authorization Request (SAR), if that becomes necessary. M. Pratt anticipates a team call sometime in early November to divvy up the comments to SDT members for drafting responses. Meeting planned for the week of November 27th for the SDT to formally address industry comments. d Modifications to Critical Infrastructure Protection (CIP) Standards K. Lanehome reported that Part c in the PTS is currently posted for a 45-day formal comment period and initial ballot through October 30, 2017 concerning Transmission Owner Control Centers that are performing Transmission Operator (TOP) obligations. Also, on Part d concerning Virtualization, the SDT has posted the documents for a second 30-day informal comment period to obtain additional information. e Cyber Security Supply Chain Management S. Barfield-McGinnis reported on behalf of B. Hampton and noted that the project had been filed and is pending regulatory approval. Based on prior action of the PMOS, the project would be archived and no longer tracked by the PMOS. f Modifications to PRC C. Yeung deferred the update to S. Barfield-McGinnis. He noted that the SDT was ready to post for final ballot; however, the SDT increased the time allotment in the Implementation Plan based on comments to ensure a timely approval did not Project Management and Oversight Subcommittee Conference Call Meeting Notes October 12,

8 result in version two becoming effective before the effective dates established by version one. He added that the Implementation Plan is going before the Standards Committee (SC) on October 18, 2017 for their concurrence that the change is non-substantive in nature and is correcting a technicality. If so, the project will move to final ballot on October 24, 2017 according to the internal NERC scheduling. If the standard passes it will be delivered to the Board at their November 2017 meeting for adoption. g Modifications to BAL A. Casuscelli reported that the Operating Committee reviewed the work and submitted an 11 page technical document recommendation to the team and SC with a request to authorize posting of the Standard Authorization Request. h Modifications to Personnel Performance, Training, and Qualifications Standards M. Brytowski reported that even though the project seemed straight forward, it is approaching a two-year time line. He noted a discussion with the team chair and project developer. One issue with the work was changing the template, a team meeting was deferred due to riots in Charlotte, North Carolina, delays coordinating a meeting with the Standing Review Team that performed the original grading for the periodic review, and a deferred meeting due to the hurricane in Houston, Texas. i Periodic Review of FAC Standard M. Pratt reported that the periodic review team (PRT) met in Ontario last week (week of September 25 th ). The PRT concluded their review and developed a draft report with a recommendation of YELLOW which is defined as: The standard is sufficient to protect reliability and meet the reliability objective of the standard; however, there may be future opportunity to improve a non-substantive or insignificant quality and content issue The report was provided to the Periodic Review Standing Review Team (PRSRT) for review on October 11. The plan is to post sometime in November for a 45-day stakeholder comment period assuming favorable feedback from the Standing Review Team, and to have another face-to-face meeting in January to finalize the recommendation for Board approval. j Periodic Review of Interchange Scheduling and Coordination Standards C. Yeung reported that the PRT had the first meeting at the NERC offices in Atlanta, Georgia on August 23-24, The PRT will continue to review the standards and schedule another meeting. k Project NUC Periodic Review A. Casuscelli reported that the first inperson SDT meeting is scheduled for the week of September 11, 2017 at NERC offices in Washington, DC. The SDT has a call scheduled for today to discuss potential travel issues resulting from hurricane Irma. l Modifications to BAL K. Lanehome reported that NERC solicited additional nominees for the SDT in August. The recommended nominees are expected to be presented to the SC at their October 2017 meeting. m Standards Alignment with Registration M. Brytowski reported that SDT member recommendations will go to the SC at its October meeting for approval. 9 be scheduled and held when there is a team roster to share. Once a meeting is held, the SDT will finalize a projected project schedule. 6. Project Assignments a. L. The team reviewed the SC schedule of in-person meetings and conference calls. The PMOS inperson meetings will be held from 8:00-10:00 a.m. prior to the SC meeting. The members decided to have interim conference calls approximately halfway between the in-person meetings. The schedule will be posted and announced. S. Barfield-McGinnis noted that a NERC staff should setup and send invitations to all the members. A. Mayfield made a motion to approve the 2018 PMOS Schedule and it was properly seconded, and was accepted by unanimous vote. 8. Future meeting(s) a. In-person meeting at NERC in Atlanta, Georgia on Wednesday, December 6, 2017 from 8:00 to 10:00 am. Eastern. 9. Action Items a. Add three new members to projects (S. Barfield-McGinnis) b. Barfield introduced Latrice Harkness, NERC Senior Standards Developer, noting that she was observing the conference call since he will not be able to attend the December meeting. 15 Agenda Item 5.1 Project Management and Oversight Subcommittee December 6, 2017 Project Management and Oversight Subcommittee Scope Approved by the Standards Committee December 8, 2014 Purpose The Project Management and Oversight Subcommittee (PMOS) works with NERC staff to support industry subject matter experts (SMEs) in all aspects of standard development. This includes advising and supporting Standard Drafting Teams (SDTs), periodic review teams, and special projects to achieve standard goals specified in the Reliability Standards Development Plan. The PMOS reports to the full Standards Committee (SC). Activities The PMOS shall have, at a minimum, the following duties: 1. Support all Standard Authorization Request (SAR) drafting teams and SDTs by providing any specialized resources as may be needed to resolve issues and increase productivity and quality to reach consensus and/or meet its milestones and deadlines. a) Assign a PMOS liaison(s) for each active standard development project who will provide oversight and support and maintain regular contact with the SDT Chair and NERC Standards Staff; b) Facilitate SAR drafting teams and SDTs use of stakeholder technical SMEs and NERC technical, standing, and regional committees for consultation, comments, and endorsement, as needed; and c) Work with the SC Chair, Vice Chair, and NERC Standards Developer to support SAR drafting teams and SDTs to actively gain stakeholder consensus throughout all project activities. Consensus approaches may include, but are not limited to, outreach to individual industry SMEs and trade associations and webinars and workshops. 2. Work with NERC staff to develop preliminary project timelines to set the expectation prior to the solicitation of an SDT so that prospective members of an SDT can understand and commit to meeting the project timeline, including milestones, at the time of their nomination and appointment. 3. Work closely with NERC staff and the SDTs to establish milestones and deadlines for all SC work activities relating to standard development, up to and including NERC Board of Trustees approval. a) Assist NERC staff and SDTs with the development of an initial project schedule for approval by the SC as referenced in Standard Processes Manual Section 4.4.1; b) Actively monitor and assist NERC staff in the oversight of SDT milestones and deadlines, extending or expediting milestones and deadlines as appropriate;

16 c) Work with NERC staff to develop and refine project management tools, such as dashboards and project charting for tracking projects and communicating the status of projects, including the reasons for and plans to address any schedule deviations; and d) Track the status of all existing and pending Reliability Standards, including when a Reliability Standard is considered completed. Membership 1. PMOS membership and participation is open to SC members and interested parties. 2. The need to add or replace members will be evaluated at least annually and nominations for new members may be solicited as necessary. The PMOS officers will select the new PMOS members. 3. The size of PMOS will be determined by the workload needs of the Subcommittee. 4. Members will serve two year staggered terms with no term limits. 5. The SC Chair and Vice Chair may participate in and support the PMOS as non members. 6. A NERC staff member will be assigned as the non voting PMOS Coordinator. Officers 1. The SC Chair will appoint the PMOS officers (Chair and Vice Chair) for a specific term (generally two years). 2. The PMOS may recommend officer candidates for the SC Chair s consideration following a supporting motion by the PMOS membership. This may be via a nominating committee and/or election. 3. The PMOS officer appointment will be made at the third quarter SC meeting. 4. At least one PMOS officer must also be a member of the SC. 5. The PMOS Chair or Vice Chair will set the agenda and preside over the meetings and calls. 6. PMOS officers will generally serve two-year terms with no term limits. 7. The PMOS Vice Chair should be available to succeed the PMOS Chair. Reporting 1. The PMOS is accountable to the full SC and will report jointly with NERC staff on the status of all SDT activities and any issues at regularly scheduled SC meetings and calls. 2. 17 Meetings 1. The PMOS will generally follow the approach used by the SC. 2. Four to six open meetings per year, or as needed. Emphasis will be given to conference calls and webbased meetings. 3. Members of the PMOS may not send a proxy. 4. PMOS meetings are open to any and all interested parties.
