1 Exhibit 1 : Terms and cnditins fr dmain name registratins under the ".ie" dmain perated by IEDR Versin - April Definitins Acceptable Use Plicy means the plicy f same name as published n the Site frm time t time; Agreement means the cntract between the Registrant and IEDR cmprising these terms and cnditins as mdified frm time t time and the Rules; the Applicant r applicant means the persn having applied fr the registratin f a particular name in the ie dmain; bad faith shall have that meaning as set ut in clause 10.b).2 belw; clause means sectin and visa versa; the Distance Selling Regulatins mean the Eurpean Cmmunities ( Prtectin f Cnsumers in Respect f Cntracts made by means f Distance Cmmunicatins ) Regulatins 2001 as amended; dmain name means a dmain name registered under the.ie Tp Level Dmain; "IEDR" means the Irish nt fr prfit rganisatin IE Dmain Registry Limited currently situated at 2 Harbur Square, 4th Flr, Dun Laghaire, C Dublin, administratr f the ".ie" dmain; legitimate interests shall have that meaning as set ut in clause 10.b).3 belw; "the Registrar" means the undertaking that enters int a nn-exclusive registrar agreement with IEDR and btains frm IEDR the right t apply fr the registratin and renewal f dmain names under the ".ie" dmain n behalf f applicants and Registrants respectively; "the Registrant" means the persn having btained the registratin f a particular name in the ".ie" dmain; register means the database f all registered.ie dmain names, perated by IEDR; The Registry means IEDR; the Rules mean all rules and regulatins applicable t the.ie Tp Level Dmain, including withut limitatin the IEDR Registratin Plicy, the IEDR Naming Plicy, the Acceptable Use Plicy, these Terms and Cnditins, the WHOIS Plicy n the Site, the IEDRP Rules, as published amngst thers n the Site and the WIPO, Services mean prcessing applicatins t register r renew a dmain name, in the light f the Rules, maintaining verall wnership, cntrl and respnsibility fr the register, making change t the register at Registrant request r at the request f yur Registrar if the dmain name is nt n hld, r prviding infrmatin abut the.ie dmain name system r any services available thrugh the Site. the Site means This Agreement By applying t register a dmain name whether directly t IEDR r thrugh a Registrar, and by using a dmain name pst Registratin, the applicant in the case f any applicatin fr registratin f a dmain name and the Registrant in the case f an already registered dmain name, represent and warrant t IEDR (i) that they have read, understd and accepted this Agreement including in particular the limitatins and exclusins frm liability set ut in clause 12 belw (ii) that the prvisins f this Agreement are separate frm any agreement with the Registrar wh acts fr them r any f them. 2. Acceptable dmain names Subject t these terms and cnditins, IEDR will nt accept the fllwing dmain names fr registratin. Names that are already registered ("first cme, first served" principle), names in the MSD prcess, names that are blcked r names that are n hld. Names that are nt registrable as determined by IEDR frm time t time r that are prescribed by law r regulatin, as nt registrable r which may nt be used as part f a dmain name. Names that cnsist f characters ther than "a-z", "A-Z", "0-9" and "-", r that start r end with "-" (as recmmended in RFC 1035, published n the web site f IEDR). Names f less than tw (2) r mre than sixty-three (63) characters. Names with tw letters; Names with "-" n the third and the furth psitin. Names t which the applicant has nt been able t authenticate its claim. Names that d nt cntain letters frm a single script nly. Names which cnsist exclusively f an alpha -2 cuntry cde. Names will be registered fr the persn whse applicatin is cmpleted first. An applicatin is cmplete when it is received by the IEDR cmputer system (nt when it was sent), and when all relevant infrmatin and requirements required by the IEDR Registratin Plicies and Naming Plicies has been received and satisfied. The refusal t register a dmain name des nt create any rights (pririty rights r ther) fr the applicant. The applicant may file a new applicatin in respect f a different dmain name, in cmpetitin with anybdy else, if that name later becmes available t the public.

Registratin, placing n hld, revcatin, terminatin a) After the Registrant (r the Registrar if selected as his billing agent) satisfies and cmpletes the registratin prcess and requirements and pays the registratin fees, the Registrant is granted subject t these terms and cnditins the right t register in the registry, its dmain name and its name as Registrant. The Registrant acknwledges, that by IEDR registering the dmain name, IEDR are nt acknwledging that the Registrant has any rights in any wrds within the dmain name, and IEDR are nt prviding an authrisatin t the Registrant t use the dmain name as part f a business. b) Registratin subject t these terms and cnditins is valid fr ne year (r such lnger term if registered and paid fr as a multi-year registratin ) and is renewable as far as the registratin fee has been settled. c) A dmain name is put n hld if IEDR is ntified that appeal prceedings, r legal prceedings, whether within r utside the scpe f a curt f law, are in prgress ver that name. A dmain name that is n hld cannt be transferred r deleted, nr can the details f the Registrant be mdified. The Registrant can, hwever, still use his dmain name. d) IEDR may terminate the registratin f a dmain name if the Registrant submits false, misleading r fraudulent infrmatin r dcumentatin during the registratin prcess r breaches any f the terms and cnditins f the dmain name registratin as published by IEDR frm time t time. In case f a breach f the terms and cnditins, IEDR can send a reminder by t bth the Registrar and the Registrant infrming them that the registratin will be terminated if the breach is nt remedied within 14 days. e) IEDR may terminate this Agreement if the Registrant breaches any f the terms and cnditins f this Agreement and des nt rectify such breach within 30 days f a request frm IEDR that it des s. f) In additin t the freging, IEDR may (but shall nt be bliged t) transfer (in the circumstances set ut in clause 6d), cancel r revke, alter, r amend a dmain name registratin, place a dmain name registratin n hld r prevent its renewal, n any f the fllwing grunds: fi) if fees wing t IEDR in respect f a dmain name are nt paid within 30 days f a request by IEDR that they be discharged; fii) if the dmain name is used fr any unlawful purpse; fiii) in rder t satisfy the requirement f a decisin f a curt, regulatry authrity, act f gvernment r decisin f any dispute reslutin authrity r extra judicial bdy; fv) where the dmain name is defamatry, racist r cntrary t public plicy; fvi) if the dmain name has been registered by the Registrant withut rights r legitimate interest in the name; fvii) if the dmain name has been registered r is being used in bad faith; fviii) n Registrant s instructins (including the absence f instructins see sectin 3h)) r the instructins f a Registrar; fix) if IEDR reasnably believe that the changes t update the Register r t crrect any errr ambiguity r inaccuracy relating t the dmain name registratin (including an errr in making the dmain name available fr registratin r an errr in a previus cancellatin f the dmain name) wuld make it mre accurate; fx) if the Registrant withdraws its permissin t having its persnal data displayed n the WHOIS; fxi) t carry ut the decisin an expert has made under the clause 10 dispute reslutin prcess; fxii) if the dmain name is ffered fr sale, and the Registrant refuses t withdraw the sale ntice, within the time perid specified n the Site. g) IEDR may cancel r place a dmain name n hld by ntifying the Registrant if the dmain name is being used in a way that is likely t endanger any part f the dmain name system r IEDR systems and internet cnnectins. h) If the Registrant is an individual, this Agreement will end if the Registrant dies and the persn legally appinted t deal with the Registrant s assets after the Registrant dies des nt transfer (in accrdance with clause 6d) the dmain name (either t themselves r smene else) within a year f his r her death (r at the end f the persnal representative s appintment whichever cmes first). i) If the Registrant is nt an individual, this Agreement will end if the Registrant ceases t trade, r ges int liquidatin. j) If the Registrant is a cnsumer within the meaning f the Distance Selling Regulatins the Registrant may have a right t cancel the Registratin f a dmain name t which these terms and cnditins apply. This right must be claimed within seven wrking days f the start f the services (which include any security checks related wrks). If this ccurs, IEDR will cancel the registratin f the dmain name and as envisaged in Article 6-3 f the EC Directive 97/7/EC, n refund will be prvided t the Registrant. fiv) where the dmain name is identical r cnfusingly similar t a name in respect f which a right is recgnised r established by natinal r cmmunity;

Fees and payment a) The Registrant agrees and acknwledges that the Registrar acting n his behalf shall pay the initial registratin fee and the renewal fee t IEDR accrding t the agreement between the Registrar and IEDR. The fees are set ut n the Site and may be mdified at any time and shall be published n the Site. Any such mdified fees shall have applicatin t the Registrant in respect f any service prcured by the Registrant pursuant t this Agreement 30 days after the mdified fees are published n the Site. b) The Registrar has access t the cmputer system f IEDR in rder t verify the status and renewal date f the dmain names that it manages. The Registrar shall be respnsible fr infrming the Registrant in a timely manner that registratin f his dmain names is due t be renewed. c) IEDR is nt respnsible r liable fr the Registrar's nnpayment f registratin r renewal fees, which may result in the nn-registratin r suspensin and subsequent deletin f a dmain name (even if the Registrant has paid the Registrar). 5. Obligatins f Registrant 5.1 Thrughut the term f the registratin f a dmain name, the Registrant undertakes: t keep its cntact infrmatin, as referred t in the Registratin Plicy, accurate, cmplete and up t date (i) with the Registrar frm whm the Registrant acquires registratin services and (ii) with the Registry (via the Registrar r direct) as described in the Registratin Plicy; t ntify IEDR f any legal prceedings invlving a dmain name; t prvide any identificatin r dcumentary evidence IEDR reasnably ask fr and allw IEDR t keep cpies f these dcuments fr IEDR files; t keep secret and safe any passwrds the Registrant is issued with, r has, that are suppsed t be r are required t be kept secret, fr use with IEDR r fr accessing IEDR systems. IEDR is entitled t assume that any actin dne r requested using that passwrd was dne r requested by the Registrant r by smene authrised t act fr the Registrant. IEDR has prcedures fr dealing with lst, revked r cmprmised passwrds which it shall be entitled t enfrce as against the Registrant t ntify IEDR f the details f name servers fr the dmain name which the Registrant is allwed t use and which are active at the time f registratin. 6. Agreement between Registrant and Registrar, Change f Registrar and Transfer a) The registratin and renewal prcess with IEDR will be cnducted by the Registrant thrugh an accredited Registrar, wh is acting n behalf f the Registrant. IEDR shall make available n its web site a list f the accredited Registrars, and a cpy f the typical agreement between IEDR and the Registrar. IEDR is nt a party t the agreement between the Registrant and his Registrar and incurs n bligatin r liability arising frm that agreement. b) If a Registrar is n lnger an authrised Registrar because the agreement with IEDR is terminated r expires, IEDR will re-designate the accunt as a Direct Custmer frm which time new terms and cnditins will apply, including the Direct Registrant pricing set ut n the IEDR website. A 30 day ntice perid will apply. c) If the Registrant wishes t change the Registrar frm whm it purchases registratin services:- ci) such a change shuld be initiated by the Registrant requesting his current Registrar t mve the dmain names t the ther Registrar. The ther Registrar must be an IEDR accredited Registrar f the registry. cii) where Registrant s current Registrar refuses t make the necessary changes, Registrant shuld cntact IEDR direct with a written request signed by the AdminC that IEDR make the necessary change and prvide whatever infrmatin IEDR reasnably request. ciii) Where IEDR effect the change f Registrar, this will nt affect any bligatin which the Registrant may have t his current Registrar. d) The Registrant acknwledges that IEDR will nly facilitate the transfer f a dmain name by the Registrant t anther Registrant in (i) the circumstances set ut in clause 3h) abve and (ii) in the circumstances f the acquisitin, sale, merger, f the Registrant s cmpany. Any such request shuld be directed t Registrant s Registrar in the first instance. e) t ntify IEDR if its agreement with its Registrar terminates fr any reasn r expires t cmply at all times with this Agreement, and in using each dmain name fr which it has a registratin, it undertakes t cmply with all applicable laws, regulatry requirements and additinally the Rules f IEDR as published frm time t time.

Privacy plicy a) The Registrant hereby authrises and permits IEDR t prcess persnal and ther data required t perate the ".ie" dmain name system in accrdance with these terms and cnditins and the terms f the IEDR Privacy Statement as set ut n the IEDR Site frm time t time. IEDR shall nly use this data as set ut in the Privacy Statement r as prvided in these terms and cnditins IEDR may nly transfer this data t third parties in accrdance with the terms f the Privacy Statement r if rdered t d s by the public authrities (lcal r natinal, judicial r administrative), upn demand f WIPO mentined in sectin 10 r as prvided in paragraph (c) f this sectin. The Registrant has the right t access his persnal data and t arrange fr it t be amended, where errrs exist. b) The Registrant shall keep IEDR immediately infrmed thrugh the Registrar f any change in name, address, address, telephne and fax numbers. An missin r delay in infrming IEDR f such changes may result in the terminatin f the registratin. c) The Registrant hereby authrises and permits IEDR t make the fllwing persnal data accessible n its website (thrugh the s called WHOIS-search facility) - alng with sme ther technical data - t guarantee the transparency f the dmain name system twards the public: Name, Descriptin, and Class f Registrant; Categry f dmain name Date f renewal and status f the dmain name; Name and nic-handle f Registrant (admin-c); Name and nic-handle f Technical cntact (tech-c) The Registrant als authrises IEDR t transfer this data t third parties within the scpe f dmain name infrmatin r mnitring services. Third parties r Authrities including plice, The Curts r ther law enfrcement agencies that want t knw the persnal data f a Registrant and that have legitimate reasns fr such a disclsure, can send a request t IEDR. IEDR will evaluate the invked legitimacy fr the disclsure and take a decisin whether r nt t cmmunicate the requested data. 8. Representatins and warranties, authrity a) The Registrant represents and warrants during the term f registratin f a dmain name that: 1. all statements made during the registratin prcess and the term f the registratin are true, cmplete and accurate; 2. registering the dmain name and using the dmain name will nt infringe r therwise vilate the rights f a third party; 3. the dmain name is nt registered fr and will nt be used fr an unlawful purpse; 4. the dmain name is nt used r will nt be used in vilatin f any applicable laws r regulatins, such as a name that helps t discriminate n the basis f race, language, sex, religin r plitical view; 5. the dmain name is nt cntrary t public plicy r mrality (e.g. bscene r ffensive names); 6. the dmain name was nt registered, withut rights r legitimate interests in the dmain name nr was it registered in bad faith nr will it be used in bad faith; 7. the Registrant is entitled t register the dmain name and the Registrant has nt registered the dmain name in any way that fails t meet with any legal bligatin the Registrant has b) The Registrant authrises IEDR t act n the instructins f and cmmunicate with whichever Registrar the Registrant designates frm time t time and with whichever legal representative the Registrant designates frm time t time. Accrdingly the Registrant acknwledges and agrees that IEDR are entitled t treat any cmmunicatin t r frm the Registrant s Registrar as being t r frm the Registrant. 9. Change f terms and cnditins a) This Agreement and the Rules are dynamic and subject t change. b) If IEDR at its sle discretin pts t change this Agreement and r the Rules it will make the new r mdified Agreement and r Rules available t the public by psting them n its web site at least thirty (30) days befre the new r mdified Agreement and r Rules take effect. Each applicatin fr registratin f a dmain name will be handled accrding t the Agreement and r Rules in effect n the date the applicatin is cmplete. c) Withut prejudice t clause 9(b) IEDR may mdify the technical registratin rules f sectin 2 withut the applicatin f the mentined minimum delay f thirty (30) days. Such mdificatins will take effect frm the mment f their annuncement n the website f IEDR. IEDR can nly make use f this specific prcedure as far as thse mdificatins seem justified within the natinal r internatinal technical cntext and as far as they are intended t prevent registratins f a speculative nature. d) IEDR shall be under n bligatin t infrm Registrants, whse dmain names have been rejected in the past, that new rules apply, even if the rejected names wuld be allwed under the new rules. 10. Dispute reslutin plicy a) Dispute reslutin. The Registrant shall submit the fllwing disputes t IEDR s alternative dispute reslutin prceedings and accepts in this regard the cmpetence f WIPO as an accredited Dispute Reslutin Entity. The Registrant accepts that thse prceedings shall be cnducted by WIPO in accrdance with the prcedures n the web site f IEDR. The prcedure will

5 be cnducted in the English language. Every dispute will be gverned by the dispute reslutin plicy applicable when the cmplaint is filed. b) Applicable disputes. 1. The Registrant shall submit a dispute t alternative dispute reslutin prceedings if a third party (a "Cmplainant") asserts t WIPO, in cmpliance with the rules f prcedure, and prves that : i. the Registrant's dmain name is identical r cnfusingly similar t a trademark, a trade name, a scial name r crpratin name, a gegraphical designatin, a name f rigin, a designatin f surce, a persnal name r name f a gegraphical entity in which the Cmplainant has rights; and ii. the Registrant has n rights r legitimate iii. interests in the dmain name; and the Registrant's dmain name has been registered r is being used in bad faith. 2. The evidence f such in bad faith registratin r use f a dmain name can inter alia be demnstrated by the fllwing circumstances: circumstances indicating that the dmain name was registered r acquired primarily fr the purpse f selling, renting, r therwise transferring the dmain name t the Cmplainant wh is the wner f the trademark, trade name, scial name r crpratin name, gegraphical designatin, name f rigin, designatin f surce, persnal name r name f the gegraphical entity, r t a cmpetitr f that Cmplainant, fr valuable cnsideratin in excess f the csts directly related t the dmain name; r the dmain name was registered in rder t prevent the wner f a trademark, a trade name, a scial name r crpratin name, a gegraphical designatin, a name f rigin, a designatin f surce, a persnal name r a name f a gegraphical entity frm reflecting this name in a crrespnding dmain name, prvided that the Registrant has engaged in a pattern f such cnduct; r the dmain name was registered primarily fr the purpse f disrupting the business f a cmpetitr; r the dmain name was intentinally used t attract, fr cmmercial gain, Internet users t the Registrant's web site r ther n-line lcatin, by creating a likelihd f cnfusin with the Cmplainant's trademark, trade name, scial name r crpratin name, gegraphical designatin, name f rigin, designatin f surce, persnal name r name f a gegraphical entity as t the surce, spnsrship, affiliatin, r endrsement f the Registrant's web site r lcatin r f a prduct r service n his web site r lcatin. If a cmplaint is filed, the Registrant can demnstrate his rights r legitimate interests t the dmain name by the fllwing circumstances: prir t any ntice f the dispute, the Registrant used the dmain name r a name crrespnding t the dmain name in cnnectin with a bna fide ffering f gds r services r made demnstrable preparatins fr such use; r the Registrant (as an individual, business, r ther rganizatin) has been cmmnly knwn by the dmain name, even if he has acquired n trademark; r the Registrant is making a legitimate and nn-cmmercial r fair use f the dmain name, withut intent fr cmmercial gain t misleadingly divert cnsumers r t tarnish the trademark, trade name, scial name r crpratin name, gegraphical designatin, name f rigin, designatin f surce, persnal name r name f the gegraphical entity at issue. c) Rules f prcedure. The rules f prcedure f WIPO state the prcess fr initiating and cnducting the prceedings and fr appinting the Administrative Panel that will decide the dispute. The rules f prcedure shall determine the fees that the Cmplainant shall pay. WIPO publishes the rules f prcedure n its web site. d) Nn-interventin f IEDR. IEDR des nt, and will nt, participate in the administratin r cnduct f any prceedings befre the Administrative Panel. Neither IEDR, WIPO r the Administrative Panel will be liable as a result f any fault made in the dispute reslutin prcess, except fr intentinal faults. e) Remedies. The remedies available t a Cmplainant under any prceedings befre the Administrative Panel are limited t requiring the Deletin f the dmain name registratin r the transfer f the dmain name t the Cmplainant. f) Ntificatin and publicatin. WIPO shall publish all decisins under this dispute reslutin plicy n the Internet during a reasnable term. IEDR shall als be infrmed f these decisins. If the Registrant is invlved in ther legal prcedures cncerning his/her dmain name, he/she shall infrm IEDR f the final decisin(s). IEDR may decide t publish the decisins referred t in the present sectin. g) Curts f cmpetent jurisdictin. The submissin t the IEDR s alternative dispute reslutin prcedures des nt prevent either the Registrant r the Cmplainant frm submitting the dispute t a curt f cmpetent jurisdictin fr independent reslutin befre, during r after thse prceedings. If the Administrative Panel decides that the dmain name registratin shuld be cancelled r transferred,

6 IEDR will implement that decisin 21 days after being infrmed f the Administrative Panel's decisin except if the Registrant has started the appeal prcedure f the dispute reslutin in due time. If the appeal prcedure was started in time, IEDR will nt take further actin (whilst leaving the dmain name n hld) until the appeal prcedure has ended r has been cancelled. h) Other disputes. All ther disputes between the Registrant and any party ther than IEDR ver the dmain name registratin that are nt brught under the IEDR s alternative dispute reslutin prcedures shall be reslved thrugh any curt prceedings, arbitratin r ther available prceedings, such as the IEDR s Appeals Prcedure, set ut n its website. i) Defences. IEDR will nt participate in any dispute between the Registrant and any party ther than IEDR ver the registratin and use f the dmain name, neither in the IEDR s alternative dispute reslutin prceedings, nr in any ther prceedings. The Registrant shall nt name IEDR as a party r therwise include it in any such prceedings. If IEDR is named as a party in any such prceedings, it reserves the right t raise any and all defences deemed apprpriate, and t take any ther actin necessary t defend itself. j) Dmain name n hld. As sn as a request fr alternative dispute reslutin is prperly filed with WIPO and the apprpriate fee is paid, WIPO shall infrm IEDR f the identity f the Cmplainant and the dmain name invlved. IEDR shall immediately put the dmain name invlved "n hld", under sectin 3 f these terms and cnditins. The dmain name remains n hld until the end f the prceedings set ut in paragraph (g). k) Csts f dispute reslutin. The dispute reslutin fee is payable by the Cmplainant. The ptential financial lss fr the Registrant is the result f the risk that the latter tk fr the speculative registratin f dmain names n which third parties have rights. 11. The Registry and Cmmunicatin between the Registry and the Registrant. a) IE Dmain Registry Limited is registered in the Republic f Ireland (CRO number ), 2 Harbur Square, 4th Flr, Dun Laghaire, C Dublin, Republic f Ireland, phne number , address [ hstmaster@iedr.ie]. Vat Registratin Number V. b) The Registrant authrises IEDR t cmmunicate with it via r by pst at IEDR s discretin. c) Any fficial cmmunicatin between IEDR and the Registrant may be effected by and r by registered pst: (c i) if t IEDR t : hstmaster@iedr.ie r by registered pst t the address f IEDR as set ut abve ; 12. Exclusins and Limitatins f Liability a) Nthing in this Agreement shall be taken t exclude r limit IEDR s liability fr death r persnal injury caused by its negligence under applicable law. b) IEDR limits its liability fr physical damage t tangible prperty caused by its negligence t the sum f 250,000 fr any event r series f cnnected events. Damage t r lss f data shall nt cnstitute physical damage t tangible prperty. c) Subject t 12 a) abve, all representatins, terms, cnditins and all warranties whether express r implied by statute, law r therwise including under s 39 f the Sale f Gds and Supply f Services Act 1980, relating t the prvisin f the Services and the peratin f the IEDR systems and the data in them are excluded t the maximum extent permissible by law; d) IEDR will nt be liable t the Registrant whether under cntract law, trt r under statute arising frm any breach by IEDR f the prvisins f this Agreement including withut limitatin breach in relatin t the prvisin f the Services, fr: di) indirect r cnsequential lss; dii) any lss f prfit, revenue, lss f business r cntracts; r lss f expected savings r gdwill; diii) any mistake r missing infrmatin in the register; div) any lss f registratin r use f a dmain name, r bth dv) r default by IEDR in registratin r renewal (fr whatever reasn and whether temprary r therwise), f the dmain name; r dvi) any; errr cncerning identity f a registrant; r dvii) technical prblems r faults with the Site r inability t access the Site; r dviii) third party claims in respect f a dmain name; r dix) acts r missins f the Registrar regarding the applicatin, registratin r renewal f dmain names which may result in the nn-registratin r Deletin f a dmain name. e) IEDR exclude any liability whatsever t the Registrar and any Registrant t whm the Registrar prvides services t, as a result f any failure r inaccuracy, delay r errr in the peratin f the IEDR Site, systems r the infrmatin in them. f) IEDR s liability t the Registrar under this Agreement fr any direct lss r damage in any 365 day perid r part theref fr any breach r series f breaches whether r nt cnnected t this Agreement, shall be limited t an amunt crrespnding t the fees IEDR received frm the Registrar in that perid r 5,000 Eur whichever is lwer. g) The Registrant shall indemnify and keep IEDR indemnified in full n demand against any claim (and the resulting csts, including legal fees, lss r expense) riginating frm the use r registratin f a dmain name that infringes the rights f a third party. (c ii) if the Registrant : the Administrative Cntact (AdminC) address cmmunicated t the Registry by the Registrant r by the Registrar acting n behalf f the Registrant r by registered pst t the address f the Registrant r his Registrar held by IEDR.

Survival Ntwithstanding the expiry f this Agreement, r terminatin f this Agreement fr any reasn, by either party theret, such expiry r terminatin shall nt affect the cming int frce r the cntinuance in frce f any prvisin f this Agreement which is expressly r by implicatin intended t cme int frce r cntinue in frce n r after that terminatin r expiry. Withut prejudice t the freging, sectins 4, 7, 8, 12,13,14 and 15 shall survive the expiry r terminatin f this Agreement hwsever caused. 14 Headings The headings and captins t the varius clauses/sectins are fr cnvenience f reference and shall nt affect the cnstructin r interpretatin f this Agreement. 15 Severance In the event that ne r mre prvisins f this Agreement is r becmes r is deemed, illegal, invalid, r unenfrceable in any respect, such invalidity, illegality r unenfrceability shall nt affect any ther prvisin f this Agreement and this Agreement shall be as if such illegal invalid r unenfrceable prvisin(s) had nt been cntained herein. 16. Prper law and jurisdictin This Agreement shall be gverned by the laws f the Republic f Ireland and subject t clause 10, the Registrant submits t the exclusive jurisdictin f the curts f the Republic f Ireland in respect f any dispute arising hereunder. 17. Entire Agreement This Agreement tgether with any dcument referred t in it, are the entire cntract between IEDR and the Registrant in respect f the Services prvided by IEDR, and replace all previus cntracts, understandings and representatins whether spken r written. 18. Assignment IEDR is entitled by ntice t a Registrant t assign, nvate, sub-cntract r therwise dispse f its rights and bligatins under this Agreement t any authrity r bdy established by law r authrised by law r regulatry requirement, in rder fr such bdy t perfrm any f the functins that previusly had been perfrmed by IEDR.
