Subject t the terms and cnditins f this License, each Cntributr hereby grants t Yu a perpetual, wrldwide, nn-exclusive, n-charge, ryalty-free, irrevcable cpyright license t reprduce, prepare Derivative Wrks f, publicly display, publicly perfrm, sublicense, and distribute the Wrk and such Derivative Wrks in Surce r Object frm. 3. Grant f Patent License. Subject t the terms and cnditins f this License, each Cntributr hereby grants t Yu a perpetual, wrldwide, nn-exclusive, n-charge, ryalty-free, irrevcable (except as stated in this sectin) patent license t make, have made, use, ffer t sell, sell, imprt, and therwise transfer the Wrk, where such license applies nly t thse patent claims licensable by such Cntributr that are necessarily infringed by their Cntributin(s) alne r by cmbinatin f their Cntributin(s) with the Wrk t which such Cntributin(s) was submitted. If Yu institute patent litigatin against any entity (including a crss-claim r cunterclaim in a lawsuit) alleging that the Wrk r a Cntributin incrprated within the Wrk cnstitutes direct r cntributry patent infringement, then any patent licenses granted t Yu under this License fr that Wrk shall terminate as f the date such litigatin is filed. 4. Redistributin. Yu may reprduce and distribute cpies f the Wrk r Derivative Wrks theref in any medium, with r withut mdificatins, and in Surce r Object frm, prvided that Yu meet the fllwing cnditins: a. Eclipse Public License - v 1.0 THE ACCOMPANYING PROGRAM IS PROVIDED UNDER THE TERMS OF THIS ECLIPSE PUBLIC LICENSE ( AGREEMENT ). ANY USE, REPRODUCTION OR DISTRIBUTION OF THE PROGRAM CONSTITUTES RECIPIENT'S ACCEPTANCE OF THIS AGREEMENT. 1. Cntributins d nt include additins t the Prgram which: (i) are separate mdules f sftware distributed in cnjunctin with the Prgram under their wn license agreement, and (ii) are nt derivative wrks f the Prgram. Cntributr means any persn r entity that distributes the Prgram. Licensed Patents mean patent claims licensable by a Cntributr which are necessarily infringed by the use r sale f its Cntributin alne r when cmbined with the Prgram. Prgram means the Cntributins distributed in accrdance with this Agreement. Third-Party Licenses 9

14 Recipient means anyne wh receives the Prgram under this Agreement, including all Cntributrs. 2. GRANT OF RIGHTS a. Subject t the terms f this Agreement, each Cntributr hereby grants Recipient a nnexclusive, wrldwide, ryalty-free cpyright license t reprduce, prepare derivative wrks f, publicly display, publicly perfrm, distribute and sublicense the Cntributin f such Cntributr, if any, and such derivative wrks, in surce cde and bject cde frm. b. Subject t the terms f this Agreement, each Cntributr hereby grants Recipient a nnexclusive, wrldwide, ryalty-free patent license under Licensed Patents t make, use, sell, ffer t sell, imprt and therwise transfer the Cntributin f such Cntributr, if any, in surce cde and bject cde frm. This patent license shall apply t the cmbinatin f the Cntributin and the Prgram if, at the time the Cntributin is added by the Cntributr, such additin f the Cntributin causes such cmbinatin t be cvered by the Licensed Patents. The patent license shall nt apply t any ther cmbinatins which include the Cntributin. N hardware per se is licensed hereunder. c. Recipient understands that althugh each Cntributr grants the licenses t its Cntributins set frth herein, n assurances are prvided by any Cntributr that the Prgram des nt infringe the patent r ther intellectual prperty rights f any ther entity. Each Cntributr disclaims any liability t Recipient fr claims brught by any ther entity based n infringement f intellectual prperty rights r therwise. As a cnditin t exercising the rights and licenses granted hereunder, each Recipient hereby assumes sle respnsibility t secure any ther intellectual prperty rights needed, if any. Fr example, if a third party patent license is required t allw Recipient t distribute the Prgram, it is Recipient's respnsibility t acquire that license befre distributing the Prgram. d. Each Cntributr represents that t its knwledge it has sufficient cpyright rights in its Cntributin, if any, t grant the cpyright license set frth in this Agreement. When the Prgram is made available in surce cde frm: a. it must be made available under this Agreement; and b. a cpy f this Agreement must be included with each cpy f the Prgram. Cntributrs may nt remve r alter any cpyright ntices cntained within the Prgram. Each Cntributr must identify itself as the riginatr f its Cntributin, if any, in a manner that reasnably allws subsequent Recipients t identify the riginatr f the Cntributin. 3. REQUIREMENTS A Cntributr may chse t distribute the Prgram in bject cde frm under its wn license agreement, prvided that: a. it cmplies with the terms and cnditins f this Agreement; and i. its license agreement: effectively disclaims n behalf f all Cntributrs all warranties and cnditins, express and implied, including warranties r cnditins f title and nn-infringement, and implied warranties r cnditins f merchantability and fitness fr a particular purpse; ii. iii. iv. effectively excludes n behalf f all Cntributrs all liability fr damages, including direct, indirect, special, incidental and cnsequential damages, such as lst prfits; states that any prvisins which differ frm this Agreement are ffered by that Cntributr alne and nt by any ther party; and states that surce cde fr the Prgram is available frm such Cntributr, and infrms licensees hw t btain it in a reasnable manner n r thrugh a medium custmarily used fr sftware exchange. 4. While this license is intended t facilitate the cmmercial use f the Prgram, the Cntributr wh includes the Prgram in a cmmercial prduct ffering shuld d s in a manner which des nt create ptential liability fr ther Cntributrs. Therefre, if a Cntributr includes the Prgram in a cmmercial prduct ffering, such Cntributr ( Cmmercial Cntributr ) hereby agrees t defend and indemnify every ther Cntributr ( Indemnified Cntributr ) against any lsses, damages and csts (cllectively Lsses ) arising frm claims, lawsuits and ther legal actins brught by a third party against the Indemnified Cntributr t the extent caused by the acts r missins f such Cmmercial Cntributr in cnnectin with its distributin f the Prgram in a cmmercial prduct ffering. The bligatins in this sectin d nt apply t any claims r Lsses relating t any actual r alleged intellectual prperty infringement. In rder t qualify, an Indemnified Cntributr must: a) prmptly ntify the Cmmercial Cntributr in writing f such claim, and b) allw the Cmmercial Cntributr t cntrl, and cperate with the Cmmercial Cntributr in, the defense and any related settlement negtiatins. The Indemnified Cntributr may participate in any such claim at its wn expense. Fr example, a Cntributr might include the Prgram in a cmmercial prduct ffering, Prduct X. That Cntributr is then a Cmmercial Cntributr. If that Cmmercial Cntributr then makes perfrmance claims, r ffers warranties related t Prduct X, thse perfrmance claims and warranties are such Cmmercial Cntributr's respnsibility alne. Under this sectin, the Cmmercial Cntributr wuld have t defend claims against the ther Cntributrs related t thse perfrmance claims and warranties, and if a curt requires any ther Cntributr t pay any damages as a result, the Cmmercial Cntributr must pay thse damages. 5. NO WARRANTY EXCEPT AS EXPRESSLY SET FORTH IN THIS AGREEMENT, THE PROGRAM IS PROVIDED ON AN AS IS BASIS, WITHOUT WARRANTIES OR CONDITIONS OF ANY KIND, EITHER EXPRESS OR IMPLIED INCLUDING, WITHOUT LIMITATION, ANY WARRANTIES OR CONDITIONS OF TITLE, NON-INFRINGEMENT, MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. DISCLAIMER OF LIABILITY EXCEPT AS EXPRESSLY SET FORTH IN THIS AGREEMENT, NEITHER RECIPIENT NOR ANY CONTRIBUTORS SHALL HAVE ANY LIABILITY FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES (INCLUDING WITHOUT LIMITATION LOST PROFITS), HOWEVER CAUSED AND ON ANY THEORY OF LIABILITY, WHETHER IN CONTRACT, STRICT LIABILITY, OR TORT (INCLUDING NEGLIGENCE OR OTHERWISE) ARISING IN ANY WAY OUT OF THE USE OR DISTRIBUTION OF THE PROGRAM OR THE EXERCISE OF ANY RIGHTS GRANTED HEREUNDER, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. 7. If Recipient institutes patent litigatin against any entity (including a crss-claim r cunterclaim in a lawsuit) alleging that the Prgram itself (excluding cmbinatins f the Prgram with ther sftware r hardware) infringes such Recipient's patent(s), then such Recipient's rights granted under Sectin 2(b) shall terminate as f the date such litigatin is filed. 16 All Recipient's rights under this Agreement shall terminate if it fails t cmply with any f the material terms r cnditins f this Agreement and des nt cure such failure in a reasnable perid f time after becming aware f such nncmpliance. If all Recipient's rights under this Agreement terminate, Recipient agrees t cease use and distributin f the Prgram as sn as reasnably practicable. Hwever, Recipient's bligatins under this Agreement and any licenses granted by Recipient relating t the Prgram shall cntinue and survive. Everyne is permitted t cpy and distribute cpies f this Agreement, but in rder t avid incnsistency the Agreement is cpyrighted and may nly be mdified in the fllwing manner. The Agreement Steward reserves the right t publish new versins (including revisins) f this Agreement frm time t time. N ne ther than the Agreement Steward has the right t mdify this Agreement. The Eclipse Fundatin is the initial Agreement Steward. The Eclipse Fundatin may assign the respnsibility t serve as the Agreement Steward t a suitable separate entity. Each new versin f the Agreement will be given a distinguishing versin number. The Prgram (including Cntributins) may always be distributed subject t the versin f the Agreement under which it was received. In additin, after a new versin f the Agreement is published, Cntributr may elect t distribute the Prgram (including its Cntributins) under the new versin. Except as expressly stated in Sectins 2(a) and 2(b) abve, Recipient receives n rights r licenses t the intellectual prperty f any Cntributr under this Agreement, whether expressly, by implicatin, estppel r therwise. All rights in the Prgram nt expressly granted under this Agreement are reserved. This Agreement is gverned by the laws f the State f New Yrk and the intellectual prperty laws f the United States f America. GENERAL CHARGE TERMS Licensee's use f the Prgram may nt exceed the level and type f Authrized Use as indicated in a PE. If Licensee's use f the Prgram exceeds the level indicated in Licensee's PE, Licensee must ntify IBM r an IBM Business Partner and acquire an apprpriate number f licenses. The Prgram is available fr licensing in accrdance with ne r mre f the fllwing levels f use. (1) License Type - Authrized User License: "Authrized User" is the unit f measure by which this Prgram is licensed. An Authrized User is an individual (named r unnamed) within r utside f Licensee's enterprise. The Prgram may be installed n ne r mre cmputers r servers and accessed by the number f users authrized by the Prf f Entitlement (PE). Licensee must have an entitlement fr each Authrized User accessing the Prgram r any Prgram cmpnent in any manner directly r indirectly (fr example: via a multiplexing prgram, device, r applicatin server) thrugh any means. (2) License Type - Client Device License: "Client Device" is the unit f measure by which this Prgram is licensed. A Client device is a cmputing device that requests the executin f a set f cmmands, prcedures, r applicatins frm anther cmputer system that is typically referred t as a server. Multiple client devices may share access t a cmmn server. A Client Device generally has sme prcessing capability r is prgrammable t allw a user t d wrk. Examples include, but are nt limited t, ntebk cmputers, desktp cmputers, desk-side cmputers, technical wrkstatins, appliances, cell phnes, blackberry devices, autmated teller machines (ATMs),, pint-f-sale terminals, tills and cash registers, and kisks. A Cncurrent User is a shared user access t the Prgram within r utside f Licensee's enterprise. The ttal number f Cncurrent Users simultaneusly accessing the Prgram at any mment in time may nt exceed the highest number f Cncurrent Users authrized by the Prf f Entitlement (PE). Licensee must have an entitlement fr each Cncurrent User simultaneusly accessing the Prgram r any Prgram cmpnent in any manner directly r indirectly (fr example: via a multiplexing prgram, device, r applicatin server) thrugh any means. (4) License Type - Per Applicatin License: "Per Applicatin" is the unit f measure by which this Prgram is licensed. A Prf f Entitlement (PE) must be btained fr each Applicatin in which the Prgram is embedded r executed. (2) Licensee may nt use the Prgram n any platfrm that is nt supprted by IBM, as indicated in the dcumentatin. Saxnica License The Enterprise and Prfessinal editins f Saxn are cmmercial prducts released under the terms and cnditins published at These prducts include sme pen surce cmpnents. Althugh yur cntract with Saxnica is entirely defined by the cmmercial license, the existence f an pen surce license fr these cmpnents give yu additinal rights, which are described in this sectin. The surce cde fr Saxn-PE and Saxn-EE can be cnsidered t be in three parts: 1. Surce cde fr which Saxnica Limited wns the cpyright, which Saxnica has chsen t make available t the public under the Mzilla Public License versin 2.0 (arund 250K lines f cde) 2. Surce cde fr which Saxnica Limited wns the cpyright, which Saxnica has chsen t retain as prprietary (arund 90K lines f cde) 3. Open surce cde develped and licensed by third parties and used by Saxnica under the terms f thse licenses (arund 20K lines f cde) The cde in the third categry is in mst cases als used in Saxn-HE (the nly pen surce cde in Saxn-PE r Saxn-EE that is nt als used in Saxn-HE is the ASM bytecde generatin library). In all cases the license under which the cde was used permits the creatin f cmmercial prducts derived frm this cde, and des nt "infect" such prducts with pen surce bligatins. In many cases the relevant license requires a ntice t be published; this is satisfied by inclusin f the relevant ntices in this dcumentatin and als in the ntices directry f the issued prduct. In many cases the relevant license als requires any mdificatins t surce cde t be published; this is satisfied by issuing the surce cde f Saxn-HE, which includes all such mdificatins. Frm Saxn 9.5, the different editins f the prduct (ther than Saxn-CE) are built frm a cmmn surce cde base, and the first stage f building the prduct invlves a preprcessr step, which in sme cases remves selected cde. Yu may use any third party sftware prducts r mdules supplied by ZOHO Crp. slely with the Sftware, unless the licensing terms f the third party sftware prducts r mdules specify therwise. Yu may nt disclse the results f sftware perfrmance benchmarks t any third party withut ZOHO Crp.'s prir written cnsent. This license begins upn dwnlading and ends Frty-five (45) days thereafter ("Evaluatin Perid"). If yu wish t use the sftware after 45 day evaluatin perid, frmal license authrizatin frm ZOHO Crp. is required. If yu are nt willing t use the sftware after evaluatin perid, delete all the cpies installed in yur cmputer with immediate effect. If technical supprt r maintenance services, as described in Sectin 4, are desired, a develpment supprt license needs t be btained frm ZOHO Crp. 3. Distributin License Yu must btain a Distributin License frm ZOHO Crp. fr distributing cmpnents f SNMP API as part f yur applicatin. The Distributin License grants yu a wrldwide, nn-exclusive, nntransferable right t use and distribute permitted cmpnents f SNMP API in binary frm embedded as part f yur applicatin. Unless specifically permitted, yu may nt distribute MIB Brwser applicatin, which is included in the SNMP API Prfessinal Editin. Yu must cntact us t btain the apprpriate Distributin License. Display f Cpyright Infrmatin: Yu must nt remve any f the cpyright infrmatin frm the SNMP API dcumentatin. 4. Develpment Supprt During the develpment phase f yur applicatin, ZOHO Crp. prvides yu the ptin f availing Classic r Premium supprt. The terms f develpment supprt shall be as prvided in Exhibit A. ZOHO Crp. specifically excludes upgrades frm the supprt prgrams. Upgrade t SNMP API will be prvided upn payment f an Upgrade License Fee in accrdance with ZOHO Crp.'s then current pricing plicy. 5. Restrictins n Use Regardless f hw the SNMP API is being used, yu may nt reverse engineer, decmpile, disassemble r therwise attempt t determine surce cde f SNMP API. Yu may nt publish r prvide any results f benchmark tests run n SNMP API t a third party withut prir written cnsent frm ZOHO Crp. During the term f this Agreement, yu shall nt use the SNMP API t develp fr cmmercial distributin sftware prducts that cmpete with SNMP API. 7. Term and Terminatin This Agreement is effective until terminated. Yu may terminate this Agreement at any time by destrying all cpies f SNMP API. This Agreement will terminate immediately withut ntice frm ZOHO Crp. if yu fail t cmply with any prvisin f this Agreement. Upn terminatin, yu must destry all cpies f SNMP API. 8. Warranty Disclaimer and Limitatin f Liability ZOHO Crp. licenses SNMP API t yu n an "as is" basis, withut warranty f any kind. ZOHO Crp. hereby expressly disclaims all warranties r cnditins, either express r implied, including, but nt limited t, the implied warranties r cnditins f merchantability and fitness fr a particular purpse. Yu are slely respnsible fr determining the apprpriateness f using SNMP API and assume all risks assciated with the use f it, including but nt limited t the risks f prgram errrs, damage t r lss f data, prgrams r equipment, and unavailability r interruptin f peratins.
