1 MINUTES OF July 23 & August 2, 2018 DUBUQUE COUNTY BOARD OF SUPERVISORS Present: Jay Wickham, Daryl Klein and Dave Baker Chair Wickham called the meeting to order at 11:30 a.m. WORKSESSION WITH SUNNYCREST ADMINISTRATOR AND FINANCE DIRECTOR The Board met with Sunnycrest Manor Administrator Cris Kirsch and Finance Director Emily Gorsche to discuss finances and budget. Gorsche explained to the Board there are two fees Sunnycrest has to pay; one is called ICF and the other is a nursing home fee. She did not have the ICF in the budget because she was told we don t pay it and it was never in the budget before. County Auditor Denise Dolan stated 1.23 million budgeted includes the prior year s ICF. She asked if she is to transfer the funds at the end of June or leave as is. Klein suggested keeping the money in the county s account and transfer to Sunnycrest as needed rather than putting it all in at once in the beginning. Klein also commended Gorsche for doing a good job as the finance director. Dolan asked if the FY18 money should be transferred to clear up FY18 before starting the FY19 transfers. She recommends $518,000. Wickham said he would be comfortable with that. Motion by Wickham to allocate FY18 $518,051.77, seconded by Baker, carried with Wickham and Baker voting aye and Klein nay. The FY19 cost allocations for IT at Sunnycrest seems high to Gorsche and Kirsch. Wickham suggest they talk with IT Superintendent Nathan Gilmore to figure out why. Gorsche reported over the past year Sunnycrest Manor saved $70,000 by not contracting with Aramark for food and janitorial services. Motion by Klein, seconded by Baker, carried unanimously, to recess at 12:20 p.m. GENERAL ASSISTANCE HEARINGS Upon reconvening at 1:00 p.m. motion by Klein, seconded by Baker, carried unanimously, to enter executive session with General Assistance Caseworkers Doug Slaats and Nick Agan regarding case H Upon returning to regular session motion by Klein, seconded by Baker, carried unanimously, to deny assistance for case H (July 23 & August 2)

The Board welcomed Sims to his position and talked about his experience. It was suggested he study Chapter 20 regarding Union bargaining. WORKSESSION WITH HR DIRECTOR DAWN SHERMAN On the Dubuque County website Sherman had asked for input for naming the new roads buildings. She compiled a list of 28 various name suggestions. Sherman then sent the list to all the department heads to vote for their top five. That list was given to the Board. 312 (July 23 & August 2)

3 Motion by Klein, seconded by Baker, carried unanimously, to name the new Roads, Health, Zoning and County Assessor facility the Dubuque County West Campus. Motion by Klein, seconded by Baker, to recess at 2:45 p.m. WORKSESSION REGARDING THE DUBUQUE COUNTY WEST CAMPUS Upon reconvening at 3:00 p.m. the Board met with County Engineer Anthony Bardgett, FEH Representative Kevin Epperle, Mike Portzen and Ben Mumm from Portzen Construction. Four bids were received with Portzen Construction being the lowest at $10,449,000. IT Superintendent Nathan Gilmore talked about the technology budget for the project. Klein questioned the $323,950 budget and the necessity. There was discussion that will continue. Budget Director Stella Runde and Auditor Denise Dolan talked about the financing of the project. Wickham wants to know more about not raising the tax levy. Motion by Wickham to recess, due to lack of a second motion does not pass. WORKSESSION WITH ZONING ADMINISTRATOR ENTRANCE PERMIT The Board met with Interim Zoning Director Tammy Henry to discuss an entrance permit variance for Gerald & Edward Prier. They would like to install a new residential entrance to their property to be able to access a lot they are selling to Luke & Tammy Amerskamp to build a house. Motion by Klein, seconded by Baker, carried unanimously, to approve the permit. Motion by Wickham, seconded by Klein, carried unanimously, to recess at 4:30 p.m. WORKSESSION WITH COUNTY ENGINEER Upon reconvening at 4:40 p.m. the Board met with Engineer Anthony Bardgett for his project updates. Motion by Klein, seconded by Baker, carried unanimously, to approve and authorize the Chair to sign Resolution RESOLUTION ANNUAL STATUS REPORT FOR D.A.R.E. PROGRAM WHEREAS, Dubuque County has received a Substance Abuse Grant from the Iowa Department of Public Health for FY2018 and is required to file an Annual Status Report in connection with the D.A.R.E. program. THEREFORE, the Dubuque County Board of Supervisors approves and authorizes the 315 (July 23 & August 2)

6 Chairperson to sign the Status Report in connection with the D.A.R.E. program. Motion by Baker, seconded by Klein, carried unanimously, to approve and authorize the Chair to sign Resolution RESOLUTION APPROVE FEH DESIGN PROFESSIONAL SERVICES AGREEEMENT FOR ARCHITECTURAL SERVICES FOR THE COURTHOUSE SECOND FLOOR REMODEL WHEREAS, Dubuque County has been presented with a FEH Design Professional Services Agreement for architectural services for the Courthouse Second Floor remodel for the addition of the Juvenile Courtroom; and NOW, THEREFORE BE IT RESOLVED Dubuque County approves and authorizes the Chairperson to sign the FEH Design Professional Services Agreement for architectural services for the Courthouse Second Floor Project in the amount of $28,732. Motion by Klein, seconded by Baker, carried unanimously, to approve and authorize the Chair to sign Resolution RESOLUTION SET THE DATE FOR SALE OF GENERAL OBLIGATION URBAN RENEWAL BONDS, SERIES 2018C AND AUTHORIZING THE USE OF A PRELIMINARY OFFICIAL STATEMENT IN CONNECTION THEREWITH WHEREAS, the Board of Supervisors (the Board ) of Dubuque County, Iowa (the County ) heretofore proposed to enter into a General Obligation Urban Renewal Loan Agreement (the Loan Agreement ) and to borrow money thereunder in a principal amount not to exceed $17,000,000, pursuant to the provisions of Section and Section (2)(b)(14) of the Code of Iowa, for the purpose of paying the cost, to that extent, of undertaking an urban renewal project in the City of Dubuque s Dubuque Industrial Center Economic Development District consisting of constructing a new County building including administrative office space and a maintenance and storage shop, and in lieu of calling an election upon such proposal, has published notice of the proposed action and has held a hearing thereon, and as of June 11, 2018, no petition had been filed with the County asking that the question of entering into the Loan Agreement be submitted to the registered voters of the County; and WHEREAS, a Preliminary Official Statement (the P.O.S. ) has been prepared to facilitate the sale of General Obligation Urban Renewal Bonds, Series 2018C (the Bonds ) to be issued in evidence of the obligation of the County under the Loan Agreement, and the Board of Supervisors has made provision for the approval of the P.O.S. and has authorized its use by D.A. Davidson & Co., (the Financial Advisor ) as municipal financial advisor to the County; and WHEREAS, it is now necessary to set the date for the sale of the Bonds and to authorize the Financial Advisor to carry out such sale; 316 (July 23 & August 2)

7 NOW, THEREFORE, Be It resolved by the Board of Supervisors of Dubuque County, as follows: Section 1. Sealed bids for the purchase of the Bonds shall be received and canvassed on behalf of the County until 11:00 a.m. on August 13, 2018, at the office of the County Auditor at the County Courthouse, in the Dubuque, Iowa, and the Board of Supervisors shall meet on the same date at 2:15 p.m., at the County Courthouse, 720 Central Avenue, Dubuque, Iowa, for the purpose of considering such bids received and considering and passing a resolution providing for the award of the Bonds, and the Financial Advisor is hereby authorized and directed to disseminate the notice of said sale, in compliance with the Internal Revenue Service regulations governing Issue Price determinations, such notice to be in substantially the following form, and to be published at least once not less than four (4) day and not more than twenty (20) days before the August 13 th sale date: NOTICE OF SALE DUBUQUE COUNTY, IOWA $13,840,000 GENERAL OBLIGATION URBAN RENEWAL BONDS, SERIES 2018C Bids will be received on behalf of Dubuque County, Iowa, on August 13, 2018, for the purchase of $13,840,000 General Obligation Urban Renewal Bonds, Series 2018C (the Series 2018C Bonds ) of the County. Any of the methods set forth below may be used, but no open bids will be accepted: Sealed Bidding: Sealed bids will be received at the office of the County Auditor, Dubuque County Courthouse, 720 Central Avenue, Dubuque, Iowa until 11:00 a.m. C.D.T. Electronic Internet Bidding: Electronic internet bids will be received at the office of the County Auditor, Dubuque County Courthouse, 720 Central Avenue, Dubuque, Iowa until 11:00 a.m. C.D.T. and must be submitted through PARITY. Electronic Facsimile Bidding: Electronic facsimile bids will be received at facsimile number (563) until 11:00 a.m. C.D.T., and will be sealed and treated as sealed bids. After the deadline for receipt of bids has passed, sealed bids that have been timely received will be opened and announced, and electronic internet bids will be accessed and announced. All bids will be presented to the Board of Supervisors for consideration at its meeting to be held at 2:15 p.m. on August 13, 2018, at the Dubuque County Courthouse, Dubuque, Iowa. The County reserves the right to increase or decrease the aggregate principal amount of the issue. Any change will be in increments of $5,000 and may be made in any of the maturities. The purchase price will be adjusted proportionately to reflect any change in issue size. The Series 2018C Bonds will be issued as fully registered bonds in denominations of $5,000 or any integral multiple thereof, will be dated September 6, 2018, will bear interest 317 (July 23 & August 2)

The legal opinion of Dorsey & Whitney LLP, Attorneys, Des Moines, Iowa, will be furnished by the County. No bids will be accepted which would cause the sum of the par amount of the Series 2018C Bonds, plus net original issue premium, if any, to be greater than $13,840,000. A good faith deposit of ONE PERCENT OF PAR is required of the successful bidder and may be forfeited to the County in the event the successful bidder fails or refuses to take and pay for the Series 2018C Bonds. bid. The Securities and Exchange Commission (the SEC ) has promulgated certain amendments to Rule 15c2-12 under the Securities Exchange Act of 1934 (17 C.F.R c2-12) (the Rule ) that make it unlawful for an underwriter to participate in the primary offering of municipal securities in a principal amount of $1,000,000 or more unless, before submitting a bid or entering into a purchase contract for such securities, it has reasonably determined that the issuer or an obligated person has undertaken in writing for the benefit of the holders of such securities to provide certain disclosure information to prescribed information repositories on a continuing basis so long as such securities are outstanding. On the date of issuance and delivery of the Series 2018C Bonds, the County will execute and deliver a Continuing Disclosure Certificate pursuant to which the County will undertake to 318 (July 23 & August 2)

9 comply with the Rule. The County will covenant and agree to comply with and carry out the provisions of the Continuing Disclosure Certificate. All of the Supervisors of the County will be authorized and directed to take any and all actions as may be necessary to comply with the Rule and the Continuing Disclosure Certificate. Bidders should be aware that the official terms of offering to be published in the Official Statement (the Official Statement ) for the Series 2018C Bonds contain additional bidding terms and information relative to the Series 2018C Bonds. In the event of a variance between statements in this Notice of Sale (except with respect to the time and place of the sale of the Series 2018C Bonds and the principal amount offered for sale) and said official terms of offering, the provisions of the latter shall control. In order to establish the issue price of the Series 2018C Bonds for federal income tax purposes, the County requires bidders to agree to the following, and by submitting a bid, each bidder agrees to the following. If a bid is submitted by a potential underwriter, the bidder confirms that (i) the underwriters have offered or reasonably expect to offer the Series 2018C Bonds to the public on or before the date of the award at the offering price (the initial offering price ) for each maturity as set forth in the bid and (ii) the bidder, if it is the winning bidder, shall require any agreement among underwriters, selling group agreement, retail distribution agreement or other agreement relating to the initial sale of the Series 2018C Bonds to the public to which it is a party to include provisions requiring compliance by all parties to such agreements with the provisions contained herein. For purposes hereof, Series 2018C Bonds with a separate CUSIP number constitute a separate maturity, and the public does not include underwriters (including members of a selling group or retail distribution group) or persons related to underwriters. If, however, a bid is submitted for the bidder s own account in a capacity other than as an underwriter of the Series 2018C Bonds, and the bidder has no current intention to sell, reoffer, or otherwise dispose of the Series 2018C Bonds, the bidder shall notify the County to that effect at the time it submits its bid and shall provide a certificate to that effect in place of the certificate otherwise required below. If the winning bidder intends to act as an underwriter, the County shall advise the winning bidder at or prior to the time of award whether (i) the competitive sale rule, or (ii) the hold-the-offering price applies. If the County advises the Purchaser that the requirements for a competitive sale have been satisfied and that the competitive sale rule applies, the Purchaser will be required to deliver to the County at or prior to closing an Issue Price Certificate, in a form reasonably acceptable to bond counsel, as to the reasonably expected initial offering price as of the award date. If the County advises the Purchaser that the requirements for a competitive sale have not been satisfied and that the hold-the-offering price rule applies, the Purchaser shall (1) upon the request of the County confirm that the underwriters did not offer or sell any maturity of the Series 2018C Bonds to any person at a price higher than the initial offering price of that maturity during the period starting on the award date and ending on the earlier of (a) the close of the fifth 319 (July 23 & August 2)

10 business day after the sale date or (b) the date on which the underwriters have sold at least 10% of that maturity to the public at or below the initial offering price; and (2) at or prior to closing, deliver to the County a certification to such matters, in a form reasonably acceptable to bond counsel, together with a copy of the pricing wire. Any action to be taken or documentation to be received by the County pursuant hereto may be taken or received on behalf of the County by D.A. Davidson & Co. Bidders should prepare their bids on the assumption that the Series 2018C Bonds will be subject to the hold-the-offering-price rule. Any bid submitted pursuant to the Terms of Offering shall be considered a firm offer for the purchase of the Series 2018C Bonds, and bids submitted will not be subject to cancellation or withdrawal. Pursuant to Section of the Code of Iowa, the Board of Supervisors hereby authorizes the use of electronic bidding procedures for the sale of the Bonds through PARITY, and hereby finds and determines that the PARITY competitive bidding system will provide reasonable security and maintain the integrity of the competitive bidding process and will facilitate the delivery of bids by interested parties under the circumstances of this bond sale. Section 6. All resolutions or parts thereof in conflict herewith are hereby repealed to the extent of such conflict. Section 7. This resolution shall be in full force and effect immediately upon its adoption and approval, as provided by law. Motion by Baker, seconded by Klein, carried unanimously, to approve and authorize the Chair to sign Resolution RESOLTUION APPROVE NECESSARY DOCUMENTS WITH PORTZEN CONSTRUCTION, INC FOR THE CONSTRUCTION BID PACKAGE 2 SHOP, GARAGE & OFFICE BUILDINGS AT CITY VIEW DRIVE COMPLEX WHEREAS, bids were received on July 12, 2018 for the Construction Bid Package 2 Shop, Garage, & Office Buildings at City View Drive complex project and Portzen Construction, Inc. of Dubuque, Iowa submitted the low bid of $10,449,000.00, and WHEREAS, FEH Design s Architect and the Dubuque County Engineer have reviewed the bids and recommend accepting the bid submitted by Portzen Construction, Inc., 320 (July 23 & August 2)

11 THEREFORE BE IT RESOLVED that the Board of Supervisors of Dubuque County, Iowa hereby approve and direct the Chair to sign the necessary contract documents with Portzen Construction, Inc. for the Construction Bid Package 2 Shop, Garage, & Office Buildings at City View Drive complex in the amount of $10,449, Motion by Klein, seconded by Baker, carried unanimously, to approve and authorize the Chair to sign Resolution RESOLUTION APPROVE THE FY19 DUBUQUE COUNTY SECONDARY ROAD FIVE YEAR CONSTRUCTION PROGRAM WHEREAS, the Dubuque County Secondary Road Department has completed their Amended FY2019 Secondary Road Five Year Construction Program, and WHEREAS, under Section 309 of the Code of Iowa, the Dubuque County Board of Supervisors must submit these approved documents to the Iowa Department of Transportation, THEREFORE BE IT RESOLVED that the Board of Supervisors of Dubuque County, Iowa hereby approve and direct the Chair to sign the Amended FY2019 Secondary Road Five Year Construction Program to be submitted to the Iowa Department of Transportation. Motion by Baker, seconded by Klein, carried unanimously, to approve and authorize the Chair to sign Resolution RESOLTUION ENDING CLAIM FOR FY18 D.A.R.E. PROGRAM WHEREAS, Dubuque County has received a Substance Abuse Grant from the Iowa Department of Public Health for FY2018 and is required to file quarterly claims for reimbursement of the expenses incurred in connection with the DARE program. WHEREAS, Dubuque County has been notified they are to receive additional grant money. THEREFORE, the Dubuque County Board of Supervisors approves and authorizes the Chairperson to sign for the 2018 County Substance Abuse Grant in the amount of $ Motion by Klein, seconded by Baker, carried unanimously, to approve and authorize the Chair to sign Resolution DUPLICATE WARRANT CITY OF ZWINGLE 321 (July 23 & August 2)

12 Motion by Baker, seconded by Klein, carried unanimously, to approve the duplicate warrant. RESOLTUION AMEND RESOLTION ADDING ONE ADDITIONAL DEPUTY TO THE SHERIFF S OFFICE WHEREAS, on June 25, 2018, the Board of Supervisors approved deputies in the offices of the County Attorney, Auditor, Recorder, Sheriff and Treasurer for the fiscal year 2019; and WHEREAS, one additional deputy has been designated by County Sheriff Joe Kennedy. NOW THEREFORE BE IT RESOLVED that this resolution will amend Resolution Number to add the following deputy to the office of the Dubuque County Sheriff: Brad Kramer effective on or about August of Motion by Klein, seconded by Baker, carried unanimously, to approve and authorize the Chair to sign Resolution RESOLUTION APPROVE FUNDING AGREEMENT WITH THE DUBUQUE DRUG TASK FORCE ASSET FORFEITURE CONTROL BOARD WHEREAS, Dubuque County has been presented with a funding agreement between Dubuque County, Dubuque County Sheriff s Office, and the Dubuque Drug Task Force Asset Forfeiture Control Board (DDTF); and WHEREAS, the parties agree to funding equity while completing the projects commonly known as the Dubuque Area Joint Law Enforcement Shooting Range (Range) and the Dubuque County Sheriff's Office equipment purchase program; and WHEREAS, Dubuque County agrees to fund the remaining cost for the Range and the DDTF agrees to fund the purchase of ten new squad cars for the Sheriff's department; NOW, THEREFORE BE IT RESOLVED that the Dubuque County Board of Supervisors approves and authorizes the Chairperson to sign the agreement for the funding of the Range and squad car purchase. PUBLIC COMMENT Daryl Klein stated at the last meeting the County Recorder made the statement that Klein was making stuff up about the budget of the recorder s office. Klein spoke with Budget Director Stella Runde who looked back at the last three years and the recorders salaries and benefits have gone up each of three years. Klein wanted to clear the air he isn t making this up. It is a fact the cost to taxpayers is increasing in the recorder s office. Motion by Klein, seconded by Baker, carried unanimously, to recess at 5:50 p.m. WORKSESSION REGARDING DUBUQUE COUNTY WEST CAMPUS FINANCING Upon reconvening at 11:00 a.m. on Thursday, August 2, 2018 the Board met with Auditor Denise Dolan, Budget Director Stella Runde, HR Administrator Dawn Sherman, IT Superintendent Nathan Gilmore, and Maintenance Superintendent Chris Soeder. Runde had a financing analysis she presented to the Board. The County ended FY18 with strong cash balances and the bids for the Dubuque County West Campus came under what was anticipated. D.A. Davidson put together various scenarios to finance the project. 323 (July 23 & August 2)

14 Motion by Klein, seconded by Baker, carried unanimously, to designate one million dollars to the West Campus project and 1.2 million dollars back in to the long term capital projects fund. Motion by Baker, seconded by Klein, carried unanimously, to finance the 2018C debt issuance at $12,250,000. Gilmore re-visited the IT security door plans and cameras for the new facility as the Board had asked him to do. He reduced the number of cameras by 8 and the number of access doors by 16.
