R. CIV. P. 41(a)(1) PLEASE TAKE NOTICE that pursuant to Rule 41(a)(1) of the Federal Rules of Civil Procedure, Plaintiff Stephen Nordman ( Nordman ), by and through his undersigned attorneys, hereby gives notice of voluntary dismissal of Stephen Nordman, et al. v. imergent, inc., et al., 2:05-cv DAK (D. Utah, Central District, filed March 31, 2005) (the Nordman Action ) without prejudice. 1. Whereas eight nearly identical class action complaints were filed against defendants in this Court arising out of the same conduct, alleging the same causes of action, and seeking the same restitution as that set forth in the complaint filed by plaintiff Nordman in the Nordman Action [all eight actions have been consolidated under In re imergent Securities Litigation captioned above (the Related Actions )]; 2. Whereas on March 31, 2006, the Court approved a Motion to Consolidate the Related Actions;

Whereas on May 9, 2005 and jointly on March 21, 2006, various parties filed motions for appointment of Lead Plaintiff and approval of their selections of Lead and Liaison Counsel pursuant to Section 21D, 15 U.S.C. 78u-4 of the Private Securities Litigation Reform Act of 1995; 4. Whereas plaintiff Nordman did not seek appointment as Lead Plaintiff and will not be serving in any representative capacity; 5. Whereas on March 29, 2006, the Court entered an Order (the Lead Plaintiff Order ) appointing the The Accounting Restatement Group (as defined in the Lead Plaintiff Order) as Lead Plaintiff; 6. Whereas, on March 29, 2006, the Court entered an Order appointing The Law Firm of Kirby McInerney & Squire LLP as Lead Counsel ( Lead Counsel ); 7. Whereas a party other than Nordman has been appointed Lead Plaintiff, together with Lead and Liaison Counsel, to vigorously prosecute the claims asserted, and there is no prejudice or effect to any other member of the possible Class or any remaining party through the voluntary dismissal of the Nordman Action; THEREFORE, plaintiff Nordman hereby voluntarily and without prejudice dismisses the Nordman Action pursuant to Fed. R. Civ. P. 41(a)(1). 2
