2 0 0 This Stipulation is entered into by and among Lead Plaintiff and defendants Basin Water Inc., (the Company, Peter L. Jensen, Michael M. Stark, and Thomas C. Tekulve (collectively, Defendants, through their respective attorneys of record. WHEREAS, Lead Plaintiff and Defendants have reached an agreement in principle to settle all claims asserted by the plaintiff class against all Defendants, subject to completion of satisfactory documentation, notice, and court approval (the Proposed Settlement ; WHEREAS, Lead Plaintiff and Defendants are currently negotiating the language of a binding Stipulation of Settlement and related documents for the Court s review, including proposed orders preliminarily and finally approving the Proposed Settlement, summary and detailed notices to settlement class members, and a proof of claim form, and anticipate they will complete these documents and file a Motion for Preliminary Approval of the Proposed Settlement by no later than March, 00; WHEREAS, Defendants motion to dismiss Lead Plaintiff s Consolidated Amended Complaint is currently set for hearing on March, 00, and; WHEREAS, all parties agree that the interests of judicial economy, Defendants motion to dismiss be taken off calendar and the March, 00 hearing date be substituted as the hearing on the motion for preliminary approval of the Proposed Settlement. The parties hereby STIPULATE and AGREE, subject to Court approval, as follows:. Lead Plaintiff shall file a Motion for Preliminary Approval of the Proposed Settlement on or before March, 00, with a scheduled hearing date of March, 00; and
