1 THALYS CONTEST RULES EURO 2016 Contest ARTICLE 1 - Purpose 1.1. The company SA THI Factory (hereafter referred to as Thalys ), registered with the Crossroads Bank for Entreprises with number , RPR Brussels and its registered office at Place Stéphanie 20, 1050 Brussels, Belgium, is holding a EURO 2016 Contest (hereinafter the "Contest"), with no obligation to purchase. The general conditions of participation are described below The Contest will run from 4 May 2016 at 00:00am to 25 May 2016 at 11:59pm (hereinafter the "Contest Period") The Contest is being held in France and Belgium (hereinafter the "Thalys Countries") Except for the instances in Article 4 of these Rules, Participants should not send any correspondence to Thalys and should not communicate with Thalys by telephone or any other means during the Contest Period or after its close. ARTICLE 2 - Conditions for participation 2.1. Participation in the Contest is free with no obligation to purchase Participation in the Contest is open to all persons aged 18 and older living in the Thalys Countries during the Contest Period (hereinafter the "Participant(s)") with the exception of persons who have a direct or indirect legal relationship with Thalys (members of staff, employees) and any other persons involved in organising the Contest (including marketing/communication agencies, advertising and marketing consultants, etc.). ARTICLE 3 - Contest rules 3.1. Participation in the Contest is only possible after the entry form available on the following website has been fully and accurately completed: ; ; Participants must fill in the entry form between 4 May 2016 and 25 May Participants are only allowed to enter the Contest once. 3.2 Each Participant is responsible for the completeness and accuracy of the information provided in the entry form. Thalys reserves the right to verify the accuracy of the information provided by Participants.

2 3.3 To ensure the validity of their entry, in addition to providing identification, Participants must also completely fill in the entry form as follows: To ensure that their entry is valid, Contestants must first answer a questionnaire provided by Thalys with the three following questions: In which Thalys destination was the Euro 2000 final held? 1) Brussels 2) Düsseldorf 3) Rotterdam Which country didn't qualify for the 2016 championship? 1) Slovakia 2) The Netherlands 3) Northern Ireland Which Belgian "Red Devil" has never played in France? 1) Eden Hazard 2) Michy Batshuayi 3) Vincent Kompany Contestants must then answer the following additional question: How many contestants do you think will get all the answers right? ARTICLE 4 - Winner selection 4.1 After 25 May 2016, Thalys will select five Winners (three living in Belgium and two living in France) among the Contestants (hereinafter called the "Winners") whose participation was duly accepted. 4.2 The Winners will be the five Contestants who correctly answered the three questions stated in Article of the Rules and who in the event of a tie, gave the closest answer to the additional question in Article of the Rules. 4.3 In the event that several Contestants answered the first three questions stated in Article of the Rules correctly, Thalys will select the Winners based on the closest answer to the additional question. 4.4 Thalys reserves the right to exclude a Participant at any time if they do not comply with these Rules, notably if they provide false information or in the event of abuse, deception or fraud during their participation. All decisions in this respect are final and without appeal.

3 ARTICLE 5 Prizes 5.1 A prize will be awarded to the Winners as follows: - For each of the three Winners living in Belgium, the Prize will consist of: Two tickets (1st category) of a value of 250 per ticket for the Euro 2016 match between Germany and Ukraine, which will be held on 12 June 2016 at the Pierre Mauroy Stadium in Lille; Two round trips in Thalys Comfort 1 from Brussels-Midi to Lille-Europe, valued at 108 all taxes included per outbound trip. The total value of the prize is 716 all taxes included. - For each of the two Winners living in France, the Prize will consist of: Two tickets (1st category) of a value of 250 per ticket for the Euro 2016 match between Germany and Ukraine, which will be held on 12 June 2016 at the Pierre Mauroy Stadium in Lille. The total value of the prize is 500 all taxes included The Prize cannot be transferred, exchanged or redeemed in cash. Therefore, under no circumstances may financial compensation be requested in place of the Prize awarded. Thalys can replace one (or more) of the prizes announced with another (or other) prize(s) of equivalent value if forced to do so by external factors Prizes are indivisible and must be accepted as awarded. Thalys cannot be held responsible for any accidents or damages directly or indirectly related to the prizes. In addition, Thalys does not provide any guarantees regarding the usefulness or quality of the prizes Other than awarding prizes to the Winner and the Finalists, no other rights, including intellectual property rights, are transferred to the Winner or the Finalists. ARTICLE 6 Expenses 6.1. Contest Participants may obtain free reimbursement of Internet connection costs, exclusive of all other Contest costs, by making a written request to the Contest s postal address. The Contest address is: THI Factory, "EURO 2016 Contest", Place Stéphanie 20, 1050 Brussels, Belgium Postage costs paid by Participants for reimbursement requests will be reimbursed at current second-class post rates when a request is included to this effect with the request for reimbursement of Internet charges Given that under current service offers and technical capacities, some Internet service providers provide Internet connections free of charge or as part of an

4 all-inclusive price for Internet users, it is specifically agreed that access to the website on a free-of-charge basis or as part of an all-inclusive price (by cable, ADSL or specialist connection, etc.) shall in no event be reimbursed, inasmuch as subscription to the service provider s services is in this case part of a contract entered into by the Internet user for overall Internet use, and that the fact that the Participant connected to the website and took part in the Contest does not incur any additional expenses or outlay for them For Internet connections that are invoiced on a pro rata basis according to use, the cost of connecting to the site to participate in the Contest will be reimbursed by bank transfer only upon written request from the Participant To obtain reimbursement of the connection fees and postage for their refund request, Participants must submit a written request to the Contest address on plain paper containing the following: Surname, first name, personal postal address and address A photocopy of their identity card The dates, times and durations of the connections to the site A copy or copies of the details of the invoice(s) from the telephone service and/or access provider to which they subscribe, showing the dates and times of connections to the site The Participant's bank account details. Refunds will be made by transfer only Participants (same name, same address) may only make one reimbursement request for the duration of the Contest. Reimbursement will be made on a fixed basis of two minutes flat connection, that is, 0.45, tax included, per questionnaire completed. Reimbursement will be made within two months. ARTICLE 7 Acceptance of the Rules 7.1. By confirming their participation, Participants acknowledge having read, understood and accepted the present Rules and the Thalys Privacy Policy Any complaints relating to this Contest must be sent in writing within 7 working days of the end of the Contest to Thalys registered office at the address stated above. Complaints will not under any circumstances be dealt with verbally or by telephone. Complaints which do not comply will not be processed. ARTICLE 8 Rules changes 8.1. Thalys reserves the right to modify the Contest rules and to suspend, shorten or cancel the Contest at any time without prior notice and without having to provide an explanation or compensation to Participants or third parties. As a result of their participation in the Contest, participants are automatically bound by any changes made to the Rules.

5 8.2. Thalys cannot be held liable for the suspension, postponement, modification (including changes to the prizes awarded) or cancellation of the Contest in the event of Force Majeure, or of unforeseeable circumstances or circumstances beyond its control, and no compensation shall be owed to Participants on account thereof. Thalys has absolute discretion in this respect and its decisions are final. ARTICLE 9 Protection of personal data 9.1. The information supplied by Participants when registering for the Contest will be used and saved to ensure the good progress of the Contest and to award the Prizes to Winners In the context of this Contest, personal data provided by Participants will be processed Thalys in accordance with the Thalys Privacy Policy Personal data will not be provided to third parties for commercial purposes without the consent of the person in question. They may, however, be provided to natural persons or companies with a direct relationship to Thalys and to other services or companies associated with Thalys for the purposes of subcontracted Contest data processing In all other cases, the provisions of the Thalys Privacy Statement are applicable to Contest data processing. ARTICLE 10 Intellectual property Thalys and its partners are the owners of all intellectual, artistic and property rights related to the Contest. Participation in the Contest does not provide or transfer any rights over the intellectual property rights to the Contestants. ARTICLE 11 Availibilty of the present rules These rules have been filed with the firm of BENICHOU-LEGRAIN- BERRUER, Rue des Sablons, Paris, which has been entrusted with validating its implementation These rules are available to Participants in full and free of charge on the website. They can also be sent free of charge to anyone who sends a written request by post to the following address: THI Factory, Digital Campaigns & Content Strategy, EURO 2016 Contest, Place Stéphanie 20, 1050 Brussels, Belgium In this case, the postage will be refunded by mail at current second-class post rates, if the Participant makes an explicit request in his letter and includes his banking information.

6 ARTICLE 12 - Miscellaneous In the event that one of the provisions of these rules is held to be invalid or unenforceable, the other provisions shall remain in full force and effect. This condition applies to the extent that it is authorised by law. Any breach of the rules and any attempt at fraud and/or cheating shall result in the immediate exclusion of the Participant from the Contest No claim may be brought against Thalys on the grounds of a misprint, spelling mistake, typographical error or any similar error Thalys cannot be held liable for technical problems in relation to website and/or computers in stores and/or the electronic mail system - Internet problems. Thalys cannot be held liable for any problems that may arise in relation to configuration of hardware and/or software and/or computer communications. ARTICLE 13 Applicable law These Contest rules are governed by Belgian law, without reference to conflict of law provisions. The Participant accepts that any legal action arising from participation in the Contest or regarding the Contest rules will be the exclusive jurisdiction of the courts of Brussels (Belgium), unless there are legal provisions to the contrary, and agrees to submit to the jurisdiction of any such court for the purposes of such action.
