6 Elissa Scrafano Elissa Scrafano, principal and founder of Scrafano Architects, has been practicing architecture for more than 22 years and is a registered architect in California, Illinois, and Michigan. She knew by 16 that she wanted to be an architect and never strayed from that goal and mission. Before establishing Scrafano Architects in 1997, Eiissa worked at the offices of Frank 0. Gehry and Associates, Eric Owen Moss Architects, Narduli Grinstein Architects, and L.andworth Debolske Architects. She has taught model and object making and architectural drawing at Southern California institute of Architecture SCI-Arc, University of California at Irvine, and Woodbury University in Burbank. In addition, she has been a guest critic on several undergraduate and graduate student reviews. Elissa received a B.S. in architecture from the University of Michigan in Ann Arbor, with a concentration in art history, in 1985 and a master's in architecture with honors from Southern California Institute of Architecture (SCI-Arc) in Los Angeles in She was a guest student at the Architectural Association in London and the Staadelschule in Frankfurt, Germany, and also studied history of art and architecture in Italy. She has traveled extensively throughout Europe, North America, Asia, and Central and South America Growing up in the suburbs of Detroit, Michigan, she was influenced by the architecture, art, and gardens of Cranbrook Academy in Bloomfield Hills as weil as her travels around the world with her family. She was one of the first girls to play boys little league baseball, ran track, and was all state in tennis. In addition to arcnitecture, Elissa is passionate about traveling with her husband Tim Sullivan, fashion, art museums, cooking, literature, music, product design, running, hiking, tennis, ski ng, and her niece Isabella and nephews ChaHie and Cole in Birmingham, Michigan. 22 SECOND AMENDMENT TO THE 1997 OPERATING AGREEMENT BY AND BETWEEN THE LOS ANGELES ZOO AND BOTANICAL GARDENS ( ZOO ) AND THE GREATER LOS ANGELES ZOO ASSOCIATION ( GLAZA ) RELATING TO THE 1980 CONCESSION AGREEMENT This second (2 nd ) amendment ( Amendment ) dated as of August, 2016, again amends the agreement entitled Operating Agreement by and between the City of Los Angeles, a Municipal Corporation and the Greater Los Angeles Zoo Association, a California Nonprofit Corporation (CF No S1), dated as of July 1, 1997 ( Operating Agreement ) by extending the term of the concession agreement between the City and GLAZA that is referenced in the 1997 Operating Agreement. The Operating Agreement expires September 29, The concession agreement between the City and GLAZA for the Zoo concessions is set forth in an agreement entitled Concession Agreement between the City of Los Angeles and the Greater Los Angeles Zoo Association ( Concession Agreement ), which was entered into as of February 12, 1981, and granted GLAZA the right to operate all approved concessions at the Zoo. The Concession Agreement was originally set to expire February 11, However, Section IV B of the 1997 Operating Agreement extended the term of the Concession Agreement by ten years, to February 11, The 1 st Amendment to the 1997 Operating Agreement, dated as of February 11, 2016, extended the term of the Concession Agreement for approximately six months, to August 31, 2016, by amending Section IV (Amendments to Concession Agreement between City and GLAZA), subsection B (Term), of the Operating Agreement. This 2 nd Amendment to the 1997 Operating Agreement once again extends the term of the Concession Agreement, this time for approximately one year, to August 31, 2017, by amending Section IV (Amendments to Concession Agreement between City and GLAZA), subsection B (Term), of the Operating Agreement, as follows: B. TERM The term of the Concession Agreement, which began on February 12, 1981 and which was to expire twenty-five (25) years thereafter, was extended by an additional ten years to February 11, 2016, and pursuant to Amendment No. 1 to this Operating Agreement, the term of the Concession Agreement was extended by approximately six months to August 31, 2016, and now, by Amendment No. 2, it is hereby extended an additional twelve months to August 31, 2017, with a further six-month Monday - August 15, PAGE 22

25 2 DISCUSSION The proposed North Atwater Non-Motorized Multimodal Bridge over the Los Angeles River (Project) is a non-motorized, multimodal bridge that is located approximately onehalf mile upstream of Los Feliz Boulevard. It will connect the east side of the Los Angeles River to Griffith Park on the west. The bridge would be approximately 35 feet wide with two separate paths, one designated for equestrian use and the other shared by pedestrians and bicyclists. The proposed Project is project #147 of the City's Los Angeles River Revitalization Master Plan (Adopted 2007, C.F ). River LA, a non-profit organization, was established in 2009 (C.F S6) to further the long range goals of the Los Angeles River Revitalization Master Plan, adopted by City Council in 2007 (C.F ). Chief among River LA s objectives are to foster public-private partnerships by attracting investments from outside parties, including the private sector and individuals, to help build capital projects within the Los Angeles River corridor. To this end, River LA successfully attracted funds from a private philanthropist in 2011 to design and construct a multi-modal (pedestrian, bicycle, and equestrian) bridge across the Los Angeles River connecting Griffith Park to the North Atwater community. River LA has been the responsible entity for the design, estimate, specifications, and all permits/easements and agreements necessary to construct the bridge structure. River LA also applied for various grants to supplement a private donor s funds for construction of the Project. The Bureau of Engineering completed the environmental clearance, which was approved by City Council (C.F ) on September 17, The Project has all necessary permits, 100% plans and specifications, and will need an extension on a permit from the California Department of Fish and Wildlife. River LA applied for, and was awarded on December 10, 2014, an Active Transportation Program (ATP) grant in the amount of $3,660,000 for a non-motorized, multimodal bridge across the Los Angeles River. In November 2015, the Bureau of Engineering (BOE) was requested to participate in discussions between River LA and the California State Department of Transportation (Caltrans). As a requirement of the ATP and all federal programs, grant applicants must be able to enter into an Administering AgencyState Master Agreement (MA) with Caltrans, and must pass a pre-agreement audit. River LA was in the process of meeting Caltrans requirements. However during the pre-agreement audit, Caltrans identified inadequate procurement procedures, and a MA between River LA and Caltrans could not be executed. River LA received a one-time 12 month extension from June 2015 to June 2016 on the ATP grant for funding allocation. Due to the grant funds being at risk by June 2016, Caltrans recommended that River LA transfer the project to be under the City of Los Angeles (City) executed MA, and work with the City to implement the Project. As such, the original objective to gift a completed bridge to the City (CF ) has changed, and River LA now intends to transfer the ATP grant and all other grant funds to the City, and deliver and assign all project documents including those necessary for the construction of the Project, per a gift agreement. 26 3 FISCAL IMPACTS BOE has reviewed the current cost estimate provided by River LA, and has concerns that there may be a shortfall of available funds for all project costs. The total project cost to complete, as estimated by BOE, is $13,023,614, which includes: construction cost estimated at $9,300,000, contingency (10% of construction cost), construction permit fees, construction management, design support during construction, inspection, and maintenance costs for ten years. Current sources of funding available are as follows: FUND SOURCES AVAILABLE TO COMPLETE PROJECT AMOUNT AVAILABLE Council District 4 (CF ) $257,286 LA Dept, of Water & Power via City of LA- Bureau of $220,000 Engineering (CF S1) Los Angeles County Third Supervisorial District (CF ) $333,000 California Community Foundation Caltrans Active Transportation Program $75,000 $3,660,000 Private Donor - Morton La Kretz (Pending Gift Agreement with $3,672,634 City) MICLA Financing in the Adopted Budget $1,000,000 TOTAL AVAILABLE TOTAL COST TO COMPLETE FINAL VARIANCE/SHORTFALL $9,217,920 $13,023,614 -$3,805,694 BOE will advertise the project for bids, and should the lowest responsive bid received by a responsible bidder be in excess of available funding, BOE will report back to City Council on fiscal impacts. POTENTIAL SOURCES OF FUNDING As part of the gift agreement, River LA will work with BOE to identify potential sources of funding, such as the federal ATP and the Recreational Trails Program, to supplement any shortfall.
