1 Massachusetts Water Pollution Control Association Board of Directors Meeting Tuesday, January 26, 2010 Boston Marriott Copley Place Hotel, Boston, MA MWPCA President Michael Foisy called the meeting to order. The following were in attendance. Tom Azevedo, Tom Bienkiewicz (MA DEP), Michael Burke, Michael Foisy, Janice Moran (NEWEA), Vinnie Melendez, Michael Moreau, Charles Tyler, and Ray Willis A quorum was noted. Minutes: 1. Minutes from the December 9 th Board of Directors Meeting on motion duly made and seconded, it was voted to accept the minutes of the December 9 th Board of Directors Meeting. Old Business: 1. Operator s Day It was announced that the Operator s Day luncheon held during the NEWEA Annual Conference on Tuesday, January 26, 2010 was very well attended. Over thirty Massachusetts operators participated in Operator s Day overall. MWPCA has traditionally paid for one operator from each Massachusetts wastewater treatment facility to attend the NEWEA Annual Conference for one day. The association also co-sponsored the operator s luncheon. 2. MWPCA Legal Financial Status Mike Foisy reported that three quotes had been obtained from the following financial firms: P.L. Jones & Associates, Graham Shepherd and Peter Witts. Mike supplied the board with a handout containing an overview of their services and costs. The CPA firm selected will need to perform a 3-year audit to become compliant with the IRS and to figure out tax exempt status. No audits have been performed since Back taxes may be owed. On motion duly made and seconded, it was voted to allow John Connor on behalf of MWPCA to sign the contract and enter into an agreement with Graham Shepherd, CPA to perform an audit for MWPCA s financial needs. Mike Foisy will send s to the board to keep everyone informed and Charlie Tyler volunteered to write an article for the Winter Newsletter to keep the association informed. 3. Meeting Planning Status - March Quarterly Meeting Tom Azevedo mentioned that he has 2 speakers currently lined up to present at the March 24 quarterly meeting. The quarterly meeting will be held at the Westford Regency in Westford, MA. Golf Committee Update (data/venue) Joe Witts not present. The 2 nd Annual Golf Tournament will be held separate from the June Quarterly Meeting. The Golf Committee is comprised of: Joe Witts, Ray Willis, Michael Moreau, Dan Freitas and Eric Smith. June Quarterly Meeting Tom Azevedo announced that the June meeting would be held on Wednesday, June 16, 2010 at the Log Cabin in Holyoke, MA. 2 Fall 2010 Trade Show - The Fall 2010 Trade Show is scheduled to be held on September 29, 2010 at the Wachusett Mountain Resort, Princeton, MA. December Quarterly Meeting - It was mentioned that the December Quarterly Meeting will be held on December 8, 2010 at the Holiday Inn in Mansfield, MA. New Business: 1. Training Program Tom Bienkiewicz mentioned a new certificate program for wastewater management to be started this fall. The program would consist of courses and seminars for managers and supervisors from different associations like MWPCA, NEIWPCC, NEWEA, etc. Classes would be approved by the Training Advisory Committee. Tom mentioned that this type of program would allow current operators the ability to move into supervisor and manager type positions in the field. Tom also mentioned that they are looking for an organization to take the lead. Mike Moreau will ask Doug Borgatti to write an article about this for the Spring Newsletter. 2. Newsletter Articles for the winter issue are due Friday, January 28. NEWEA Director - Charlie Tyler reported that the current State Director for NEWEA is Joe Witts and this is his last year. Nominations need to be submitted to NEWEA by June State Director is a three year commitment and there are six meetings to attend each year. The state director is also responsible for attending MWPCA meetings and reporting back NEWEA s activities. Charlie mentioned that Ray Willis has expressed an interest in serving. 4. MWPCA Election 2010 There are five incumbent directors whose terms are expiring. They include: T. Azevedo, M. Burke, M. Moreau, R. Pariseau, and E. Smith. It was mentioned that all incumbents who plan to run for re-election must furnish biographical information and a photo for inclusion in an information flyer to be included in the ballot envelopes. It was also noted that Peter Doyle will mail election ballots after the March Quarterly meeting. NEWEA was asked to send out a web to the membership. 3 4. Director Meetings Mike Foisy will out a list of upcoming BOD meetings to the Board for discussion. 5. Next Meeting It was reported that the next Board of Directors' meeting will be held on Wednesday, February 24, 2010 (2pm) at the Millbury Training Center in Millbury, MA There being no further business, a motion was made and seconded to adjourn the meeting. The following were in attendance. Henry Albro, Tom Azevedo, Jane Brooks, Mike Foisy, Dan Freitas, Vinnie Melendez, Janice Moran (NEWEA), Mike Moreau, Eric Smith, Charles Tyler, Ray Willis and Joe Witts. A quorum was noted. Minutes: 1. Minutes from the January 26 th Board of Directors Meeting on motion duly made and seconded, it was voted to accept the minutes of the January 26 th Board of Directors Meeting. Old Business: 1. MWPCA Election 2010 There are five incumbent directors whose terms are expiring. They include: T. Azevedo, M. Burke, M. Moreau, R. Pariseau, and E. Smith. It was mentioned that all incumbents who plan to run for re-election must furnish biographical information and a photo for inclusion in an information flyer to be included in the ballot envelopes and newsletter by April 10. NEWEA was asked to send out a web to the membership in April. 2. MWPCA Legal Financial Status Mike Foisy announced that the contract between Graham Shepherd, CPA and the MWPCA has been signed. It will cost $5000 to perform a 3-year audit to become compliant with the IRS and to figure out back taxes, tax exempt and non-profit status. Mike has sent an invoice for the $2500 retainer to John Connor for payment. The remaining $2500 will be due upon completion. Mike also mentioned that he and John Connor recently met to fill out the 990 Form with the auditor. Charlie Tyler suggested that a formal budget process should be set-up to avoid future financial issues. After a brief discussion, it was decided to table the discussion till the audit was completed. In the meantime, Mike Foisy will contact John Connor to discuss developing balance sheets after each quarterly meeting. 3. Meeting Planning Status - March Quarterly Meeting The quarterly meeting is all set to be held on March 24 at the Westford Regency in Westford, MA. NEWEA will be assisting with onsite registrations since John Connor will be on vacation. Janice Moran will follow up separately with John Connor regarding the registration process. Meeting Planning Status Continued - Golf Committee Update Joe Witts reported that the 2 nd Annual Golf Tournament will be held at Juniper Hills, Northborough, MA on June 28, The golf committee comprised of: Joe Witts, Ray Willis, Michael Moreau, Dan Freitas and Eric Smith will be meeting after the board meeting to further discuss the budget, sponsorship, raffles and prizes. NEWEA was asked to send out an announcement to the membership regarding the upcoming tournament. Joe Witts will send info. On motion duly made and seconded, it was voted to allow Dan Freitas to purchase golf prizes and supplies at the Titleist Store for the upcoming June 28, 2010 Golf Tournament. Expenses should not exceed $500. June Quarterly Meeting Tom Azevedo announced that the June meeting would be held on Wednesday, June 16, 2010 at the Log Cabin in Holyoke, MA. Tom currently has two speakers committed. Potential speaker names should be forwarded to Tom for consideration. Fall 2010 Trade Show - The Fall 2010 Trade Show is scheduled to be held on September 29, 2010 at the Wachusett Mountain Resort in Princeton, MA. Tom Azevedo mentioned that the vendor mailing along with a Save the Date should be sent to the membership soon. It was also mentioned that tickets to the ski lift should be included as part of the show again. December Quarterly Meeting - It was mentioned that the December Quarterly Meeting will be held on December 8, 2010 at the Holiday Inn in Mansfield, MA. 5. Operations Challenge Practice Day Jane Brooks reported that the Operations Challenge Practice Day will be held on April 30 at the Holyoke, MA WWTP (flyers handed out). It was noted that MWPCA will be co-sponsoring the event. Jane also mentioned that she will be presenting a 5 minute PowerPoint presentation at the March Quarterly Meeting to gain interest in the program. Massachusetts does not currently have a team. 6. Government Affairs Update Joe Witts reported that he is in the process of forming the government affairs committee and recruiting members. MWPCA might hold a legislative breakfast in the Fall Joe will be attending the NEWEA Congressional Briefing on March 16 in Washington, DC. 7. New Membership Card Ray Willis reported that he has looked into the costs of plastic membership cards with barcodes to reduce long registration lines at quarterly meetings. The cards, scanners, and software would cost $1500. After a brief discussion, it was decided to further discuss the issue at the March BOD meeting. Management Training Program It was mentioned that Tom Bienkiewicz made a brief presentation at the January 26 board meeting regarding a new certificate program for wastewater management to be started this fall. The program would consist of courses and seminars, pre-approved by the Training Advisory Committee, to allow current operators the ability to move into supervisor and manager type positions in the field. It was suggested that MWPCA should take the lead in assisting with the program. After a brief discussion, Vinnie Melendez, Dan Freitas and Mike Burke (per ) volunteered to become involved with the new certificate program. Mike Foisy will the draft program schedule to the board. Mike Moreau will ask Doug Borgatti to write an article about the certification program for the Spring Newsletter. It was also noted that Tom Bienkiewicz will make a brief presentation announcing the new management certification program at the March 24 Quarterly Meeting in Westford, MA. New Business: 1. Computer Lab at Training Center Mike Foisy announced that the computer lab at the Millbury Training Center has 14 new donated computers and the lab will be located across the parking lot. The old computers were recycled to preparation for upcoming renovations. 2. Next Meeting It was reported that the next Board of Directors' meeting will be held on Wednesday, March 24, 2010 after the Quarterly Meeting at the Westford Regency in Westford, MA. It was also mentioned that the April BOD Meeting will take place on April 14 at the Millbury Training Center at 2pm. The following were in attendance. Henry Albro, Jane Brooks, Mike Foisy, Dan Freitas, James Laliberte (NEIWPCC), Janice Moran (NEWEA), Mike Moreau, Eric Smith, Ray Willis and Joe Witts. A quorum was noted. Minutes: 1. On motion duly made and seconded, it was voted to accept the minutes from the February 24 th Board of Directors Meeting. Old Business: 1. MWPCA Election 2010 Mike Foisy reported that there are five incumbent directors whose terms are expiring. They include: T. Azevedo, M. Burke, M. Moreau, R. Pariseau, and E. Smith. Jim Laliberte, NEIWPCC expressed interest in a director position. It was also mentioned that R. Pariseau will not be running for another term on the board and that the position of Education Coordinator would be open. Vinnie Melendez expressed interest in the Education Coordinator position. Anyone running for a director position must furnish biographical information and a photo for inclusion in an information flyer to be included in the ballot envelopes and newsletter by April 8. It was also noted that Peter Doyle will mail election ballots to the membership after the March Quarterly meeting. The NEWEA office was requested to send out an highlighting the MWPCA election candidates and to encourage members to vote. 2. Graham Shepherd, CPA has been contracted to perform a 3-year audit for MWPCA to become compliant with the IRS and to figure out back taxes, tax exempt and non-profit status. It will cost $5000. A $2500 retainer has been paid. The remaining balance will be due upon completion. 3. The meeting took place at the Westford Regency on March 24 in Westford, MA. Eric Smith volunteered to contact a nearby hotel to set up an overnight room block. On motion duly made and seconded, it was voted to allow Jane Brooks to expend up to $ to purchase food for the luncheon at the Operation Challenge Practice Day on April 30, Government Affairs Update Henry Albro announced that the NEWEA Congressional Briefing was held on March 16 in Washington, DC and it was well attended. NEWEA would like to have a delegation from each state participating and would like help from the MWPCA. Joe Witts mentioned that he is in the process of forming the MWPCA government affairs committee and recruiting members. He would like to hold a legislative breakfast in the Fall 2010 with MWWA assistance. 6. New Membership Cards A discussion took place regarding the registration procedure for quarterly meetings and how to reduce the long registration lines. One option suggested was to use plastic membership cards with barcodes. As reported at the February 24, 2010 Board Meeting, Ray Willis mentioned that the cards, scanners, and software may cost upwards of $1500. After further discussion, it was decided to further discuss the issue at the April board meeting. 7. Management Training Program Jim Laliberte (NEIWPCC) and Dan Freitas reported on the status of the Management Training Program, a new volunteer certificate program for wastewater management. This program, starting in fall 2010, will allow current operators the ability to move into supervisor and manager type positions. The management training committee consisting of: Jim Laliberte (NEIWPCC), Dan Freitas, Tom Bienkiewicz (MA DEP), and Chuck Conway (NEIWPCC) met last week to discuss the course outline (refer to course flyer handout). The program, co-sponsored by MA DEP, MWPCA and NEIWPCC, would consist of 20 or less participants, meeting one day a month for 6 hours of training. Training contact hours would be awarded. The program is scheduled to start in fall 2010 and would take one year to complete. The course fees have not been set but are estimated at $500 per participant. The management training committee would like MWPCA s financial support and to help assist with teaching classes. 9 New Business: 1. DOC Retirement Dan Freitas reported that he recently visited the State House to speak in front of the retirement committee. Dan spoke in support of moving DOC wastewater operator s retirement from group 1 to group 4. The retirement committee has not reached a decision. Dan will keep the board informed as to the outcome. 2. Newsletter Janice Moran, NEWEA reported that articles for the spring issue of MASSWaters are due on Thursday, April 8, Ray Willis volunteered to write a summary of today s March quarterly meeting. 3. NEWEA Planning Session Joe Witts and Henry Albro announced that NEWEA recently held a planning session, March in Providence, RI and as a result, NEWEA is looking into creating a Utility Council for New England. NEWEA will be setting up a steering committee to see if a Utility Council would be feasible. They are currently looking for three participants from each state. There will be a conference call on Friday, April 2 nd to discuss further. If you are interested or know someone, please contact Joe Witts or Henry Albro. 4. Awards Mike Foisy announced that Valerie Flaherty may not be able to organize the awards for MWPCA this year due to work constraints. This topic will be discussed at the April board meeting. 5. Next Meeting It was reported that the next Board of Directors' meeting will be held on Wednesday, April 14, 2010 at 2pm at the Millbury Training Facility in Millbury, MA. 10 Massachusetts Water Pollution Control Association Board of Directors Meeting April 14, 2010 Millbury Training Center, Millbury, MA MWPCA President Michael Foisy called the meeting to order. The following were in attendance: Henry Albro, Michael Burke, John Connor, Mike Foisy, Janice Moran (NEWEA), Eric Smith, Charles Tyler, and Ray Willis. No quorum. Old Business: 1. MWPCA Legal Financial Status Mike Foisy mentioned that the tax returns for have been completed by contract with the CPA firm, Graham Shepherd. The tax returns need to be signed by board members and mailed to the IRS prior to May 11. The association recently received a letter from the IRS stating that back taxes are owed. The contracted CPA firm will draft a letter in response stating that MWPCA has filed a non profit status and requesting that fees be waived. Mike also mentioned that he will be requesting a quote from the contract CPA firm for yearly accounting business to keep the association up to date. This topic will be further discussed at the next board meeting. 2. Meeting Planning Status March Quarterly Meeting The March 2011 Meeting has not been scheduled. Golf Tournament Joe Witts not present. Ray Willis mentioned Joe will be holding a golf committee meeting soon to finalize details for the upcoming tournament. The NEWEA office has finalized the golf registration flyer, sponsorship form and letter. Ray has requested the forms be ed to the golf committee for final review. It was noted that the golf registration flyer will be included in the spring newsletter as an insert and the sponsor letter and form will be mailed to the current MWPCA vendor list once approved. June Quarterly Meeting Tom Azevedo not present. John Connor noted that the June Meeting will be held on June 16, 2010 at the Log Cabin in Holyoke, MA. John also noted that the contract with the Log Cabin has been signed. Fall 2010 Trade Show John Connor mentioned that the vendor registration form has been mailed by the NEWEA office two weeks ago. John has since received seven registration forms and will weekly updates to the board. John also mentioned that he has bought wood badge holders to display attendee badges for registration at future meetings. December Quarterly Meeting Tom Azevedo not present. It was noted that the December Meeting will be held on December 8, 2010 at the Holiday Inn in Mansfield, MA. John Connor mentioned that all meetings will receive 2.5 training contact hours for Massachusetts unless otherwise noted. MWPCA April 14, 2010 Meeting Minutes Page 1 of 3

11 3. Operations Challenge Practice Day Jane Brooks not present. Mike Burke mentioned that the Practice Day will be held on Friday, April 30, 2010 at the Holyoke, MA WWTP. Mike confirmed that he has assembled a team for Massachusetts to compete at the upcoming Operations Challenge Competition held during the NEWEA Spring Meeting, June 6 9, 2010 in Ogunquit, ME. 4. Newsletter It was noted that articles for the spring issue were due April 8. The NEWEA office is currently working on a draft. The newsletter will be mailed to the membership by May 1. John Connor requested that a notice regarding membership renewals should be added to the spring issue. It was also noted that the Golf Tournament Flyer would be included as an insert to the newsletter. John Connor requested the NEWEA office to him an updated newsletter advertising spreadsheet. 5. Management Training Program Dan Freitas not present. Mike Foisy reported that Dan Freitas recently met with Tom Bienkiewicz, MA DEP and James Laliberte, NEIWPCC to further discuss the newly created management training program. MWPCA Website Janice Moran reported that the NEWEA office has been having technical difficulties updating the MWPCA website using the current methods. The office per the direction of the board, researched template based web design options to correct the current translating issues (handout). A template based website would also allow for easier updating of web pages, no html skills needed, and web files would be located with a company rather than an individual. This topic will be further discussed at the next BOD meeting. 7. Awards Committee Mike Foisy noted that the current Awards chair, Valerie Flaherty is unable to continue as chair due to work obligations. Eric Smith volunteered to assist with the committee and will talk to Valerie regarding the committee s responsibilities. It was mentioned that the award nomination article needs to be updated and included in the spring issue of the newsletter. 8. Budget John Connor handed out a draft FY11 budget regarding MWPCA finances for the board s review. The budget will be further discussed at the next board meeting. 9. Next Meeting It was noted that the next Board of Directors meeting will be held on Wednesday, May 12, 2010 at 2pm at the Millbury Training Facility in Millbury, MA. The following were in attendance: Henry Albro, Tom Azevedo, Mike Foisy, James Laliberte (NEIWPCC), Vincent Melendez, Janice Moran (NEWEA), Bob Pariseau, Charles Tyler, Ray Willis, and Joe Witts. A quorum was noted. Old Business: 1. MWPCA Legal Financial Status Mike Foisy mentioned that the tax returns for have been completed by contract with the CPA firm, Graham Shepherd. Back taxes of up to $30,000 may be owed. The contracted CPA firm will draft a letter stating that MWPCA has filed a nonprofit status and requesting that fees be waived. This topic will be further discussed at the next board meeting. 2. Meeting Planning Status March Quarterly Meeting The March 2011 Meeting has not been scheduled. Golf Tournament The 2010 Golf Tournament will be held on Monday, June 28 at Juniper Hill Golf Course in Northborough, MA. It was mentioned that the golf registration form and sponsorship letters have been sent to the membership and is currently posted on the MWPCA website. Joe Witts mentioned that he will contact John Connor for an update on registrations/sponsorships received to date. Joe also requested the NEWEA office to bring copies of the flyers to distribute at the upcoming NEWEA Spring Meeting in June and asked the board to make sponsorships calls. Ray Willis noted that Dan Freitas had recently purchase golf supplies to be used as prizes for the tournament. June Quarterly Meeting The June Meeting will be held on June 16, 2010 at the Log Cabin in Holyoke, MA. The program is finalized. Fall 2010 Trade Show It was noted that the vendor registration form was mailed by the NEWEA office at the end of April and the board has been receiving weekly updates from John Connor. December Quarterly Meeting The December Meeting will be held on December 8, 2010 at the Holiday Inn in Mansfield, MA. Tom Azevedo mentioned that he is currently developing the program. Operations Challenge Charlie Tyler announced that Massachusetts currently has two operations challenge teams (United Water and Weston & Sampson) interested in competing at the upcoming Operations Challenge Competition. The competition will be held during the NEWEA Spring Meeting, June 6 9, 2010 in Ogunquit, ME. A discussion was held regarding sponsoring two teams. On motion duly made and seconded, it was unanimously voted to: 1. Authorize the expenditure of up to $4000 to support two teams including hotel reservations (2 rooms per team) and registration fees, to attend the NEWEA Operations Challenge Competition on June 7 8, 2010 in Ogunquit, Maine 2. Solicit and accept donations to offset the cost of team participation. 3. To create a new line item for Operations Challenge Expense. 4. Management Training Program Jim Laliberte, NEIWPCC presented the Management Training Program to the board and provided handouts. This new volunteer certificate management training program is designed to allow current operators the ability to move into supervisor and manager type positions in the industry. The program, co sponsored by MA DEP, MWPCA and NEIWPCC, would consist of 20 or less participants, who would meet one day a month for 6 hours of training. Training contact hours would be awarded. The program is scheduled to start in fall 2010 and would take one year to complete. The course fees are estimated at $500 per participant. Jim mentioned that the program was estimated to cost $25,000. MA DEP has committed $10,000. On motion duly made and seconded, it was unanimously voted that MWPCA will support the new Management Training Program as needed and will subsidize $200 for each MWPCA member who participates in the program. Qualifying participants must be a MWPCA member for more than two years. The NEWEA office was asked to send out an blast to the membership announcing this new program. Jim Laliberte will forward a description and application for the . It was suggested including information regarding the Kowsz Scholarship. The program will also be announced at the upcoming June Meeting and Golf Tournament. 5. MWPCA Website Janice Moran reported that the NEWEA office has been having technical difficulties updating the MWPCA website using the current methods. The office per the direction of the board, researched template based web design options to correct the current translating issues (handout). A template based website would also allow for easier updating of web pages, no html skills needed, and web files would be located with a company rather than with an individual. NEWEA will provide cost information at the next BOD meeting for further discussion. 6. Budget John Connor not present. The budget will be further discussed at the next board meeting. New Business: 1. Awards Joe Witts announced that he is looking for nominations for the NEWEA Operator Award, Peloquin Award and the WEF Quarterly Century Award. Please submit nominations to Joe before June 1 st. Joe Witts volunteered to write a recommendation for Ray Willis on behalf of the board. 3. Amherst Classroom Bob Pariseau noted that the training classroom in Amherst, MA needs new window blinds. He provided the board with two quotes from Home Depot and Clisun Shop. On motion duly made and seconded, it was voted to allow Bob Pariseau to expend up to $ to purchase new window blinds for the training classroom in Amherst, MA. 4. The following were in attendance: Henry Albro, Tom Azevedo, Tom Bienkiewicz (MADEP), Jane Brooks, Mike Burke, John Connor, Mike Foisy, Dan Freitas, Janice Moran (NEWEA), Mike Moreau, Eric Smith, Charles Tyler, and Tom Walsh (UBWPAD). Election Results Mike Foisy announced the election results for MWPCA director positions. Tom Azevedo 136 votes, Mike Burke 123 votes, James Laliberte 125 votes, Mike Moreau 114 votes and Eric Smith 103 votes. On motion duly made and seconded, it was voted to appoint Eric Smith as Second Vice President for a one year term. 2. MWPCA Legal Financial Status Mike Foisy mentioned that the tax returns for have been completed by contract with the CPA firm, Graham Shepherd. This topic will be further discussed. 3. Meeting Planning Status March Quarterly Meeting The March 2011 Meeting has not been scheduled. Golf Tournament Joe Witts not present. It was reported that the 2010 Golf Tournament will be held on Monday, June 28 at Juniper Hill Golf Course in Northborough, MA. Currently there are 40 players and 8 sponsors registered to participate. The golf guarantee is 80 players. The committee will be making phone calls to solicit more players and sponsors before the tournament. Mike Foisy will follow up with Joe Witts later this week. June Quarterly Meeting The June Meeting was held today at the Log Cabin in Holyoke, MA. 107 registered for the meeting and 82 stayed for lunch. Fall 2010 Trade Show It was noted that the Fall Trade Show will be held on September 29, 2010 at the Wachusett Mountain Resort in Princeton, MA. The 1 st vendor mailing was sent in April and 12 vendors are currently signed up. 16 December Quarterly Meeting The December Meeting will be held on December 8, 2010 at the Holiday Inn in Mansfield, MA. Tom Azevedo mentioned that he is currently developing the program. 4. Management Training Program This new volunteer certificate management training program is designed to allow current operators the ability to move into supervisor and manager type positions in the industry. The program, co sponsored by MA DEP, MWPCA and NEIWPCC, would consist of 20 or less participants, who would meet one day a month for 6 hours of training. Training contact hours would be awarded. Tom Bienkiewicz, MADEP provided the board with an updated class schedule and mentioned that MA DEP has now committed $15,000 to the program. Tom mentioned that the program needs a financial commitment from MWPCA to ensure the success of the program. After a brief discussion, it was decided that Mike Moreau would draft a letter to NEIWPCC asking for a written proposal and budget before approving any funds. In the meantime, the NEWEA office was asked to send out another blast to the membership announcing the program. 5. MWPCA Website Janice Moran, NEWEA reported that the NEWEA office has been having technical difficulties updating the MWPCA website using the current methods and provided the board with alternative web hosting solutions. Janice will contact Mickey Nowak to change contact names on MWPCA s domain and will work with Network Solutions to re delegate MWPCA site. On motion duly made and seconded, it was voted to allow the NEWEA office to sign a yearly web hosting agreement with YAHOO on behalf of MWPCA and to authorize NEWEA staff to redesign the MWPCA website Operator Exchange Update Joe Witts and Vinnie Melendez not present. It was noted that the Operator Exchange program will take place with New Hampshire WPCA this September. The NH operator is Sam Heffron from Newmarket, NH. 7. Government Affairs Update Joe Witts not present. 8. Water Finance Infrastructure Commission Update Tom Walsh, UBWPAD reported that the Water Finance Infrastructure Commission has been formed. There are currently 12 people on the commission who will meet on a monthly basis. Groups involved include; EPA, DEP, Conservation Law Foundation, Charles River Association and others. The commission is working on a report (green technologies, stand alone plants and innovative technologies) that will be published next year. Tom will the board a complete list of participants next week. New Business: 1. MWPCA Documents Tom Azevedo mentioned that he found some old MWPCA brochures while cleaning his office. Gadgets & Gizmos Henry Albro announced that the NEWEA will be offering a special Operator session at the 2011 NEWEA Annual Conference and they are looking for operators to present on creative solutions. MWPCA has been asked to send out an to the membership to advertise. Henry also mentioned offering a membership raffle. 5. Meeting Planning Status Golf Tournament The 2010 Golf Tournament took place on Monday, June 28 at Juniper Hill Golf Course in Northborough, MA. After a discussion, it was suggested that the golf tournament be moved to September to coincide with the MWPCA Trade Show. Points of discussion included the need to update the MWPCA vendor list as the existing list is outdated; revising the golf flyer to include sponsorship and golfer sign up information on one sheet in addition to having the form available in January for NEWEA 2011 conference in Boston. Fall 2010 Trade Show John Connor reported that vendors have begun to sign up for the Trade Show and will provide updates as more vendors are booked. John Connor will work with Janice Moran to send out information regarding Trade Show opportunities to vendors. Jim Laliberte requested that NEIWPPC be provided with a booth at the Trade Show at no expense. 19 2. MWPCA Legal Financial Status Mike Foisy indicated that all filings have been made to the Federal and State Governments and are waiting for verification of the Association s non profit status. According to Mike, MWPCA cannot operate under a non profit status until status is officially granted, which could take some time. Mike Foisy explained that based on discussions with the accountant, receiving non profit status should not be difficult, however could take some time. 3. Management Training Program Jim Laliberte, NEIWPCC & MWPCA Director presented the Management Training Program budget to the Board with a comparison to a similar program based in Maine (letter attached to minutes). Jim Laliberte indicated that the budget is only an estimate and short falls in the program, if any, would be covered by NEIWPPC during the first year. A discussion among the Board Members occurred and it was determined that MWPCA would generally acknowledge the first year of the program as a pilot and maintain its commitment to financing for MWPCA members only. Currently 4 of the 5 applicants for the program are MWPCA members. 4. MWPCA Website It was explained that Janice Moran will be working to correct the website. 5. Operator Exchange Vincent Melendez indicated that the selected exchange operator had to withdraw from the program and that Phil Ryan was a potential candidate for the exchange. Joe Witts indicated that he will assist with the operator exchange visits and recommended that Ray Willis also assist. 6. Decentralized Committee Ray Willis updated the Board that the Committee has submitted a suggested operation and maintenance protocol/standards and record keeping requirements to MassDEP for consideration to include with Ground Water Discharge Permits. Currently, MassDEP is reviewing the submittal and anticipates providing comments to the Committee for review and possible revisions. A follow up meeting with MassDEP and the Committee will be scheduled at a later date. New Business: 1. New Board of Director Jim Laliberte was announced and welcomed as a new Director to the Board. 2. Fall 2010 Trade Show Status The Fall Trade Show will be held on Wednesday, September 29, 2010 at the Wachusett Mountain Resort in Princeton, MA. John Connor reported that 34 vendors are currently registered to participate in the trade show. Last year 48 vendors participated. John suggested board members make calls to vendors not currently registered. John and Tom Azevedo will work the vendor check in table. John also mentioned that the registration process at the trade show will be changed to include a preregistration table and an on site registration table. Volunteers will be needed to assist with registration. It was also mentioned that attendees would need to collect signatures from the vendors for TCH credit. Chair lift Ride: It was agreed that the chair lift ride was successful last year and should be offered again. It was also suggested to offer two ride times instead of one longer period. No tickets will be used. Tom Azevedo will inquire about cost from the resort. Henry Albro and Joe Witts are interested in sponsoring the chair lift ride again. Raffles: It was decided that two raffles would be offered 50/50 for Ops Challenge MA Team and for vendor prizes. Both raffles will be sold at $1 for one ticket and $5 for arms length. Volunteers will be needed to sell tickets. It was suggested that sponsor opportunities should be added to the vendor registration form for next year. Shirts/hats: Mike Foisy volunteered to bring the Norton shirts and hats to the show and will order more if needed. Tom Azevedo mentioned that the chili & chips station and cash bar will be set up mid morning. The mountain BBQ luncheon will be held at 12:30pm beginning with award presentations. Eric Smith volunteered to contact Valerie Flaherty to see if any award nominations have been submitted. A board of directors meeting will be held following lunch. Tom also volunteered to contact the Wachusett Valley Inn to reserve overnight rooms for himself, Mike Moreau and John Connor. 2. Operator Exchange Program Vinnie Melendez announced that a previous candidate could not attend so Phil Ryan, Haverhill has offered to participate in the New Hampshire exchange. Phil Ryan s boss has requested a letter stating Phil s acceptance into the program. John Connor volunteered to write the letter. On motion duly made and seconded, it was voted to allow John Connor to pay the IRS penalty fee of $11,000 and to seek council with the CPA firm, Graham Shepherd on whether to protest the penalty fee with the IRS. 2.
